BOARD MEMBER POSITION DESCRIPTION The Delhi Center has been a gathering place for local residents and organizations throughout Orange County for more than 40 years. We provide the tools for individuals and families to improve their lives through programs and activities in Health, Financial Stability, Education and Community Engagement. We’re changing and improving families, one home at a time. Our Vision is to be a model for service delivery and leadership development. Title/position: Board Member Duties/expectations: The Board will support the work of the Delhi Center and provide mission-based leadership and strategic governance. While day-to-day operations are led by Delhi Center’s chief executive officer (CEO), the Board-CEO relationship is a partnership, and the appropriate involvement of the Board is both critical and expected. Specific Board Member responsibilities include: 1. Serving as a trusted advisor to the CEO while supporting and implementing Delhi Center’s strategic plan. 2. Reviewing outcomes and metrics created by Delhi Center for evaluating its impact, and regularly measuring its performance and effectiveness using those metrics; reviewing agenda and supporting materials prior to board and committee meetings. 3. Approving Delhi Center’s annual budget, audit reports, and material business decisions; being informed of, and meeting all, legal and fiduciary responsibilities. 4. Contributing to an annual performance evaluation of the CEO. 5. Assisting the CEO and fellow Board Members in identifying and recruiting other Board Members. 6. Partnering with the CEO and other board members to ensure that board resolutions are carried out. 7. Serving on at least one Committees or a task force. 8. Representing Delhi Center to stakeholders; acting as an ambassador for the organization. 9. Ensuring Delhi Center’s commitment to a diverse board and staff that reflects the communities Delhi Center serves. 10. Pledging and fulfilling an annual financial commitment of support. Fundraising: Delhi Center Board Members will consider Delhi Center a philanthropic. So that the Delhi Center can credibly solicit contributions from foundations, organizations, and individuals, Delhi Center strives to have 100 percent of Board Members make an annual contribution. Length of Term: Three years, which may be renewed up to a maximum of two consecutive terms, pending approval of the board. Location: Delhi Center, 505 E. Central Ave., Santa Ana, CA 92707 Meetings and time commitment: • The board of directors meets January through December once a month on the second Tuesday of the month from 5:30p.m to 7:30p.m. Delhi Center 505 E. Qualifications and Requirements: This is an extraordinary opportunity for an individual who is passionate about the Delhi Center’s mission and who has a track record of board leadership. Selected Board Members will have achieved leadership stature in business, government, philanthropy, or the nonprofit sector. Their accomplishments will allow them to attract other well-qualified, high-performing Board Members. Ideal candidates will have the following qualifications: • Professional experience with leadership accomplishments in business, government, philanthropy, or the nonprofit sector. • A commitment to and understanding of Delhi Center’s beneficiaries. • Savvy diplomatic skills and a natural affinity for cultivating relationships and persuading, convening, facilitating, and building consensus among diverse individuals. • Personal qualities of integrity, credibility, and a passion for improving the lives of Delhi Center’s beneficiaries. Service on Delhi Center’s Board of Directors is without pay, except for administrative support, travel, and accommodation costs in relation to Board Members’ duties.
