GUARANTY
For good and valuable consideration, each undersigned individual (“Guarantor”) represents and warrants that the title to
each vehicle presented by the dealer identified below (“Dealer”) for sale at Norfolk Auto Auction (NAA) will be a good and
marketable title, free and clear of all liens and encumbrances. Each Guarantor understands and agrees that he or she is
jointly and severally liable to NAA for any loss or claim of loss, damage, expense, or costs, including reasonable
attorney’s fees, incurred by NAA as a result of any breach of the foregoing warranty of title. Each Guarantor personally guaranties full payment of Dealer’s debts and obligations to NAA, including payment of any
check, draft, note, or other negotiable instrument issued by Dealer or its representatives to NAA, and payment of any cost
or expense, including reasonable attorney’s fees, incurred by NAA in collecting or attempting to collect such debts and
obligations. Each Guarantor understands and agrees that NAA may, in NAA’s sole discretion, refuse to transact business with Dealer,
modify or release any and all collateral security, extend or change time of payment, and settle or compromise matters with
Dealer, without notice to the Guarantor and without discharging or affecting the liability of the Guarantor. Each Guarantor
understands and agrees that this guaranty is continuing in nature. Each Guarantor waives notice of acceptance of this
guaranty, presentment, demand, protest, notice of non-payment or dishonor, and the benefit of any homestead
exemption. Each Guarantor understands and agrees that NAA’s failure to enforce its rights under this guaranty shall not
be a waiver of those rights. Each Guarantor understands and agrees that he or she shall be liable for Dealer’s debts and
obligations to NAA as a principal debtor and not merely as surety, and that any bankruptcy of Dealer or any assignment
for the benefit of Dealer’s creditors shall not affect the enforceability of this guaranty. This guaranty shall survive the termination of any agreement between NAA and Dealer and shall bind the respective
heirs, executors, administrators and assigns of each Guarantor and shall inure to the benefit of NAA, its successors and
assigns.

POWER OF ATTORNEY
The undersigned and its subsidiaries hereby duly appoint Norfolk Auto Auction (NAA) or any of its subsidiaries or
divisions, through NAA’s authorized employees and agents, to act as our ATTORNEY-IN-FACT to fill out, complete, sign
any and all papers and documents that may be necessary or helpful pertaining to the sale or purchase of vehicles through
NAA, including but not limited to titles, title transfer documents, bills of sale, and odometer disclosure statements.
In consideration of NAA’s agreement to execute such documents on our behalf from time to time, the undersigned shall
indemnify, defend, and hold harmless NAA, its affiliates, subsidiaries, officers, directors, employees, successors, and
assigns from and against any and all loss, damages, liability, claims, causes of action, and expenses of whatever kind of
nature arising from the execution or filling out by NAA or its employees or agents of any certificates of title, odometer
statements, bills of sale, or any other document necessary or helpful to the ownership transfer of vehicles purchased or
sold by the undersigned through NAA. Notwithstanding the foregoing, nothing contained herein shall be construed to
require the undersigned to indemnify NAA, its affiliates, subsidiaries, officers, directors, employees, successors, and
assigns from any loss resulting from any gross negligence or willful misconduct of NAA and/or its employees or agents.
This Power of Attorney shall be effective as of the date of signing hereof and shall continue in full force and effect until
written notice of termination is provided by either of the undersigned to NAA.

POST SALE INSPECTIONS
Post-Sale Inspection $90.00
Post-Sale Inspections provide a 7-day or 200 mile guarantee, whichever comes first, are available
on all vehicles that are:
• Green Light • Under 175,000 miles • 12 years or younger • Purchased for $2,000 or more (not counting commissions and fees) Check and Advise $75.00
Provides the buyer with a professional assessment of the mechanical function/status of the vehicle,
as does a Post-Sale Inspection, but without warranty. What’s Covered
Mechanical operation of the vehicle (engine, transmission and powertrain in accordance with our
Arbitration Policy, excluding Announced Conditions).
Conditions
• Post-Sale Inspections or Check and Advise must be purchased within one hour of vehicle
purchase. • Post-Sale Inspections or Check and Advise are required on all on-line or absentee purchases. • Post-Sale Inspections exclude the following vehicles: In-ops, Specialty ‘S’, Red Light, Land Rover, VW Touareg, Chrysler 2.7 liter engine,
Government consignments, Collector and Exotics, modified, kit built or grey market. • The auction reserves the right to repair vehicle or cancel sale. Effective March 1, 2014
