SCHOOL OF LAW’S AUDITING PROGRAMME
AY2014/2015 TERM 3A
CLE is pleased to invite members of the legal fraternity in Singapore and other interested
parties to apply to audit selected courses offered by the SMU School of Law.
Persons auditing the course are welcome to attend and observe seminars taught by our
instructors. They are exempted from course requirements (such as project assignments, final
exams etc) and are expected to abide by the guidelines of the respective course instructors on
class participation. Persons auditing the course should be highly proficient in English.
Persons auditing the course will, for purposes of the course, be granted physical access to the
SMU Li Ka Shing Library to refer to the books within the library and may borrow books
from the Course Reserves section for 2 hours for use only within the library.
However persons auditing the course will not have borrowing privileges at the SMU Li Ka
Shing Library. They also will not have access to the Library’s electronic databases (ebooks /
ejournals / edatabases) and restricted copyrighted materials. In addition, there is no access to
SMU sports facilities.
Persons auditing the course, and who are from overseas, are not entitled to apply for Student
Visa. They will be required to apply for their own Visa / Pass by referring to the Immigration
& Checkpoints Authority (ICA) website - http://www.ica.gov.sg/.
Courses in the Academic Year 2014/2015 Term 3A will commence on the week of 27
April 2015 and classes are expected to be completed by early-June 2015. The number of
places available for each course is limited. Registration will be subject to availability of
places and the consent of the instructor in question, which is given on a case-by-case basis. A
written confirmation will be sent to successful applicants approximately 2 weeks before the
start of the course. A certificate of attendance will be awarded at the end of the course,
provided the person auditing the course has attended at least 75% of the relevant classes.
Attached are the list of courses available for audit (Appendix A) and the details of the
finalised class schedules (Appendix B).
The fee for auditing each course is listed as follows. The fee is non-refundable and this
applies even if the persons auditing the course did not attend any or all of the classes.


Application to audit courses in the Academic Year 2014/2015 Term 3A will close on
Wed, 22 April 2015.
SMU School of Law's Auditing Programme is accredited as a CPD (Continuing
Professional Development) activity by the SILE (Singapore Institute of Legal Education) and
participants who meet SILE's CPD requirements may claim Public CPD points. To claim
Public CPD points, participants must attend a minimum of 75% of the classes for the
courses and may not be absent from each class for more than 15 minutes ('Attendance
Policy'). Public CPD points obtained are based on the actual number of classes attended. For

LAW001 - Ethics & Social Responsibility
(Intensive Course from 27 April to early June. There are 3 sessions per week with each session
lasting 3 hours)

Course Description:
Issues of ethics and social responsibility arise in all professions and all aspects of life. The failure to
anticipate, recognize and deal effectively with these issues can have serious implications for individuals,
companies (and other institutions), governments and society. One major challenge is recognizing issues
of ethics and social responsibility when they arise. Another challenge is understanding why and how
individuals, companies and governments get themselves into ethical difficulties and how and why
companies fail in being “socially responsible”. A third challenge is figuring out how to resolve ethical
challenges and dilemmas as they occur: what is the right thing to do? We will examine, through cases,
problems, and other readings, issues of ethics and social responsibility that arise in real life contexts:
what principles would you apply to this problem and what would you do in this situation? The course
will explore ethics in diverse contexts, including the workplace, advertising and marketing, new
technology, and international business. Lawyers have a special responsibility in government and
corporations in ensuring ethical behavior and in establishing systems for preventing unethical behavior.
Issues of concern to lawyers will be integrated into each class session.
LAW401 –Intellectual Property Law**
(Intensive Course from 27 April to early June. There are 3 sessions per week with each session
lasting 3 hours)

Course Description:
This course will examine the intellectual property law of Singapore. The course will start with a short
general overview of the intellectual property rights and seek to identify some general issues and themes
on the essential nature of the rights and the impact of intellectual property issues on domestic
commercial activity and international trade. The course will then turn to look at a selection of the
mainstream intellectual property rights namely: copyright, patents, passing-off and finally registered
trade marks. The emphasis will be on the general principles relevant to each of the rights. The four
intellectual property rights chosen to concentrate on (copyright, patents, passing off and registered trade
marks) are the core of the intellectual property law system. They are the principal intellectual property
rights and will serve well as vehicles to introduce you to basic principles and themes which arise across
the IP system as a whole.
LAW402 – Chinese Contract Law**
(Intensive Course from 27 April to early June. There are 3 sessions per week with each session
lasting 3 hours)

Course Description:
Contract law is of primary importance to business and commercial activities. It is one of the most
established areas in China's civil and commercial law system. The course will provide students with a
comparative perspective on selected issues in Chinese contract law. It will compare the major rules and
principles of contract in common law and Chinese law. At the same time, it will introduce the main
features of Chinese legal system and its practice of private law by incorporating the insights from recent
studies on Chinese economy, politics and society. Therefore, this course also serves as a gateway to
understanding of other fields of Chinese business and commercial law. It will cover, among others,
contract formation, contract policing, performance and nonperformance, interpretation of contracts,
contractual remedies, and rights of third parties. At the end of the course, students will obtain knowledge
about the basic framework of Chinese contract law, the key attributes of the commercial law practice, as
well as the overall judicial environment, in China.
