undersigned, with power of substitution, for and in the name of the undersigned to attend the National Annual General Meeting
(NAGM) of AYSO on May 22 – 24, 2015, and the annual business meeting session beginning at 9:00 a.m. (MST) on Sunday, May 24,
2015 (the “Business Meeting”) at the JW Marriott, Phoenix Desert Ridge, 5350 Marriott Drive, Phoenix, Arizona, and all
adjournments thereof, and to take all action at the NAGM and the Business Meeting and to cast thereat the vote to which the
undersigned would be entitled if then personally present with respect to matters presented at the meeting as set forth in the April
24, 2015 “Notice of National Annual General Meeting,” including, without limitation: (1) election of three Directors; (2) election of
the National President; (3) consideration of proposed amendments to the National Bylaws and Rules & Regulations; and (4) any
other matters as may be properly brought before the Business Meeting and adjournments thereof. Please refer to the information
and instructions on the AYSO website under NAGM (nagm2015.ayso.org) in the MEETING PROTOCOLS, CANDIDATES & AMENDMENTS
BOOKLET, including the “NAGM Proxy & Voting Information” and the “2015 NAGM Protocols,” regarding the business to be
conducted at the meeting and voting in person or by proxy. The vote represented by this proxy will be cast in accordance with the
specifications made above and listed below. If no instructions are given as to how to vote with respect to a specific item, or if
neither instruction box below is initialed, the proxy holder is authorized to vote and act as he/she chooses.

NAGM Proxy/Voting Information
There are two options for submitting a proxy:
1. Proxy forms can be mailed (in the enclosed envelope) or emailed ([email protected]) or faxed (310-5251155) to the AYSO National Office.
a. If by Mail, the proxy form must be received at the AYSO National Office no later than by 5:00 p.m.
(PDT) on May 14, 2015,
b. If by Fax or Email, the proxy form must be received by 11:59pm (PDT) on May 14, 2015, or it will NOT
be accepted.
c. The AYSO National Office cannot be held responsible for lost, delayed, or misdirected mail.
Executive members mailing a proxy to the AYSO National Office may choose to do so using a certified
mail return receipt.
2. A proxy may be hand-delivered by an executive member or designee who is attending the NAGM.
The National Office will make arrangements for an onsite computer kiosk station with printer so that an
executive member may email a proxy to his or her designee, and to allow said designee the ability to
log into a personal email account and print the proxy. However, the executive member submitting a proxy is
responsible for all arrangements regarding who will carry the proxy to the NAGM and register
it. The National Office will not accept proxies after the May 14, 2015 deadline described in Paragraph
1, above.
Additionally, any hand-delivered proxies, as well as all voting executive members in attendance at the NAGM,
must be registered at the Proxy Registration Desk (AYSO National Bylaw Section 3.14) by Saturday, May 23,
2015 by 3:00pm or they will be invalid.
Please note: Registering for the NAGM is not the same as registering to vote in person or by proxy.
3. During the NAGM, the Proxy Registration Desk will be open beginning Friday, May 22, 2015 at
12:00pm until Saturday, May 23, 2015 at 3:00 pm. (Check NAGM meeting agenda for specific hours of
operations)
Proxy/Voting check-in dates and times:
Friday, May 22, 12:00p.m. – 5:30p.m. (MST)
Saturday, May 23, 8:00 a.m. – 3:00p.m. (MST)
(subject to change; check the meeting agenda)
Please note: the Proxy/Voting check in is a separate registration; there are two check-ins: one for the NAGM and one for
your Proxy.
Your cooperation, understanding and adherence is appreciated to enable the voting/tallying process to function
effectively for the benefit of all in attendance at the NAGM! No exceptions please.
In case of a lost or misplaced form, the proxy will also be available online, for download, at nagm2015.ayso.org.
