OPERATING PROCEDURES UNDER TEXAS RULES
ORGANIZATION REPORT
 An operator entering any phase of the oil or gas business in
Texas, which is regulated by the Railroad Commission, must file
immediately an organization report. It requires each operator to
annually file a current organization report. Organizations may
designate non-employee agents to execute subsequent organization
reports. The filing date of these reports is staggered and should be
filed according to the schedule assigned by the Commission. The
Commission will notify each operator of its annual refiling date
and will mail a Form P-5, preprinted with current information to
each operator for an update. An organization must file an amended
report within 15 days after a change in any information. Only address changes may be made by letter.
 The Commission is prohibited from issuing permits or licenses
to corporations delinquent in paying franchise taxes. As a result of
this law, a new corporation filing an initial Form P-5 or a corporation filing a renewal Form P-5 is required to attach a “Tax Certificate
Statement” or “Certificate of Good Standing” to the P-5.
For organizations required to file financial aaurance, one of the
following financial assurance options must be filed with the Form
P-5:
(1) Individual Performance Bond or Cash Deposit (Form P5PB(1)). Organizations only operating wells and not involved in any
other activities may use this option. The value under this option
is equal to $2.00/ft. multiplied by the total aggregate depth of ALL
wells listed on the Proration Schedule for the operator.
(2) Blanket Performance Bond or Cash Deposit (Form P-5PB(2)).

Organization reports for operators of inactive wells: The Commission may not approve the P-5 Organization Report for an operator of one or more inactive wells unless the
operator has complied with Commission rules and Texas statutes concerning the approval of plugging extensions for such inactive wells, including disconnection of electrical
service and any required surface equipment removal.
Organization reports for operators with outstanding enforcement orders/judgments: The Commission may not approve the P-5 Organization Report for an operator if that
operator is the subject of a final and unappealable order related to a violation of a Commission rule, order, license, permit, or certificate relating to safety or the prevention or
control of pollution. Organization Reports for organizations with officers who are subject to such outstanding orders through their involvement with other organizations similarly
may not be approved.
If the organization has used, or reported use of, a well for which the Certificate of Compliance has been canceled, the Commission may refuse to approve an Organization
Report until the operator has paid any requried reconnect fees and the Certificate of Compliance has been reissued for the well.
An organization must file an amended Organization Report within 15 days after a change in any information required to be reported in the Organization Report.
