The Reel Work May Day Labor Film Festival takes place in California’s central coast communities
in and around Santa Cruz each year during the week of May First.
Reel Work presents cultural events, bringing together award-winning documentary film producers, workers, activists, students, and the public with the goal of increasing community awareness of the central role of work in our lives, to discuss economic and global justice issues, and
to bring alive the history and culture of the labor movement in the US and abroad. We highlight how workers and community members band together in united effort for mutual benefit to
achieve justice and dignity in the streets, fields, and workshops.
Cinematic representations of labor each year include local and international works, world premieres as well as classics. We inspire festival participants to join in the struggle for worker rights
locally, nationally and globally to achieve social justice and international solidarity. And in the
process we support filmmakers to produce the kind of film we want to screen.

What is a Business Broker?

I’m often asked, “how is a business broker different
from a real estate broker?” Real estate agents and
brokers are experienced, state licensed professionals
that focus primarily on the sale or leasing of residential or commercial property. Business brokers are
highly experienced, state licensed professionals who
successfully help business buyers buy, and business
sellers sell. Selling a business is quite different from
selling a house, but both are governed by the California Bureau of Real Estate! A quick profile of what
business brokers are also includes:
rarely included. Usable inventory is usually in addition to the selling price, and is valued at COST not at
retail value.
Any offer written by a licensed business broker will
invariably contain one or more contingencies. These
contingencies serve as protection for the buyer (and
sometimes the seller!) such that, if certain items during the escrow and due diligence portion do not turn
out to be as initially represented, the buyer (or seller)
may exit the contract with little or no harm or cost, or
re-negotiate the price and terms, if desired.
On occasion, Main Street businesses can sell as a
stock sale, but certain rules and regulations apply, so
that the transaction does not violate any California or
SEC laws.
• Of 532,000 licensed real estate agents and brokers
in CA, only about 300 specialize in business sales

only. Of these, only about 75 are designated Certified Business Brokers by the California Association of Coast Business Brokerage
Business Brokers.
• Most are widely experienced, AND have owned or
run multiple businesses, large and small.
• Average age of 55 (it takes a while to gain the
necessary business acumen!) Many very experienced
business brokers are 60, 70 or older.
• Commissions vary from 8-12% of the selling price,
with 10% being the norm. Most have a minimum
commission.
Top Business Brokers strive for a win-win situation
between buyer and seller: The buyer pays a fair price
with realistic terms that are manageable, and can fully
focus on future growth and expansion, often with the
previous owner’s help and mentoring. The seller justifiably receives fair compensation for her/his many
years of sacrifice and financial risk. The goal of an
experienced business broker is to balance and harmonize these two forces into a win-win transaction.
Most business brokers in California perform their
professional services at the Main Street level, that is;
helping sellers and buyers with businesses generally
valued under about $2 million in total value. These
businesses typically trade owners via what is known
as an asset sale. This usually involves all the assets of
the business including:
Customer list, furniture, fixtures, and equipment,
vehicles, goodwill, any ABC liquor license involved,
and so forth. Operating capital, accounts payable or
receivable, long-term debt, and petty cash are very
