§ 6 Widerrufsrecht
§ 1 Vertragspartner, Anwendungsbereich
Wenn Sie Verbraucher sind, steht Ihnen nach Maßgabe der gesetzlichen Bestimmungen ein Widerrufsrecht zu.
(1) Vertragspartner im Rahmen der folgenden Allgemeinen Geschäftsbedingungen ist die Firma axcom GmbH,
Carl-Friedrich-Benz-Straße 15, 47877 Willich und der Kunde. Die Allgemeinen Geschäftsbedingungen
gelten unabhängig davon, ob Sie Verbraucher oder Unternehmer sind. Weitere Informationen zu den
Kommunikationsdaten und der gesetzlichen Vertretung der axcom GmbH finden Sie im Impressum unter
www.axcom-battery-technology.de.
(2) Alle Lieferungen und Leistungen, die die axcom GmbH für Kunden erbringt, erfolgen ausschließlich auf
Grundlage der nachfolgenden Allgemeinen Geschäftsbedingungen in ihrer zum Zeitpunkt der Bestellung
gültigen Fassung.
(3) Abweichenden Bedingungen von Kunden wird widersprochen. Dies gilt auch, wenn wir der Einbeziehung
im Einzelfall nicht ausdrücklich widersprechen.
§ 2 Vertragsschluss
(1) Unsere Angebote sind unverbindlich. Wir behalten uns das Recht vor, die Internetseiten des Online-Shops
jederzeit zu aktualisieren. Mit der Aktualisierung verlieren alle vorherigen Preise und sonstigen Angaben über
Waren für künftige Bestellungen ihre Gültigkeit. Maßgeblich ist jeweils die zum Zeitpunkt einer erfolgten
Bestellung gültige Fassung.
(2) Die in Prospekten oder ähnlichen Unterlagen enthaltenen und die mit einem sonstigen Angebot gemachten
produktbeschreibenden Angaben wir Abbildungen, Zeichnungen, Beschreibungen, Maß-, Gewichts-, Leistungs- und Verbrauchsdaten sowie Angaben in Bezug auf die Verwendbarkeit von Geräten für neue Technologien sind freibleibend, soweit sie nicht ausdrücklich als verbindlich bezeichnet werden. Dies gilt insbesondere für den Fall von Änderungen und Verbesserungen, die dem technischen Fortschritt dienen.
Geringe Abweichungen von solchen produktbeschreibenden Angaben gelten als genehmigt und berühren
nicht die Erfüllung von Verträgen, sofern sie für den Kunden nicht unzumutbar sind.
(3) Die vom Kunden getätigte Bestellung ist bindend. Bei Bestellungen über das Internet ist die Absendung
der Bestellung bindend. Vor dem Absenden einer Bestellung über das Internet, wird dem Kunden ermöglicht,
die Bestellung zu überprüfen und etwaige Fehler, die Ihm bei der Eingabe unterlaufen sind, zu korrigieren. Wir
werden dem Kunden unverzüglich nach Eingang einer Bestellung über das Internet eine Bestätigung über
deren Erhalt per E-Mail zusenden. Dies stellt noch keine Annahme dar.
(4) Wir sind berechtigt, das in der Bestellung des Kunden liegende Vertragsangebot innerhalb von zwei Wochen
durch Zusendung einer Auftragsbestätigung anzunehmen. Auslieferungen und Rechnungserteilung stehen
der schriftlichen Bestätigung gleich.
§ 3 Preise
(1) Nach dem Anmelden in unserem Online-Shop werden Ihnen als Unternehmer die Preise exklusive der
jeweils gültigen gesetzlichen Umsatzsteuer (derzeit 19 Prozent) ohne Kosten von Verpackung und Versand
angezeigt. Gegenüber Verbrauchern werden Endpreise inklusive der jeweils gültigem gesetzlichen Umsatzsteuer (derzeit 19 Prozent) ohne Kosten von Verpackung und Versand angezeigt. Nicht enthalten sind in
beiden Fällen etwaige Zölle und ähnliche Abgaben, welche bei Versand ins Ausland anfallen können und
vom Kunden zu tragen sind.
(2) Für Verpackung und Versand (Versandkosten) werden die folgenden Kosten gesondert berechnet:
(a) Innerhalb Deutschlands:
Bis zu einem Bestellwert von EURO 250,00 berechnen wir für Sendungen auf Rechnung, Vorkasse und Bankeinzug eine Versandkostenpauschale von EURO 6,50, auf Nachnahmelieferungen fällt eine Versandkostenpauschale von EURO 11,00 an, für Zahlungen per Kreditkarte EURO 8,40. Ab EURO 250,00 Bestellwert liefern
wir frei Haus.
(b) Versendungen ins Ausland sind derzeit nur auf Anfrage vor der Bestellung möglich. Die dafür anfallenden
Versandkosten werden dann für den jeweiligen Einzelfall ermittelt und dem Kunden mitgeteilt.
(3) Alle genannten Preise, auch für Verpackung und Versand, gelten nur innerhalb Deutschlands und nur zum
Zeitpunkt der Bestellung.
§ 4 Zahlungsbedingungen
(1) Unsere Rechnungen sind zahlbar innerhalb von 30 Tagen ohne Abzug. Bei Zahlung innerhalb von 14 Tagen
ab Rechnungsdatum gewähren wir 2 % Skonto, bei vereinbarten Bankeinzugsverfahren 3 % Skonto. Solange
keine Kreditlinie oder Vorkasse vereinbart ist, keine Einzugsermächtigung vorliegt oder die Zahlung nicht
über Kreditkarte (Master-/Visacard) veranlasst wurde, wird die Ware per Nachnahme versandt.
Widerrufsbelehrung
Sie haben das Recht, binnen vierzehn Tagen ohne Angabe von Gründen diesen Vertrag zu widerrufen. Die
Widerrufsfrist beträgt vierzehn Tage ab dem Tag an dem Sie oder ein von Ihnen benannter Dritter, der nicht
der Beförderer ist, die Waren in Besitz genommen haben bzw. hat. Um Ihr Widerrufsrecht auszuüben, müssen Sie uns

mittels einer eindeutigen Erklärung (z.B. ein mit der Post versandter Brief, Telefax oder E-Mail) über Ihren Entschluss, diesen Vertrag zu widerrufen, informieren. Zur Wahrung der Widerrufsfrist reicht es aus, dass Sie die
Mitteilung über die Ausübung des Widerrufsrechts vor Ablauf der Widerrufsfrist absenden.
Folgen des Widerrufs
Wenn Sie diesen Vertrag widerrufen, haben wir Ihnen alle Zahlungen, die wir von Ihnen erhalten haben, einschließlich der Lieferkosten (mit Ausnahme der zusätzlichen Kosten, die sich daraus ergeben, dass Sie eine andere Art der Lieferung als die von uns angebotene, günstigste Standardlieferung gewählt haben), unverzüglich und spätestens binnen vierzehn Tagen ab dem Tag zurückzuzahlen, an dem die Mitteilung über Ihren
Widerruf diese Vertrags bei uns eingegangen ist. Für diese Rückzahlung verwenden wir dasselbe Zahlungsmittel, das Sie bei der ursprünglichen Transaktion eingesetzt haben, es sei denn, mit Ihnen wurde ausdrücklich etwas anderes vereinbart; in keinem Fall werden Ihnen wegen dieser Rückzahlung Entgelte berechnet.
Wir können die Rückzahlung verweigern, bis wir die Waren wieder zurückerhalten haben oder bis Sie den
Nachweis erbracht haben, dass Sie die Waren zurückgesandt haben, je nachdem, welches der frühere
Zeitpunkt ist. Sie haben die Waren unverzüglich und in jedem Fall spätestens binnen vierzehn Tagen ab dem
Tag, an dem Sie uns über den Widerruf unterrichten, an

zurücksenden oder zu übergeben. Die Frist ist gewahrt, wenn Sie die Waren vor Ablauf der Frist von vierzehn
Tagen absenden. Sie tragen die unmittelbaren Kosten der Rücksendung der Waren. Dies gilt nicht, sofern die
Waren so beschaffen sind, dass sie nicht per Post zurückgesandt werden können. In diesem Fall werden wir
die Waren auf unsere Kosten abholen. Sie müssen für einen etwaigen Wertverlust der Waren nur aufkommen,
wenn dieser Wertverlust auf einen zur Prüfung der Beschaffenheit, Eigenschaften und Funktionsweise der
Waren nicht notwendigen Umgang mit ihnen zurückzuführen ist.
Ausschluss des Widerrufsrechts
Das Widerrufsrecht besteht nicht bei Verträgen zur Lieferung von Waren, die nicht vorgefertigt sind und für
deren Herstellung eine individuelle Auswahl oder Bestimmung durch den Verbraucher maßgeblich ist oder
die eindeutig auf die persönlichen Bedürfnisse des Verbrauchers zugeschnitten sind.
Ende der Widerrufsbelehrung
§ 7 Eigentumsvorbehalt
(1) Die bestellte Ware bleibt bis zur vollständigen Bezahlung Eigentum der axcom GmbH.
(2) Vor Eigentumsübertragung ist eine Weiterveräußerung, Vermietung, Verpfändung, Sicherungsübereignung, Verarbeitung, sonstige Verfügung oder Umgestaltung ohne vorherige ausdrückliche Zustimmung der
axcom GmbH nicht zulässig.
§ 8 Transportschäden; Untersuchungs- und Rügepflicht des Kunden
(1) Werden Waren mit offensichtlichen Schäden an der Verpackung oder am In-halt angeliefert, so hat der
Kunde dies sofort beim Spediteur/Frachtdienst zu reklamieren und die Annahme zu verweigern. Zudem ist
unverzüglich mit der axcom GmbH Kontakt aufzunehmen.
(2) Soweit Vorkasse vereinbart wurde, so verpflichtet sich der Kunde den Gesamtbetrag spätestens zehn Tage
nach Erhalt der Auftragsbestätigung ohne Abzug zu zahlen.
(2) Nur gegenüber Unternehmern gilt folgendes: Der Kunde hat die Ware unverzüglich nach Erhalt sorgfältig
zu untersuchen. Die gelieferte Ware gilt als vom Kunden genehmigt, wenn ein Mangel uns nicht (i) im Falle
von offensichtlichen Mängeln innerhalb von zwei Wochen nach Lieferung oder (ii) sonst innerhalb von zwei
Wochen nach Entdeckung des Mangels angezeigt wird.
(3) Wechsel werden nur nach besonderer Vereinbarung, im Übrigen spesenfrei angenommen. Wir behalten
uns das Recht vor, Sicherheiten oder Vorauszahlungen zu verlangen. Wir können die Lieferung verweigern,
falls dies nicht geschieht. Dadurch wird der Kunde von seiner Abnahmeflicht nicht entbunden.
§ 9 Gewährleistung
(1) Die Ansprüche des Kunden gegen die axcom GmbH bei Mängeln der geliefer-ten Ware richten sich nach den
gesetzlichen Bestimmungen, sofern nachfolgend nichts anderes bestimmt ist.
(4) Dem Kunden steht kein Aufrechnungs- oder Zurückbehaltungsrecht zu, soweit nicht die Gegenforderung
unbestritten oder rechtskräftig festgestellt ist.
(2) Schäden, die durch unsachgemäße oder vertragswidrige Maßnahmen des Kunden, bei Aufstellung, Anschluss, Bedienung oder Lagerung hervorgerufen werden, begründen keinen Anspruch gegen die axcom GmbH.
Die Unsachgemäßheit und Vertragswidrigkeit bestimmt sich in
(5) Befindet sich ein Kunde, welcher nicht Verbraucher ist, im Zahlungsverzug, sind wir gesetzlich berechtigt,
neben dem Verzugsschaden, eine Pauschale in Höhe von EUR 40,00 geltend zu machen. Diese ist jedoch auf
etwaige weiter-gehende Rechtsverfolgungskosten anzurechnen.
(3) Die Gewährleistungsfrist beträgt bei neuen Sachen zwei Jahre ab Lieferung, falls der Kunde Verbraucher ist,
ansonsten ein Jahr ab Lieferung.
§ 5 Lieferbedingungen
§ 10 Haftung
(1) Die Lieferung erfolgt durch Sendung ab Lager an die vom Kunden mitgeteilte Lieferadresse.
(1) Die axcom GmbH hat nur Vorsatz und grobe Fahrlässigkeit zu vertreten.
(2) Lieferzeiten geben wir nach bestem Ermessen, aber nicht verbindlich an. Insbesondere können daraus keine
Verzugsfolgen zu unseren Lasten hergeleitet werden. Verfügbarkeit der Ware vorausgesetzt, werden Bestellungen, die uns bis 12:00 Uhr erreichen, noch am gleichen Tag bearbeitet und die Ware zum Versand bereit
gestellt. Für die Einhaltung der Lieferzeiten ist allein der Tag der Übergabe der Ware durch uns an das Versandunternehmen maßgeblich.
(2) Soweit eine zurechenbare Pflichtverletzung auf einfacher Fahrlässigkeit beruht und eine wesentliche Vertragspflicht (d.h. eine Vertragspflicht, deren Er-füllung die ordnungsgemäße Durchführung des Vertrages
überhaupt erst ermöglicht und auf deren Einhaltung Sie als Kunde regelmäßig vertrauen dürfen) schuldhaft
verletzt ist, ist die Schadensersatzhaftung der axcom GmbH auf den vorhersehbaren Schaden, der typischerweise in vergleichbaren Fällen eintritt, beschränkt.
(3) Sollte ein vom Kunden bestelltes Produkt wider Erwarten trotz rechtzeitiger Disposition aus von der axcom
GmbH nicht zu vertretenden Gründen nicht verfügbar sein, ist die axcom GmbH berechtigt, anstatt des bestellten Produkts ein in Qualität und Preis gleichwertiges Produkt dem Kunden anzubieten oder vom Vertrag
zurückzutreten. Die axcom GmbH wird den Kunden unverzüglich über die Nichtverfügbarkeit informieren
und dem Kunden im Falle des Rücktritts etwa bereits geleistete Zahlungen unverzüglich erstatten.
(3) Unsere Haftung wegen Lieferverzugs ist – ausgenommen im Fall von Vorsatz und grober Fahrlässigkeit –
auf einen Betrag von 5% des jeweiligen Kaufpreises (einschließlich Umsatzsteuer) begrenzt.
(4) Beruhen Verzögerungen der Lieferung auf Gründen, die die axcom GmbH nicht zu vertreten hat (u.a.
höhere Gewalt) wird die Frist angemessen verlängert. Der Kunde wird hiervon unverzüglich unterrichtet.
Dauern die Ursachen der Verzögerung länger als vier Wochen nach Vertragsschluss an, ist jede Partei
berechtigt, von dem Vertrag zurückzutreten.
(5) Die Gefahr des zufälligen Untergangs und der zufälligen Verschlechterung der verkauften Ware geht bei
Unternehmern mit der Auslieferung der Ware an das Versandunternehmen über. Bei Verbrauchern geht die
Gefahr des zufälligen Untergangs und der zufälligen Verschlechterung der verkauften Ware in dem Zeitpunkt
auf den Kunden über, in dem die Ware an den Kunden ausgeliefert wird.
Die Gefahr des zufälligen Untergangs und der zufälligen Verschlechterung der verkauften Ware geht auch
dann auf den Kunden über, wenn der Kunde in Annahmeverzug gerät.

(4) Im Übrigen ist die Haftung ausgeschlossen. Unsere Haftung für den Fall der Tötung, der Verletzung der
Gesundheit oder des Körpers, für übernommene Garantien, sowie nach den Bestimmungen des Produkthaftungsgesetzes bleibt von den vorstehenden Haftungsbeschränkungen und -ausschlüssen unberührt.
§ 11 Gerichtsstand, Rechtsordnung
(1) Ist der Kunde Kaufmann, eine juristische Person des öffentlichen Rechts oder ein öffentlich-rechtliches
Sondervermögen, so sind die Gerichte in Krefeld für alle Streitigkeiten aus oder im Zusammenhang mit dem
betreffenden Vertragsverhältnis ausschließlich zuständig. In allen anderen Fällen können wir oder der Kunde
Klage vor jedem aufgrund gesetzlicher Vorschriften zuständigen Gericht erheben.
(2) Es gilt das Recht des Bundesrepublik Deutschland unter Ausschluss des UN-Kaufrechts. Wenn Sie die
Bestellung als Verbraucher abgegeben haben und zum Zeitpunkt Ihrer Bestellung Ihren gewöhnlichen Aufenthalt in einem anderen Land haben, bleibt die Anwendung zwingender Rechtsvorschriften dieses Landes
von der in Satz 1 getroffenen Rechtswahl unberührt.
