PURPOSE:
The Virginia Lottery (“Lottery” or “Tenant”), an independent agency of the
CommonwealthofVirginia,isseekingproposalsfromqualifiedcompaniesforoffice
spacetobeleasedintheRichmond,Virginiametropolitanarea.
BACKGROUND:
TheLotteryhasoccupieditscurrentspaceinthePocahontasBuildingfor20years.
ThemakeoverplannedfortheCapitolcomplexbeginningin2016directlyimpacts
theLotteryandnecessitatesmovingtoanewspacenolaterthanSeptember2015.
With our brand, “we’re game”, in mind, the Lottery’s job is to create excitement,
encourage friendly competition, and motivate Virginians to love games. Our
organization is committed to growing and giving back each day to Virginia’s k‐12
publicschoolsandhavingfunwhiledoingit.TheLotteryisbeginningitssearchfor
a more collaborative environment in which its employees can work and play
togetherinsupportofourmissionandbrand.
STATEMENTOFNEEDS:
Thefollowingisasummaryofneeds.FulldetailofneedscanbefoundinExhibitB,
Guidelines for Interior Tenant Improvements. Letter H. Space Need/Premises are
preferredspecifications.
A.
Tenant:VirginiaLottery
B.
PreferredLocation:Thepreferredlocationofthisspaceshallbewithinthe
Richmond metropolitan area with close proximity to a major
highway/interstate, generally described as the counties of Chesterfield,
Hanover,HenricoandtheCityofRichmond.
C.
PublicTransportation:Proximitytopublictransportation(e.g.busline)is
preferred.
D.
Lease Term: 120 months/ten (10) years. The Lottery prefers the Offeror
include an option to purchase the property (if applicable) after 36
months/three(3)yearsofoccupancy,ifdeemedintheLottery’sbestinterest.
E.
LeaseCommencement:Thepremisesshallhaveacertificateofoccupancy
andbereadyforpossessionnolaterthanJune1,2015.
F.
Early Access: The Lottery will need access to the premises up to 90 days
prior (March 1, 2015) to the commencement date for installing furniture,
cabling,etc.Theearlyaccessperiodshallbeonarentfreebasis.
G.
RentalRate:TheLotterypreferstheOfferortoofferafullservice,flatrental
ratefortheleasetermandanyrenewaloptions.Commonareamaintenance
[“CAM”],buildingmaintenanceandtaxesshallbeincludedintherentalrate.
H.
Space Need/Premises: The Lottery has a need for approximately 60,000
usable square feet (“SF”) up to 80,000 SF of office space. See Exhibit B for

Deliveries: The premises shall have the ability to accept tractor trailer
deliveries. The Lottery receives weekly tractor trailer deliveries to the
warehouseportionoftheirspace.Built‐inscissorlift,handjacks,hydraulic
lifts,orforkliftsareusedtomovepalletsfromthedockdeliveryareaintothe
building. Both grade and dock level facilities will be considered. The
minimum warehouse ceiling height shall be 14’ and the minimum
warehouse/rearrollupdoorsizeshallbe12’Hx10’W.
Signage: Offeror shall provide detail of available exterior signage rights to
the Lottery to include the building, monument, lobby, and pylon and suite
signage.Acopyofanyapplicablesignageordinancesorcodes authorizing
thebuildingsignageshouldbeprovidedifchosenasafinalist.
MeetingSpace:TheLotteryprefersasitewiththeabilitytoaccommodate
quarterly meetings consisting of approximately 300 people. Offeror shall
indicateifthebuildingorcomplexhasthisavailability.Ifnot,Offerorshall
identify if there are any facilities nearby able to accommodate this
requirement.
Parking: The Lottery requires the minimum standard of four (4) parking
spaces per 1,000 rentable square feet for staff, client and fleet vehicle
parking, at or in close proximity to the leased premises, the cost of which
mustbeincludedintherent.
Janitorial Services: The Lottery prefers the landlord provide the Lottery
with janitorial services for the premises five (5) days per week. The
janitorialContractorshallfurnishalllabor,supervision,equipment,materials
andsupplies,including,butnotlimitedto,paperproducts, toiletries, etc.
necessaryto maintain the cleanliness of the office area to be cleaned.
Servicesshallnotberequired on national and state holidays. The Lottery

Operating Expenses: For office space, a full service lease is preferred;
however, if the Offeror can demonstrate a potential cost savings to the
Lotterybyprovidingforaparticulartypeofnetlease,theOfferorcanprovide
an itemized breakdown of estimated operating expenses (e.g. gas,
water/sewer, electric, dumpster/trash removal, real estate taxes, janitorial
services,commonareacharges,andanyotherexpensetobechargedtothe
leased premises not listed) and state how the landlord proposes to handle
operating expense charges to the Lottery. In some instances, the Lottery
couldchoosetousethestateelectricservicecontractprovidedthespaceis
separatelymetered.
TenantImprovements:TheLotteryprefersforthelandlordtocontractfor
and construct tenant improvements. In doing so, landlord must
competitively bid the tenant improvement work for the space between
multiplecontractors.TheLotterymayrequestthelandlordprovidecopiesof
the bids received for tenant improvements. Exhibit B provides the general
interiorfinishguidelinesforstateagenciesintheevent thelandlorddoes
notprovidestandardfinishesforitsbuilding.Evaluationofproposalswill be
based on an estimate of the total cost, including any tenant improvement
dollarsnotprovidedbytheOfferor.
SpacePlanning:Thelandlordshallbewilling,uponbeingnotifiedthattheir
property is a finalist, to pay in advance to have the Lottery’s space
planningcontractor,developaconceptualspacelayout,sometimesreferred
toasa"testfit"andonerevision(ifnecessary)fortheLotterytodetermine
squarefootagerequirementsandhowwelltheagency'sspacerequirements can be accommodated in the proposed space. A detailed office space
questionnairewillbeavailableforspaceplanning.
The plan shall indicate all walls, doors, and workstation locations. Spaces
shall be labeled with designated use. An overall Building Owners and
Managers Association (“BOMA”) usable square footage number shall be
provided.
Accurate as‐built drawings shall be provided to the space planning
contractorinan AutoCAD format and submitted electronically. If accurate
drawingsarenotavailable,thelandlordshallalsobeartheexpenseofhaving
suchplansdevelopedandmadeavailable.
Feesforthespacelayout,one(1)revisionandsquarefootagecalculationare
$0.12 per USF for tenants of 10,001 SF and above. Reimbursable expenses
includingtravel,reproductionofdrawings,courier,expressmail,etc.shallbe
invoicedatcost.

Moving allowance: Offeror shall indicate whether landlord is willing to
provide the Lottery a moving allowance to be used to pay for the cost of
furniture,telecommunicationsanddatacablingandequipment,andmoving
expenses.Alsoindicatethemannerinwhichtheallowanceshallbeprovided
totheLotteryandanylimitationsthelandlordintendstoimpose.
FloorLoad:Indicatethefloorloadingcapacityforspaceproposedonpound
persquarefootbasis(“live‐load”).
W.
RightofFirstOffer:TheLotteryrequestsanon‐goingfirstrightofrefusal
oncontiguousavailablespaceontenant’sfloorsthroughouttheinitialterm
andanyrenewals.
X.
OptionstoRenew:TheLotteryrequeststwo(2),five‐yearoptionstorenew
thelease(“FirstOptionTerm”and“SecondOptionTerm”)uponprovidinga
minimumof12months’writtennoticetolandlordpriortotheexpirationof
theinitialtermorfirstoptionterm.Optionsshallbeata2.5%fixedincrease
ofthethencurrentrentforeachfive‐yearterm.Alloptionsshallincludea
refurbishmentallowancefornewcarpet/flooringandpaint.
TheLeaseshallautomaticallyrenewandcontinuefromyeartoyear (“RenewalTerm”)onthesametermsandconditionsasexistedimmediately
priortothecommencementoftherenewalterm,includinganyprovision
relatingtoescalationinbaserent,ifneitherpartyhasgivenatimelynoticeof
termination.

RegulatoryandEnvironmentalConditions:Confirmthebuildingand

Incentives: Offeror shall state the proposed rent abatement or other
incentives and refurbishments offered to the Lottery, to be included in the
initialcontracttermandanyrenewalterms.
Utilities:Offerorshallprovidethefollowinginformation:
1.
Electrical–describenumberofwatts,demandload,perrentable
squarefootofelectriccapacitytothepremisesexclusiveofthe
building’sHVACsystemandhouseloads.Doesthebuildinghavedual
powerfeedsfromseparatesources?
2.
HVAC–describeexistingHVACsystemsthatareinplace,bothsize
andexcesscapacityandage.
3.
Generator–Lotterywillrequireaminimum350kWgeneratorwitha
minimum1,000gallonfueltankforbackupofcomputerroom.
Landlordshouldbepreparedtosupplyaproposedoutsidelocation
forthis.Ifthelandlordcurrentlyhasabackupgenerator,theyshould
bepreparedtoprovidethespecifications(e.g.minimumkW,etc.).
4.
FiberAccess–statethefiberaccessandproviderstothebuilding
premisescomplywithapplicablelaws,ordinancesandcodesandAmericans
withDisabilitiesAct(“ADA”)requirements.Inthelease,thetenantwill
requirethelandlordtowarrantandrepresentthatthebuildingandpremises
arefreeoffriableasbestos,otherhazardousortoxicmaterials,and electromagneticfield(“EMF”)radiation.
Z.
Small,WomenandMinority‐OwnedBusinessSubcontractingand
EvidenceofCompliance:IfthelandlordisaqualifiedSmall,Womenand
Minority‐Owned(SWaM)business,acopyofthecertificationshallbe provided.Whereitispracticableforanyportionoftheawardedcontractto
besubcontractedtoothersuppliers,thelandlordisencouragedtooffersuch
businesstosmall,women,and/orminority‐owned(SWaM)businesses.If
SWaMsubcontractorsareused,thelandlordagreestoreporttheuseof
SWaMsubcontractorsbyprovidingtheLottery’spurchasingoffice,ata
minimum,thefollowinginformation:nameoffirm,phonenumber,total
dollaramountsubcontracted,categorytype(small,women,orminority‐
owned),andtypeofproduct/serviceprovided.

inadelayoftheleaseapprovalprocess.

Telecommunications:Landlordshallprovidetenantand/orits

telecommunicationscompaniesandalternativeaccessvendorservice
companies,withtherightofaccessto,fromandwithinthebuilding (includingpathway(s)tothepremisesaswouldberequiredbythevendor(s)
fortheinstallationandoperationoftenant’stelecommunicationssystems,
includingbutnotlimitedtovoice,video,data,andanyother telecommunicationsservicesprovidedoverwire,fiberoptic,microwave,
wireless,andanyothertransmissionsystems,forpartoralloftenant’s
telecommunicationsto,fromandwithinthebuildingandpremises.
Tenantmayrequestpermissiontoplacecertaintelecommunications equipmentontheroof.Pleaseindicateifthiswillbepermissibleandunder
whatconditions.

Other:
1.
OnlytheVirginiaLottery(oritsdesignee)isauthorizedtonegotiate
thetermsandconditionsofaproposedleaseagreement.TheOfferor
shallcommunicatedirectlywiththeLottery(oritsdesignee)andshall
notrelyoncommunicationswithorinformationprovidedbyfield
personneloranyothersource.
2.
Tenantiscredit‐worthyandwillnotpayasecuritydeposit.
3.
Tenantwillpayrentmonthlyinarrears.
4.
LeasingissubjecttoapprovalbytheGovernorofVirginiaand availabilityoffundingbytheGeneralAssembly.Additionally,the
Lotteryreservestherighttorejectanyandalloffers,tonegotiate
separatelywithcompetingOfferors,andtocancelthissolicitationat
anytime.If,intheopinionoftheCommonwealth,leasenegotiations
withaselectedOfferorcannotbeconcludedinatimely manner
followingtheselectedOfferor’sreceiptofadraftleaseagreement,the
Lotterymay,atitssolediscretion,immediatelydiscontinue negotiationsandcommencenegotiationswithanyotherinterested
Offeror.

A. ASBUILTDRAWINGS:
TheContractorshallprovidetheLotteryacleansetofreproducible“asbuilt”
drawings and wiring diagrams, marked to record all changes made during
installation or construction. The Contractor shall also provide the Lottery
with maintenance manuals, parts lists and a copy of all warranties for all
equipment. All “as built” drawings and wiring diagrams, maintenance
manuals, parts lists and warranties shall be delivered to the Lottery upon
completionoftheworkandpriortofinalpayment.
B.
AUDIT:
TheContractorshallretainallbooks,records,andotherdocumentsrelative
tothisContractforfive(5)yearsafterfinalpayment,oruntilauditedbythe
CommonwealthofVirginia,whicheverissooner.TheLottery,itsauthorized
agents, and/or state auditors shall have full access to and the right to
examineanyofsaidmaterialsduringsaidperiod.

Any proposal in response to this solicitation shall be valid for 180 days. At

RENEGOTIATIONOFCONTRACT
TheLotteryreservestheright,atanytimeduringtheContracttermorany
renewals of the term, to renegotiate with the Contractor a reduction in the
compensation paid to the Contractor that is less than the compensation
initiallyagreedtobytheContractorandtheLotteryatthetimeofContract
execution.TheLotterymayinitiatesuchnegotiationswhenevertheLottery
determines that it is in the Lottery's best fiscal interests to do so.
Notwithstanding any other provision of this Contract to the contrary, the
LotterymayterminatethisContractimmediatelyandwithoutpenaltyifthe
LotteryisunabletorenegotiatethecompensationwiththeContractortoan
amountwhichtheLotterydeterminestobeappropriate.
RENEWALOFCONTRACT:
The Lottery requests two (2), five‐year options to renew the lease (“First
OptionTerm”and“SecondOptionTerm”)uponprovidingaminimumof12
months’writtennoticetolandlordpriortotheexpirationoftheinitialterm
or first option term. Options shall be at a 2.5% fixed increase of the then
current rent for each five‐year term. All options shall include a
refurbishmentallowancefornewcarpet/flooringandpaint.
TheLeaseshallautomaticallyrenewandcontinuefromyeartoyear (“RenewalTerm”)onthesametermsandconditionsasexistedimmediately
priortothecommencementoftherenewalterm,includinganyprovision
relatingtoescalationinbaserent,ifneitherpartyhasgivenatimelynoticeof
termination.

It is the goal of the Lottery that 50% of purchases are made from SWAM‐

ANNOUNCEMENTOFAWARD:
Upon the award or the announcement of the decision to award a Contract
over $50,000, as a result of this solicitation, Lottery will publicly post such
noticeontheDGS/DPSeVAwebsite(www.eva.virginia.gov).
ANTITRUST:
By entering into a Contract, the Contractor conveys, sells, assigns, and
transferstotheCommonwealthofVirginiaallrights,titleandinterestinand
to all causes of action it may now have or hereafter acquire under the
antitrust laws of the United States and the Commonwealth of Virginia,
relating to the particular goods or services purchased or acquired by the
CommonwealthofVirginiaundersaidContract.
APPLICABLELAWSANDCOURTS:
ThissolicitationandanyresultingContractshallbegovernedinallrespects
bythelawsoftheCommonwealthofVirginia,andanylitigationwithrespect
theretoshallbebroughtinthecourtsoftheCommonwealth.TheContractor
shall comply with all applicable federal, state and local laws, rules and
regulations including Virginia Lottery Law § 58.1‐4000 et seq. and the

ASSIGNMENTOFCONTRACT:
A Contract shall not be assignable by the Contractor in whole or in part
withoutthewrittenconsentoftheLottery.
AVAILABILITYOFFUNDS:
ItisunderstoodandagreedbetweenthepartieshereinthattheLotteryshall
beboundhereunderonlytotheextentofthefundsavailableorwhichmay
hereafterbecomeavailableforthepurposeofthisagreement.
PROPOSALPRICECURRENCY:
Unless stated otherwise in the solicitation, Offerors shall state proposal
pricesinUSdollars.
CHANGESTOTHECONTRACT:
ChangescanbemadetotheContractinanyofthefollowingways:

ThepartiesmayagreeinwritingtomodifythescopeoftheContract.
An increase or decrease in the price of the Contract resulting from
such modification shall be agreed to by the parties as apart of their
writtenagreementtomodifythescopeoftheContract.
2.
The Lottery may order changes within the general scope of the
Contract at any time by written notice to the Contractor. Changes
withinthescopeoftheContractinclude,butarenotlimitedto,things
suchasservicestobeperformed,themethodofpackingorshipment,
andtheplaceofdeliveryorinstallation.TheContractorshallcomply
with the notice upon receipt. The Contractor shall be compensated
foranyadditionalcostsincurredastheresultofsuchorderandshall
givetheLotteryacreditforanysavings.Saidcompensationshallbe
determinedbyoneofthefollowingmethods:
Bymutualagreementbetweenthepartiesinwriting;or
ByagreeinguponaunitpriceorusingaunitpricesetforthintheContract,if
theworktobedonecanbeexpressedinunits,andtheContractoraccounts
forthenumberofunitsofworkperformed,subjecttotheLottery’srightto
audit the Contractor’s records and/or to determine the correct number of
unitsindependently;or
ByorderingtheContractortoproceedwiththeworkandkeeparecordofall
costsincurredandsavingsrealized.Amarkupforoverheadandprofitmay
beallowedifprovidedbytheContract.Thesamemarkupshallbeusedfor
determining a decrease in price as the result of savings realized. The
Contractor shall present the Lottery with all vouchers and records of
expensesincurredandsavingsrealized.TheLotteryshallhavetherightto
audittherecordsoftheContractorasitdeemsnecessarytodeterminecosts
orsavings.Anyclaimforanadjustmentinpriceunderthisprovisionmustbe
asserted by written notice to the Lottery within thirty (30) days from the
date of receipt of the written order from the Lottery. If the parties fail to

agreeonanamountofadjustment,thequestionofanincreaseordecreasein
the Contract price or time for performance shall be resolved in accordance
withtheproceduresforresolvingdisputesprovidedbytheDisputesClause

provisions of the Lottery’s Purchasing Manual. Neither the existence of a
claim nor a dispute resolution process, litigation or any other provision of
thisContractshallexcusetheContractorfrompromptlycomplyingwiththe
changes ordered by the Lottery or with the performance of the Contract
generally.
CLARIFICATIONOFTERMS:
If any prospective Offeror has questions about the specifications or other
solicitation documents, the prospective Offeror should contact the buyer
whosenameappearsonthefaceofthesolicitationnolaterthanfiveworking
daysbeforetheduedate.Anyrevisionstothesolicitationwillbemadeonly
byaddendumissuedbythebuyer.
DEBARMENTSTATUS:
By submitting their proposal, Offerors certify that they are not currently
debarred by the Commonwealth of Virginia from submitting proposals on
contracts for the type of goods and/or services covered by this solicitation,
noraretheyanagentofanypersonorentitythatiscurrentlysodebarred.
DEFAULT:
IncaseoffailuretodelivergoodsorservicesinaccordancewiththeContract
terms and conditions, the Lottery, after due oral or written notice, may
procure them from other sources and hold the Contractor responsible for
any resulting additional purchase and administrative costs. This remedy
shallbeinadditiontoanyotherremedieswhichtheLotterymayhave.
DRUG‐FREEWORKPLACE:
DuringtheperformanceofthisContract,theContractoragreesto(i)provide
a drug‐free workplace for the Contractor's employees; (ii) post in
conspicuousplaces,availabletoemployeesandapplicantsforemployment,a
statement notifying employees that the unlawful manufacture, sale,
distribution, dispensation, possession, or use of a controlled substance or
marijuana is prohibited in the Contractor's workplace and specifying the
actions that will be taken against employees for violations of such
prohibition; (iii) state in all solicitations or advertisements for employees
placed by or on behalf of the Contractor that the Contractor maintains a
drug‐freeworkplace;and(iv)includetheprovisionsoftheforegoingclauses
in every subcontract or purchase order of over $10,000, so that the
provisionswillbebindinguponeachsubcontractororvendor.
For the purposes of this section, “drug‐free workplace” means a site for the

By submitting their proposal, Offerors certify that their proposal are made
without collusion or fraud and that they have not offered or received any
kickbacksorinducementsfromanyotherOfferor,supplier,manufactureror

conferred on any public employee having official responsibility for this
procurement transaction any payment, loan, subscription, advance, deposit
of money, services or anything of more than nominal value, present or
promised, unless consideration of substantially equal or greater value was
exchanged.
IMMIGRATIONREFORMANDCONTROLACTOF1986:
ByenteringintoawrittenContractwiththeLottery,theContractorcertifies
that they so not, and shall not during the performance of the Contract for
goods and services in the Commonwealth, knowingly employ an
unauthorizedalienasdefinedinthefederalImmigrationReformandControl
Actof1986.
INFORMATIONSECURITYREVIEW:
Should the Contractor's obligations involve creating, collecting, or storing
LotteryinformationwhichisdeemedsensitivebytheVirginiaStateLottery
Department, said Contractor shall participate in an annual information
security review conducted by the Virginia Lottery Information Security
Administratortoensurethatinformationprotectionpoliciesandpracticesof
the Contractor are sufficient for the Lottery information being created,
collectedand/orstored.
INSURANCE:
By signing and submitting a proposal under this solicitation, the Offeror
certifies that if awarded the Contract, it will have the following insurance
coverageatthetimetheContractisawarded.Forconstructioncontracts,if
any subcontractors are involved, the subcontractor will have workers’
compensationinsuranceinaccordancewith§§2.2‐4332and65.2‐800etseq.
oftheCodeofVirginia.TheOfferorfurthercertifiesthattheContractorand
any subcontractors will maintain this insurance coverage during the entire
term of the Contract and that all insurance coverage will be provided by
insurancecompaniesauthorizedtosellinsuranceinVirginiabytheVirginia
StateCorporationCommission.

bystatelawrelatingtodiscriminationinemploymentorbecausetheOfferor
employsex‐offendersunlesstheLottery,departmentorinstitutionhasmade
awrittendeterminationthatemployingex‐offendersonthespecificContract
is not in its best interest. If the award of this Contract is made to a faith‐
based organization and an individual, who applies for or receives goods,
services,ordisbursementsprovidedpursuanttothisContractobjectstothe
religiouscharacterofthefaith‐basedorganizationfromwhichtheindividual
receives or would receive the goods, services, or disbursements, the public
body shall offer the individual, within a reasonable period of time after the

a)
Invoices for items ordered, delivered and accepted shall be
submitted by the Contractor directly to the payment address
shownonthepurchaseorder/Contract.Allinvoicesshallshow
the Lottery Contract number and/or purchase order number;
social security number (for individual contractors) or the
federal employer identification number (for proprietorships,
partnerships,andcorporations).
b)
Any payment terms requiring payment in less than 30 days
willberegardedasrequiringpayment30daysafterinvoiceor
delivery, whichever occurs last. This shall not affect offers of
discountsforpaymentinlessthan30days,however.
c)
AllgoodsorservicesprovidedunderthisContractorpurchase
order,thataretobepaidforwithpublicfunds,shallbebilled
by the Contractor at the Contract price, regardless of which

publicagencyisbeingbilled.

Thefollowingshallbedeemedtobethedateofpayment:the
dateofpostmarkinallcaseswherepaymentismadebymail,
or the date of offset when offset proceedings have been
institutedasauthorizedundertheVirginiaDebtCollectionAct.
e)
Unreasonable Charges. Under certain emergency
procurementsandformosttimeandmaterialpurchases,final
job costs cannot be accurately determined at the time orders
areplaced.Insuchcases,contractorsshouldbeputonnotice
that final payment in full is contingent on a determination of
reasonableness with respect to all invoiced charges. Charges
which appear to be unreasonable will be researched and
challenged, and that portion of the invoice held in abeyance
until a settlement can be reached. Upon determining that
invoicedchargesarenotreasonable,theLotteryshallpromptly
notify the Contractor, in writing, as to those charges which it
considersunreasonableandthebasisforthedetermination.A
Contractor may not institute legal action unless a settlement
cannot be reached within 30 days of notification. The
provisions of this section do not relieve the Lottery of its
prompt payment obligations with respect to those charges
whicharenotindispute.
ToSubcontractors:
a)
A Contractor awarded a Contract under this solicitation is
herebyobligated:
i.
Topaythesubcontractor(s)withinseven(7)daysofthe
Contractor’sreceiptofpaymentfromtheLotteryforthe
proportionateshareofthepaymentreceivedforwork
performedbythesubcontractor(s)undertheContract;
or
ii.
TonotifytheLotteryandthesubcontractor(s),in
writing,oftheContractor’sintentiontowithhold
paymentandthereason.
b)
The Contractor is obligated to pay the subcontractor(s)
interestattherateofonepercentpermonth(unlessotherwise
providedunderthetermsoftheContract)onallamountsowed
bytheContractorthatremainunpaidseven(7)daysfollowing
receipt of payment from the Lottery, except for amounts
withheld as stated in (2) above. The date of mailing of any
payment by U. S. Mail is deemed to be payment to the

addressee.Theseprovisionsapplytoeachsub‐tierContractor
performing under the primary Contract. A Contractor’s
obligationtopayaninterestchargetoasubcontractormaynot

The Lottery encourages contractors and subcontractors to accept
electronicandcreditcardpayments.
PERSONNELSECURITYCLEARANCES:
Section58.1‐4008oftheCodeofVirginia(VirginiaLotteryLaw)requiresthat
allBoardmembers,officersandemployeesofanyvendoroflotteryonlineor
instant ticket goods or services working directly on a Contract with the
Virginia Lottery for such goods or services shall be subject to a criminal
background search to be conducted by the chief security officer of the
Virginia Lottery. Additionally, Lottery Regulation 5‐20‐410 extends this to
include any parent or Subsidiary Corporation of the vendor, and any
shareholder of 5% or more of the vendor, its parent or Subsidiary
Corporation.

Nopersonwhohasbeenconvictedofafelony,bookmakingorotherformof
illegalgambling,orofacrimeinvolvingmoralturpitude,shallbeemployed
onContractswithvendorsdescribedinthissection.
NoBoardmember,officer,oremployeeofavendortotheVirginiaLotteryof
onlineorinstantticketgoodsorservicesworkingdirectlyonaContractfor
suchgoodsorservices,oranypersonresidinginthesamehouseholdofsuch
Boardmember,officeroremployee,shallpurchasealotteryticketorshare,
or receive a prize paid on a ticket purchased by or transferred to such
person.
PRECEDENCEOFTERMS:
The following General Terms and Conditions, APPLICABLE LAWS AND
COURTS, ANTI‐DISCRIMINATION, ETHICS IN PUBLIC CONTRACTING,
IMMIGRATION REFORM AND CONTROL ACT OF 1986, DEBARMENT
STATUS,ANTITRUST,MANDATORYUSEOFSTATEFORMANDTERMSAND
CONDITIONS, CLARIFICATION OF TERMS, PAYMENT shall apply in all
instances.IntheeventthereisaconflictbetweenanyoftheotherGeneral

TheLotterymaymakesuchreasonableinvestigationsasdeemedproperand
necessary to determine the ability of the Offeror to perform the
services/furnish the goods and the Offeror shall furnish to the Lottery all
suchinformationanddataforthispurposeasmayberequested.TheLottery
reserves the right to inspect Offeror’s physical facilities prior to award to
satisfy questions regarding the Offeror’s capabilities. The Lottery further

TAXES:
SalestotheCommonwealthofVirginiaarenormallyexemptfromStatesales
tax. State sales and use tax certificates of exemption, Form ST‐12, will be
issueduponrequest.DeliveriesagainstthisContractshallusuallybefreeof
Federal excise and transportation taxes. The Commonwealth’s excise tax
exemptionregistrationnumberis54‐73‐0076K.

TESTINGANDINSPECTION:
The Lottery reserves the right to conduct any test/inspection it may deem
advisabletoassuregoodsandservicesconformtothespecifications.

TRANSPORTATIONANDPACKAGING:
Bysubmittingtheirproposal,allOfferorscertifyandwarrant thattheprice
offeredforFOBdestinationincludesonlytheactualfreightratecostsatthe
lowestandbestrateandisbasedupontheactualweightofthegoodstobe
shipped. Except as otherwise specified herein, standard commercial
packaging, packing and shipping containers shall be used. All shipping
containers shall be legibly marked or labeled on the outside with purchase
ordernumber,commoditydescription,andquantity.

USEOFBRANDNAMES:
Unless otherwise provided in this solicitation, the name of a certain brand,
makeormanufacturerdoesnotrestrictOfferorstothespecificbrand,make
or manufacturer named, but conveys the general style, type, character, and
quality of the article desired. Any article which the public body, in its sole
discretion, determines to be the equivalent of that specified, considering
quality,workmanship,economyofoperation,andsuitabilityforthepurpose
intended, shall be accepted. The Offeror is responsible to clearly and
specifically identify the product being offered and to provide sufficient
descriptiveliterature,catalogcutsandtechnicaldetailtoenabletheLottery
to determine if the product offered meets the requirements of the
solicitation. This is required even if offering the exact brand, make or
manufacturer specified. Failure to furnish adequate data for evaluation
purposes may result in a lower score of Offeror’s proposal. Unless the
Offeror clearly indicates in its proposal that the product offered is an
equivalentproduct,suchproposalwillbeconsideredtoofferthebrandname

andsnowandiceremoval;wagesandbenefitspayabletoemployeesof
Landlordwhosedutiesaredirectlyconnectedwiththeoperationand
maintenanceoftheCommonAreas.Itshallalsoinclude,withrespecttothe
entireBuilding,managementfeespayabletothirdpartiesnotinexcessof3%
ofGrossRentalRevenueoftheBuilding;realestatetaxes,andinsuranceas
describedinSection9(c).IfLandlord’semployeesprovideservices connectedtootherpropertiescontrolledbyLandlordinadditiontothe
Building,orprovideservicestoportionsoftheBuildingoccupiedorintended
foroccupancybyothertenants,thenonlythosewagesandbenefitsproperly
allocatedtotheCommonAreasshallbeallocatedtoOperatingExpenses.As
usedinthisLease,“CommonAreas”shallmeanallexteriorareasofthe

hazardinsurancefortheBuilding.Also,OperatingExpensesshallnotinclude
latecharges,interestcharges,handlingchargesorpenaltiesincurredby
Landlord;norshalltheyincludethecostsofcapitalimprovements, renovationsorrepairstoanyportionoftheBuildingthatareleased,or
availableforlease,totenants;norshalltheyincludeLandlord’sgeneral
overheadandadministrativeexpensesthatarenotproperlychargeableto
operatingexpensesfortheBuilding.
(v)Landlordshall,onanannualbasis,notlaterthanMay1ofeachyear,
beginninginthecalendaryearfollowingthecommencementofthe obligationtopayAdditionalRentforOperatingExpenses,provideTenant
withadetailed,itemizedstatementthatdescribesallOperatingExpensesfor
thepriorcalendaryear,including,within15daysafterrequestbyTenant,
anyandalldocumentsreasonablyrelatedthereto,suchascopiesofthe
applicableledger,invoicesandpaidreceipts.Landlordshallalsoprovidea
statementconfirming:(A)theratio(asdescribedabove)thatwasappliedto
thetotalofallOperatingExpensesandthecalculationsusedtoarriveat
Tenant’sproratashare;(B)theGrossRentalRevenuefortheBuildingforthe
prioryear;(C)theaverageoccupancyrateoftheBuildingfortheprioryear
andtheadjustmentsmadetocomplywiththe95%grossupfactor (subsection(b)(ii))and(D)theinformationnecessarytoproperlydetermine
allowablejanitorialexpensesandutilitycostsassetoutinthesecond

theduedatethereof,thepaymentofallAdditionalRentforOperating
Expensesinthesubjectyeariswaived,and,Tenantisauthorizedtoapply
anyamountpreviouslypaidasacreditagainstanyamountthereafterdueto
Landlord.
Subjecttotheotherprovisionsofthissubsection(b),basedontheaforesaid
statementsandtheamountactuallypaidbyTenantduringtheapplicable
year,LandlordshallreimburseTenantorTenantshallpayLandlord,asthe
casemaybe,theamountduetheotherparty,withinforty‐fivedaysfollowing
deliverytoTenantoftheitemizedstatement.Tenantand/ortheVirginia
StateAuditorofPublicAccountsshallhavetherighttoauditLandlord’s
records,includingitsledger,relatingtoOperatingExpensesandtorequire
satisfactoryevidenceofpaymentofanyandallOperatingExpensesincluding
copiesofsupportingtaxbills,vouchersandinvoices.AdditionalRentfor
OperatingExpensesshallbeadjusted,subjecttotheprovisionsofthis
Section(4)(b),basedontheresultsoftheaudit.Tenantshallberesponsible
forallaudit‐relatedexpenses;provided,however,thatifitisdeterminedby
theauditthatLandlordoverchargedTenantbymorethanthreepercent
(3%),thenLandlordshallreimburseTenantforthereasonablecostofthe
audit‐relatedexpenses.
(vi)EstimatedAdditionalRentforOperatingExpensesshallberevised
annuallybasedontheactualAdditionalRentforOperatingExpensesthat
TenantisobligatedtopayLandlordforthepriorcalendaryear(orbasedon
theBaseYearOperatingExpenseswithrespecttotheinitialyearinwhich
TenanthasanyobligationtopayLandlordanyAdditionalRentforOperating
Expenses).AstheactualAdditionalRentforOperatingExpensesforthe
priorcalendaryear,ortheBaseYearOperatingExpenses,asthecasemaybe,
willnotbeknownatthecommencementofthesubsequentyear,Tenantwill
continuetopayatthemonthlyrateineffectforthepriorcalendaryear(zero
dollarsinthecaseofthefirstyearthattheobligationtopayAdditionalRent
forOperatingExpensesexists)untilthefirstmonthlypaymentthatisdueat
leastforty‐five(45)daysafterreceiptoftheprioryearreconciliationof
OperatingExpenses(ortheBaseYearOperatingExpenses,ifapplicable)
fromLandlord.Anyadditionalamountdueforthepriormonthsofthe
currentyearshallbedueandpayableforty‐five(45)daysafterreceiptofthe
aforesaidreconciliation.Nevertheless,theamountthatTenantisobligated
topaypursuanttothisprovisionissubjecttotheotherprovisionsof subsection(b).
Example:DuringYearX,Tenantpaid$24,000asAdditionalRent.Asaresult
ofthereconciliationstatement,Tenant’stotalobligationforYearX(taking
intoconsiderationany“cap”asdescribedinsubsection(b)(viii))is$25,980.
ThereconciliationstatementisreceivedbyTenantonApril30ofYearY(the
yearfollowingYearX).AdditionalRentinYearYshallcontinueattherateof

$2,000permonththroughtheAdditionalRentpaymentforthemonthofMay
(dueonJune10).BeginningwiththeAdditionalRentpaymentdueonJuly
10(forthemonthofJune,beingthefirstpaymentduethatismorethan45
daysfromreceiptofthereconciliationstatement),Tenantwillpay$2,165
permonthasAdditionalRent.Paymentoftheadditional$165permonthfor
JanuarythroughMaywillbedueinalumpsumonJune14(45daysfrom
receiptofthereconciliationstatement).
(vii)Intheeventthatthefirstand/orlastyearduringthetermofthisLease
isnotequaltotwelvefullmonths,Tenant’sshareofAdditionalRentfor
OperatingExpenseswillbeproratedbasedontheactualnumberofmonths
duringsuchyearthatthisLeasewasineffect.
(viii) NotwithstandinganyotherprovisionofthisSection,innoeventshall
Tenant’sshareofOperatingExpensesincreasefromanycalendaryeartothe
immediatelysucceedingcalendaryearbymorethan___%,excludingfrom
suchcalculationthecostofrealestatetaxesandinsurance.Inthefirstyear
forwhichAdditionalRentforOperatingExpensesisdue,thecapshallbe
basedontheBaseYearOperatingExpenses(adjustedbythe95%gross‐up
provision,ifapplicable),pro‐ratedintheeventthatsuchfirstyearisless
thanafullcalendaryear.Thecapshallbefurthersubjecttothefollowing:
(A) Thecapshallapplytothetotalofallapplicableexpensesasopposed
toindividualexpenseitems.
(B) AftertheinitialcalendaryearforwhichAdditionalRentforOperating
expensesaredue,thecapshallbeappliedtotheactualAdditional
RentforOperatingExpensesforthepriorcalendaryearafterallother
adjustmentshavebeenmadeforsuchpriorcalendaryearpursuantto
thissubsection(b).
(C) TheamountdueforthefinalcalendaryearofthisLeaseshallbepro‐
ratediflessthanafullcalendaryear.
(D) If,atanytimeduringthetermofthisLease,Tenant’spro‐ratashareof
allexpensesshallbechangedasprovidedinsubsection(b)(i),then
thedollarvalueofthecapshallbeadjustedtotakeintoconsideration
thechangetothepro‐ratashare.
(c)
SecurityDeposit.Nosecuritydepositshallberequired.
(d)
Abatement.Rentshallbeabatedfor______(__)monthscommencingonthe
CommencementDate(the“AbatementPeriod”).

VerificationofSquareFootage.Priortooccupancy,Tenantshallhavethe
righttoindependentlyverifyRSFcomputedinaccordancewiththeAmerican

CableInstallation.TenantshallhaveRent‐freeaccessduringconstructionto
installcablingpriortoLandlord’scontractor’senclosureofwallsandceilings,
providedthatTenant’scontractorsshallcoordinatetheirworkandnot
interferewithLandlord’scontractors.

POSSESSIONANDCONDITIONOFPREMISES.
(a)
QuietPossessionandEnjoyment.Landlordshalldeliverquietpossessionof
thePremisestoTenantontheCommencementDateandshallprovidequiet
enjoymentofthePremisestoTenantduringtheInitialTerm,andany
renewalsorextensionsthereof.
(b)
BuildingandOccupancyCodes;ConditionSuitableforIntendedUse.Onthe
CommencementDate,LandlordshalldeliverthePremisestoTenantingood
repair,incompliancewithallapplicablebuildingandoccupancycodes,and
inaconditionsuitabletotheuseforwhichitisleased.
(c)
LandlordEntry.Landlord,anditsemployees,agentsandcontractors,shall
havetherighttoenterandpassthroughanypartofthePremises,without
priornotice,onlyinthecaseofanemergencyandtoprovideroutine janitorialservicesconsistentwiththisLease.IfLandlord,orLandlord's
employees,agentsorcontractors,mustenterthePremisesinthecaseofan
emergency,thenassoonaspracticablebeforeoraftersuchemergency
entrance,Landlord,orLandlord'sagent,shallcontact ______________________________(Telephone#___________)[Note:thiswillbetheon‐
sitecontactpersonfortheOccupant].Thiscontactpersonmaybechanged
bypropernoticetoLandlord.TenantmaydirectLandlordtogivesuchnotice

beensubjecttoanemergencyentry.
(d)
Asbestos.Landlordcovenantsthat(i)thePremisesandtheBuildingarefree
offriableasbestosthatisnotmanagedunderamanagementplanprepared
byanAsbestosManagementPlannerlicensedbytheVirginiaDepartmentof
ProfessionalandOccupationalRegulation;and(ii)anyfriableasbestos
discoveredinorontheBuildingorthePremisesshallbepromptlyand
properlyremovedbyLandlord,atLandlord'ssoleexpense(nottobe includedasanOperatingExpense),incompliancewithapplicablefederal,
stateandlocallawsandregulations,providedthat,iftheasbestoswas
introducedintothePremisesbyTenantoranOccupant,thecostofthe
removalthereofshallbeTenant’sexpense.
MAINTENANCE.
(a)
ConditionatCommencementDate.Landlordwarrantsthatonthe CommencementDate,thePremisesandallitsequipment,includingthe
plumbing,heating,ventilationandairconditioningequipmentandsystems:
(i)shallbeingoodrepairandgoodworkingorder;and(ii)freeoftermiteor
otherpestinfestationanddamage.
(b)
CompliancewithLaws.LandlordshallequipthePremisesandperformall
alterations,replacements,improvements,decontamination,andadditionsto
thePremisesandtheequipmentuponthePremises,atLandlord'sexpense
(butsubjecttotheprovisionsofSection4(b)),asshallbenecessaryatany
timeduringtheInitialTermofthisLease,oranyextensionorrenewal

thereof,tocomplywiththeprovisionsoffederal,Stateandlocallawsand
regulationspertainingtohealth,safety,publicwelfare,andenvironmental
protection,includinglawsandregulationspertainingtoasbestos,carbon
monoxide,polychlorinatedbiphenyls,ureaformaldehyde,leadpaint,radon,
petroleumproductstoragetanks,andfreon,regardlessoftheeffectivedate
oflaworregulationunlessthePremisesaregrandfatheredfromsuchlawsor
regulations.Thissubsectionshallnotapplyifthenecessityforcompliance
withtheselawsarisesfromagrosslynegligentorwillfulactofTenantandits
employeesandTenantisfoundbyacourtofcompetentjurisdictiontobe
liableforsuchactsundertheVirginiaTortClaimsAct,orthe Commonwealth’sDivisionofRiskManagementconsentsthatTenantisso
liable.
(c)
CompliancewithTechnicalRequirements;HVACSpecifications.Itshallbe
thesoleresponsibilityandobligationofLandlord,atitsexpenseandin
accordancewithapplicablelaws,technicalpublications,manualsand standardprocedures,butsubjecttotheprovisionsofSection4(b),to(i)
properlymaintain,repairandreplaceallthestructuralportionsofthe
Premises,includingfoundation,sub‐floor,structuralwallsandroof,aswell
astokeepthePremisesandallequipmentandnon‐tradefixtures(exclusive
ofequipmentandnon‐tradefixturesownedbyTenantoranOccupant),in
goodworkingorderandtoperformanyrequiredrepairs,replacementand
maintenance,and(ii)keepallplumbing,heating,airconditioning,electrical
andmechanicaldevices,appliancesandequipmentofeverykindornature
affixedtoorservingthePremisesingoodrepair,conditionandworking
order.Asusedherein,theword"repair"shallbedeemedtoinclude replacementofbrokenorcrackedglass.Allequipmentandsystems (exclusiveofequipmentandsystemsownedbyTenantoranOccupant)shall
bemaintainedtoprovidereliable,energyefficientservice,withoutunusual
interruption,disturbingnoises,exposuretofireorsafetyhazards,
uncomfortabledrafts,excessiveairvelocities,orunusualemissionsofdirt.
AtLandlord’sexpense,butsubjecttotheprovisionsofSection4(b),Landlord
shallcausetheHVACSystemtoprovideatemperaturethroughoutthe
Premisesofnotlessthan68ºFnormorethan74ºFyearround,during
regularbusinesshoursoftheOccupants,withaminimumof20%relative
humiditywhenheatisbeingprovidedandwithamaximumof60%relative
humiditywhenairconditioningisbeingprovided.Freshairexchangerates
andCO2levelsshallcomplywithASHRAEVentilationStandard62(2001).
(d)
OtherMaintenance.Allothernecessaryorrequiredmaintenance,repairs
andreplacementstothePremisesandCommonAreasshallbethesole
responsibilityandexpenseofLandlord,subjecttotheprovisionsofSection
4(b).Landlord'smaintenanceresponsibilitiesshallincludethesupplyand
replacementofallsupplies,materialsandequipmentnecessaryforsuch
maintenance.SubjecttotheprovisionsofSection4(b),Landlordshall
providejanitorialservicestothePremisesfive(5)daysperweek,exclusive
ofStateholidaysiftheOccupant(s)willnotbeopenforbusiness.
SpecificationsforjanitorialservicesaresetoutinExhibitE.Janitorial
servicesofadisruptivenature,suchaswashing/waxingfloorsand Page48of68
vacuuming,shallbeperformedafterregularbusinesshours.
(e)
Tenant’sNegligenceorWillfulActs.Landlordshallnotbeobligatedtomake
anyrepairstothePremisesduetodamagecausedbythegrosslynegligentor
willfulactsofTenant,oritsagents,employees,orcontractors.
(f)
FailuretoMaintain.IfLandlordfailstocomplywithanyofitsobligations
underthisSection6,orfailstokeep,repairandmaintainthePremises,
includingallplumbing,heating,airconditioning,electricalandmechanical
devices,theroofingsystem,andappliancesandequipmentofeverykindor
natureaffixedtoorservingthePremises,ingoodrepair,conditionand
workingorderasprovidedinthisSection,thenTenantshallgivewritten
noticethereoftoLandlord.Ifthefailurehasnotbeenremediedwithin
________()daysfollowingsuchnotice,thenTenant,atitsoptionandwitha
secondwrittennoticetoLandlord,mayeitherterminatethisLeaseandall
obligationshereunder,orproceedtomake,orcausetobemade,such
upkeep,repairandmaintenance,atLandlord'sexpense.Tenantmaydeduct
thecostthusincurredinfulfillingLandlord'sobligationsunderthisLease
fromfutureRentpaymentsand/ormaycollectthecostfromLandlordinany
mannerprovidedbylaw.Nonoticeofterminationshallbegivenunderthis
SectionifLandlordhasphysicallycommencedsuchrepairsoriscausingsuch
repairstobemade,andsuchrepairworkisbeingdiligentlyandcontinuously
pursuedtocompletioninagoodandworkmanlikemanner.Furthermore,if
thefailurehasnotbeenremediedwithinthetimespecifiedabove,Tenant
shallbeentitledtodeductfromtheRent,oranyinstallmentthereof,theper
diemrentalforeachdaythatsuchfailurecontinuesbeyondthespecified
time.TherightsofTenantsetouthereinshallbecumulative,andthe exerciseofanyrightshallnotexcludetheexerciseofanyotherright.
InthecaseofanyrepetitivefailureofLandlordtocomplywithitsobligations
tomaintainanydeviceorsystem,TenantshalladviseLandlordofany
subsequentproblemwithrespecttosuchdeviceorsystem,inwriting,but
shallnotberequiredtowaitanyadditionalperiodoftimebeforeexercising
itsrightsunderthisprovision.
Notwithstandingtheforegoing,ifanyeventoccursthatcreatesan
unreasonableriskofinjurytopersonorproperty,Tenantisauthorizedto
maketemporaryrepairstoalleviatesuchrisk,atLandlord’sexpense.
(g)
SnowRemoval.AtLandlord’sexpense,butsubjecttotheprovisionsof
Section4(b),whenandassnowand/oriceremovalbecomenecessary,
Landlordshallpromptlyremoveallsnowandicefromallwalkways,loading
areasandparkingareas.
(h)
Access.TenantandOccupantsshallhaveaccesstotheBuilding24hoursa
day,365daysayear.

7.
DAMAGEORDESTRUCTIONOFTHEPREMISES.
(a)
Termination.IftheBuildingorthePremisesaredamagedbyfire,lightning,
windstorm,tornado,earthquake,civildisturbance,flood,actsofnatureor
othercasualtyloss,and,inthereasonableopinionofeitherparty,the Premises(andanyCommonAreasgenerallyusedbyTenant)arethereby
renderedsubstantiallyuntenantableorunusable,andcannotbereasonably
commerciallyrebuiltwithin____()daysfollowingthedateofcasualty,this
Leaseshallterminate,attheoptionofeitherparty,effectiveonthedateof
thecasualty,uponwrittennoticetotheotherparty,givenwithin______()
daysfollowingthecasualty.
(b)
ObligationtoRepairandRestore.IfneitherpartyterminatesthisLeaseas
providedin“(a)”above,Landlord,atitssoleexpenseandnotsubjectto
Section4(b),shallrepairandrestoretheBuildingandthePremisesas
promptlyaspossibletotheirformercondition,butinanyeventwithin____(
)daysfollowingthedateofcasualty.Thereshallbeaproportionate abatementofallRentandotherpaymentsotherwiseduetoLandlordunder
thetermsofthisLease,fortheperiodduringwhichthesaidrepairsand
restorationarebeingcompleted,forthatportionofthePremisesnot substantiallyusablebyTenantduringsuchperiod(aswellasareasonable
abatementwithrespecttoanyCommonAreasgenerallyusedbyTenantthat
arenotsubstantiallyusablebyTenantduringsuchperiod).Landlordshall
commencetomakeallrepairs,replacement,restoration,orrenovationas
requiredinthissubsectionandshallthereafterdiligentlypursuesuch
repairs,replacement,restorationorrenovationuntilcompleted.IfLandlord
shallfailtosubstantiallycompleteallworkwithinthetimeperiodherein
required,then,inadditiontoallotherlegalrightsofTenant,Tenantmay
chooseeitheroption(i)or(ii)below:
(i)
Tenant,ortheappropriateOccupantifauthorizedbyTenant,may
undertakewithitsownresourcestorepair,replace,restoreor
renovatethePremises(includinganyCommonAreasgenerallyused
byTenant)andmaydeductthereasonablecostsoftherepairs,
replacement,restoration,andrenovationfromtheRentorother
paymentsotherwiseduetoLandlordunderthetermsofthisLease,or
anyrenewalorextensionthereof,orTenantmaycollectallsuchcosts
fromLandlordinanymannerprovidedbylaw,ifLandlordhasnot
paidforsuchrepairswithinthirty(30)daysafterreceiptofbilling
thereforfromTenant;or
(ii)
TenantmayterminatethisLeasebygivingfifteen(15)businessdays
writtennoticetoLandlord.
(c)
InsufficientFunds.IfLandlordiswillingtorepairandrestorethePremises,
butisunabletodosoinamannerthatissubstantiallyequivalenttothe
qualityandconditionofthePremisespriortothecasualty,then,unless
LandlordandTenantshallagreeonanappropriatereductiontotheRentor
otherconcessions,TenantshallhavetherighttoterminatetheLeaseupon

writtennoticetoLandlord.Uponthehappeningofacasualtyforwhich
Section7(b)applies,Landlordshall,uponrequestbyTenant,provideTenant
withacopyoftheas‐builtplansfortheBuildingandthepost‐casualty
constructionsplansandspecifications.
ALTERATIONS.
(a)
Tenant’sRighttoMakeAlterations.Tenant,atitssolecostandexpense,may
makealterationsandadditionstothePremisesasTenantdeemsproper.
Tenant,however,shallnotmakeanystructuralalterationsoftheroof,
foundationorexteriorwallswithoutthepriorwrittenconsentofLandlord,
unlessmadepursuantto§7(b)(i).Tenant,atitssolecostandexpense,may
installfixtures,partitionsandmakesuchotherimprovementsasTenantmay
deemproper.Thetitleandownershipofmaterialsusedinsuchalterations
andadditions,andallfixtures,partitions,andotherimprovementsmade
and/orinstalledbyTenantshallremaininTenant.Uponterminationofthis
Lease,Tenantmay,atitsoption,removethefixtures,partitionsandother
improvementsmadeunderthisSection,inwhicheventanydamagetothe
Premisescausedbyremoval,otherthannominaldamage(suchasscrew
holes,bracketmarks,etc.)shallberepairedbyTenantatitsexpense.If
Tenantelectsnottoremovetheimprovements,itshallhavenofurther
responsibilityforthemortheirremoval,andsuchimprovementsshall
thereafterbethepropertyofLandlord.
(b)
TurnkeyImprovements.InconsiderationfortheRent,Landlordagreesto
perform,andTenant’sobligationsunderthisLeaseareexpresslyconditioned
upon,Landlord’sperformanceandcompletionoftheconstruction, improvementsand/orotherrenovationworkasshownon[ExhibitA (ProposedSpacePlan)andExhibitC_(GuidelinesforInteriorImprovements)
attachedtothisLease,asmaybechangedbychangeordersignedby LandlordandTenant(the“TenantImprovements”).Inaddition,Landlord
shallperformandcompletetheconstruction,improvements,and/orother
work,andshallmakesuchotherrepair,replacementorrenovationasmaybe
necessarytobringtheBuildinguptothestandardssetoutinExhibitD
(“BaseBuildingImprovements”).ThePremisesandtheCommonAreasshall
meetanybuildingcodeorzoningrequirementsnecessarytopermitTenant
tousethePremisesforitspermitteduses.Asusedherein“Improvements”
shallmeantheTenantImprovementsandtheBaseBuildingImprovements.
Landlordshall,atLandlord’ssolecostandexpense,notsubjecttoSection
4(b),performandcompletetheImprovementsasprovidedinAttachmentA

UTILITIESANDSERVICES;INSURANCE;TAXES.
(a)
UtilitiesandServices.Landlordshallprovide,atLandlord'sexpense,but
subjecttotheprovisionsofSection4(b),thefollowingutilitiesandservices
forthePremises:heatingandair‐conditioningasconditionsrequire, electricity,gas,waterandsewer,janitorialserviceandinteriortrash removal.Landlordshallalsoprovide,orpermitTenantora telecommunicationscompanytoinstall,telecommunicationsconnections
fromthepublicrightofwaythroughtheBuildingtothePremises.If LandlordorLandlord'sagentinterrupts,discontinuesorcausesthe interruptionordiscontinuationofanyutilitiesorservicesreasonably
necessaryforTenant’suseandenjoymentofthePremises,inwholeorin
part,thenTenant,inadditiontoanyotherremedyavailableunderthelaw,
shallbeentitledtodeductfromtheRent,orotherpaymentsotherwisedueto
LandlordunderthetermsofthisLeaseoranyrenewalorextensionthereof,
theperdiemRentforeachdaythatsuchinterruptionordiscontinuance
remainsineffect.IftheinterruptioniscausedbyLandlord’sfailuretopay
theprovideroftheutilityorservice,resultingintheterminationoftheutility
orservicesbysuchprovider,thenTenantmaypaydirectlytotheprovider
theamountnecessarytorestoretheutilityorservices,inwhicheventTenant
shallbeentitledtodeductfromtheRent,orotherpaymentsotherwisedueto
LandlordunderthetermsofthisLeaseoranyrenewalorextensionthereof,
theamountofsuchpaymenttotheprovider.

RealEstateTaxes.Landlordshallberesponsible,subjecttotheprovisionsof

orsimilarpropertylosspolicy.Thepolicyshallcoveratleasteightypercent
(80%)ofthereplacementcostofthePremisesandtheBuilding.Inaddition,
Landlordshallmaintainbroadformgeneralcommercialliabilityinsurance
sufficienttoensurereasonablefinancialresponsibilityintheeventofliability
forinjury,lossordamageatthePremisesandtheCommonAreas.
CONDITIONOFCOMMONAREAS.Landlord,atLandlord'ssoleexpense,subjectto
theprovisionsofSection4(b),shallmaintaininagood,cleanandsafecondition,all
CommonAreastobeusedbyTenantincommonwithothertenants.IfLandlord
failstomaintainsuchareasorsystemsinagood,cleanandsafecondition,orto
makeallrepairsand/orimprovementsafterwrittennotice,thenTenantmay
terminatethisLeaseorproceedtomakerepairsorimprovements,onthesame
termsasprovidedinSection6(f),exceptthatnopriornoticeshallberequiredto
makerepairsinanyeventinwhichtheconditioninneedofrepairormaintenance
createsanunreasonableriskofinjurytopersonorproperty.
ACCESSIBILITYBYPERSONSWITHDISABILITIES.
(a)
CompliancewithADA.Inadditiontoanyotherrequirementsorcovenantsin
thisLease,andatalltimesduringtheTerm,optionandanyrenewalterms,
Landlordcovenantsthat,astothePremisesandtheCommonAreas (includingtheparkingfacilitiesoftheBuilding),ithasfullycomplied,orwill
comply,tothefullestextentrequiredbylaw,with:
(i)

forAccessibleDesignPt.36,App.A‐entitled"ADAAccessibility
GuidelinesforBuildingsandFacilities"),asamended(the“ADA”),and
(ii)
theminimumrequirementsoftheVirginiaUniformStatewide BuildingCode(VUSBC),VolumeI‐NewConstruction,asamended,
pertainingtoaccessbythephysicallyhandicappedandagedpersons,
includingChapter11("Accessibility")ofsaidVUSBC,which,inpart,
incorporatestheregulationsandreferencedstandardsoftheU.S.
DepartmentofJusticeidentifiedabove.
Totheextentofanyconflictbetweentheforegoingrequirements,ineach
casethemorerestrictiveofthetwoshallcontrol.Landlordfurthercovenants
that,followingthedateofexecutionofthisLease,allalterationsofthe
PremisesandCommonAreas,includingparkingfacilities,shallbe
undertakenbyLandlordinsuchamannerthattheADAandtheregulations
andstandardspromulgatedthereunderandtheVUSBCarefullycomplied

withtotheextentrequiredbylawandashereinprovided.
IfTenantshalldiscoverthatanelementofthePremises,ortheconstruction
ordesignofthePremisesortheotherfacilitiesareasnotedabove,or alterationsthereto,arenotincompliancewiththerequirementshereinset
forth,TenantshallpromptlynotifyLandlord(orLandlord'sagent)inwriting
detailingboththerequirementandthenoteddeficiencyandspecifyingthe
actionrequiredtobringaboutcompliance.
ShouldLandlordfailwithinthirty(30)calendardaysfollowingsuchnoticeto
complyortoproposeinwritinganalternativeforcompliancethatTenant
deemsacceptable,or,alternatively,failtoconvinceTenantthatcomplianceis
notrequired,eitherbecausesuchaccommodationaswouldotherwisebe
requiredwouldconstituteanunduehardshipwhenmeasuredagainstthe
financialresourcesofLandlordorbecausethefacilitiesarenevertheless
accessibleandusablebyindividualswithdisabilities,thenTenantmay
undertakewithitsownresourcestoaccomplishtheworkneededtoachieve
suchcomplianceandmaydeductthereasonablecostsofsuch accommodationfromtheRentorothersumsthenotherwisedueLandlord
underthetermsofthisLease,ormayterminatethisLeasebygivingthree
months’writtennoticetoLandlord.
(b)
Tenant’sTradeFixtures.TheforegoingprovisionsofthisSection,asapplied
toLandlord,shallnotapplytotradefixturesusedorinstalledbyTenantor
Tenant'slayoutofsuchtradefixtures.
DISCLOSURES;NON‐WAIVER;APPROPRIATIONS.
(a)
SovereignImmunity.LandlordunderstandsandacknowledgesthatTenant
andOccupant(s)areagenciesoftheCommonwealthofVirginiaandwith
respecttotortliabilityforactsoroccurrencesonoraboutthePremises,
includingproductliability,theCommonwealth,TenantandOccupant(s)are
either(i)constitutionallyimmune(orpartiallyimmune)fromsuit,judgment
orliability,(ii)insured,or(iii)coveredbyafinancialplanofrisk
managementthatisinthenatureofself‐insurance,allasdeterminedby
applicablelaws,governmentpoliciesandpractices.Noprovision,covenant
oragreementcontainedinthisLeaseshallbedeemedtobeawaiverofthe
sovereignimmunityoftheCommonwealthofVirginia,Tenantor
Occupant(s),fromtortorotherliability.
(b)
NoIndemnification.LandlordunderstandsandacknowledgesthatTenant
andOccupant(s)havenotagreedtoprovideanyindemnificationorsave
harmlessagreementsrunningtoLandlord.
(c)
ChoiceofLaw.ThisLeaseshallbegovernedby,andconstruedaccordingto,
thelawsoftheCommonwealthofVirginia.ThepartieschoosetheCityof
Richmond,Virginia,asthevenueforanyactioninstitutedpursuanttothe
termsofthisLease.

DissolutionorRestructuringofOccupant.Notwithstandinganyother
provisionofthisLease,ifanOccupantshallceasetoexist,andisnotreplaced
byasuccessorentitywithsimilarpowersandpurposes,oritspowersand
authorityarelimitedsoastonotpermitthecontinueduseofthePremises
foritsintendedpurposeanduse,thenTenantshallhavetherightto withdrawfromthisLeasesuchportionofthePremisesthenoccupiedby
suchOccupant(withacorrespondingreductionintheRent).Insuchevent,
Tenantwillendeavortogiveasmuchnoticeasisreasonablypossibleofthe
eventtriggeringthereductionandtheanticipateddatebywhichsuch
OccupantwillcompletelyvacatesuchportionofthePremises.Ifthe OccupantisthesoleOccupantofthePremises,thenuponsucheventthis
Leaseshallterminate.Nevertheless,ifTenant,initssolediscretion, determinesthatanotheragencyorinstitutionoftheCommonwealthhasa
needfortheportionofthePremisesusedbysuchOccupant,Tenantmay
designatesuchotheragencyorinstitutiontousethatportionofthe Premises.
(e)
Non‐Appropriation.AgenciesoftheCommonwealthofVirginiacannot
expendfundsunlessappropriatedbytheVirginiaGeneralAssemblyandmay
notobligateafuturesessionoftheVirginiaGeneralAssembly.Itisfurther
understoodthattheRentpaidbyTenantisderivedfromappropriations(or
federalfunding)madetotheindividualOccupantsandpaidovertoTenant.
Therefore,notwithstandinganyprovisioninthisLeasetothecontrary,ifany
sessionoftheVirginiaGeneralAssemblyfailstoappropriatefundsforthe
continuanceofthisLeaseforallOccupants(orfederalfundingforthe
continuationofthisLeaseisnolongeravailable),thisLeaseandall obligationshereundershallautomaticallyterminateupondepletionofthe
thencurrentlyappropriatedorallocatedfunds;provided,however,thatif
thereismorethanoneOccupant,andnotallOccupantshavelostfundingas
aforesaid,thenTenantshallhavetherighttodeletethespaceoccupiedby
suchOccupantfromthePremisesandreducetheRentaccordingly(subject
toTenantpayingthecostofconstructinganewdemisingwall,ifrequired,
andfurthersubjecttothespacedeletedfromthePremisesbeingreasonably
commerciallyleasable,eitherbyitselforaspartofadjacentavailablespace).
Nevertheless,ifTenant,initssolediscretion,determinesthatanotheragency
orinstitutionoftheCommonwealthhasaneedfortheportionofthe PremisesusedbysuchOccupant,Tenantmaydesignatesuchotheragencyor
institutiontousethatportionofthePremises.
REPORTOFOCCUPANCY.
(a)
FormofReportofOccupancy.Tenantshall,withinfifteen(15)daysafter
receiptofawrittenrequestbyLandlord,submittoLandlord,oritsdesignee,
awrittenReportofOccupancyspecifying:(i)thedateofpossessionofthe
PremisesbyTenantandthedateonwhichtheLeaseterminates,(ii)whether
thisLeaseisinfullforceandeffect,(iii)theannualRent,(iv)whetherthere
havebeenanymodificationstotheLease,andiftherehavebeen,a descriptionofallsuchmodifications,and,(v)whetherTenanthasknowledge
ofanydefaulthereunderonthepartofLandlord,orifitdoeshavesuch

(b)
EffectofReportofOccupancy.Theissuanceofareportrequestedunder
subsection13(a),oranyerrorsoromissionsinsuchreport:(i)shallnot
operateasanestoppelagainsteithertheCommonwealthofVirginiaor
Tenant,(ii)shallnotformorprovideanybasisforliabilityagainstthe
CommonwealthorTenant,and(iii)shallnotoperateasawaiverofanyrights
ordefensesthatmaybeavailabletotheCommonwealthorTenanteitherat
thattimeorinthefuture.
CONDEMNATION.
(a)
Notice.LandlordshallgivepromptnoticetoTenantofanydiscussions,
offers,negotiationsorproceedingswithanypartyregardingcondemnation
ortakingofanyportionofthePremises.
(b)
RightsofParties.IfanyportionofthePremisesoranyportionofthe Buildingortheparkinglotistakenbyeminentdomainorsoldtotheholder
ofsuchpowerpursuanttoathreatenedtaking(exclusiveoftakingsthat,in
thereasonablediscretionofTenant,donotmateriallyadverselyaffectthe
useandenjoymentofthePremisesbyTenant),thisLeaseshallterminate
effectiveasofthedateofthetaking.Thedateoftakingshallbetheearlierof:
(i)thedateonwhichtitlevestsinthecondemningentityor(ii)thedateon
whichthecondemningentitytakespossession.Intheeventofataking,
TenantassignstoLandlordanyrightsthatTenantmayhaveinandtoany
portionofacondemnationaward,butsuchanassignmentshallexcludeany
portionthatmaybeduefor,orattributedto,Tenant'sfixtures,moving
expensesandallowances.Ifthetakingdoesnotmateriallyadverselyaffect
theuseandenjoymentofthePremisesbyTenant,sothatthisLeaseisnot
terminated,RentshallbeequitablyadjustedtocompensateTenantforany
adverseeffectofthetaking.
SUBORDINATION,NON‐DISTURBANCE,ANDATTORNMENT.Uponrequestby
Landlord,TenantagreestoexecuteaSubordination,Non‐Disturbanceand
AttornmentAgreementthatsubstantiallyconformstoExhibitF,attachedhereto.
AnymodificationthereofshallbesubjecttoapprovalbyTenantandtheOfficeofthe
AttorneyGeneralofVirginia.
SIGNAGE.Landlord,atitsexpense,shallprovidebuildingstandardsignagelisting
eachOccupantintheBuildingontheBuildingdirectoryandattheentrancetoeach
Occupant’ssuite.IfthereisaBuildingpylonthatincludesthenamesofanytenants
intheBuilding,thenintheeventthat(atanytimethatthisLeaseisineffect)thereis
spaceavailable,Tenantshallhavetherighttoincludethereonthenamesofanyof
theOccupants,providedthatTenantshallpaytheinstallationcostthereof.
OPTION,TERMINATION,RENEWAL,ANDHOLDOVER.

Options.Tenantshallhavetwo(2)optionsoffive(5)yearseachtoextend
thetermofthisLease(“FirstOptionTerm”and“SecondOptionTerm”)upon

writtennoticetoTenant.LandlordmayalsoelecttoterminatethisLease
upontheexpirationoftheInitialTermortheFirstOptionTerm,ifTenant
doesnotexerciseitsoptionrightsatsuchtimes,byprovidingaminimumof
six(6)months’priorwrittennoticetoTenant.
(c)
Renewal.ThisLeaseshallautomaticallyrenewandcontinuefromyearto
year(“RenewalTerm”)onthesametermsandconditionsasexisted immediatelypriortothecommencementoftheRenewalTerm,includingany
provisionrelatingtoescalationinBaseRent,ifneitherpartyhasgivena
timelynoticeofterminationasprovidedin(b)above.
(d)
Holdover.IfTenantcontinuestooccupythePremisesafterthetermination
datespecifiedinapropernoticetoterminateasprovidedin(b)above
(“Holdover”),suchHoldovershallbedeemedatenancyfrommonth‐to‐
monthuponthesametermsandconditions,includinganyBaseRent escalation,asexistedimmediatelypriortothecommencementofthe Holdover.Eitherpartymayterminatesuchholdoveruponprovidinga
minimumoffour(4)months’priorwrittennoticetotheotherparty.
(e)
ConditionofPremises.AttheterminationofthisLease,Tenantshall peaceablydeliverthePremisesinthesameconditionasoriginallyaccepted,
exceptfordamagebyaccidentorfire,reasonablewearandtear,andsubject
toanyprovisionshereintomakerepairsandrestoration.
(f)
PostingofNotice.Afternoticeofterminationhasbeenproperlygivenby
eitherparty,LandlordmayelecttopostanoticethatthePremisesare
availableforlease.LandlordmayshowthePremisestoprospectivetenants
onlyduringTenant’snormalbusinesshours,withpriornoticetoTenantand
insuchamannersoasnottodisturbTenant’soperations.

DEFAULT.
(a)
PermittedTermination.TheterminationofthisLeasebyTenantpursuantto
theprovisionscontainedhereinshallnotbeadefaulthereunder.
(b)
Breach;Rights;NoAdditionalObligations.Ifeitherpartyshallbreachany
provisionofthisLease,thenon‐breachingpartyshallgivewrittennotice
thereoftothebreachingparty.Thebreachingpartyshallhavethirty(30)
days(whichshallbeextendedtotheextentreasonablynecessaryifacure
shallreasonablyrequiremorethanthirty(30)days,providedthebreaching
partypromptlycommencesthecureanddiligentlypursuescompletion
thereof)fromthereceiptofthenoticetocurethebreachand,ifnotsocured,
thenon‐breachingpartymay,atitsoption,exercisesuchrightsasmayexist
atlaworinequity,exceptthatLandlordshallnottakepossessionofthe
Premisesbyanyself‐helpremedy.Theprovisionsofthissubsectionshallnot
beconstruedasimposinganyadditionalobligationsonthenon‐breaching
partytotheextentthatthisLeasepermitsthenon‐breachingpartytotake

TELECOMMUNICATIONSEQUIPMENT.Subjecttoallapplicablefederal,stateand
locallaws,includingzoningordinances,andprovidedthatthesamedoesnot
interferewithanyexisting,similarequipmentmaintainedontheroofofthe
Building,TenantshallhavetherighttoplaceupontheroofoftheBuildingone
antennaand/oronestandard‐sizetelecommunicationdish(“SatelliteEquipment”)
asreasonablynecessaryfortheoperationsofeachOccupantintheBuilding.Any
relatedtelecommunicationsequipmentthatisnotrequiredtobelocatedontheroof
shallbeplacedwithinthePremises.Priortoanysuchinstallation,thespecifications
andlocationoftheSatelliteEquipmentshallbesubjecttoLandlord’sapproval.
LandlordmayestablishreasonablerulesrelatingtothepositioningofsuchSatellite
Equipmentontheroof,aswellasthemannerofinstallationthereofsoastonot
interferewiththestructuralintegrityoftheroofortherightsofotherBuilding
tenants.Tenantshallberesponsibletoassurethattheinstallation,maintenance,
operationandremovalofsuchSatelliteEquipment(a)complieswithalllaws,rules
andregulationsapplicabletheretoand(b)willnotinterferewithoradverselyaffect
theoperationofanyothertenant,includinganyelectricalormechanicalequipment
thereof,locatedwithintheBuilding,andTenantagreestorepairanydamagetothe
Buildingassociatedwiththeinstallation,maintenanceorremovaloftheSatellite
Equipment.ThereshallbenoadditionalLeasecostsassociatedwithsuchrooftop

rights.IntheeventthatanySatelliteEquipmentisnotremovedbyTenantwithin
ninety(90)daysaftertheexpirationofthisLease,thenLandlord,atLandlord’s
option,shall(a)becometherightfulownerofsuchSatelliteEquipment,andTenant
shallexecutenecessarydocumentationtoevidencetheconveyanceofsuchSatellite
EquipmenttoLandlord,or(b)LandlordshallbeentitledtoremovesuchSatellite
EquipmentatTenant’ssolecostandexpense.TotheextentanyOccupantshallhave
aneedforSatelliteEquipment,LandlordwillmakeavailabletoTenantaconduit
fromtheportionofthePremisesoccupiedbysuchOccupanttotherooftoinstall
wiringandrelatedequipmentnecessarytoconnectsuchSatelliteEquipmentonthe
roofwiththeoccupiedspace.Ifsuchconduitdoesnotexist,thecostofinstallation
shallbereimbursedbyTenantpromptlyuponsubmissionbyLandlordofaninvoice
therefore,unlessincludedaspartoftheworktobeperformedbyLandlord
pursuanttoSection8(b).
22. PRESUMPTIONS.Nopresumptionshallbecreatedinfavoroforagainstanyofthe
partiestothisLeasewithrespecttotheinterpretationofanytermorprovisionof
thisLeaseduetothefactthatthisLease,oranyparthereof,waspreparedbyoron
behalfofoneofthepartieshereto,asmaybeevidencedbythedisclosureontheface
ofthisDeedofLeasemadepursuanttoVirginiaCode§17.1‐223.
23. ASSIGNMENT.TenantmaynotassignthisLease,orsubletthePremises,without
thewrittenconsentofLandlord,whichconsentshallnotbeunreasonablywithheld
ordelayed,exceptthatTenantmayassignthisLeasetoanyotheragencyofthe
CommonwealthofVirginiawithoutLandlord’sconsent,pursuanttothetermsof
Sections2and12.

Landlord,shall,atLandlord’ssolecostandexpense,performandcompletealltenant
improvementstothePremisesasspecifiedinExhibitAandExhibitCattachedtothe
Lease(the“TenantImprovements”),aswellasanyimprovementsrequiredtomeet
theBaseBuildingImprovements(ExhibitD),includingthepreparationofallfinal
plansandspecifications.AlloftheworktobeperformedbyLandlordpursuantto
theforegoing(includinganyadditionalworknecessarytomeetanybuildingcodeor
zoningrequirements)shallbereferredtohereinasthe“Work.”
IfconstructiondrawingsarerequiredduetotheamountorcomplexityoftheWork,
ortoobtainanyrequiredbuildingpermit,thentheyshallbepreparedbyan
architectengagedatLandlord’ssolecostandexpense.Priortothecommencement
ofconstruction,LandlordshallprovideasetoftheconstructiondrawingstoTenant
within_____(__)daysfollowingthefinalexecutionoftheLease,andTenantshall
thereafterhave______(__)daystoreviewtheconstructiondrawingsandtoadvise
Landlordofanydeficiencyintheconstructiondrawingsbasedontheprovisionsof
ExhibitsA,CandD.Landlordshallremediateanysuchdeficiency,butshallhaveno
obligationtoprovideanyupgradeoranyadditionalworkexceptpursuanttothe
changeorderprovisionsbelow.Nevertheless,itshallbetheobligationofLandlord
toperformtheworkspecifiedinExhibitsA,CandDinamannerthatcomplieswith
allrequirementsoftheapplicablebuildingcodeandanysuchworkshallbeatthe
soleexpenseofLandlord.TheacceptanceoftheconstructiondrawingsbyTenant
shallnotrelieveLandlordofitsobligationtocomplywithallapplicablebuilding
codes.IfLandlordandTenantareunabletoagreeontheconstructiondrawings
within______(__)daysfollowingtheexecutionoftheLease,thenTenantmay,upon
____(__)dayspriorwrittennotice,terminatetheLeasebywrittennoticetoLandlord;
providedthattheLeaseshallnotsoterminateifthepartiesshallagreeonthe
constructiondrawingswithintheaforesaidnoticeperiod.Neithertheacceptanceof
theconstructiondrawingsbyTenant,northefailureofTenanttoidentifyanyerrors
oromissionsintheconstructiondrawings,shallrelieveLandlordofitsobligationto
complywithallapplicablebuildingcodesor(absentanamendmenttotheLease
modifyingExhibitsA,CandDtobeconsistentwiththeconstructiondocumentsora
subsequentchangeorder)toperformtheworkspecifiedinExhibitsA,CandD.
(b) LandlordshallexecuteacontracttoperformtheWorkwithintwoweeksofthe
approvaloftheconstructiondrawingsbybothLandlordandTenant.IfLandlord
failstoexecutethecontractinatimelymanner,Tenantshallhavetherightto
terminatetheLeaseuponwrittennoticetoLandlord,providedthat(A)Tenantdid
notconsentinwritingtothedelayinexecutingthecontractand(B)thetermination
noticeissentpriortoLandlord’sexecutionanddeliveryofthecontract.

applicablebuildingcodesor(absentanamendmenttotheLeasemodifyingExhibits
A,CandDtobeconsistentwiththeconstructiondocumentsorasubsequentchange
order)toperformtheworkspecifiedinExhibitsA,CandD.
(b) LandlordshallexecuteacontracttoperformtheWorkwithintwoweeksof
executionoftheLease.IfLandlordfailstoexecutethecontractinatimelymanner,
TenantshallhavetherighttoterminatetheLeaseuponwrittennoticetoLandlord,
providedthat(A)Tenantdidnotconsentinwritingtothedelayinexecutingthe
contractand(B)theterminationnoticeissentpriortoLandlord’sexecutionand
deliveryofthecontract.
(c)
Uponexecutionoftheconstructioncontract,Landlordshalluseitsbesteffortsto
expeditiouslyandsubstantiallycompletetheconstructionoftheWorktoprepare
thePremisesforTenant’spossession,inaprofessionalandcompetentmannerusing
goodqualitymaterials.LandlordagreestoprovideTenantwithatleasttwenty‐
eight(28)daysadvancewrittennoticeoftheanticipatedsubstantialcompletionof
theWork.Fromthecommencementofthistwenty‐eight(28)dayperiodthrough
thedateTenanttakespossessionofthePremises,Tenantshallhavetherightto
enterthePremisesfortheinstallationoffurniture,fixtures,equipmentand
telecommunicationsconnections,aswellasmakinganyalterationsortenant
improvementsthatarenotbeingmadebyLandlord.Tenant’sagentswill
coordinatetheiractivitieswithLandlord’scontractorsoasnottointerferewiththe
workbeingperformedbyLandlord.TenantshallnotbeliableforpaymentofRent
priortoTenant’stakingpossessionofthePremises.
(d) UponthelaterofthesubstantialcompletionoftheWorkortheexpirationofthe
twenty‐eight(28)dayperiod,Tenantshall,withinthree(3)businessdays
thereafter,conductawalk‐throughinspectiontodetermineiftherearedeficiencies
intheWork.Thewalk‐throughinspectionmaybeconductedearlierifagreedby
bothLandlordandTenant.If,asofthewalk‐throughinspection,Tenantfinds:(A)
thatallWorkhasnotbeensatisfactorilycompleted,inthegoodfaithopinionof
Tenant,(B)thatanyoftheWorkhasnotbeenperformedinagoodand
workmanlikemannerorhasbeendonewithpoorqualityorusedmaterials,or(C)
thatallrequiredbuildinginspectionsorapprovalsapplicabletotheWorkhavenot
beenproperlyobtained,thenTenantmaydeterminethattheWorkisnot
substantiallycompleteandrefusetoacceptthePremisesatthattime.All
deficiencies(asdescribedabove)shallbespecifiedinwritingtoLandlord.Landlord
shallcorrectalldeficiencieswithinfourteen(14)daysofreceiptofTenant'snotice.

TenantshallnotbeobligatedtoacceptthePremisesuntilthedeficienciesare
satisfactorilycorrected.Alternatively,withoutwaivinganyotherrightsunderthe
LeaseorthisAttachmentorTenant’sremediesunderlaw,Tenantmayacceptthe
PremisesandprovideLandlordwithawrittenpunchlistofminoritemsthatneed
correction,butwhichwillnotpreventTenanttakingpossessionofthePremises.
Landlordagreestocorrectallsuchpunchlistitemswithinfourteen(14)daysafter
receiptofthewrittenpunchlist.Ifthepunchlistitemsarenotcorrectedwithinsaid
fourteen(14)dayperiod,thenTenantmay,butisnotobligatedto,correctallpunch
listitemswithitsownresourcesanddeductthereasonablecostsofsuch
correctionsfromRentandanyotheramountsdueundertheLeaseand/orpursue
anyotherlegalremediesavailabletoit.AcceptanceofthePremisesshallnotbe
construedasTenant’swaiverof:(AA)anydefectorconditionnotreasonablyknown
toTenantpriortoitsoccupancyofthePremisesthatmayinterferewithTenant’s
useandenjoymentofthePremisesunlessLandlordhasgivenTenantactualwritten
noticethereof;or(BB)anyobligationofLandlordtomaintainandrepairthe
Premises.
TenantshalltakepossessionofthePremises,andRentshallcommencetoaccrue
(subjecttoanyabatementthereof),onthelaterof(A)thedatefirstsetoutinSection
3oftheLeaseor(B)thedatetheTenantacceptstheWorkinaccordancewith“(d)”
aboveor(C)iftheWorkincludestheinstallationofnewcarpetingorflooringor
constructionofatelecommunicationsroom,thenthefifteenthdayfollowing
completionofsuchinstallationorconstruction.Ifpossessionisestablished
pursuantto“(A)”aboveorisotherwiseonthefirstdayofamonth,thensuchday
shallbetheCommencementDate.Otherwise,theCommencementDateshallbethe
firstdayofthefirstmonthafterthedateofpossession.IftheCommencementDate
islaterthanthedatefirstsetoutinSection3oftheLease,theTerminationDate
shallbechangedsothatthelengthoftheInitialTermremainsunchanged.Ifthe
Rentcommencestoaccrueonadayotherthanthefirstdayofamonth,theRent
shallbeproratedfortheremainderofthatmonth,withpaymentforsuchprorated
periodduewiththefirstfullmonth’spaymentofRent.
Ifthedateofpossession(pursuantto“(e)”above)ismorethanthirty(30)daysafter
thedatefirstsetoutinSection3oftheLease,Tenantshallhaveonedayofrent
abatementforeachdayofdelaybeyondsuchthirty(30)dayperiod,excepttothe
extentthatdelaywascausedbyTenantDelay.[Selectasappropriate:Suchrent
abatementshallbeaddedtoandcommenceupontheexpirationoftherent
abatementsetoutinSection4(d)oftheLease.ORSuchrentabatementshall
commenceonthedaythatRentwouldotherwisecommencetoaccrue.]
Furthermore,ifLandlordfailstosubstantiallycompletetheWorkandtosoprepare
thePremisesforoccupancywithin______(__)daysofthedatefirstsetoutinSection
3oftheLease,excepttotheextentthatdelaywascausedbyTenantDelay,Tenant
shallhavetherighttoterminatethisLease,providedthatnoticeofterminationis
sentpriortosubstantialcompletionofthePremises.ForeachdayofTenantDelay,
itshallbepresumedthatpossessionoccurredonedayearlierthaninfactit
occurred(butinanyeventnotearlierthanthedatefirstspecifiedinSection3ofthe
Lease).TenantDelayshallmeananydelaycausedbyTenant’sinterferencewiththe
completionoftheWorkandanydelaycausedbyachangeorderrequestedby
Tenant.LandlordshallgiveTenantwrittennoticeofanyallegedTenantDelay

withinten(10)businessdaysofthehappeningofsuchevent.
ChangeOrders
(1)
UponTenant’swrittenrequestforanychangetotheWork,Landlordshall
notifyTenantoftheextentbywhichthesameshalldelayorshortenthetime
forsubstantialcompletionoftheWork,andTenantshalleither(A)withdraw
itsrequestforsuchchangeor(B)reaffirmitsrequestforsuchchange.
Tenant’saffirmationofsuchrequestshallbedeemedanacknowledgementof
theeffectonconstructiontime,withtheeffectthatthedatefirstspecifiedin
Section3oftheLeaseshallbemodifiedbyaddingthenumberofdays
specifiedbyLandlord.
(2)
InadditiontotherequirementsofSection(g)(1),uponTenant’swritten
requestforanychange,LandlordshallnotifyTenantoftheextentbywhich
thesameshallincreaseordecreasethecostoftheWork,andTenantshall
either(A)withdrawitsrequestforsuchchangeor(B)reaffirmitsrequestfor
suchchange.Tenant’saffirmationofsuchrequestshallbedeemedan acknowledgementoftheeffectthechangehasonthecostoftheWorkand
Tenant’sresponsibilityforsuchcost.[Selectasappropriate:Nevertheless,if
thepaymentofsuchamountisnotexpresslyauthorizedbytheLeaseoran
existingamendmentthereto,thenthechangeordershallbewithdrawn
unlessanewamendmentauthorizingthepaymentofsuchamountis approvedandexecutedbyallpartieswiththesameformalityastheLease.Or
Nevertheless,Tenantisauthorizedtopaynotmorethanatotalof$__________,
cumulativelyforallchangeordersrequestedbyTenant,andanychange
orderthatcausessuchamounttobeexceededshallnotbeperformedunless
anamendmentauthorizingthepaymentofsuchexcessamountisapproved
andexecutedbyallpartieswiththesameformalityastheLease.

Tenantshallberesponsibleforthecostofitsproposedchangeordersonlyto
theextentthattheneteffectofallsuchchangeordersincreasesthetotalcost
oftheWorkasevidencedbythecontractsenteredintobyLandlord,which
shallbeprovidedtoTenantifsorequested.
(4)
LandlordmayproposechangestotheWork,inwriting,subjecttothe approvalofTenant,whichmaybewithheldinitsreasonablediscretion.
Landlord’sproposalshallstatetheeffectthechangewillhaveonthedateof
completionoftheWork.NosuchchangeshallbedeemedaTenantDelay,
andanycostassociatedwithsuchchangeshallbebornebyLandlord.Ifany
suchchangeshallresultinacostdecrease,thentheamountofsuchdecrease
shallbeavailabletoTenanttoapplytoanychangeorderproposedby
Tenant,andTenantshallnotbeliabletoreimburseLandlordforsuch
amount.

LandlordshallprovidetoTenantdocumentationshowingtheeffectofall
changeordersonthecostofconstruction,andpaymentthereofbyLandlord
tothecontractor.AnyamountduefromTenanttoLandlordshallbedueand
payablewithinthirty(30)daysfollowingTenant’sacceptanceofthe Page67of68
Premises,subjecttoLandlordprovidingtoTenantdocumentationthat
Landlordhaspaidthecontractorinfull.
