PROFESSIONAL SERVICE FEE: __50_ % of one-month’s rent.
1. APPOINTMENT OF BROKER: Effective upon the Commencement Date and continuing through the Expiration Date,
Tenant appoints Virginia Cook, Realtors, (the “Broker”) as Tenant’s exclusive agent to represent and assist Tenant in
leasing a property within the Market Area from a property owner (the “Landlord”). Tenant shall conduct through Broker
all efforts to locate property within the Market Area and shall conduct through Broker all negotiations for the lease of any
property within the Market Area. Tenant represents there is no existing agreement between Tenant and any other real
estate broker for the lease of property within the Market Area.
2. PROFESSIONAL SERVICE FEE: The Professional Service Fee (the “Fee”) is earned when Tenant enters into a
contract to lease property within the Market Area prior to the Expiration Date or within 120 days after the Expiration Date
for any property within the Market Area shown to Tenant by Broker during the term of this agreement, provided that (i)
Broker, within 10 days after the Expiration Date has given Tenant a written list of all properties shown to Tenant within
the Market Area during the term of this agreement and (ii) Tenant has not entered into another representation
agreement with a Texas licensed real estate broker for properties within the Market Area.
Broker will endeavor to collect the Fee in the form of a commission (the “Commission”) from the Landlord or Landlord’s
broker.
If Landlord or Landlord’s broker offers a commission less than the fee, Broker will inform Tenant in advance and Tenant
agrees to pay Broker the difference between the Fee and the Commission.
3. AGENCY RELATIONSHIP:
Tenant acknowledges receipt of the publication entitled INFORMATION ABOUT
BROKERAGE SERVICES (“IABS"). Broker shall exclusively represent Tenant in all transactions other than for the lease
of property listed for lease by Broker. For properties listed for lease by Broker, Tenant agrees and consents to the
following agency relationship with Broker:

_____ B. Tenant wishes to be shown properties listed for lease by Virginia Cook, Realtors, but not properties
listed for lease by Sales Associate and consents that should a transaction for the lease of such property
result, Broker shall be authorized to act as an intermediary through the appointment of separate “Appointed
Licensees” to work with and carry out instructions of each party.

______ C. Tenant wishes to be shown properties listed for lease by Virginia Cook, Realtors, including properties
listed for lease by Sales Associate and consents that should such a transaction for the lease of such a
property result, Broker shall be authorized to act as an intermediary with Sales Associate acting solely as an
“Intermediary Representative” of Broker, working with both Tenant and Landlord.
If broker is authorized to act as an intermediary under B. or C. above, sales associates of Broker working with Tenant
shall be representatives of the Broker acting as an intermediary. Refer to IABS for the obligations of a broker acting as
an intermediary.
4. COMPETING REPRESENTATION: Tenant acknowledges and understands that Broker may be representing other
prospective Tenants competing for some of the same or similar properties being shown by Broker to Tenant. Tenant
consents to such competing representation by Broker of such other prospective Tenants.
5. MISCELLANEOUS PROVISIONS:
(a) Broker and Broker’s Sales Associate shall perform their obligations without regard to the race, color, religion,
national origin, marital status, sex, handicap, or familial status of any prospective tenant or landlord.
(b) In any suit to enforce this agreement the prevailing party shall be entitled to recover reasonable attorney fees.
(c) This Agreement contains the entire agreement of the parties and shall not be modified except in writing.
(d) Broker cannot give legal advice. This is a binding legal document. Read it carefully and if you do not
understand it, consult an attorney.
