3.1. The required information in "T" part is to be submitted along with the
required documents as per the prescribed formats. Any additional particulars
can also be attached to the ‘T’ part.
3.2 Please do not give any indication of the price, cost and financial aspect of
the offer in "T" part.

advertisement will not be accepted.
11.
Offerers are requested to deliver the closed cover in person to the address of the
Zonal Office only. In case they intend to send by post, the same may please be sent by
Courier / Speed post / Registered Post addressing to the said office to ensure proper
receipt of their offer. Bank is not responsible if any offers sent by post are lost in
transit.
12.
Offerers should keep their offer/s valid for a period of 6 months from the date of
advertisement.
13.
Please note that the ‘F’ (Financial) part of the offer will not be opened along with the
‘T’ part. After scrutiny of the technical part, visits to the sites, assessment of the
offers, the ‘F’ part of only those offerers, whose offers are found suitable to the Bank,
will be opened at a later date. The date of opening of ‘F’ part will be intimated to
those offerers, whose offers are found suitable as per ‘T’ part of the application.

Instructions
1.
Tender for secured Cash van Services from Private Security Agencies holding licence
under PSARA- 2005 & Karnataka Private Security Agencies Rules 2008, in the
prescribed formats along with relevant supporting documents.
2.
Date of Issue of documents: The application documents can be downloaded from
17.12.2014 from the Banks’ Website; www.corpbank.com
3.
Last Date of receipt of Tender: The last date of receipt of offers is up to 3:00 pm on
30.12.2014. After this time, no offers will be accepted.
4.
Date of Opening: The Technical bids will be opened on the last date of receipt at
3:30 pm as stated above. All the agencies are invited for the Technical bid opening.
This is not a financial bid opening.
5.
Address of the submission of the application for empanelment:

address by the due date and time.
6.
Authorized Signatory: The documents can be forwarded by owner or owner's
representative. Representative will have to enclose the Letter of Authority/ the owner
of Attorney along with this offer or when demanded by BANK, otherwise the offer
will be considered null and void at any stage as per the decision of BANK.
7.
Nature Of Work:
We require ONE Secured Cash Van FORCE TRAVELLER/TATA
407/OTHER EQUIVALENT VEHICLE HAVING MINIMUM
SEATING CAPACITY FOR SIX PERSONS (1+5), as per Bank’s approved
specification (enclosed) with Driver and ONE loader. The cash van will be
based at Currency Chest, Udupi and required to BRING/DELIVER the cash
FROM/TO the branches located in Udupi, Shimoga & Chikmagalur Districts
AND FROM/TO Currency Chest, Udupi. The quote should be lump sum for
cash van & crew.

CONTRACT PERIOD:
a.
The contract shall be for a period of one year and could be renewed
for further one year (Max three years) at an increase of 10% of the
last sanctioned rate, as per requirement of the bank and based on
the satisfactory service.
b.
Bank reserve the right to terminate the contract with due notice in case the
agency fails to provide satisfactory service or fails to take security measures or
does not adhere to the tender terms & conditions.
EARNEST MONEY DEPOSIT:
EMD of Rs. 50,000.00 (Rs. Fifty Thousand Only) shall be given with the offer.
This shall carry no interest and shall be retained by the bank. EMDs of unsuccessful
bidders will be returned after finalization of contract. EMD submitted by successful
bidder shall be converted / adjusted as Security Deposit. In case the firms are not
found eligible technically, the EMD & Financial Bid shall be returned after
finalization of Technical bid. In case of withdrawal by successful bidder, EMD will be
liable for forfeiture.
10.
SECURITY DEPOSIT:
The Agency identified for providing cash van services shall be required to keep a
security deposit amounting to 10% of the annual contract value before
commencement of the contract for the duration of the contract. The security deposit
shall be kept with the bank on lien as interest bearing Fixed Deposit.
11.

12.
Superscription: The envelope containing the documents must be super scribed as
“Tender for Secured Cash Van Services” and mailed to/handed over at the given
address.
13.
Conditions for envelopes sent by post/courier: The documents may also be sent by
post/courier to reach before the scheduled date and time as indicated above. The
following are essential conditions to be followed for the documents sent by

post/courier, failing which the envelope may not be opened and not considered or
may be treated invalid:
13.1 Documents should be preferably sent by Speed Post or Registered Post if
it is not possible to deposit the documents in person
13.2 Documents should be sent only to the address as given above in the
name of

The agency has to necessarily super scribe the envelope, failing which the
envelope
may not be considered and may remain unopened, or be opened
with some other documents or may be accidentally opened before due date
rendering it to be treated invalid at the discretion of BANK.
13.5 BANK takes no responsibility for any documents not reaching in time.
13.6 BANK takes no responsibility for documents not reaching at all.
13.7 BANK takes no responsibility for documents received in torn, opened or
mutilated conditions. Such documents may not be accepted at all and are
liable for rejection.
13.8 Envelopes, which are not super scribed, may not be considered.
13.9 Envelopes, which are not addressed properly, may not be considered.
14.
Agreement: An agreement would have to be entered into with BANK, by the
successful bidder as per specimen format enclosed.
15.
Right of Rejection: BANK reserves the right to reject all / any offer without assigning
any reason, what so ever.
16.
Eligibility: The agency should adhere to the eligibility criteria specified from time to
time and should meet the following recommended guidelines ;
(a) Provide Private Security Agencies (PSAs ) who have obtained the prescribed
licence to engage in the business of private security agency as per the

provisions of the Private Security Agencies ( Regulation ) Act, 2005 ( PSARA 2005 ) and The Karnataka Private Security Agency Rules, 2008.
(b) be in this business for last three years
© have annual turnover of one crore during past three years
(d)have credible supervisory infrastructure and network.
(e)have effective infrastructure for training guards and other staff.
(f)have a Certificate of Registration from ROC or Registrar of Firms or letter of
proprietorship.
(g)have PAN No.
(h)have an audited balance sheet
(i)have registration under Shops & Establishments Act and Certificate from ESI
Corporation(latest).
(j)have Certificate from EPF Organisation under EPF & Misc. Provision Act1952(latest).
(k)be registered with the Govt. under Contract Labour Act (Regulations &
Abolition) 1970
(l)be empanelled with public sector banks (Preferably two to three PSBs)
The agencies should have branch office Bangalore /Udupi/ Mangalore/
Chikmanglur / Shimoga and & infrastructure for training. The agencies would
be considered based on their performance, training facilities, experience and
their standing in the field. The security agency should submit a reference
certificate in original from a Nationalized Bank/s or PSU/s or Government
Department/s as per the format in Annexure 4.
17.
Agencies/ Service Providers should clearly indicate, giving explicit supporting
documentary evidence, with respect to the above, in absence of which their proposals
will be rejected summarily at the qualification stage itself.
18.
Availability of requisite permissions and licenses and compliance with the statutory
provisions:
18.1 The agency is required to follow all the statutory acts as may be applicable for
such type of work for which they are applying through this empanelment form. As
manpower is required, then the agency merely by filling the empanelment form
confirms that the agency has all the requisite permissions and licenses to carry out all
the assignments as stipulated by this empanelment form. Further, merely by filling
the application form, the agency reconfirms that the agency has complied with all the
statutory provisions of the central, state, local and municipal laws in force. The
agency also confirms merely by filling the application form, to comply with any
future laws that may be enforced upon by statute. Agencies which do not have
requisite permissions / licenses or who do not comply with the statutory provisions
are requested to fill in the application form only if they are eligible in this regard.
18.2 Valid registrations viz., Road Transport Authorities, Service Tax, EPFO, ESIC,
registration with labour commissioner, etc. and with any other authorities as per

requirement should be available with the agency and be produced as and when
required. Consequences of insufficient permissions / licenses or compliances on the
part of the agency would be to the agency’s account and the agency merely by filling
in the empanelment form indemnifies BANK of any or all such consequences.
19.
Blacklisting/Debarring: The agency merely by filling the application form confirms
that the agency has not been blacklisted / debarred by any government department /
agency, Reserve Bank of India, nationalized bank, or any Public Sector Unit or body.
The agency is advised not to fill in the application form if they have been disqualified
by any of the government agencies.
20.
False Information: In case if it is found, at any stage, that the agency has not given
the correct information and flouted any condition or the agency does not have all the
appropriate licences and all the statutory permission, whatsoever required, to carry
out the activity as required in the assignment then BANK reserves the rights to cancel
their tender and award the contract in the manner as deemed fit.
21.
Indemnity: Further, by submitting the application form, the agency indemnifies
BANK for any of the consequences arising out of non-availability of any of the
requisite permission/ licence / any other statutory permission whatsoever required
for carrying out the contract. Also, by submitting this application, the agency
indemnifies BANK for any of the consequences arising out of non-compliance of any
of the conditions laid by the statute for agency or their representatives/ officials in
carrying out the contract.
22.
Extension of empanelment: As stipulated by BANK, after the period of expiry, the
arrangement can be renewed for two years on satisfactory performance or up to the
period till new empanelment comes in force. However, this option can be exercised
only by the BANK.
23.
Termination: BANK reserves the right not to empanel any or all applications without
assigning any reasons as also to terminate the contract after the financial bid process
without assigning any reason. As also, in case it is found that the service is not as per
requirement / standards, time lines, or the frequency of corrective measures required
is high then BANK retains the right to terminate the Contract with the selected
agency (after financial bid) and in such case, the agency will not be entitled to claim
any damages from BANK or make any claim for fees in respect of such unsatisfactory
/ substandard services. As also BANK reserves the right to terminate this contract if
it is established on the basis of price discovery that it would be beneficial for BANK to
go in for a fresh empanelment/contract.
24.
Confidentiality: The Agency after appointment shall maintain strict confidentiality of
all the documents, information, data coming in possession of the Agency as a result
of awarding the contract after financial bid process and also any oral, written or other
information disclosed for evaluation or for any other purposes shall be considered as
confidential information passed on to the Agency.

25.
Usage of data / documents / information : After appointment, the Agency shall
ensure that the documents , data, information etc if imparted by BANK or if come to
the knowledge of the agency, are / is not used or permitted to be used in any manner
(directly or indirectly) incompatible or inconsistent with that authorized by BANK in
writing. The confidential information will be safeguarded and the Agency shall take
all necessary actions to protect BANK’s, its customers, and Government of India’s
interest against misuse, loss, destruction, alterations or deletions thereof. Any
violation of the same will be liable for action under the law which shall entitle BANK
to claim damages from the agency apart from taking action under the appropriate
Law. This is an irrevocable condition and it will continue to be in force even if the
agreement between the agency and the BANK is terminated.
26.
Breach of clause: In the event of any breach or threatened breach of any clause by the
Agency and/or individual assigned by the Agency for the performance of the services,
the Agency shall be liable to pay damages as may be quantified by BANK. Apart from
the above, BANK shall have the right to proceed against the Agency and/or its
assigned person/s under appropriate law.
27.
Penalty: When Bank observes that the services are not available as per agreed terms
Bank will be at liberty to deduct the charges for that day, on pro-rata basis and
agency is liable to make good the financial/other losses suffered by the Bank.
28.
Other terms: Following general terms are to be complied with;
The selected agency shall furnish the following documents in respect of the driver;
loader deployed, before the commencement of contract:
(a) List of driver & loader identified/selected by agency for deployment with Bio
data i.e., date of birth, age, qualification address etc.
(b) Training certificate, if applicable in From IV issued by training /institute
/organization.

(d) Cash Van, should meet Bank specifications.
(e) The Cash Van must be registered with RTO under Section 52 & 52(1) of
Motor Vehicle Act, 1988. Necessary endorsement of RTO for modification in
cash van with seating capacity is needed in RC book.
(f) The selected agency shall provide proper uniform and identity card in
Form IX to, driver and loader deployed, having the photograph of the person
and personal information such as name, designation, address and
identification mark etc.

29.
Jurisdiction: All matters pertaining to this tender shall be subject to the
jurisdiction of the courts in Udupi only.
30.
Inspection: BANK reserves the right to depute its Officers, Auditors, other
officials as it may decide etc. to visit the office / commercial / of the selected
agency for checking their infrastructure, man power and other related
documents mentioned and for checking records, quality controls, work
processes without advance intimation and the agency will have to provide the
necessary documents etc to BANK to help. BANK ensures presence of
appropriate equipment, manpower, software and other licenses, permissions,
etc. Also, inspection will be done, if so decided by BANK on periodic basis.
31.
Corrections: All the corrections made anywhere in the empanelment form or
the financial bid, whenever called, will have to be authenticated. The
corrections without authentication are liable to be rejected. This is an
important condition as the correction may have a bearing on the rate/amount
quoted resulting in altering L1 or L2 position in the financial bids. Decision of
BANK will be binding in this case. The bidder / Agency merely by filling in this
application form agree to this delegation of power to BANK to decide in this
matter.
32.
Preference: BANK reserves the right to give preference to Public Sector
Enterprises/ Government undertakings/Agencies already on the panel of
other public sector banks, subject to meeting other conditions.
33.
Additional Information: During the technical evaluation of application form,
BANK may, at its discretion, ask the agency for clarification. The request for
clarification and the response shall be in writing. If the response to the
clarification is not received by BANK before the expiry of the deadline
prescribed in the written request for clarification, BANK reserves the right to
make its own reasonable assumption at the total risk and cost of the bidder. As
also, the agency is required to update BANK on any developments which may
affect the evaluation. During the period of contract if the name of the
Agency/company (or its division) has undergone a change due to acquisition,
amalgamation etc., the Agency/company shall inform BANK. In such cases, all
the obligations under the contract with BANK should be passed on for
compliance to the new Agency/company (or its division).

DECLARATION BY THE AGENCY
In case my / our Offer is accepted, I / we undertake the following and declare as under:1.
Undertake to submit Police verification of all the staff.
2.
That the drivers of the vehicle will be on permanent roll of the company and possess
valid driving license.
3.
Will provide mechanically fit cash van as per laid down specifications, which would
be not older than two years vintage with laid down quantum of crew with mobile
communication. Local reputed garages will be entrusted for regular vehicle
maintenance. Cash van will be provided with valid Fuel cards for fuel refilling.
4.
Proposed Cash Van will be made available to the Bank at designated place for their
inspection at least seven days prior to deployment dates.
5.
Statutory norms like Minimum wages act; work man compensation act, EPF, ESIC &
Third party insurance and insurance cover for the staff and property and any
mandatory requirements laid down by the Government will be complied with. A
monthly certificate on compliance of the above of the previous month will be
provided along with the monthly bills.
6.
The company has training facilities for the crew, where the staff will undergo
periodic training and a certificate of such training will be submitted to the bank
periodically.
7.
The cash van will have RTO passing and applicable State Govt. registration and
permits for commercial activity as required for the bank/branch.
8.
All the laws applicable to Union, State and local laws, ordinance, regulations and
codes will be complied.
9.
Will fully facilitate for the bank’s compliance with regard to RBI guidelines on Code
of Conduct in Outsourcing of Financial services by Banks.
10.
Will enter into agreement with Bank as per Bank’s format.
11.
I/We understand that if any false information is detected at a later date, any
contract made between ourselves and CORPORATION BANK, on the basis of the

STAMP of Rs. 200/SERVICE LEVEL AGREEMENT
FOR CASH VAN SERVICES
This agreement is entered on __________ between Corporation Bank, ……………
………………Branch represented by Branch Head hereinafter referred to as the First Party/The
Bank (which expression shall wherever the context so admits means and includes administrators,
assignees, etc.,).
AND
The Private Security Agency

hereinafter referred to as the Private Security Agency (PSA )which expression shall wherever the
context so admits, means and includes his legal representatives, successors, assignees as the Second
Party/PSA.
Whereas the First Party requires the service of a Private Security Agency for Providing Cash
Van Services with Driver – 1 No., Loader – 1 No.
Whereas the PSA which is a Security Agency providing Cash Van Services has agreed to provide a
Cash Van (Force Traveler/TATA 407) with staff as mentioned above to the Bank as per its
requirements.
Whereas the PSA and the Bank have agreed to enter into a service contract for a period of one
year w.e.f. ___________________ till __________________ with an option in favour
of the bank to renew the contract for a further period of two years for the purpose of Providing
Cash Van Services on the terms and conditions mentioned hereunder.
Now therefore this agreement witnessed as under:
General
1. The PSA agrees to provide one secured Cash Van ( Force Traveler/TATA 407) with one
Driver & one Loader, at the rates / charges detailed as under:

2. Apart from the charges as above , the Bank shall not pay any amount under any head to the
PSA.
3. Minimum period of Contract shall be for one year from the date of the deployment of the
Cash van. The contract may be renewed for further two years (Maximum) with an increase of
10% annually over the previous year’s monthly rental, on satisfactory service.
4. The Hiring Charges for cash van will include the cost of cash van, its running cost including
fuel, maintenance of cash van and salary of a Driver, one Loader.
5. The reckoning of Kilometers shall be from branches/Currency Chest/offices of the Bank to
the branches/ Currency Chest /Offices of the Bank and the cash van running between garage
to Branch/Offices and back will not be reckoned. The PSA will maintain a logbook for
entering the actual usage by the bank on a daily basis and will obtain the signature of the
authorized official of the bank verifying the correctness of logbook entries on a daily basis.
The PSA also agrees to provide the vehicle for outstation duties as and when demanded by
the Bank.
6. The payment of charges will be made directly by the Bank to the PSA on
monthly basis, on submission of bills, provided the services are satisfactory. If
in any particular month/s , the Bank utilized the cash van services for less than
3500 Kms, then the unutilized Kilo Meters will be carried forward and utilized
in subsequent month /s and will be adjusted against the claim for utilization
beyond 3500 Kms in any of the subsequent month/s on an yearly basis.
7. The PSA will provide the cash van for a minimum of 8 clear working hours per day , which
will not include the driving hours from garage to branch and back. Parking arrangement will
be done by the PSA after duty hours at its own cost.
8. No changes in the rate will be applicable even if the fuel prices are revised.
9. The PSA shall comply with all the provisions of laws of the land applicable while providing
Cash Van services to the Bank. The PSA agrees that it will comply with all legal requirements
and obtain such licenses, approvals and consents if any prescribed/required by
law/rules/regulations and keep them valid.
10. The cash van should be as per the approved specifications and PSA agrees to confirm to all
the requirements of the Bank. Further, the Security officer/ authorized officer of the bank
will be allowed to carry out security inspection of the cash van & duties of the staff of the
PSA and his/her instructions will be binding on the PSA.
11. Mobile phone instrument with SIM card will be provided by the PSA to the staff of the cash
van for monitoring of movement of cash van.
12. The PSA shall install a security alarm system and two fire extinguishers in the cash van.
13. Photo copies of the R.C.Book , Insurance Cover , Driver’s License will be provided by the PSA
to the Bank from the date of deployment.
14. The PSA will ensure that the vehicle is in proper roadworthy condition and statutory
permissions are obtained from RTA and such other authorities as may be required in this
regard.

15. The PSA will produce the vehicle for inspection by the Nodal Branch or Zonal Security
Officer or authorised officer of the Bank at any time on demand and any security lapse
observed by him/her them shall be rectified by the PSA .
16. The PSA shall provide double ignition switch system for the vehicle with two keys so that
during remittance the cash officer can switch off one ignition when he/she goes out of the
van for cash collection. The cash van can be started only if both the switches are on.
17. The vehicle shall belong to the PSA and with comprehensive insurance.
18. The PSA shall furnish the names and permanent & local addresses of the Cash Van Staff
deployed to authorized office of the Bank from time to time along with their latest
photographs, thumb impression and signature.
19. The antecedents of the driver, loader will be verified by the police and certified copy of the
character certificate in Form III shall be provided to the Bank before deployment. The
driver shall have valid driving license to drive the cash van.
20. The PSA shall ensure that the Cash Van Staff strictly adhere to their duties as framed as per
the Banks’ requirements, at it’s premises. The PSA shall ensure that the Cash Van Staff
have read and understood their duties in detail.
21. The PSA shall ensure that the Cash Van staff shall be conversant with the use of Fire
extinguishers and shall take necessary action in case of activation of security alarm system
during exigency.
22. The PSA shall ensure that the Cash Van with Staff shall be deployed at Nodal Branch of the
Bank or any other place as per the duty schedule given by the Branch Head/ In charge.
23. The PSA shall ensure that the Cash Van Staff should wear prescribed uniform of the PSA
with proper Photo Identity Card and Name tab. The Staff shall not consume alcohol or
intoxicant and smoke during the duty hours.
24. The PSA shall ensure that no familiarity develops between the Cash Van Staff & the Bank
staff. Further, the PSA shall ensure that the Cash Van Staff does not indulge in any activities
including money transactions which may tarnish the image of the Bank.
25. The Staff provided by the PSA shall be medically fit, mentally sound and shall possess good
physique and not be suffering from any contagious /major disease.
26. The PSA shall ensure that at no point of time during the prescribed duty hours, the staff
leave their place of duty.
27. The PSA, while changing personnel’s, which may be done once in six months, shall give
prior information to the Bank.
28.
“The PSA(Private Security Agency) shall take full responsibility for all
acts of commission and /or omission by the crew of the Cash van and
meet all liabilities arising out of a situation created by the crew.
Furthermore, in the event of any cash loss occurred during cash
remittance due to negligence of the crew or due to dereliction of duty or
inattentiveness of the crew, the PSA will agree to redeem the loss fully.”

29. The PSA shall change the staff immediately on instructions from the bank if the
performances of that particular staff is not acceptable or he is found physically/medically
unfit and decision of the Bank will be final in this regard.
30. Neither the PSA nor any of their Cash Van Staff will have any claim against the Bank for any
liability arising out of any commission/omission caused by the staff while on duty except the
hiring charges payable to the PSAs as stated under item No: 1, above.
31. The PSA shall maintain up to date record of their staff as per the Shops & Establishments Act
and will discharge all obligations under various Labour Laws viz., EPF Act, ESI Act, Gratuity,
Bonus Act, Workmen's Compensation Act, Contract Labour (Regulation & Abolition Act) etc
or under any other State/Union Legislation in respect of the staff engaged by PSA.
32. The PSA shall be absolutely responsible for the payment of salary, all other statutory
obligations for the Cash Van Staff employed on account of salary/wages, bonus, arrears,
employment, termination benefit, compensation or other claims whatsoever and the Bank
has no connection in relation to such matters.
33. Wages for the staff of PSA shall be as per the Minimum Wages notified by the competent
authority. The PSA shall furnish the proof of having paid the wages to the Cash Van Staff
engaged by way of cheque/credit to their bank a/c within one week of the disbursement of
the wages to them.
34. In case of any mishap sustained by staff of whatsoever nature (minor/major/fatal) including
death during the course of their duty, the responsibility of granting compensation, if any, on
that count shall be that of the PSA and not of the Bank.
35. The PSA agrees that if the cash van is not provided on any day OR in case the cash van
develops any mechanical fault while running , the PSA shall pay pro rata charges for the
day of default from the amount payable. If the Bank makes alternate arrangement then the
PSA shall pay the aforesaid penalty and also reimburse the costs/expenses incurred by the
Bank for alternative arrangements on demand.
36. The Bank may amend the agreement by giving notice of one month and such amendments
will be binding on both the parties.
37. An onsite inspection of the PSA by the Bank’s internal/ external auditors / RBI officials may
be carried out during the contractual period.
38. In the event of dispute and claims arising out of or in connection with this Agreement or
in any way relating hereto or any term, condition or provision herein mentioned or the
construction or interpretation thereof or otherwise in relation hereto, the parties shall
first endeavor to settle such differences, disputes, claims or questions by friendly
consultation and failing such settlement, the same shall be referred to a single Arbitrator
appointed by the Bank. Though the Bank will make its sincere endeavor to get the consent of
the PSA for appointment of such single arbitrator, the Bank, at its discretion, can appoint
such single arbitrator, who will be the Official of Bank, as determined by it, even if PSA does
not give consent or refuses such consent or rejects the appointment of such single arbitrator
by the Bank. Such arbitration shall be held in accordance with the Arbitration and
Conciliation Ordinance, 1996 or any statutory modification or re-enactment thereof for
the time being in force and shall be held in Udupi and be conducted in the English
language. As the terms and provisions of this Agreement by their nature and content are
intended to survive the performance hereof by any or all parties hereto, notwithstanding
the referring of any dispute/s to arbitration as referred above, the PSA shall continue to offer
its services to the Bank till the completion of contract period under this agreement, unless
the same is terminated by the Bank prematurely, before the completion of the contract
period. However, with regard to the disputable issue/s raised before Arbitrator, both the
parties hereby agree to follow the same position/status quo, so far as such issues are

concerned, as is followed before such issues are referred to Arbitration, during the remaining
term of this agreement, provided the Bank is at liberty to alter the said position.
However, notwithstanding anything stated in this clause, the Bank, may, at its discretion, opt
not to subject the dispute to Arbitration and in such case, this clause will become void.
39. The PSA notwithstanding the dispute, shall continue to provide the services on same terms
and conditions, till the resolution of dispute.
40. The Bank shall have a right to terminate this agreement at any time without assigning any
reason whatsoever and on such termination the Bank will have to get the service from other
agency or make such alternate arrangement, as it deems fit. If the termination is caused due
to default or non-performance or unsatisfactory performance of the PSA then PSA shall be
liable to pay damages being the extra cost/expenses to be incurred by the Bank. The PSA
shall reimburse the amount claimed by the Bank immediately on demand.
We, the above parties, have signed this deed of agreement after duly understanding the contents of
this deed on the date and mentioned above.
