Definition Of Auction Terms
Unconditional Lots
Upon the fall of the hammer, the Purchaser shall pay a 10% deposit, subject to a minimum
of £3,600 and pay £650 plus VAT (£780) buyers administration fee, the purchaser is legally
bound to buy and the vendor is legally bound to sell the Property/Lot. The auction conditions
require a full legal completion 28 days following the auction (unless otherwise stated).

What is the difference between a start price and a reserve price?
A starting price is simply the price the bidding begins at. The reserve price is the undisclosed amount the
seller would accept for the property. The reserve ensures the property cannot be sold for less than the
seller is prepared to accept. Please note in some cases Bid may be considered below the starting price.

What is the difference between a conditional and unconditional auction?
An unconditional auction is what most people understand an auction to be i.e. the property is sold
on the fall of a hammer. A Pattinson Auction innovation is the conditional auction which gives both
parties 28 days (unless otherwise agreed) to exchange contracts on the property following the fall of
the hammer, providing sellers and buyers with protection and a fixed time scale for the sale.
What is a buyers premium?
All buyers premium properties are clearly indicated throughout the catalogue
and an additional fee must be paid by the buyer.
What payment methods do you accept?
We accept debit or credit cards and BACS transfer (3% surcharge on credit cards). We do NOT accept
cheque payments. Alternatively cleared funds may be banked with Keith Pattinson prior to the auction
which would be refunded the day after the auction if unsuccessful.

In these conditions the following terms shall bear the following meanings:
“the Auctioneers” - Keith Pattinson Limited.
“information about the Auction” - Information appearing in this catalogue.
“The particulars” - The description of the identity of the property (including any plan
or photograph contained in this catalogue and any addendum thereto)
“The property” - The property offered for sale at the auction sale to which this
catalogue relates if appropriate each separate lot.
“Special Conditions” - The Special Conditions of sale to each property (if any)
set out in this catalogue and/or in the separate booklet of Special Conditions
applicable to this sale or in any addendum thereto.
“Standard Conditions” - The Standard Conditions of Sale (Fifth Edition).
Terms used here or in the Special Conditions shall have the same meaning as in
the Standard Conditions.
The Special Conditions shall apply to the sale of the properties to which they relate
respectively. Subject thereto the Standard Conditions shall apply to this sale in so
far as those conditions are applicable to a sale by auction and are not inconsistent
with the said Special Conditions and/or these General Conditions which shall also
apply to the sale. In cases where the General Conditions and Standard Conditions
conflict, the General Conditions shall prevail.
Standard Conditions 2.2 and 5.1 shall not apply. From the date of the contract
the Property shall be at the risk of the Buyer The Seller is under no obligation to
ensure the property and the Buyers bears all risk of losses or damage.
If the Seller has an option to charge VAT such option may be exercised by the
Seller in its discretion at any time prior to the actual completion of the sale.
Standard Conditions 2.3.3 shall be amended so as to omit the words “up to the
reserve price”
Standard Conditions 6.1 shall be amended so as to substitute the words “28 days
from” for the words “20 working days after”.
6.1 Standard Conditions 6.4 shall be amended so that the Buyer shall only be required
to pay on completion up to six months’ rent, service charge, or other monies due
from tenants in respect of the property. The Buyer, will, however, remain bound
to the Seller to forward to him forthwith upon receipt the balance of any monies
which would otherwise fall to be apportioned to him which are actually received by
the Buyer following completion.
7. In Standard Conditions 8.3.3 the words “either party” shall be deleted and the
words “the Seller” inserted in their place.
8. The Buyer accepts title of the Seller to the property as at the date of the Contract.
The Buyer shall not raise any objection or requisition or enquiry in respect of
any rights covenants obligations privileges licences subsisting acquired or being
acquired over or in respect of the property and the Seller or the Auctioneers shall
be under no liability to disclose the same whether or not the same are known to
them.
9. The property is sold subject to and with the benefit of agreements rights exceptions
reservations restrictions stipulations covenants declarations and other matters (if
any) referred to in the property proprietorship and charges register relating to the
property where it is registered at H.M. Land Registry except charges securing
repayment of indebtedness of the Seller and any other matters as are referred
to in the special conditions relating to the property details whereof having been
available for inspection by the Buyer and the Buyer shall be deemed to purchase
with full knowledge and notice thereof and will not raise any requisition or
objections in respect thereof. The Property is sold subject to such of the following
as may affect it, whether they arise before or after the date of contract and whether
or not they are disclosed by the Seller or are apparent from inspection of the
property:a. Matters registered or capable of registration as local land charges;
b. Matters registered or capable of registration by any competent authority or under

the provisions of any statute;
c. Notices, orders, demands, proposals and requirements of any competent authority;
d. Charges, notices, orders, restrictions, agreements and any other matters relating to
Town and Country planning, highways of public health;
e. Rights, easements, quasi easements, and wayleaves;
f. Outgoings and liabilities;
g. Anything that is an overriding interest within the meaning of Section 70 of the Land
Registration Act 1925 or would be if the Property were registered land;
h. Matters that ought to be disclosed by the searches and enquiries a prudent Buyer
would make, whether or not the Buyers has made them;
i. Anything the Seller does not know and could not reasonably know about.
And where such matter would expose the Seller to liability the Buyer is to comply
with it and indemnify the Seller against liability.
10.The property is sold subject to and with the benefit of any leases tenancy
agreements licences notices and other similar documents relating to any leasehold
title in the property referred to in the Special Conditions and Particulars relating to
the property and copies of such documents being available for inspection at the
offices of the Sellers solicitors the Buyer shall be deemed to have inspected such
documents before making an offer for the property and shall raise no objection or
requisition in respect of the same or as the identity of the tenants or the amounts
of the rent or other sums payable under such documents. The assurance to
the Buyer shall contain a covenant by the Buyer to observe and perform all the
covenants agreements and conditions on the part of the Seller or its predecessors
in title contained in such documents and to indemnify the Seller against all actions
claims expenses and liability in respect thereof.
11. If the Seller’s title is in the process of being registered at H.M Land Registry the
Buyer shall not require the Seller to complete registration of the title to the property

prior to completing the sale to the Buyer. The Seller will assist the Buyer procuring
the registration of the Buyer’s interest.
12. The Seller will be under no obligation to clear any chattels or rubbish from the
property, prior to completion.
13. The Buyer buys with full knowledge of;a. The documents of title (including, if title is registered, the entries on the register and
the filed plan) and other documents listed or referred to in the Special Conditions
relating to the property.
b. The physical condition of the property and what could reasonably be discovered
on inspection of it, whether or not the Buyer had inspected it.
14. The Buyer is not relying on information contained in the particulars or in any replies
to preliminary enquiries or Seller’s Property Information Form, or other information
supplied by or on behalf of the Seller, but on the Buyers own verification and
confirmation of that information. If any information is not correct any liability of the
Seller and any remedy of the Buyer are excluded to the extent permitted by Statute.
15. The Auctioneers reserve the right to regulate the bidding and to refuse in their sole
discretion to accept any bid or bids without giving any reason for such refusal.
16. No person may advance less at a bid than a sum named from time to time by
the Auctioneer.
17.The property may be withdrawn from the auction either before or after the
commencement of the sale.
18.The highest bidder for each property shall be the Buyer of that property.
19.The Auctioneers reserve the right to sell in separate lots if the whole is unsold or
sell in one lot where individual lots are offered. The Auctioneers reserve the right
to sell prior to auction and will announce alterations immediately before the sale
and/or refer them in an addendum to the catalogue.

General Conditions Of Sale
20. Immediately following the sale of each property the Buyer of that property shall
sign a memorandum of sale and supply his full name and proof of his identity and
address to the Auctioneers. In the event of his failure to do so Auctioneers may
sign on his behalf or re-offer the property for sale as though it had not been sold.
21. Each Buyer shall be deemed to be personally liable on making an accepted bid
even though he purports to act as agent for a principal so that both are jointly and
severally liable under the contract unless acting as agent and written authority
signed by his principal is lodged with Auctioneers prior to sale.
22. Immediately following the sale of each property the Buyer shall pay a deposit
of 10% of the purchase price to the Auctioneers as agents for the Seller. In
case a Buyer fails to pay a deposit as above or any cheque given as a deposit
is dishonoured upon presentation then, without notice, the Seller shall have the
right to deem the conduct of such a Buyer a repudiation of the contract and
the Seller may resell without notice and/or take such steps as are available to
him as a consequence of such breach of contract but without prejudice to any
claim he may have against the original successful bidder for breach of contract
or otherwise.
23. All statements made in the Particulars or otherwise save for any statements
made in writing by the Seller’s solicitors relating to the property, the subject of
the Auction are made without responsibility on the part of the Auctioneers or the
Seller. No such statement may be relied upon as a statement of representation
of fact. An intending Buyer must satisfy himself by inspection or otherwise as to
the correctness of any such statement and save as much as herein provided
neither the Seller not the Auctioneers nor any person in their employment has any
authority to make or give any representation or warranty whatever in relation to any
property the subject of the auction.
24. Every person on the Auctioneer’s premises before, during or after the sale shall
be deemed to be there at his/her own risk and with notice of the condition of
the premises and their contents. Such person shall have no claim against the

Auctioneer’s in respect of any injury sustained or any accident which may occur
from any cause whatsoever. The matters set out in the Information about the
Auction are deemed to be incorporated in these terms.
25. In the light of the nature of the sale and the information given it is to be implied
from any Buyer or would-be Buyer bidding at the sale that they accept that
the limitations upon the responsibilities of the Auctioneer herein contained are
reasonable.
26. The property is believed to be and shall be taken as being correctly described,
but all Buyers are deemed to have verified such description themselves and any
incorrect statement, error or omission found in the particulars or Special Conditions
of sale shall not annul the sale or entitle the Buyer to rescind the contract, nor shall
the Buyer claim to be allowed any compensation in respect thereof.
27. No objection or requisition shall be raised as to the permitted user of the property
for the purposes of the Town and County Planning Acts or any Act or Acts for the
time being amended or replacing the same and nothing herein contained shall be
deemed to constitute any warranty by any Seller or the Auctioneers that a property
or any part thereof is authorised under the Town and County Planning Acts for use
of any specific purpose.
28. The only representation as to passing rents upon which the Buyer may rely are
those contained in the Special Conditions of sale or replies to Tenancy Enquiries
made available by the Seller’s solicitors at or prior to the auction (if any).
29. If a property is let no representation is made or is to be implied as to the existence
or otherwise of any sub-tenancy.
30. No representation or warranty is made or to be implied as to the ownership of
any chattels or installations in the property but the Seller and Buyer shall jointly
and severally indemnify the Auctioneers against any third party claims of whatever
nature in respect thereof.
