incorporate the revision to the tender document. This corrigendum to be read in
conjunction with the tender document attached herewith.
Due date for submission of tender to 26-03-2015 @ 3.00 PM
Scope of Inspection: Inspection of materials at various HPCL depots would be allowed
upto 25-03-2015. Inspection should be done on week days (from Monday to Friday),
except holidays, if any, between 0930 hrs and 1530 hrs.
The revisions are as mentioned below:
1. The lubricants in small packages upto 25 litre/Kg capacities, will be bulked at the time of delivery
to the Successful Bidder. HPCL shall empty the contents of the small packages, present in the
lot, into container/s brought by Successful bidder at their own cost, before the product is taken
out from HPCL Locations. Small packages empty containers shall be retained by HPCL and
will not be handed over to the successful bidder.
2. Changes in “Draft of Undertaking” by addition & deletion of clauses as given below:
Addition: That we shall Indemnify HPCL from any / all claims; disputes; damages that may
arise due to sale of the lubricants/Greases, procured by us against this tender on “as is where
is basis”, to our customers.
Deletion: That if contract is awarded to me/us, we will not resell these products in brand name
of Hindustan Petroleum Corporation Limited in any form whatsoever.
3. BIDDERS WHO HAVE ALREADY SUBMITTED THE BID, ARE REQUIRED TO MANDATORILY
SUBMIT THE REVISED UNDERTAKING BEFORE THE EXTENDED DUE DATE.
All prospective Bidders are advised to read the corrigendum in conjunction with the tender
document attached herewith, inspect the product and submit offer. Inspection of materials at
various HPCL depots would be allowed upto 25-03-2015.
Bidders, who may have already submitted their Bids, may inspect the product again and resubmit
their Bid in line with the corrigendum and Tender document attached herewith, if they wish to.
Inspection of materials at various HPCL depots would be allowed upto 25-03-2015. In such a case,
only the revised bid shall be accepted and considered for evaluation. However, the EMD attached
to the original bid shall be accepted.
All other terms and condition remains the same as the original Tender document and corrigendum.

1. Clause No. I (vii) of Annexure 3 of Tender Terms and Conditions. Irrespective of offer
submitted for any number of lots and any number of locations, Earnest Money Deposit

2. Clause No 12 of Annexure 3 of Tender Terms and Conditions “While handing over the
product the grade name may be defaced suitably by HPCL” is removed/ deleted.

ANNEXURE – 1
Dear Sirs,
HPCL invites your Highest Offer in sealed envelope (in Two Bid system, i.e. Unpriced Bid
and Priced Bid) as per the prescribed format for sale of stock of Lubricating Oils &
Greases from our various depots across the country on “As is where Basis is”.
The bidders who intend to submit their bid are requested to quote in the price bid as per
Annexure 4. Tenderers are requested to carefully go through all the terms and conditions
before submitting their quotations.
Bidders are required to submit offer in two parts namely "UNPRICED" and "PRICED”. Quotations
in sealed envelopes separately for Priced and Unpriced bids duly super scribed with tender
number and the two envelopes should be put in one common sealed envelope duly superscribed
with the tender number and the same should be submitted on or before due date and time.
If filled Priced Bid is found to in the un-priced bid envelope, the Bid shall be rejected.
All the pages of the documents enclosed with the offer as well as supporting documents
submitted by the bidder shall be signed and stamped by the Tenderer. The bidder, will
be required to submit undertaking as per enclosed draft (Annexure 6) on Non-judicial
Stamp Paper of Rs 100/- along with the unpriced bid. If the Unpriced bid is received
without above mentioned undertaking, the bid will be liable to be rejected.
An Index of the whole set of Tender Documents including all attachments with respective
page nos. is to be attached as first page of your Bid Response.
Tender (sealed envelope) should be dropped in “Tender Box for Direct Sales”
located in the Ground Floor at Hindustan Bhawan, Hindustan Petroleum Corporation
Limited, Hindustan Bhavan, 8, Shoorji Vallabhdas Marg, Ballard Estate, Mumbai - 400

The Bid should be submitted in English, and the Rate and Amounts should be quoted in
both in figures as well as in words. The rates and amounts quoted by the Tenderer in the
Priced Bid for each item shall be in such a way that insertion is not possible. The total
tendered amount should also be indicated both in figures and words with the signature of
tenderer.

If some discrepancies are found between the Amount given in words and figures

Late Tenders / Delayed Tenders received after the due date and time, will be rejected

Agreement, the said clause, as interpreted by HPCL, will be considered applicable and

INSTRUCTIONS TO BIDDERS

ANNEXURE -2
1. BIDDING DOCUMENT: Tenders are invited in TWO BID SYSTEM in prescribed
format (to be downloaded from website www.hindustanpetroleum.com) from
reputed bidders.
2. SUBMISSION AND OPENING OF BID: This is only a Price Enquiry (Invitation to
Offer) and not an Order.
3. VALIDITY OF OFFER: Bid submitted by Bidder shall remain valid for a minimum
period of 120 days from the due date/extended due date for submission of Bids. In
case of Bidders revoking or cancelling their Bid, HPCL shall reject such Offers and
forfeit Earnest Money paid by them.
4. BID CLARIFICATIONS/AMENDMENTS BY HPCL: HPCL may issue
clarifications/amendments in the form of addendum/corrigendum during the bidding
period
on
our
website
www.hindustanpetroleum.com,
For
the
addendum/corrigendum issued during the bidding period, bidders shall confirm the
inclusion of addendum/corrigendum in their bid. Bidder shall follow the instructions
issued along with addendum/corrigendum. Any further corrigendum to the
tender shall be issued on HPCL website www.hindustanpetroleum.com.
5. RELATIVES: (as per list enclosed) of officer/s responsible for award and execution
of this contract in the Oil Company are not permitted to quote against this tender.
The tenderer shall be obliged to report the name/s of person/s who are relatives of
any officers of the Oil Company or any officer in the State or Central Government,
and who are working with the tenderer in their employment or are subsequently
employed by them. Any violation of this condition even if detected subsequent to
the award of contract, would amount to breach of contract on tenderer’s part
entitling the Oil Company to all rights and remedies available thereof including
termination of contract.
6. SUBMISSION OF EMD AND INTEGRITY PACT : Prior to detailed evaluation of
price bids HPCL shall determine whether each unpriced bid is (i) Accompanied by
EMD & Integrity pact as specified in the Notice Inviting Tender . (a)Bids without
EMD and Integrity Pact as specified in the Notice Inviting Tender shall be rejected.
(b)EMD and/or Integrity Pact if placed inside the price bid envelope then the offer
will be treated as bid without EMD and/or Integrity Pact and will be rejected.
7. RECEIPT OF BID: Bids received late i.e. after due date and time, due to any
reason(s), including postal delays, whatsoever, shall be rejected. Late and rejected
bid and representative of such bidders shall not be allowed to attend the bid
opening.

1) Earnest Money Deposit (EMD):
a) Tenderer will have to pay Earnest Money Deposit (EMD) as mentioned in
the covering letter or elsewhere in the tender document. EMD should be paid

of product value against Purchase Order placed on them and upliftment of
product.
g) EMD will not carry any interest.
h) EMD will be refunded by Cheque.
i) EMD is liable to forfeiture in the event of :
i. Withdrawal of offer during the validity period of the offer.
ii. Non-acceptance of orders when placed.
iii. Non-confirmation of acceptance of orders within stipulated time after
placement of orders.
iv. Any unilateral revision made by the tenderer during the validity period of
the offer.
v. Non-execution of the document after acceptance of the contract / order due
to any dispute of the tenderers or any reason whatsoever.
vi. Non upliftment of product within the stipulated time period.
vii. Irrespective of offer submitted for any number of lots and any number of locations,
Earnest Money Deposit amount shall remain Rs. 50,000/- per Bidder.
2) Withdrawal of Bid during the validity of the offer of 120 days, will entail action against
the bidder as per HPCL Purchase policy.
3) Scope of Inspection: The inspection of materials at various HPCL depots would be
allowed wef from 3rd Feb 2015 till the day before close of tender i.e 12-03-2015 26-032015. Inspection should be done on week days (from Monday to Friday), except
holidays if any during the period from 03-02-2015 to 11-03-2015 25-03-2015 between

0930 hrs and 1530 hrs. If you wish to inspect the stocks at the depot, prior intimation
should be given to the depot in charge concerned. The depot locations’ addresses and
the contact Telephone no. are as per Annexure 7. Tenderer would be required to
uplift the material strictly on “As is Where is Basis”, ex depots (transportation to be
arranged by the successful bidder ex depot) and the successful bidder need to make
payment for the entire quantity in advance.
4) Tenderers have to submit an undertaking on a non-judicial stamp paper of Rs
100 , duly notarized (at time of submission of offer along with the unpriced bid) for
the following :
a. About your credentials i.e. Name, Address, Fathers name, Firms name, PAN
No.
b. That you have seen the condition of all products (in this tender) and that you will
not make any claims for compensation/and stay firm on your offer, in case of
leakage / deterioration in quality due to handling / storage from time of this tender
up to actual upliftment.
c. That if contract is awarded to you, you will not resell these products in brand
name of Hindustan Petroleum Corporation Limited in any form whatsoever.
d. That you will not make any claim whatsoever on HPCL with respect to the
material awarded to you once the lot is uplifted from our depot and that you
indemnify HPCL from any damage or claim that may occur to you with respect to
the material uplifted by you from our depot.
5) EVALUATION OF TENDER: Offer should be for individual depot wise, lots wise. The
offers will be evaluated basis “Depot wise - lot wise highest bidder” (H1 party)
for award of contract. The lots are segregated and assigned with lot numbers.
Bidder can quote for one or more depot(s) and one or more lot(s).
Vendor
submitting offer for more than one depot, should submit Annexure 4 (Price Bid)
separately for each depot in common price bid envelope. Any offer received
without specifying the depot(s) name and lot number details will be summarily
rejected.
6) Validity of offer from Tenderer: The rates quoted offered against this tender shall be
valid for a period of 120 days from due date/ extended due date of tender.
7) Acceptance of Tenders: HPCL reserves the right to accept any tender in whole or in
part or reject any or all tenders without assigning any reason. The decision of HPCL in
this connection shall be final. Bids that do not meet the Tender Terms and
conditions are liable to be rejected.
8) The rate quoted should be Basic price in Rs. per lot, Taxes (and local levies, if
any) will be added extra as applicable. The price quoted should be for the total
volume/weight of the lot and no “pick & choose” will be permitted within the lot.
9) The product will be sold on “AS IS WHERE IS BASIS” and the successful tenderer
shall be make arrangement at his own cost for loading and transportation of the
product.

10) Any other Government Levies that are applicable is payable by the successful
Tenderer to HPCL.
11) The successful party/parties shall be required to uplift the material within one month
after intimation, failing which the EMD shall be forfeited.
12) While handing over the product the grade name may be defaced suitably by HPCL.
13) Sub-leasing: The successful tenderers shall not be allowed or entitled to sublet,
subcontract or assign any part of the order without the prior written consent of HPCL.
14) Interpretation: In case of any lack of clarity/ inconsistency/ ambiguity in the meaning
or interpretation of any Bid submitted to HPCL or any Terms and Conditions or words
in the tender document, then the interpretation of HPCL regarding the same shall be
final and binding on all parties.
15) Payment Terms: Payment would be required to be deposited by successful bidder
atleast one working day in advance from the date of Upliftment through DD from any
of the scheduled bank payable at __________ (Depot location of upliftment) in favour
of Hindustan Petroleum Corporation Limited. The payment has to be made at the
depot from where the stock is to be uplifted.
16) Force Majeure: Force Majeure clause will be applicable on both sides. However, in
case of force majeure the concerned party shall inform the other party in writing within
21 days of the happening of the force majeure occurrence. The accepted definition of
force majeure will be as “Acts of God, war declared or undeclared, Civil Commotion,
Natural Calamities (like floods, Earthquakes, Epidemics etc.) Strikes, Lockouts,
Statutory restrictions effecting deliveries, fires, explosions, Acts of enemy agent etc.”
17) In case of any dispute the decision of the HPCL, shall be final and would be binding
for execution.
18) Arbitration:
(a) All disputes and differences of whatsoever nature, whether existing or which shall at
any time arise between the parties hereto touching or concerning the agreement,
meaning, operation or effect thereof or to the rights and liabilities of the parties or
arising out of or in relation thereto whether during or after completion of the contract or
whether before after determination, foreclosure, termination or breach of the agreement
(other than those in respect of which the decision of any person is, by the contract,
expressed to be final and binding) shall, after written notice by either party to the
agreement to the other of them and to the Appointing Authority hereinafter mentioned,
be referred for adjudication to the Sole Arbitrator to be appointed as hereinafter
provided.
(b) The appointing authority shall nominate an officer/ retired officer of Hindustan
Petroleum Corporation Limited (referred to as owner or HPCL) or a retired officer of any
other Government Company in the Oil Sector of the rank of Chief Manager & above or
any retired officer of the Central Government not below the rank of a Director to the
Govt. of India, to act as the Sole Arbitrator to adjudicate the disputes and differences
between the parties. The contractor/vendor shall not be entitled to raise any objection
to the appointment of such person as the Sole Arbitrator on the ground that the said
person is/was an officer (employee) and/or shareholder of the owner, another Govt.

Company or the Central Government or that he/she has to deal or had dealt with the
matter to which the contract relates.
(c) In the event of the Arbitrator to whom the matter is referred to, does not accept the
appointment, or is unable or unwilling to act or resigns or vacates his office for any
reasons whatsoever, the Appointing Authority aforesaid, shall nominate another person
as aforesaid, to act as the Sole Arbitrator.
(d) Such another person nominated as the Sole Arbitrator shall be entitled to proceed with
the arbitration from the stage at which it was left by his predecessor.
(e) It is expressly agreed between the parties that no person other than the Appointing
Authority or a person nominated by the Appointing Authority as aforesaid, shall act as
an Arbitrator. The failure on the part of the Appointing Authority to make an
appointment on time shall only give rise to a right to a Contractor to get such an
appointment made and not to have any other person appointed as the Sole Arbitrator.
(f) The Award of the Sole Arbitrator shall be final and binding on the parties to the
Agreement. The work under the Contract shall, however, continue during the Arbitration
proceedings and no payment due or payable to the concerned party shall be withheld
(except to the extent disputed) on account of initiation, commencement or pendency of
such proceedings.
(g) The Arbitrator may give a composite or separate Award(s) in respect of each dispute or
difference referred to him and may also make interim award(s) if necessary.
(h) The fees of the Arbitrator and expenses of arbitration, if any, shall be borne equally by
the parties unless the Sole Arbitrator otherwise directs in his award with reasons. The
lumpsum fees of the Arbitrator shall be ` 70,000/- per case for transportation contracts
and 1,00,000/- for engineering contracts. Reasonable actual expenses for
stenographer, etc. will be reimbursed. Fees shall be paid stage wise i.e. 25% on
acceptance, 25% on completion of pleadings/documentation, and balance 50% on
completion of arguments and receipt of award by the parties.
(i) Subject to the aforesaid, the provisions of the # Arbitration and Conciliation Act, 1996
or any statutory modification or re-enactment thereof and the rules made thereunder,
shall apply to the Arbitration proceedings under this Clause.
(j) The Contract shall be governed by and constructed according to the laws in force in
India. The parties hereby submit to the exclusive jurisdiction of the Courts situated at
Mumbai for all purposes. The Arbitration shall be held at Mumbai and conducted in
English language.
(k) The Appointing Authority is the Director Marketing of Hindustan Petroleum Corporation
Limited.

Declaration regarding providing correct information and
undertaking in case it is found incorrect or false
We hereby declare that the entire information furnished/ given to you in our bid and
attachments are true to the best of our knowledge and belief and nothing therein is false.
We further undertake, that if it is found during the tender stage (before accepting our bid/
placement of Purchase Order by HPCL) that any information or document furnished/
submitted by us is false or incorrect, then we agree that HPCL shall be free to reject our
tender/ bid. If the same is found to be false or incorrect during any stage after accepting of
our bid/ placement of Purchase Order, then HPCL shall have the right to summarily cancel
our tender and procure the balance quantity from any alternate source. HPCL shall have
the right to recover the differential amount between the rates of our contract and the rates
at which HPCL is compelled to procure from the alternate source, if the latter rate is
higher. To this effect, the recovery can be made by HPCL by encashing any bank
guarantee that we may have submitted or from any pending bills under this contract or any
other contract with HPCL.
