Dear Ms. Salazar:
Attached please find an "Amended Letter of Engagement for Legal Services". As you are
aware, there have been discussions about expanding the scope to include further investigation
concerning conflicts of interest that may have existed with Hidalgo County Drainage District No.1 and
Integ Corporation. Recently, I sent a proposed "template" concerning the possible distinction of the
scope of work. I have not received confirmation that it was acceptable. Notwithstanding, if it is
acceptable and should be included in an "Amended Letter of Engagement for Legal Services" we will
do so. However, it will require additional time to complete. I will have my report concerning my
original work assignment to the Hidalgo County Drainage District No. 1 Board on or before May 19,
2015 as set out in the "Amended Letter ofEngageplent for Legal Services".

As a follow up to our most recent telephone conference, this Memorandum will confirm the
foltowing:
In 2014 the Hidalgo County Drainage District (District) retained The Lee Firm, A Professional
Corporation (The Lee Firm) to investigate and evaluate the contract that was entered into between
Integ Corporation (Integ) and the District as it related to compensation paid to Integ, related to the
Hidalgo County Master Drainage System Phase II and the federal Border Infrastructure Improvement
Project. Currently, The Lee Firm has been working within that scope guidelines. However, the
District wishes to amend the scope of the contract between itself and The Lee Firul. The District
requests The Lee Firm to expand tile scope of its professional evaluation and to analyze any potential
conflicts of interests related to Integ, Godfrey Garza and the District as well as contractors who had
contracted with the District. As a result, the District authorizes The Lee Firm to file a Petition to
Investigate under Texas Rule of Civil Procedure 202 in order to request a Presiding Judge that the
District be allowed to take depositions under oatil and gather facts and evidence through such
discovery in order to determiue whetl1er or not there are in fact potential conflicts. The District
requests The Lee Film to investigate any potential conflicts of interest involving any contract or
subcontracts related to both the District, more specifically Hidalgo County Master Drainage System
Phase II, as well as the federal Border Infrastructure Improvement Project. If the Presiding Judge will
allow such investigate discovery to proceed forward, The Lee Firm will do such and will provide the
District with any analysis of any conflicts of interest revealed by its discovery and investigation. Also,

Attached for your review and comment is the latest correspondence received f rom Hon. Michael Lee in response to e-mail sent to the firm
on 01-22-2015 as a result of action taken by the Board at it's meeting of 01-20-2015. I was very specific to the "draft" amendment
document the firm need ed to submit incorporating all the issues discussed and approved by the Board. We sent the firm numerous
notices via e-mail and phone calls from 01-28-15 until 02-03-15 without any response. We have received a response (attached) . In it,
Hon. Michael Lee, states he acknowledges receipt of the request the amendment and accepts all items EXCEPT for the one which requests
additional services regarding "conflict of interest.... ".
1 am requesting some direction and response from the Board as it concerns the following:
1. Can we ask Mr. Lee to incorporate all he acknowledges and accepts into a draft Amendment to his current agreement so as to present
to the Board for action/approval?
2. As we cannot rely on either the DA's Office or Atlas, Hall & Rodrigu ez for assistance, who is going to pro vide Mr. Lee with the more
"specific/detailed" scope of work/direction In connection w ith the co nflict of interest matter on the Board's agenda of 01-20-15? In
addition, it appears that Mr. Lee is also alluding to the possibility of more t ime necessary to add ress th e co nflict of interest issue.
Please advise as to how to proceed? We need to address these issue asap. I am aware that a meeting is set for Monday, February g,
2015. Do you w ish t o place an item t o settle th ese issues and perhaps Invite Hon. Michael Lee to be present and finalize this situation.

Receipt of yOW' correspondence of Januru'y 22, 20 15 containing "proposed amendments" to my
cW'rent Letter of Engagement with the Hidalgo County Drainage Dishict No. I is hereby
acknowledged. I have reviewed it and I accept all of the "proposed amendments" except the new
proposed amendment in paragraph 3 of your e-mail correspondence relating to paragraph 1 of the
Letter of Engagement which states: "AMEND: Original ' scope of services' as defined in HCDD#IBOD meeting agenda of 01-20-15 (AI#48184): ' .... .conflict of interest issues that may have occurred in
awru'ding of contracts on HCDD#1 projects between 2007-2014' as it relates to Integ, Inc. and subcontractors engaged by District awarded contractors". UnfOltunately, this is too broad of a description
and I cannot detelmine what is the scope and whether 01' not it would be acceptable. FUithermore, I
need to have specifics in order to confirm the time that has been allotted for tins investigation process.
Therefore, please be more specific.
