DEED OF TRUST
The Deed of Charitable Trust executed on this 7thday of April 2015 at Kottayam by M. N.
Radhakrishnan Nairaged 59retired Superindent of KSRTC, Son of Late G. Narayana Pillai
Sreeragam, Madappally P. O., Changanasserry, now residing atAjai smruthi, TRWA – 40,
Thirunakara, Kottayam district election ID No. KL/13/089/276848 and Smt. K. S. Geetha w/
o said M. N. Radhakrishnan Nair election ID No. KL/13/089/276851 and others here in after
called the Authors of the Trust, on this 7th day of April 2015.
Where as the above mentioned persons are desirous of establishing a trust for various
charitable purposes which are laid down here after in this deed for the benefit of all persons
irrespective of cast, creed, colour, religion, language or any other denominations, it is here by
the authors of the trust as follows.
NAME OF THE TRUST
Name of the trust shall be – “AJAI SMRUTHI CHARITABLE TRUST”
Office of the trust
The registered office of the trust shall be in the first instance at Thirunakkara AJAISMRUTHI
BUILDINGS, Kottayam, owned and in the possession of Sri. M. N. Radhakrishnan Nair
Municipal House No. 415 in the XXI ward, Pin-686001 and may be changed to any place in
Kottayam district, as will be decided by the Trustees in the manner provided here in after.
Objects
The following will be the objects of the trust.
1. To provide all sorts of help to the poor and neglected children of the society for their
education and livelihood.
2. To provide medical help to the patients who have no one else to help.
3. To run mobile clinic and ambulance services for the helpless and low income groups.
4. To conduct programmes for the education, welfare rehabilitation livelihood
and development of the Tribals
5. To run hospitals, orphanages, old age homes and such charitable institutions
for the welfare of the very poor and helpless.
6. To take up programmes sponsored by the state and central Governments and
local bodies for the welfare of the suffering.
7. To engage in any activity that leads to uplift of the poor and destitute.
8. To organize camps, courses, exhibitions, seminar etc. for achieving the objects
of the Trust.
9. To publish books, journals, bulletins etc.
10. To run cultural centeres like libraries reading room etc.
Working fund& Initial Capital
Initial Capital of the Trust is Rs. 10000/- (Ten thousand only) which is invested by the
Principal Managing Trustee and the same is kept in the safe custody of the Treasurer.
The donations, gifits, grants, subsidies, annuities, endowments and other aids in cash, in
kind from the members of the trust and other well wishers and the income that generates
from any of the activities of the trust shall be the working fund of the trust.

Power of the Trustees
The board of trustees may frame rules by simple majority, for the administration of the
trust. The board of trust are empowered to do the following inconformity with the objects
of the trust.
I (a)
To accept or receive loans, endowments, gifts, grants, donations, contributions or
subscriptions in cash or inkind from any person, groups, families, organisations,
Government, local bodies or trusts with or without conditions.
II
Administration of the trust
Administration of the trust is vested on the board of trustees. All matters pertaining to the
administration of the trust shall be considered by the members present at the board
meeting.
III
Office bearers
Administration of the trust is vested on the board of Trustees and for the smooth
administration of the trust, it shall have two managing trustees, secretary and a treasurer.
The second managing trustee will hold the power of treasurer and will act accordingly.
The managing trustees are the life long members of the trust.
IV
Election
The secretary shall be elected from among the trustees with simple majority.The term of
office is limited to three years uninterruptedly. The managing trustees are the life long
members of the trust and there is no change upto their death. Any of the managing trustee
or both died, the board of directors shall be elected from among the trustees for the post
and their term of office is also limited to three years uninterruptedly. Trust members shall
elected from among the working committee.Working committee shall constituted later
with the help of local residence associations and others for supporting and helping in the
day today affairs of the trust, in which not more than 35 members. The convenor of the
working committee can also participate in the Trust Board meeting with right of
presenting proposals before the Trust.
V
Powers of the office bearers
(a) Ist and IInd managing trustees
The first and second managing trustees shall have all powers of general supervision and
control over all affairs of the trust. The first managing trustee (the principal managing
trustee) shall be presiding over all meeting of the trust and in the absence of him the
second managing trustee shall be presiding over all the meeting of the trust. The first
managing trustee shall have the power to sign on behalf of the trust in all documents and
in his absence the second managing trustee shall also have the same power and it will
ratify by the first managing trustee.
(b) The Secretary
The secretary shall convene all meeting of the trust, shall implement all the decisions of
the trust, shall present the yearly report and accounts before the Board, look after the
properties of the trust, prepare minutes of the meetings and keep the accounts of the trust,
shall be the custodian of all the properties of the trust, movable and immovable, shall
attened to the correspondence of the trust and shall look after the day today matters of the
trust. All the above powers can utilise and implement only in consultation and approval of
the managing trustees.
(c)
Treasurer
The treasurer shall collect all the dues of the trust and make all payments. He/She shall
invest all the money in his/her possession over and above 10000/- (Ten thousand only) in
the bank. Withdrawals on behalf of the trust from the bank account shall be made only on
the joint signature of the first managing trustee and the treasurer.
(d)
Assistant secretary
Assistant secretary shall elected from among the trust members for assisting the secretary
and in the absence of the secretary he has the full power of the duties and responsibilities
of secretary.
Term of membership
The term of membership of each trustee except the managing trustees ends as the
completion of three years. Sri. M. N. Radhakrishnan Nair and K. S. Geetha (both
managing trustees) are the lifelong members of the trust and no election for that
persons.Both of them are the promoters of the trust.
In order to avoid the term of all the members end together (except managing trustees) one
third of the members as decided by the board, retire on the end of the year from the
formation of the trust, and another one third, as decided by the board retire at the end of
the second year from the formation of the trust.
VI
Accounting
Double entry system of accounting shall be follow for the smooth accounting system for
the trust. Financial year shall be the accounting year of the trust.
VII
Auditing
The board of trustees shall appoint a competent auditor other than the trustee to audit the
accounts at the end of every year.
VIII
Operation of Bank account
The first managing trustee and treasurer shall operate the bank account jointly in a
nationalized bank decided by the Board of trustees. In the absence of either of them any
trustee authorized by the board of trustees shall jointly operate the account. If any of the
managing trustee died, then a managing trustee shall selected from among the trust
members for that post. In such case juniormost managing trustee shall have the power of
treasurer.
IX
Resignation
Any trustee can resign at any time with the permission of the Board of trustees.
X
Meeting of the board of trustees
The board of trustees should meet at least once in sixmonths,but conduct three meeting in
a calendar year. Trustee with a seven days notice in writing to each of the trustees is
necessary. In case of emergency the first or second managing trustee shall summon the
meeting waving the stipulated seven days notice. Both Patrons have full right to
participate in any body of the Trust and working committee, and Chief patron have
voting right in the Trust meeting and working committee.
XI
The Quorum
The quorum of the meeting of the trustees will be simple majority of the existing
members. If the number of trustees present for the meeting falls short of this number, the
meeting shall be stand adjourned for one hour, there after the trustees present shall be the
quoram (at least four member’s should be present).
XII
Minutes of the meeting
Minutes of the matters discussed and or decided upone at the meeting shall be recorded
and shall be signed by all trustees present.
XIII
Day to day meeting
The secretary shall meet with managing trustees or consult with them for deciding matters
of the day to day affairs for the smooth administration and running of the institutions of
the trust.
XIV
Casting vote
All decisions relating to the administration or any other matters of the trust shall be made
by a simple majority of the trustees in the meeting, the managing trustee who presided
over the meeting shall have a casting vote in addition to his/her normal vote in case of tie.
XV
Non-profit making
The trust shall carry on its works and keep its assets strictly on non-profit making and the
income and property of the trust shall solely be utilised towards achievements of the
objects of the trust and no portion thereof shall be paid or transferred directly or indirectly
by way of dividend or bonus or otherwise to the trustees or any one related to them.
XVII
Subscription
Monthly subscription of every trustees except managing trustees, is Rs. 500/-. Both
managing trustees should invest a minimum of Rs. 15000/- per head to the trust fund in
every year till the trust survive of its own income.
XVIII No salary
The trustee shall not be eligible for any salary, allowances or any other remuneration for
the work rendered by them for the trust. However expenses incured by them for the trust
may be re-imbursed on proper evidence.
XIX
Assets
The assets and properties acquired or purchased by the trust shall be in the name of first
managing trustee of the trust.
XX
Commissioner of Income Tax
No amendment to the memorandum rules and regulations shall be made without the prior
approval of the commissioner of Income Tax having juriscliction over the case.
XXI
Irrecoverable
The trust is irrecoverable for all times.
XXII
If any member of the Trust or helping group (working committee) behaved or worked
against the interest of the Trust, the trust board can remove him/her with a simple
majority vote in the Trust Board.
XXII
Winding up
If for any reason it becomes impossible to carry on the activities of the trust in conformity
with the objects of the trust and it has to be wound up, no funds of the trust shall be
distributed among the trustees, their relatives or nominees and all the assets shall be
handed over to another trust of such nature or institution having similar objects or to the
Govt. of Kerala or to the Central Govt.
One duplicate copy is registered with this deed of trust.
This deed of trust is executed and signed at Kottayam village and intend to register at sub
registrar office, Kottayam. The trustees have signed this deed on the 7 thday of April 2015,
the place first above written.
