Contest Schedule. Contest begins April 3, 2015 at 12:00:00 a.m. Pacific Time (PT) and ends April 20, 2015 at 11:59:59 p.m. PT. 2. Eligibility. Open only to legal residents of the United States who are currently matriculated students (undergraduate or graduate) in good standing at the University of California-Los Angeles, 18 years of age or older, and who have a public Instagram account as of the Contest Start Date. Employees, officers, directors of Sponsor, its parent company, subsidiaries, affiliates, The Regents of the University of California, UCLA Store, or of any agencies/entities involved in the development/design/implementation of this Contest are not eligible. Members of the general public (i.e., all persons other than legal residents of the United States who are currently matriculated students in good standing at the University of California-Los Angeles, 21 or older, and have a public Instagram account as of the Contest Start Date) are also not eligible. Offered only in Los Angeles, California; void elsewhere and where prohibited by law. Participation in the Contest is subject to these Official Rules and Sponsor’s decisions, which are final and binding in all respects and not subject to appeal. To Enter. A. Form a Team comprised of yourself and one (1) – three (3) other persons. All Team members must be eligible as per Rule 2 above and the Team must collectively have a total of at least 1000 followers for their public Instagram accounts as of the date of Contest registration as per subsection (B) below. Select one (1) Team member as the Team Leader. NOTE: SPONSOR WILL ONLY COMMUNICATE WITH THE TEAM LEADER REGARDING A TEAM'S PARTICIPATION IN THE CONTEST. B. The Team Leader enters his/her Team in the Contest by sending an e-mail to [email protected] with “UCLA Life Unzipped Entry” in the subject line. The e-mail consists of (1) the following information for each Team member: his/her complete name, e-mail address, Class Year, academic major, and a link to his/her public Instagram account and (2) a statement of no more than 100 words regarding student life at the University of California-Los Angeles and what makes the Team the best choice to serve as JanSport's reporters for the UCLA JazzReggae Festival 2015. Tell us why your Team should be selected by JanSport as its reporters for the Festival. If a Team Leader believes Members of his/her Team would like to review the Affidavit of Eligibility, a Liability Release and a Publicity Release (where lawful) beforehand (should the Team be selected as the potential winner in the Contest), be sure to include “Affidavit/Release Requested” as part of the e-mail. 4. Entry Restrictions. There is a limit of one (1) entry (including statement) per Team; entry/statement may ONLY be submitted by Team Leader. Entry must be submitted in its entirety in the same Internet session; piecemeal or partial submissions are not allowed. Proof of submission of entry (including statement) does not constitute proof of receipt by Sponsor. Be sure that your Team is satisfied before submitting its entry/statement because once the statement is submitted, it CANNOT be modified, edited, altered or supplemented by Team. A given Instagram account may only be used by one (1) Team Member for purposes of participation in the Contest; and, each Team Member may only use a single Instagram account for purposes of Contest participation. An eligible person may only be a member of one (1) Team; and, each Team may have only one (1) Team Leader. Violation of the above restrictions may result disqualification of individuals and/or Teams from the Contest. Use of automated or programmed means of participation will also result in disqualification. Sponsor may acknowledge receipt of entries, but such acknowledgment shall not constitute any representation as to eligibility of entry. Any dispute as to the identity of Team Members or Team Leader will be resolved by Sponsor in its sole discretion. 5. Content Restrictions. Statement must comply with all of the following requirements as to its content (as determined by Sponsor in its sole discretion): (a) Content must be original and not copied, in whole or part, from any other source; (b) Content must be truthful in all material respects; (c) Content must not violate the rights of any third party; (d) Content must not be inappropriate or unfit for publication (e.g., include obscenity or hate speech); (e) Content must not have won an award or prize in any competition/contest or have been previously published on-line or elsewhere; (f) Content must not disparage Sponsor, its products, persons endorsing Sponsor’s products, the University of California-Los Angeles or The Regents of the University of California, or otherwise reflect unfavorably on any of the preceding; (g) Content must not advocate alcohol or drug use, violent or reckless behavior or any illegal activity; (h) Content must not espouse or promote any cause/concern other than the Contest theme of student life at the University of California-Los Angeles and why the Team should be selected by Sponsor to serve as JanSport's reporters for the UCLA JazzReggae Festival 2015. Sponsor grants Team Members a limited, non-exclusive right to use its JanSport trademarks solely for purposes of participating in this Contest in accordance with these Official Rules. At all times, as between Team Members and Sponsor, Sponsor shall be the exclusive owner of the JanSport trademarks. Such grant of rights will automatically expire on the Contest End Date. Any other use of Sponsor's JanSport trademarks constitutes an actionable violation of Sponsor's rights in same. 6. Grant of Rights in Statement. Team Members each grant to Sponsor and its designees (including The Regents of the University of California) the non-exclusive, irrevocable, perpetual, worldwide, royalty-free, transferable, sublicenseable right and license to use, perform, exhibit, reproduce and/or otherwise exploit their Team's statement in any manner and in any and all distribution channels, venues or media now known or hereafter devised, without further notice or any compensation to Team Member. Team Members each waive any “Moral Right of Authors” (Droit Moral) in the Team's statement. Team Members further agree, upon Sponsor’s request (or the request of its designee, the Regents of the University of California) and without compensation, to sign any and all necessary and appropriate documents so as to effect, perfect or record such grant of license rights. Team Members further expressly acknowledge that Sponsor and its designees (including The Regents of the University of California) do not owe him/her a duty of confidence (or fiduciary duty or the like) with regard to a Team's statement and that Sponsor and its designees (including The Regents of the University of California) have wide access to ideas, stories, and other literary/artistic materials submitted to each of them from outside sources or being developed by each of their own respective employees and that such ideas/stories/designs/literary/artistic materials may be competitive with, similar to (or even identical to) a given Team Member's statement and that Sponsor and its designees (including The Regents of the University of California) shall have no liability to such Team Member or any third party in conjunction therewith. 8. Selection of Winning Team. On or about April 21, 2015, Sponsor will select one (1) winning Team based on the following criteria: (a) persuasiveness of statement in convincing Sponsor that Team should serve as its reporters for the UCLA JazzReggae Festival 2015 (50%); (b) creativity and originality (30%); (c) total number of followers of Team Members' public Instagram accounts as of Contest End Date (20%). In the event of a tie, the Team with the higher/highest score based solely on the criterion of persuasiveness of statement in convincing Sponsor that Team should serve as its reporters for the UCLA JazzReggae Festival 2015 will be deemed the potential winner. 9. Notification of Winning Team. Team Leader of potentially winning Team will be notified via e-mail. For his/her Team to remain eligible to win the prize, Team Leader must respond to notification e-mail within (48) hours of transmission. Each Team Member of winning Team will also be required to complete, sign and return an Affidavit of Eligibility, a Liability Release and a Publicity Release (where lawful) [the Affidavit/Release shall include the Team Member's agreement to function as a JanSport reporter for the UCLA JazzReggae Festival 2015 without compensation of any kind other than the Grand Prize with the understanding that such position does NOT constitute employment by JanSport as well as additional restrictions] and perhaps other documents (e.g., proof of written consents from third parties who are referenced in Team's statement; confirmation of grant of rights in Team's statement) within (3) hours of receipt by Team Leader. (A copy of the Affidavit/Release will be made available for a Team's review beforehand if Team Leader specifically requests the Affidavit/Release when entering the Contest.) As a condition of prize award, Team Leader agrees to use best efforts to assist Sponsor in timely securing an Affidavit/Release from other Team Member(s). In the event of noncompliance with the Affidavit/Release requirement, if Team Leader of potentially winning Team cannot be reached for any reason (including failure to receive or timely respond to notification e-mail for any reason) or if Team is determined to be in violation of these Official Rules, all Team Members of such Team shall be disqualified and forfeit the prize without compensation of any kind. In case of prize forfeiture, an alternate winning Team will be selected as per Rule 8 above. 10. Prize. Grand Prize (1): opportunity for Team Members to serve as JanSport reporters for the UCLA JazzReggae Festival 2015 (scheduled for Saturday, April 25, 2015), a $150 credit redeemable for JanSport gear and apparel at the UCLA Store for each Team Member, one (1) $500 UCLA Store gift card. Total Approximate Retail Value of Prize: up to $1,100. $150 UCLA Store credits and $500 UCLA Store gift card will be awarded to Team after the Festival. To use $150 UCLA Store credit, each winning Team Member must arrange a meeting with UCLA Store representative to select JanSport gear and appeal. (Calculation of value of JanSport gear and apparel items for purposes of determination of amount of UCLA Store credit excludes taxes and sale prices.) JanSport gear and apparel items are subject to availability with respect to item size, style and color; Sponsor and UCLA Store expressly disclaim any liability in conjunction with JanSport gear and apparel items available for selection by winning Team Members. UCLA Store representative meeting is subject to availability, advanced notice requirements, and blackout dates; meeting must occur no later than ___________. $500 UCLA Store gift card will be awarded to Team Leader on behalf of Team. Once awarded to Team Leader, Sponsor shall have no further liability in conjunction with same; it is the sole responsibility of Team Members to consult with Team Leader as how $500 UCLA Store gift card will be used by Team. $500 UCLA Store gift card may only be redeemed at UCLA Store (not on-line) and is subject to terms and conditions as indicated thereon. For both $150 UCLA Store credit and $500 UCLA Store gift card, winning Team Member/Team (as applicable) will be solely responsible should purchases (in the case of $150 UCLA Store credit, selected JanSport gear and apparel items) exceed the applicable monetary amount. Sponsor reserves the right in its sole discretion to substitute prize element(s) of equal value if either the $150 UCLA Store credit or the$500 UCLA Store gift card is unavailable for any reason. With regard to opportunity for Team Members to serve as JanSport reporters for the UCLA JazzReggae Festival 2015, all winning Team Members must be available to attend the Festival scheduled for Saturday, April 25, 2015 at the Los Angeles Tennis Center in Westwood. If all winning Team Members cannot attend the Festival, the Grand Prize will be forfeited and an alternate winning Team will be selected, time permitting. Winning Team Members must collectively post to their public Instagram accounts and perhaps other social media platform(s) at least ten (10) different photos tagging @JanSport, @UCLAstore, #LifeUnzipped and #JanSportContest. At least five (5) of these photos must include an image of a JanSport pack (any style or size). Should winning Team not already own or have access to at least one (1) JanSport pack, Sponsor will provide JanSport pack to winning Team for filming purposes as part of the Grand Prize. Winning Team Members must at all times act in an appropriate and well-behaved manner, following all instructions of Sponsor, The Regents of the University of California and the organizers of the UCLA JazzReggae Festival 2015. Failure to do so may result in forfeiture of remaining elements of Grand Prize, ejection from the Festival, legal sanctions being imposed by Sponsor and/or disciplinary sanctions being imposed by The Regents of the University of California. Should Sponsor be unable to award this element of the Grand Prize for any reason, the remaining elements of Grand Prize shall represent Sponsor's entire liability to winning Team Members. For All Prize Elements: No prize transfer except with Sponsor's permission which may be granted or withheld in its sole discretion without liability of any kind. Applicable taxes and unspecified expenses in conjunction with prize acceptance/use are winning Team Member’s/winning Team's sole responsibility. 11. Releases. Where legal, by accepting prize, winning Team Members agree (and will confirm in writing upon request) to the use of their name, likeness, photo, voice, biographical information, image and other indicia of persona for advertising/publicity/trade purposes by Sponsor and its designees (including The Regents of the University of California) without further compensation or notice. The preceding includes the winning Team Members posting content from the UCLA JazzReggae Festival 2015 on their public Instagram accounts and/or via other social media platforms (as per Rule 10 above); it being understood that such posting must be in strict accordance with the instructions provided by Sponsor to the winning Team Members. By participating, Team Members release and agree to hold harmless Sponsor, its parent, affiliates and subsidiaries, The Regents of the University of California , UCLA Store, agencies/entities involved in the development/design/implementation of this Contest, and the directors, officers, agents, representatives, shareholders, employees, successors and assigns of any of the above organizations, as well as Instagram, from any and all liability arising from the Contest. The preceding includes but is not limited to damage to computer or mobile device (or information/data stored thereon) used by a Team Leader to enter the Contest, the integrity of information/data contained in any Team Member's Instagram account being compromised in any way, and/or the violation of any third party rights in conjunction with a Team's entry/statement and/or participation in the Contest. 12. Limitations of Liability. Sponsor’s computer is the official clock for the Contest. Sponsor not responsible for late, lost, garbled, incomplete, inaccessible, corrupted, misdirected, delayed or damaged entries/statements, regardless of cause, which are void; for technological, programming, electronic, Instagram filtering/functionality or other error/malfunction/failure of any kind which interferes with the advertising/offering of the Contest in any respect. Sponsor’s failure to enforce any provision of these Official Rules in a given instance shall not constitute the waiver of such provision. Tampering with the Contest in any manner will result in disqualification of Team Members and/or corresponding Team altogether (if and as applicable) and Sponsor may otherwise seek to protect its rights to the full extent allowed by law. If Sponsor determines in its sole discretion that the Contest – in whole or in part – cannot be conducted as originally planned due to any cause beyond its control (e.g., computer virus/bug, tampering, fraud), Sponsor may cancel, modify or suspend the Contest and select the potentially winning Team in a manner that Sponsor in its sole discretion determines is fair, appropriate and consistent with these Official Rules. Notice of such action will be posted on Sponsor's Instagram account, @jansport. 13. Dispute Resolution/Choice of Law. To the fullest extent permitted by law, Team Members agree that: (a) any and all disputes regarding the Contest or these Official Rules shall be governed by the internal, substantive law of the U.S. State of California (i.e., without regard to choice of law/conflict of law rules of California or of any other jurisdiction); (b) they are subject to the personal and exclusive jurisdiction of the courts of the United States District Court for the Northern District of California or California state court situate in Alameda County, California; (c) they waive any right of change of venue, inconvenient forum or the like; (d) any action will be brought by a Team Member individually (NOT as part of a class action with the sole exception that a court of competent jurisdiction may consolidate the actions brought by multiple Members of the same Team); (e) a Team Member's recovery in any such action is limited to actual costs involved in participating in the Contest (if any), with all rights to attorneys’ fees and any and all damages (including special, compensatory, punitive, consequential damages) being expressly waived. If the preceding or any other provision of these Official Rules is determined by a court of competent jurisdiction to be invalid, illegal or unenforceable, it shall be replaced by a substitute provision that most closely approximates the original intent of Sponsor and is valid, legal and enforceable. The invalidity/illegality/unenforceability of a given provision shall not affect the remainder of these Official Rules. 14. Winner's List. For winner's list (first and last initial of each winning Team Member), send a request via e-mail to [email protected] with “UCLA Life Unzipped Winner” in the subject line for receipt by April 21, 2015 at 11:00 a.m. PT. Winner's list will be available by April 24, 2015. Do not use this email address other than for the specified purpose (including but not limited to the submission of entries). Sponsor will not respond to such mislabeled communications.
