and thank everyone on our

Keep the HOA in mind
“When I have a client looking to buy a condo, I tether the conversation of the condo to also buying a business,
the business of the HOA. The HOA operates as a business - it has accounts receivable, accounts payable,
future debt services (maintenance), possible lis pendens, client issues (the homeowners), etc. Finding the
condo is easy. Matching it to a strong HOA is tougher. When the two both check out well, you got a winner.”

The importance of installed CO2 detectors
“Make sure the seller has INSTALLED CO2 detectors prior to the appraiser coming out. Appraisers have
been stopping appraisals and requiring a return trip to the home, even if the CO2 detectors are in the home
but not installed. It costs money and time at a critical point in the transaction, and it’s an easy problem to
avoid if you make it a regular part of any transaction. If there is any doubt whether the detectors have been
actually installed/plugged in, ask for a photo of the installed detector prior to the appraisal.”

Kim Adams, CCIM, of Coldwell Banker Commercial Danforth represented the buyer in a $33.8
million sale of the South Kitsap Medical Center in Port Orchard, WA and the Salmon Center
in Silverdale, WA. This medical office portfolio totaled 131,566 SF. Currently, the properties have approximately
20,000 SF of vacancy for which he will be handling the leasing. Kim Adams is a seasoned expert in commercial
real estate investment and leasing, and has closed over $43.8 million in Medical Office transactions in the past

CB Danforth’s Diane Ellis co-founded a nonprofit called
GO the Second Mile... www.GO2ndMile.org. We GO
the Second Mile on behalf of women and children
who are victims of poverty and oppression. Our goal
is to partner up with local indigenous organizations in
emerging nations who are making a difference in their
own communities.
This year we have put together a team of riders who are
doing a 200 mile bike ride, the RSVP (ride from Seattle

to Vancouver), as a fundraiser to help raise the funds
necessary to provide the material and resources for
our volunteers.

LEGAL REMINDER
The back and forth of counter-offers
There is sometimes that rare occasion where an offer
is made and the seller accepts it “as is” with no changes!
More often than not, however, the seller will counter
some aspect of the buyer’s offer and the parties may
counter back and forth several times before finally
reaching agreement on all material terms.
At times it happens that a counter is made, the
receiving party counters it back, then has a change
of heart and feels compelled to agree to the original
counter made. Bear in mind that once a counter has
been made, the previous counter is null and void. It is
as if it no longer exists.
By the time mutual agreement is reached, that
Purchase and Sale Agreement looks like artistic
graffiti with all those crosses, initials, circles and
dates. The problem is it can become so illegible that it
is completely unenforceable!
By using Form 36 on a regular basis you will have a
nice, clean contract where it will be easy to follow
the timelines for all counters to the P&S agreement.
This becomes especially important if things turn
adversarial, and we are trying to establish who
countered what, when, where and how! It is also
much simpler to use Authentisign or Docusign with
Form 36.
Let’s simplify the process using Form 36 Counteroffer
Addendum to the Real Estate Purchase and Sale
Agreement. This was created specifically to address
the inevitable counters that take place in real world
negotiating.
Per the boilerplate language of the P&S Agreement,
i.e. Form 21, if a counter is made and no specific
deadline is inserted, then there is a default 2-day
period during which the counter can be accepted,
countered or withdrawn. Remember, any time frame
of 5 days or less means business days only.
Form 36 can be used by either the buyer or seller
to request a change or revision to a P&S agreement
that has not yet been fully executed, i.e. mutual
agreement, has not been reached. For any changes
or revisions occurring after mutual agreement, please
use a Form 34. At that point you are modifying a fully
executed P&S agreement.
Remember, too, that the last party to sign the
addendum needs to be certain that it is delivered to
the other broker or the office of the other broker in
order to have effective delivery. Since most brokers
and their principals agree to use email delivery, the
counteroffer addendum in its final version must be
sent to both the broker’s email address, as well as the
office email address.
If it is sent to only one of the email addresses, effective
delivery has not taken place and that can mean the
difference between having a fully executed contract
or an open or expired counteroffer!

CBD experiences our best May yet
The one thing we are hearing over and over is how “CRAZY” this
market is right now... and not a good crazy either. Everyone is looking
forward to the day that the market gets more balanced. Hopefully,
the escalation of home prices will start driving more sellers into the
market. We are hearing over and over horror stories of multiple offer
situations... 10 or more offers on a property is not uncommon. Even
through all of this craziness, you were able to set a record for the
best May in CBD history. This was not an easy task in this market, but
it just shows how hard you are working. Congratulations!!

Instead of mentioning our terrific home warranty
program and how it can be placed on listed homes
during the sales cycle, I am going to discuss
another topic. I am not going to mention how a home
warranty is a great way for your buyer to contend in
a competitive market, since the warranty can be used
for covered items found in an inspection. Don’t expect
that I will mention how we don’t charge for out-ofoffice signings and that we can make a difference in
your business.
Kayla is someone who will work hard for you. She
is also someone who will make the rest of us work
hard for you too! If you need help with anything, just
let her know. She can order home warranties, order
title reports, provide you with transaction status
information, offer a bit of cheer or conciliation –
whatever she can do to help, she will.
This time, it’s all about Kayla. Kayla, Kayla, Kayla. She
supports our closers and our newest team member,
Valerie Prieto, (I have been told that if you want to
be successful in the real estate industry, you need to
have a Valerie on your team). Kayla is a very capable
