ASSET PURCHASE AGREEMENT
This ASSET PURCHASE AGREEMENT is made and entered
into as of November 14, 2014, by and among, on the one
hand, Seagate Systems (UK) Limited, a limited company
formed under the laws of England and Wales (“Seller”), and on
the other hand, Open Scalable File Systems, Inc., a nonprofit
California mutual benefit corporation (“OpenSFS”) and
European Open Filesystems SCE, a nonprofit Societas
Cooperativa Europaea registered in Munich, Germany
(“EOFS”) (each a “Purchaser” and collectively the
“Purchasers”). Certain capitalized terms used in this
Agreement are defined herein and in Exhibit A.
