Dear Vinter: It is a pleasure to invite you to participate in the 1st Annual Charles County Food & Wine Festival at Regency Furniture Stadium, Home of the Maryland Blue Crabs, 11765 St. Linus Drive, Waldorf, MD 20602, Saturday, August 8th, 2015 from 11a.m. ‐ 6 p.m. Gates open at 11 a.m. for V.I.P. admission and 12p.m. for General Admission. Harmonized with delicious foods, live music, dancing, distinctive crafts and regional artwork provides an idyllic venue to showcase your wines to eager wine enthusiast. We hope to attract up to 5,000 patrons to this inaugural event to: ‐ Taste Maryland, wines, ciders and meads ‐ Appreciate the unique artwork of local artists ‐ Nibble appetizing bites created by local chefs ‐ Enjoy the music of local musicians As a winery exhibitor, you will have the opportunity to promote your wines and winery to local residents of Charles County and the Washington D.C. Metro region. Once aware of your winery and the tastes of Maryland wines, the residents will often visit local wineries, tell their friends, and even take their visitors on winery tours. Exhibitors will also receive: ‐A 10'x15' exhibit space at no charge or commission ‐Concourse Location‐ no canopy needed (bring branded canopy if preferred) ‐4 Bags of Ice per vineyard ‐Complimentary guest tasting glasses, while supplies last ‐ A wine check at the Festival Welcome Center In our V.I.P. Lounge, we will offer a select number of wineries the chance to promote their wines in an exclusive setting along with free hors‐d'oeuvres in a private area with tables and seating. Tickets are limited to 600 V.I.P. patrons. Wine connoisseurs pay a premium to be in this special area of the festival. They enjoy early (11 a.m.) entry into the event. V.I.P. Wineries are featured on our website on the V.I.P. Lounge page and in our Festival Brochure in the VIP Lounge section, social media pages and in press releases and articles written about the event for local magazines and newspapers. V.I.P Lounge winery exhibit locations are limited and are available on a first come first served basis. A donation of four cases of wine is required for participation in the V.I.P. Lounge. If you wish to attend, please RSVP no later than Friday, May 15th, 2015 using the attached registration form or visit the winery page of our website at http://charlescountyfoodandwinefest.com/wineries. Once your winery is registered, you will be featured on our website at: www.charlescountyfoodandwinefest.com on our Participating Wineries page with a hyperlink to your website as well as mentioned on our social media pages. Additionally your winery and the wines you plan to pour will be featured in our Tasting Brochure which will be distributed to all attendees of the event. Upon receipt of your registration form, we will send you a confirmation letter regarding the day of the event. Each winery is asked to donate four cases of wine for each area of the festival they participate in (Main Tasting Area and/or VIP Lounge). There are no winery registration fees and tickets are not required for participating wineries. This License (sometimes referred to as the "Agreement") is entered into this _________ day of __________________________, 2015 by and between AIDEN
Investments, LLC, as Licensor, and _________________________________, having a principal office or residence at ______________________________________ as
Licensee. Whereas, Licensor desires to continue to promote the general welfare of Charles County and the surrounding region by conducting various, musical, educational and

Whereas, Licensee desires to participate in the Festival as a Wine vendor or exhibitor, subject to and in accordance with this License.
Now, therefore, for good and valuable consideration, the receipt and sufficiency of which are acknowledged, the Licensor and Licensee hereby agree:
1. Revocable License: Subject to the terms of this License, the Licensor hereby grants to Licensee, and Licensee hereby accepts, this revocable License to display and
sell the Licensee's products as the Festival (such products being generally described or shown on Licensee's Wine Festival Registration). This License is subject to the

to time. Licensee agrees to comply with this License and the Rules and Regulations, as they may be amended from time to time. Licensee understands that this
License creates no tenancy, present interest, or any other estate in favor of License and that Licensor may revoke this License and the rights under it at any time for
any reason whatsoever. If revoked, Licensor agrees to raise no objection thereto and to fully and immediately comply with Licensor's instructions relating to
revocation.
2. Release of Licensor and Indemnification: Licensee hereby releases and agrees that none of AIDEN, Investments, LLC, Regency Furniture Stadium, The Maryland
Blue Crabs, the Town of Waldorf, The Charles County Board of Commissioners, The County of Charles, nor any of their respective parents, affiliates, or subsidiaries,
or anyy of their respective

((collectively,
y, the "Licensor Parties")) shall have or
incur any liability or loss whatsoever arising out of or in connection with Licensee's participation with or at the Festival including without limitation any injury or
damage to it or any person, any person employed or retained by it, or any property including any property of it or used or enjoyed in connection with the Festival,
including without limitation any products displayed by it. Licensee hereby agrees to be responsible for and to indemnify and hold harmless each of the Licensor
Parties from against any and all claims, actions, demands, expenses, liabilities, losses, injury or death to persons, or damage to or loss of property, arising out of or in
connection with this License or the Festival and regardless of any actual or alleged negligence of any of the Licensor Parties. The provisions of this paragraph shall
survive expiration or termination of Licensee's involvement with the Festival.
3. Permits & Licenses; Requirements with Law: Prior to the serving of any Products, Licensee shall at its expense timely obtain and it shall maintain all governmental
approvals, permits,

permits authorizations,
authorizations and licenses to permit it to participate and offer and sell its products at the Festival in accordance with the requirements of law
including, but not limited to, Maryland State Tax numbers and authorizations as well as Off Premise Tasting Permits. Proof that License has been obtained all such
permits and authorizations shall be delivered to the Licensor and Licensee shall be solely responsible for the timely collection and report and payment of all Maryland
State sales taxes. None of the Licensor Parties shall have any responsibility or liability for Licensee's failure to comply with the provisions of this paragraph. Licensee
shall predominantly display its tax identification number at its designated location at the Festival at all times, and prior to the Festival day provide Licensor with a
current and accurate copy. In addition to the foregoing, Licensee agrees to fully and timely comply with all applicable laws, rules and regulations relating to its work
or participation at the Festival.
4. Standard Qualityy & Exhibitor Personnel: Licensee shall at all times keep

p and maintain a neat and clean appearance

participating in the Festival, including other vendors and visitors. Licensee shall not during the Festival or within the two‐hour period prior or after it consume any
alcoholic beverages. Licensee agrees that at all times during the Festival shall keep the area designated to it by the Licensor in safe, attractive, neat, and clean
condition. All vehicles, packing containers, excelsior and similar materials are to be removed from the exhibit area upon completeion of the set up and prior to the
opening of the Festival and otherwise safely deposited and secured. 5. Hold‐Harmless Clause and Insurance: Licensee participating in the Festival shall name AIDEN Investments, LLC, Regency Furniture Stadium, The Maryland Blue
Crabs, The Town of Waldorf, the County of Charles and each of their respective trustees, members, officers, directors, employees and representatives, as an
additional insured on the insurance policies to be carried by the Licensee as set forth. The Licensee shall carry for the duration of the Festival general comprehensive
liability insurance,
insurance product liability insurance,
insurance automobile liability insurance,
insurance automobile liability,
liability and worker
worker'ss compensation insurance (where they have employees
or otherwise retain persons to work with them), naming each party (other than as to worker's compensation insurance) as additional insured. The insurance carriers
must be authorized to do business in the State of Maryland otherwise be acceptable to the Licensor. The amounts of the insurance coverage shall not be less than
$1,000,000 for personal injury and $50,000 for property damage. All insurance shall be primary and non‐contributory. Insurance shall cover all acts or omissions of
License including all its activities, without limitation, in the following matters: Load‐in/Set‐up, Service by Licensee or its representatives, Products Liability and Event
Day.
6. Handling of Money, Etc.: Licensee is solely responsible for the handling and safety and security of money relating to the Festival and Licensee shall arrange for and
undertake the protection thereof without any liability whatsoever as to the Licensor Parties.
7. No Assignment or Subletting: Licensee shall have no right to and it shall not assign or sublet this License or any rights or obligations hereunder, including any space
designated to it.
8. Set‐up & Preparation: Licensee must be set up a half hour prior to opening of Festival. Licensor shall designate the location of Licensee's space. Licensee arriving
after this time may be excluded from participating in the Festival without refund of fees. Licensee shall remain operational until published festival end time. Should
Licensor leave earlier than festival end time they will be banned from any further participation in future events hosted by AIDEN Investments, LLC.
9. Photo Release.: Licensee also agrees to give Licensor the right to use, publish, display, and/or reproduce any video/recorded voice/photographs in which they
appear, including the right to edit or use a portion or all of the video/recorded voice/photographs for promotional publications, promotional materials, website
and/or other program related purposes. Licensor will own the video/recorded voice/photographs and all rights to them. 10. No Pets: Licensee agrees that there shall be no pets allowed on property with the exception of Service Animals, which must be registerd prior to and upon arrival
with Licensor. 11. Payment: Licensee agrees to submit proper registration documentation and necessary payment/goods to Licensor on a timely basis and understands that all
payments/goods received are non‐refundable. Licensor shall submit to Licensee documentation confirming such payment/goods have been received.
12. No Liability to Licensor Parties: The Licensor Parties shall have no liability whatsoever to Licensee, its staff, or otherwise if there shall be any damage or injury or
loss due to fire, theft, accident or other cause. If Licensee damages any property on the Festival site, Licensee shall be liable for the cost to repair or replacement as
deemed necessary or appropriate by Licensor.
13. Electric or Utility Needs: If electric or other utilities are needed, Licensor will try to accommodate these needs, but Licensor shall have no obligation to do so. 14. Termination of Agreement, Etc.: Licensor reserves all rights and remedies available to it under law and in equity, as well as the right by Licensor to terminate the
participation of any Licensee on notice thereto, for any failure to comply with this Agreement. This Agreement shall be governed and constructed in accordance with
the laws in the State of Maryland, without regard to conflict of law principles. The waiver of any breach of this Agreement shall not constitute or operate as a waiver
of any other breach of such provision,
provision or of any other provisions of this Agreement,
Agreement nor shall any failure to enforce any provision hereof operate as a waiver of such
provision or of any other provisions hereof. This Agreement cannot be changed orally. This Agreement shall be binding upon and inure to the benefit of the parties
hereto and their respective permitted successors and assigns. By signing below, Licensee agrees to accept and abide by the terms and provisions of this License including the Rules and Regulations.
