ORDERS: All orders are subject to acceptance by SIGNATURE PRODUCTS GROUP (SPG, which is an assumed name
of Truck Shields, LLC.), and such acceptance is conditional upon acceptance of these terms and conditions by the
dealer or buyer (Dealer or you). SPG reserves the right to refuse orders from Dealer for any reason. These terms
and conditions may not be modified by Dealer and shall prevail over any inconsistent terms in your purchase orders
or other communications. Pre-orders help us estimate quantities, but they do not guaranty that products will be
available for final delivery to you. You must also submit specific orders for particular shipments. These terms and
conditions apply to pre-orders, at-once orders and our invoices to you. Dealer assumes the risk if any verbal order
is transcribed incorrectly unless confirmed by a written order. Any written confirming order must be marked "Confirming Order--Do Not Duplicate."
ORDER DATING: SPG will do everything we reasonably can as a company to be in-stock on the quality apparel you and
your customers want. However, to do that it is critical that you meet our pre-order dates. In any event we will not be
responsible for damages arising from delays, including consequential or incidental damages. All apparel is ordered
by us based on booked pre-orders. If you have not pre-booked your orders by the above date, then we cannot
guarantee allocation to you. If products delivered to us are insufficient to cover orders from all of our Dealers, then
we may allocate the supply in any manner we determine.
PRICES: Prices are subject to change by SPG without notice. Orders will be invoiced at the prices prevailing at the
time of order. The amount reflected on any SPG invoice to Dealer will be deemed accepted and conclusively binding
upon Dealer.
CREDIT TERMS; SPG REMEDIES: Shipments will not be made until credit is approved or pre-payment is made. Credit
applications are available from your local sales representatives or by calling 1-800-553-1098. All past due invoices will be
assessed a late fee of 1.5% per month (18% per annum), which you agree to pay. No orders will be processed or shipped
for past due accounts. If payment is not made in accordance with the terms of the invoice, then all costs of collection,
court costs and a reasonable attorney’s fee will be Dealer’s financial liability. Dealer grants SPG a security interest in the
products to secure payment of the purchase price of the products and authorizes SPG to file a financing statement
covering the products. Dealer shall grant SPG reasonable access to Dealer's premises where products are stored
(and shall assemble products at those premises) so that SPG may exercise its rights with respect to the products.
These terms and conditions shall be governed by local Utah law, and Dealer submits to the jurisdiction of Utah state
courts in any enforcement action.
REFUSALS & CANCELLATIONS: Cancellations or changes to your order must be requested no fewer than 45
days prior to the specified ship date. All requests for changes and cancellations must be made in writing to SPG
headquarters. Call 1-800-553-1098 for information on where the written request can be sent. No cancellation or
change is effective until we approve it in writing.
INVOICE ADJUSTMENTS/DISCREPANCIES: All problems or questions concerning an invoice or shipment must be
reported to our customer service within two weeks of the invoice date. Adjustments for shortages, terms, freight
charges, pricing, etc. will not be made after that two-week period.
FREIGHT: All apparel shipments are FOB – Shipping Point. Customer pays freight charges, regardless of purchase
order terms.
PRODUCT SPECIFICATIONS: Product specifications are subject to change without advance notice.
RETURNED CHECKS: If at any time your check is returned , then we will immediately change your account to COD,
certified check, or cash only. There will also be a $25 charge for all returned checks. A returned check will also mean loss
of all discounts on that invoice statement depending on the account’s credit status. If a returned check is not taken care
of within five working days, then SPG may prosecute to the fullest extent of the law, and Dealer is also liable for all reasonable
attorney and collection costs.
RETURN GOODS AUTHORIZATION; DEFECTIVE GOODS: All sales are considered final. All return requests must be
accepted by us in writing in order to be effective and prearranged with our sales/service department at the above
telephone number. No returns will be accepted without a return authorization (RA) number and an invoice number as proof of
purchase. Unauthorized returns will be refused. All returns must be shipped back to the address designated
upon receipt of RA. Dealers may be required to provide proof of delivery for returns at any time. SPG will, at its
discretion, replace or repair defective material or issue a credit allowance; this is Dealer’s sole remedy. In no event
shall SPG’s liability exceed the price of the products. All Dealer claims must be made within six weeks after the date
of shipment. Credit will be issued to the Dealer’s account and is redeemable in merchandise only. No refunds will be
made. An RA is good for ten business days from the date of issue and expires automatically if it is not used within
that time. No returns will be accepted on custom items or special orders. NOTE: Our issuance of an RA number
does not necessarily mean that a credit is forthcoming; it only means that SPG will advise the Dealer as to the
disposition of the returned product.
WARRANTIES: SPG warrants that the products will conform to SPG’s specifications for the products that
are in effect on the shipment date and to the description in the order. DEALER ACKNOWLEDGES THAT
NO OTHER REPRESENTATION WAS MADE TO DEALER OR RELIED UPON BY DEALER WITH RESPECT TO THE
QUALITY AND FUNCTION OF THE PRODUCTS HEREIN SOLD, INCLUDING EXPRESS AND IMPLIED
WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT
OF INTELLECTUAL PROPERTY RIGHTS. SPG SHALL HAVE NO LIABILITY FOR ANY SPECIAL, INDIRECT,
INCIDENTIAL OR CONSEQUENTIAL DAMAGES THAT ARE CAUSED BY, THAT RELATE TO OR THAT ARISE
OUT OF ANY PRODUCTS, THEIR USE OF FAILURE, EVEN IF SPG IS ADVISED OF THE POSSIBILITY OF SUCH
DAMAGES.
