1. Scope
The scope of this contract is limited to Upholstered Lounge Seating, Dining Tables, Occasional Tables, and Upholstered
Chairs (Metal and Wood). The Lounge Seating includes matching sofa, love seat, and chair, as well as sectional and
ganged seating. The Upholstered Chairs are used primarily for dining and hospitality applications. The Occasional
Tables allowed match Sofa, Lounge Sets. Upholstered Swivel Chairs, Upholstered Side Chairs (Office), and Ergonomic
Chairs, high abuse special environment furniture (e.g., prison, mental hospitals), are excluded from this contract.
2. General Information
Please note there is an extremely large variety of products available under this contract, representing a broad range of
prices, materials, and construction. Please take the time to be assured the items selected will meet the requirements of
your agency or institution.
The state currently has separate contracts for various types of furniture that may overlap or be duplicated in this contract.
Using agencies may choose to purchase from these depending on which represents the “best value” to them.
This contract contains complete information on Contractors and the manufacturer product lines offered. Price lists,
catalogs and authorized dealer listings are supplied directly by the contractors. Please refer to the section entitled
Contractors, Item 10 for a complete listing of the Primary and Secondary Contacts.
Where the Manufacturer is the Contractor they will supply a list of their dealers directly to the end user.
When placing an order, please check this contract to be sure you have the correct price list, and to verify the discount and
other applicable quantity discounts or other charges.
Your purchase order must list complete information on every item ordered, including manufacturer and model number;
size; finish name and number and/or fabric grade, name or number; and any options required. Remember to include the
contract number on all orders, especially since this contract has no commodity numbers for individual items. Remember
to show complete shipping and mailing address on the purchase order.
All agencies are encouraged to review the Qualified Products List applicable for the type of furniture requested. Links are
provided within this document to the five (5) Qualified Products Lists. There is not a Qualified Products List for
Occasional Tables which are allowed only if they match the Sofa and Lounge Sets.
If you have any questions about the products i.e. design, materials, availability etc. please contact the specific Contractor
or his representative. If you have a problem getting satisfactory answers contact the purchaser named above.
2.A. Product Categories
This contract covers healthcare, educational, institutional, public area upholstered furniture.
The products are organized in five categories.

3. Ordering Information
It will be the sole responsibility of the contractor to provide users with the necessary information with which to select
furniture and place orders. This information should include:

Product description, specifications, and price lists
A list of authorized dealers/distributors, along with ordering information, to include toll free phone,
FAX, mailing address, Federal ID number, etc.
Contractors will provide toll free phone numbers for agencies to conduct business with the contractor
The above information is to be furnished to any user within 5 business days of the request.
The contractor may provide the above information on a web site.
Any information described above is to be provided at no cost to the user
The contractor is solely responsible for keeping the above information current at all times
4. Minimum Orders
The minimum order, qualifying for prepaid transportation, is 250 lbs. for any single order. Users are not required to use
this contractor for orders less than the minimum; however, the user may elect to use this contract for orders less than the
minimum order, if the contractor elects to accept such order. In such cases, the order will be shipped prepaid, with
transportation charges added to the invoice as a separate item.

5. Contractor Services to User
Upon request of the user, the contractor, or his authorized representative, shall, as a minimum, travel to the user’s site
one time to assist the user in determining what specific furniture from this contract that may best suit the user’s needs.
This service shall be provided without any additional charge. Contractors are in no way limited in the services, over and
above this minimum requirement, that they may wish to provide the user free of charge. The user is not obligated to
procure furniture from any contractor providing these services. The contractor may assess charges for additional trips to
the user’s site, over and above the minimum requirements, for the same project. The additional charge is not to exceed
the contractor’s actual expenses incurred. If the contractor intends to assess additional charges, the user should be
notified by the contractor prior to any additional trip(s). The contractor is to furnish the user with an itemized list of any
additional charges.
6. Taxes
Prices or Discounts shown herein do not include any North Carolina sales or use taxes.
7. Abnormal Quantities
No abnormal quantity is specified by this division for this contract. Upon request, the Division of Purchase & Contract will
assist any state agency in the procurement of any single large purchase of furniture from this contract.
Users of this contract are authorized to negotiate additional discounts with contractors, or authorized dealers, for large
quantity purchases or for other procurements where additional discounts may be appropriate.
For administrative purposes, all requirements over $100,000.00 shall be sent to the Division of Purchase and Contract for
review.
8. Transportation Charges
All goods shall be delivered FOB DESTINATION for all orders equal to, or greater, than the minimum order, when
shipped to a single destination. Orders for less than the minimum order will be shipped prepaid, with transportation
charges added to the invoice as a separate item. Transportation charges levied by the contractor for orders equal to, or
greater than the minimum order, when shipped to a single destination, may be cause for removal of the contractor from
the contract. In instances where the contractor makes partial shipments of an order to one destination which is equal to,
or greater than, the minimum order, all shipments of the order shall be sent FOB DESTINATION with NO additional
transportation charges.
Special Note: When a loading dock is not available for the contractor’s (dealer/vendor) use at the user’s site, and/or
where an elevator is not available for use for upstairs delivery at the user’s site, the contractor may assess an additional
charge for inside delivery. The additional charge is not to exceed the contractor’s actual expenses incurred. The
contractor is to furnish the user with an itemized list of any additional charges for inside delivery. The contractor should
be notified by the user if any of the aforementioned delivery conditions exist at the user’s site at the time the order is
placed. The user and contractor should agree on any additional delivery charges at that time.
9. Warranty Information
The contractor warrants to the owner that all furniture furnished under this proposal will be new and of fully acceptable
material and workmanship in accordance with the manufacturer’s standard warranty, except that in no event shall such
coverage be for less than five (5) years after date of acceptance, except for the covering material itself (fabric, leather,
etc.), which if supplied by the furniture manufacturer (vs. by customer) shall be warranted against visible and latent
defects in materials and workmanship. The contractor agrees to replace promptly any components that by means of
defective material or workmanship shall fail under normal use, free of negligence or accident, for the respective periods
specified above. Such replacement shall include all parts (or entire items), labor, freight, and roundtrip travel (if required)
to user’s site, and shall be free of any charge to the owner or his representative. Repairs made under this warranty shall
be likewise warranted by contractor for the above specified respective periods after completion of the repair. Some
contractors may offer longer warranty periods. Users should verify warrant periods when placing order.
10. Contractors
All known minority, women and disabled owned businesses, as well as disabled business enterprises and nonprofit work
centers for the blind and severely disabled, including dealers, will be identified with “Minority owned” “Woman owned”,

“Disabled Owned”, “DBE” or “BSD” as appropriate after the vendor number. This is being done in an effort to recognize
these businesses and to encourage and promote their use to the greatest extent permitted by law.
When more than one supplier is listed for a particular item, selection should be made, whenever possible, from any of the
groups identified above, consistent with agency needs and price considerations. Contractors upon request will supply
the ordering agency a list of authorized dealers for placing orders.
There is, however, a preference statute (G.S. 148-70) for Correction Enterprise products. For information on this

Description
TERM CONTRACT 420C FOR FURNITURE, LOUNGE,
SEATING AND TABLES WAS AWARDED DECEMBER 4,
2008.
A total of sixty (60) vendors are listed on this Term Contract,
which is based on five (5) Qualified Products Lists.
Due to the number of vendors and the e-procurement process, it
will take several weeks to fully load the vendors and prices in eprocurement.
During this period, agencies are requested to check the
Purchase and Contract website for the e-procurement
implementation of each vendor. As each vendor completes the
process they will be listed on this addenda page, informing the
agency the product is available in e-procurement.
