Election of Board of Directors
April 11, 2015, 9:30 a.m.
The Grassy Run Homeowners’ Association Annual Meeting is scheduled for Saturday, April 11,
2015 at 9:30 a.m. at the El Dorado County Library at 345 Fair Lane, Placerville. At this Annual
Meeting, we will conduct an election for Vice-President, Treasurer and Roads Superintendent of
the Board of Directors in accordance with the Operating Rules – Elections. Sections 2 (Notice of
Election) and 3 (Election of Directors and Other Holders of Elective Position) of the Operating
Rules – Elections, which pertain to the nominating of candidate, is enclosed.
Nominations may be made from February 10, 2015 through February 25, 2015. Any eligible
Member may nominate himself or herself, or any other eligible member for election to the Board
by giving written notice to the Nominating Committee on or before February 25, 2015. Please
see Election Rule 3, paragraph 2 for eligibility requirements. A description of the duties of the
Vice-President, Treasurer and Roads Superintendent is also attached.
We invite you to serve your community and be on the Board of Directors.

Notice of Election
Notice of the date, time, place and manner of holding of each election of directors and other holders of elective
position shall be given at least sixty (60) days prior to the holding of such election. Notice of the date, time, place and
manner of holding of any other election shall be given at least thirty (30) days prior to the holding of such election. These
time requirements shall not apply, however, to any election as to which the Board finds that emergency circumstances
render them infeasible; in the event of emergency, reasonable notice shall be given, in a manner calculated by the Board
to give the widest degree of actual notice feasible.
3.
Election of Directors and Other Holders of Elective Position
The President of the Association shall select a Nominating Committee consisting of at least three members of the
Association to recommend to the Board at least one candidate for nomination to each elective office, whether newly
created or existing, including but not limited to membership on the Board, as to which the term of the existing holder of
that position is scheduled to expire immediately following the next regularly scheduled election of the Association. In
addition, any eligible member of the Association may nominate himself or herself, or any other eligible member of the
Association, for election to the Board and/or any elective office, by giving written notice thereof to the Nominating
Committee. Candidates shall be willing and able to serve. To be printed on the ballot, all such nominations shall be made
at least forty-five (45) days before the date scheduled for the election. As of the date of adoption of these rules, there are
no elective positions within the Association other than membership on the Board.
All candidates for election to the Board or any other elective position shall be owners of parcels, and shall be
resident, within the Association. No person shall be eligible for, or a candidate for election to, the Board or any other
elective position if that person is delinquent in payment of dues, fines or assessment of the Association, or has been
charged with, and has not resolved, one or more violations of the governing documents of the Association. For purposes
of this Rule, any member current in the making of timely payments on an approved payment plan for the payment of pastdue assessments shall not be deemed delinquent in the payment of assessments. A member must have been free of any
multiple violations for one year before becoming eligible to be a candidate.

ARTICLE VII OFFICERS AND THEIR DUTIES
Section 2. The duties of the officers are as follows:
Vice-President: The Vice-President shall act in the place of the President in the event of his absence and shall
exercise and discharge such other duties as may be required of him by the Board.
Secretary: The Secretary shall record the notes and keep the minutes of all meetings and proceeds of the Board
and of the Members; serve notice of meetings of the Board and Members; keep appropriate current records
showing the Members of the Association together with their addresses; shall perform such other duties as
required by the Board.
Treasurer: The Treasurer shall receive and deposit in appropriate bank accounts all monies of the Association
and shall sign all checks and promissory notes of the Association; keep proper books of account; prepare and
distribute to the Members annual financial statements of the Association.
Roads Superintendent: The Roads Superintendent shall negotiate contracts for the upkeep and improvement of
the road network, ditches, traffic control signs, culverts, bridges, gates and associated structures and facilities;
coordinate all works with the companies providing utility services within these easements; seek least-cost,
quality contracts and submit them to the Board for approval; organize work parties of Members desiring to
assist in reducing road upkeep cost and litter control; monitor the progress of road work, gates and associated
structures and facilities contracts and certify satisfactory completion before the contractor is paid.
