SHAREHOLDER ANNOUNCEMENT 26 May 2015 ACQUISITION OF CHEM PLUS PTY LTD TWC Group Investments Limited (TWCGIL) is pleased to announce that it has today entered into a Share Purchase Agreement to purchase all of the issued shares of Chem Plus Pty Ltd ACN 008 274 557 (Chemplus) for $2.76mil subject to adjustments and with additional payments depending on achievement of targets following completion. Chemplus is the franchise management company that supports the South Australian based Chemplus network of pharmacies. The Chemplus network includes 60 pharmacies located throughout metropolitan Adelaide and regional South Australia. Chemplus has an outstanding reputation and particular expertise in a number of key growth areas including aged care and health services. TWCGIL’s Chairman, Terry White, and Chemplus Chairman, Scott McGregor said the two brands shared a strongly aligned strategic position in terms of a focus on health and growth. Mr White said the merger would enable the combined group to fast-track its position in relation to opportunities in the market place. “The combined group has a market share in excess of 8% and will provide increased business opportunities for all members at a time when scale matters,” Mr White said. “We will be working very closely with the Chemplus network to ensure we identify the ‘best of both worlds’ to further drive success in all of the pharmacies.” On completion, the Chemplus Chief Executive Officer, Nick Tsamaidis, will remain in a leadership position with the Chemplus business based in South Australia. Mr McGregor will join the board of TWCGIL and the remainder of the Chemplus Board will be engaged in the operation going forward. Subject to the conditions precedent being met, the transaction is anticipated to be completed on 31 July 2015. The transaction will be funded from existing cash reserves, and will not affect TWCGIL’s ongoing capital management initiatives. The addition of Chemplus Pty Ltd is expected to be earnings accretive, before transition costs, in the first year of operation.
