2015 Thanksgiving Day 5K
Thanksgiving Day 5K benefiting Martha’s Village & Kitchen is evolving into a great holiday
tradition that only gets better each year. We must be doing something right since attendance
continues to grow exponentially. Our 2014 event was the most popular 5K in the Coachella
Valley. We project 4,000 participants, volunteers and spectators will join in on the holiday
festivities at our 9th Annual 5K.
It is my pleasure to extend a personal invitation to you to join our fundraising effort as
a contributing sponsor. It is our goal to promote your business while serving the needs of
those less fortunate.
This year, we’re adding new benefits for our sponsors; your company branding in our semi-annual
newsletter, complementary event entries and many more opportunities for your business to
receive exposure to thousands of philanthropic consumers.
Martha’s Village & Kitchen operates the largest, most successful transitional housing
program for the homeless in Riverside County and provides meals to the hungry. Our
mission is to help our neighbors in need break the cycle of poverty by attaining
self-sufficiency.
Our free services touch thousands of homeless and impoverished families, adults and
children each year. In our 120 bed residential facility, we provide temporary housing, healthcare,
licensed childcare, mental health and recovery services, career coaching, and continuing
adult education. We also offer these services to members of the community 7 days a week.
Your support this year helps make all of this possible. In addition, we served over a quarter
million meals last year.

Saving Families, Changing Lives
Martha’s Village & Kitchen is the largest transitional housing program for the homeless in Riverside
County. The mission of Martha’s is to help our neighbors in need throughout the Coachella Valley
break the cycle of homelessness and poverty by attaining self-sufficiency through an innovative
continuum of care, multi-disciplinary programs and community partnerships. The free services at
Martha’s touch thousands of homeless and impoverished children, families and single adults each
year through primary and preventive healthcare, serving over a quarter of a million meals a year,
case management, licensed free child care, mental health and recovery services, career coaching
and continuing adult education, in addition to clothing, rent, and utility assistance.

Terms & Conditions
Term: This Agreement shall be effective from the date first set forth at signature of agreement, through the
Martha’s Village & Kitchen Thanksgiving Day 5K completion at the end of the day November 26, 2015
Event Date: The Martha’s Village & Kitchen Thanksgiving Day 5K will be held rain or shine on November 26, 2015
Martha’s Village & Kitchen Thanksgiving Day 5K will grant Sponsor a limited, non-exclusive sub-license to use
the MVK Thanksgiving Day 5K name and logo solely for the purpose of promoting the MVK Thanksgiving
Day 5K and related events during the term of this Agreement. Sponsor shall not sub-license or transfer the use
of the “Name or Logo” to any person or entity without the prior written consent of MVK Thanksgiving Day 5K. Sponsor
will present MVK Thanksgiving Day 5K, for its approval, any item or material that uses or refers to the MVK
Thanksgiving Day 5K related events.
Sponsor Licensed Marks: Sponsor grants, a limited, non-exclusive license to MVK Thanksgiving Day 5K to use
Sponsor’s name, logo, service marks and trademarks solely for the purpose of including Sponsor in listings and
descriptions of the MVK Thanksgiving Day 5K sponsors during the Term of This Agreement. MVK Thanksgiving
Day 5K, shall not sub-license, transfer or assign the use of the Sponsor Licensed Marks to any person or entity
without the prior consent of Sponsor.
Sponsor/Benefits Payment: Sponsor shall receive the Sponsor benefits set forth in this brochure as part of this
Agreement. Sponsor shall pay its CASH SPONSORSHIP DONATION DUE AT TIME OF CONTRACT SIGNING.
Failure to pay any portion of the sponsorship donation on or before the due date shall result in the forfeiture
of Sponsor’s sponsorship rights. Martha’s Village & Kitchen Thanksgiving Day 5K requires sponsor
to provide written documentation to support the value of in-kind donation prior to accepting such donations as
credit towards Sponsor’s sponsorship donation.
Martha’s Village & Kitchen Thanksgiving Day 5K Cancellation: Neither Sponsor nor MVK Thanksgiving Day 5K
shall be responsible for damages that result in delays or postponements of the MVK Thanksgiving Day 5K due to
circumstances beyond their reasonable control. In the event that the MVK Thanksgiving Day 5K does not take
place, Sponsor’s sponsorship fee as set forth above shall be treated as a donation to Martha’s Village & Kitchen
and shall not be refunded.
Relationship Entire Agreement: The parties in this agreement have no legal relationship other than as contracting
parties to this Agreement. This Agreement represents the entire agreement between parties and supersedes
any prior understandings or agreements.
Indemnity: Each party agrees to indemnify and hold harmless from against any and all expenses, including
reasonable attorney’s fees, that the other party incur by reason of any claim arising out of the indemnifying
party’s negligence, intentional misconduct, performance or failure to perform pursuant to this Agreement, or
any service or product sold or provided by the indemnifying party in connection with the run. All individuals
provided by or associated with Sponsor who perform services at the race event shall perform such services at
the direction of, under the supervision and control of, and for the benefit of the Sponsor. Such individuals shall
not perform such services on behalf of the MVK Thanksgiving Day 5K, and shall not be agents or representatives of
MVK Thanksgiving Day 5K. Sponsor shall be responsible, as between Sponsor and MVK Thanksgiving Day 5K,
for any injuries or damages caused by or to said individuals.
Governing Law: This Agreement shall be governed by the laws of the State of California
501(c)(3) Federal Tax Identification # 33-0777892
