2015 EXHIBITOR AGREEMENT SHOW DATES & HOURS:

Payment is non-refundable if application is cancelled within 60 days prior to
show opening date. Forms received without the required payment, will NOT be
processed. Receipt of application does NOT guarantee availability of space. If no
space is available, payment will be returned. Space and table locations are
subject to change at the discretion of show management.
By booking a space/table you agree to the TERMS AND CONDITIONS
ATTACHED. You agree to staff the booth for the entire duration of the SHOW.
You have included full payment with this application. You agree to setup and tear
down your booth within the allotted times (listed in the attached terms &
conditions)
Each exhibitor receives 2 show passes per day,
additional may be purchased at a discounted rate.
Spaces + 2 chairs(various sizes) $250
Tables + 1 chair (72inches x 30inches )$150
There are no table dressings, fabric walls or fixtures. You may bring your own as
long as it fits within the space/table.
Please Note: Space / table numbers and locations are limited.
The Hamilton Film Expo reserves the right to select your location if your preferred
location is not available.
There are no exclusivity arrangements for products or service.
Payment in full is required prior to move in or contract is Null and Void.
TERMS & CONDITIONS
1.
The Exhibitor agrees to pay the Hamilton Film Expo the sum stated on
page one (1) of this contract, for the rights hereby licensed to the Exhibitor.
CANCELLATION OF THIS CONTRACT FOR ANY REASON WILL RESULT IN
FORFEITURE OF ALL MONIES PAID. In exchange for the payment and
compliance with the terms set out in this Space/table Rental Agreement, the
Hamilton Film Expo will permit the Exhibitor, for the occupancy period below, to
use and occupy the assigned booth location(s) outlined as follows, for the
purpose of participating in: the 2015 Hamilton Film Expo.
Event Date: Saturday November 7th, 2015 10am – 5pm
2.
The Hamilton Film Expo and Exhibitor agree to the following terms and
conditions and further agree that this Space/ table Rental Agreement applies
specifically for the event date and occupancy period outlined in clause 1 of this
Space / table Rental Agreement. For greater clarification, the Exhibitor
acknowledges and agrees that this Space / table Rental Agreement does not
bind or obligate the Hamilton Film Expo in any way for any dates, period or year
that is outside the terms of this agreement, and that this Booth Rental Agreement
replaces any previously signed Space / table Rental Agreement(s) between the
Hamilton Film Expo and the Exhibitor.

The Exhibitor hereby covenants to have the exhibit complete and in the
space contracted for showing no later than Sat Nov 7th, 2015 at 9:00am and
leave the exhibit in place until the official closing of the event on Sat Nov 7th,
2015 at 5:00pm. ALL EXHIBITS MUST BE OPEN TO THE PUBLIC AND IN
CHARGE WITH A COMPETENT ATTENDANT DURING ALL HOURS THE
EVENT IS OPEN.
4.
The Exhibitor listed on this agreement shall be the ONLY one utilizing the
Space / table contracted for the duration of the event. Space may not be shared
with another exhibitor, nor sub-let or resold under any circumstance.
5.
The Exhibitor agrees to present a space with two chairs or a table and
chair. NO DISPLAY OF PROFANE IMAGERY OR WORDS (this is a family
event). The area around your booth must be kept clean at all times.
6.
The Spice Factory does not offer storage. Any exhibitors requiring this
service must remove all crates from the show floor and store them offsite or
make the necessary arrangements through an independent party.
7.
Draws: Upon approval, the Exhibitor agrees all ballot information is strictly
confidential and will not be sold, loaned, rented, or given to any other individual
or organization for any purpose, whatsoever.
8.
Any and all admission tickets purchased cannot be resold and are nonrefundable.
9.
The Exhibitor warrants that nothing displayed, sold, or done by Exhibitor
will be in violation of any trademarks, copyrights or other intellectual property
right. THE EXHIBITOR AGREES TO INDEMNIFY THE HAMILTON FILM EXPO
AND SAVE THEM HARMLESS AGAINST ALL CLAIMS OR DEMANDS BY AND
LIABILITY TO ANY PARTY OR PARTIES, AND ALL EXPENSES AND COSTS,
INCLUDING LEGAL COSTS ON A SOLICITOR AND CLIENT BASIS, THAT
MAY BE INCURRED AT ANY TIME THAT THE EXHIBITOR IS OR MAY BE IN
BREACH OF THIS WARRANTY. The Hamilton Film Expo may without warning
or prior notice close the Exhibitor’s booth, eject the Exhibitor from the grounds,
and retain all proceeds of the Exhibitor’s sales of any and all products as security
for the performance of the foregoing agreement to indemnify. This provision does
not limit the Hamilton Film Expo from availing itself of any other rights and/or
remedies.
10.
The Hamilton Film Expo is not obliged to accept any contract and shall
have the right to cancel any contract without refund if the Exhibitor violates any
rule, regulation or term of this contract. The decision of the removal of an
unqualified product or breach of rules, or the entire booth, or decisions on booth
allocation and set-ups shall be at the sole discretion of the Hamilton Film Expo
exercised reasonably.
11.
The Hamilton Film Expo shall not be bound by this agreement until
executed by a duly authorized representative of the Hamilton Film Expo.
12.
Any exhibit(s) not removed from the building or the grounds by the end of
the specified move out deadline, will be charged a “late fee” $100.00 per day,
plus taxes. The Hamilton Film Expo cannot be held responsible for any damages
or losses incurred by The Exhibitor from failure to remove the exhibit by the move
out deadline.
13.
The Exhibitor agrees that none of the rights or authorities contracted for
herein may be transferred to any other person(s) or entity(s) whatsoever without
the expressed written consent of the Hamilton Film Expo.
14.
The Hamilton Film Expo and the Spice Factor acknowledge and accept
that they are committed to providing a Healthy and Safe work environment for its
employees and for those who contract work or participate in activities on the
property or in their facilities. This commitment applies to this contract. The
Exhibitor shall abide by the Occupational Health and Safety Act and Regulations
and any work guidelines provided by the Spice Factor or any other authority and
agree that the employees of both the Hamilton Film Expo and the Spice Factory
may intervene at any time to ensure adherence to such regulations and
guidelines.
15.
The Exhibitor warrants and confirms that this Space / table Rental
Agreement is executed by them voluntarily, without any duress or undue
influence on the part of any person, firm or corporation. The Exhibitor also
acknowledges it has had a reasonable opportunity to obtain independent legal
advice with respect to this Space / Table Rental Agreement.
16.
The Exhibitor confirms that it has not relied on any statement or
representation, oral, written or otherwise, which is not contained in this Space /
Table Rental Agreement.
17.
The Exhibitor and the Hamilton Film Expo agree and acknowledge that
the terms of this Release and Indemnity are to be governed by the laws of the
Province of Ontario, Canada.
SPACE / TABLE LOCATIONS ARE SUBJECT TO CHANGE AT THE
DISCRETION OF THE HAMILTON FILM EXPO
