The Technology Exhibition Sponsorships
Central to Navis World is the Technology Exhibition. This
is an important area for attendees to network and meet
with industry technology experts. This year we will
improve the layout to maximize networking, flow and
make it easy and cost effective for you to showcase your

The exhibition will move away from the traditional 8’ x 10’
stand and will feature an open floor plan with specially
designed Kiosks. Each station will include a monitor and

10% non-refundable deposit is due with contract signing (please make checks payable to Navis LLC). Remaining
balance is due no later than January 15, 2015 .
The party named above as Sponsor (the “Sponsor”) and Navis LLC (“Navis”) hereby enter into this agreement as of the date
noted below, to govern the rental of exhibit space and or conference sponsorship at the Navis World 2015 Conference (the
“Agreement”). The parties agree as follows:
1. Definitions.
1.1 “Navis World” means the Navis World 2015 Conference scheduled to be held at the Intercontinental San
Francisco Hotel, San Francisco, March 31 – April 1, 2015, and all sponsorships and set-up and breakdown of exhibits related
thereto.
1.2 “Exhibition Space” means the exhibit space assigned to Sponsor by Navis and further described in the Navis
World 2015 Sponsorship Information document.
1.3 “Fee” means all fees associated with participating in Navis World as an exhibitor or sponsor.
2. Use of Exhibition Space. The Exhibition Space will be used for the sole purpose of promoting Sponsor’s products and
services. Sponsor may not use the Exhibition Space for the promotion of any third party products unrelated to Sponsor
without obtaining the prior written approval of Navis. Sponsor may not assign, sublet or divide the Exhibition Space in any
manner without obtaining the prior written approval of Navis. Sponsor will comply with all reasonable safety rules or
procedures of Navis or the hosting facility.
3. Payment. A non-refundable deposit equal to ten percent (10%) of the total Fee is due and payable upon execution of this
Agreement. The remaining 90% of the Fee is due and payable 60 days prior to the commencement of Navis World (i.e.,
January 15, 2015). If the remaining Fee is not paid on or before such due date, then Navis may, at its sole option, use
Sponsor’s Exhibition Space or rent the same to another exhibitor, or re-sell the sponsorship to another sponsor and Sponsor’s
rights hereunder will terminate. Re-letting or resale by Navis of a Sponsor’s cancelled Exhibit Space or sponsorship will not
excuse Sponsor from payment of any fees due and payable hereunder.
4. Cancellation by Sponsor. If Sponsor wishes to cancel all or part of the exhibit space or sponsorship contracted herein, then
Sponsor will send notice of cancellation in writing to Navis, attention Navis World 2015, 55 Harrison Street, Suite 600,
Oakland, CA USA 94607 via certified mail, return receipt requested, by reputable international courier service, or by email to:
[email protected]. Sponsor’s failure to occupy its assigned Exhibit Space by the commencement of Navis World 2015
will be deemed a full cancellation of this Agreement by Sponsor. In the event of cancellation of this Agreement under this
paragraph 4, Sponsor will be liable for the following percentages of the Sponsorship Fee, which Fee will be immediately due
and payable as of the date of cancellation.

5. Cancellation by Navis. Navis reserves the right to cancel any and all Navis World events or to terminate this Agreement or
Sponsor’s participation in Navis World events for any reason at any time, upon written notice to Sponsor. Upon cancellation or
termination by Navis, Navis’ sole liability to Sponsor, and Sponsor’s exclusive remedy, will be a refund of the rental fee or
sponsorship fee paid by Sponsor under this Agreement.
6. Insurance and Liability.
6.1 Liability insurance. As a condition precedent to exhibiting at Navis World, Sponsor will maintain, at its own cost
and expense, an insurance policy or policies indemnifying and holding harmless Navis, its officers, agents and employees,
and the hosting facilities, from, for and against any loss or liability whatsoever which may occur by reason of Sponsor’s acts,
omissions or operations related to Navis World, regardless of whether such loss or liability occurs at the of Navis World site.
Navis, its officers, directors, employees, affiliates, and agents, must be named as additional insured under said policy or
policies. Said policies must be written by responsible insurance companies satisfactory to Navis, and must have minimum
comprehensive general liability limits for Product/Completed operations and for bodily injury of $1,000,000 each occurrence
and $1,000,000 each aggregate; minimum property damage limits of $100,000 each occurrence and $100,000 each
aggregate; minimum comprehensive automobile liability limits of $250,000 each person and $250,000 each occurrence; and
minimum property damage limits of $100,000 each occurrence. Such policies must provide for written notice to Navis of
cancellation or any reduction in coverage limits 30 days in advance thereof. Sponsor must keep such insurance in effect
during the term of Navis World and for at least one (1) year thereafter and must provide certificates of such insurance

promptly upon Navis’ request. Navis will have no responsibility or obligation to obtain insurance of any kind on Sponsor’s
behalf.
6.2 Insurance related to Sponsor’s employees. Sponsor will provide statutory workers compensation insurance,
social security, unemployment insurance, and such other benefits as may be required by law to its employees. Sponsor will
provide evidence thereof promptly upon Navis’ request.
6.3 Sponsor Liability. Sponsor will be solely responsible for all safety and security in the Exhibit Space during Navis
World. Navis will not be liable for any injuries (including death) or damages to persons (whether or not visitors) or to property,
of any kind, occurring by reason of Sponsor’s acts or omissions or operations related to Navis World.
7. Use of Contractors. Any use of contractors or subcontractors must comply with all federal, state and local laws.
8. Guidelines and Regulations. Use of the Exhibit Space must comply with the Navis World Exhibitor’s Guidelines.
9. Term and Termination. This Agreement will automatically terminate with no further action of the parties required, upon
completion of the Navis World event. Either party may terminate this Agreement upon a material breach hereof by the other
party, if such breach is not cured within 2 days of the breaching party’s receipt of written notice from the non-breaching party.
Accrued payment obligations and Sections 6, 9, 11, and 13 of this Agreement will survive any termination or cancellation of
this Agreement for any reason.
10. Entire Agreement. This Agreement is the complete agreement of the parties relating to the subject matter hereof. This
Agreement may be modified only by a duly executed written agreement.
11. Dispute Resolution and Governing Law. This Agreement will be governed by the substantive laws of the State of
California, excluding its choice of law provisions. All disputes between the parties arising out of this Agreement will be
submitted to arbitration in San Francisco, California, according to the Commercial Arbitration Rules of the American
Arbitration Association. The decision of the arbitrator rendered in any dispute will be final and binding upon the parties, and
judgment may be entered thereon in any court with appropriate jurisdiction over the parties or their property. Each party
hereby consents to the jurisdiction of the arbitral body and courts, as applicable, specified hereinabove and waives any right it
may otherwise have to challenge the propriety of such forums, whether on the basis of forum non conveniens or otherwise. In
connection with any dispute, the prevailing party will be entitled to its reasonable attorneys' fees and costs, including expert
witness fees, at an arbitration hearing, trial and on appeal.
12. Severability. The illegality or unenforceability of the whole or any part of the provisions of this Agreement will not affect
the continued operation of the remaining provisions of this Agreement.
13. Waiver. The failure of either party at any time to insist upon strict performance of any of the terms and conditions
contained in this Agreement will not be deemed a waiver of its right at any time thereafter to insist upon strict performance.
14. Relationship of the Parties. Nothing in this Agreement will constitute, nor will any party represent that there is any
relationship of employer and employee, principal and agent, joint venture or partnership between the parties as a result of this
Agreement.
15. Force Majeure. Navis will not be responsible for any loss or damage resulting from failure to perform under this
Agreement or to conduct Navis World as currently scheduled in whole or part as a result of riot, strike, civil disorder, act of
war, failure of facilities, earthquake, storm, fire, flood, or other acts of God, or any other reason of any kind whatsoever
beyond the reasonable control of Navis. In the event that Navis World is cancelled and not rescheduled, Navis’ sole liability to
Sponsor, and Sponsor’s exclusive remedy, will be a refund of the rental fee or sponsorship fee for that event paid by Sponsor
under this Agreement.
