Terms of agreement General information Metro International S.A., the international newspaper group, Company Reg: B73790, with its registered address at 7, avenue Jean-Pierre Pescatore L-2324 Luxembourg, arranges the “Be like Rihanna” contest ("the Contest") together with its local Metro subsidiaries around the globe (jointly referred to as ”Metro” below), Def Jam Recordings and Roc Nation (jointly referred as “partners” below). The Contest will run on a white label promotion app on Metro International’s Facebook page: www.facebook.com/metroint and local Metro Facebook fan pages. The Contest will be launched May 25th, 2015 and run till June 29, 2015, when the global winner will be announced. When entering the Facebook applications running the Contest you need to register your full legal name, active and valid email address, country of residence and valid phone number. To be a participant of the Contest, and to have the chance of being the Global Winner, you need to upload at least one (1) image (mood board) that meets the Approved Image (mood board) Requirements (as set out below), fill in full legal name, valid active email address, country of residence and valid phone number. This contest is international, and the participating countries are Finland, Netherlands, Hungary, France, Italy, Portugal, Czech Republic, Hong Kong, Korea, Canada, USA, Mexico, Colombia, Guatemala, Ecuador, Chile, Russia, Nicaragua, Puerto Rico, Sweden, Brazil and Peru. To be selected as global winner you must have legal residence in any of these countries. Winner Selection. One (1) winner will be selected by Rihanna between five (5) participants who have legal residence on any of the participating countries. The finalists images (mood boards) will be the five (5) most voted images (mood boards) submitted in the platform, that meets the Approved Image (mood boards) Requirements. The public can vote for any image (mood board). However each person may only vote just once per image (mood board) by pressing the “vote button” on the contest platform. To vote people must have a valid Facebook account. Facebook likes and shares don’t count as votes. The votes will be count between the launch at May 25th at 00:00 am CET time and June 21Th 23:59 CET time. In case that the five (5) most voted images (mood boards) doesn’t meet the approved image (mood board) requirements, outlined below, under the criteria of Metro and their partners, the next most voted image (mood board) will be selected as finalist only if meet the approved the image (mood board) requirements. If don’t, the same process will be repeated until find five (5) images (mood board) that meet the requirements. Decisions of Metro International, Def Jam Recordings and Roc Nation are final and binding. The Contest is in no way sponsored or endorsed by Facebook. The terms of agreement, general considerations and privacy policy will be in English, by entering the Contest you acknowledge and accept these terms of agreement. Approved Image (mood board) Requirements The Approved Image (mood board) Requirements are the requirements which the image (mood board) shall meet in order to qualify as an entry of the Contest. The Approved Image (mood board) Requirements are listed below: A mood board is a type of collage consisting in a mix of elements that includes, but is not limited to, images, text, and samples of objects in a composition. The image (mood board) must have a clear connection to Rihanna, the contest description and/or Rihanna’s new single “American Oxygen”. The image (mood board) must be in digital format. Only online entries will be eligible. No print or film submissions will be accepted for entry in the contest. However, the images (mood board) not need to be made necessarily with digital software. Scans of negatives, transparencies, or photographic prints are acceptable. All digital files must meet the requirements of uploading to a Facebook application, and must be in JPEG or JPG format. The image (mood board), in its entirety, must be a single work of original material taken by the participant of the Contest. By entering the Contest, the participant represents, acknowledges, and warrants that the submitted image (mood board) is an original work created solely by him or her, that the image (mood board) does not infringe on the copyrights, trademarks, moral rights, rights of privacy/publicity or other intellectual property rights of any person or entity, and that no other party has any right, title, claim, or interest in the image (mood board). Furthermore, image (mood board) that include sculptures, statues, paintings, and other works of art will be accepted as long as they do not constitute copyright infringement or fraud. When photographing the work of others, it must be as an object in its environment and not, for example, a full-frame close-up of another person’s work. In case the image (mood board) depicts the work of others in a way that it may be interpreted as more than an object in its environment, the participants of the Contest must be prepared to provide a release form in which they confirm that all rights to produce an image (mood board) of such work, and to enter such image (mood board) in the Contest, have been secured and/or acquired. The image (mood board) may not, in the sole and unfettered discretion of Metro and their partners, contain obscene, provocative, defamatory, sexually explicit, or otherwise objectionable or inappropriate content. Prize The Global Winner will receive the Grand Prize, which is a chance to see Rihanna’s concert in the US for the winner and a companion. Date of fulfillment by December 2015. The Global Winner will be announced on June 29th, 2015. The Grand Prize includes: roundtrip flight for two (2) people (the winner and a companion) from the hometown of the winner (or nearby the hometown) to US, transfer to the location of the concert for two (2) people (the winner and a companion), two (2) Nights Hotel, airport transfer to and from hotel for two (2) people (the winner and a companion) and two (2) tickets to Rihanna’s show. The Global Winner will be eligible to have his or her image (mood board) entry used by our global editorial team and the marketing team, for possible publishing within our participating countries during five (5) years. However, Metro World news is not obliged to publish such image (mood board). The Grand Prize has an approximate value of five thousand US dollars (US$ 5.000). The winner and their companion will be responsible for ensuring that he or she meets the requirements for obtaining visa for the United States. The winner will also be responsible for ensuring that he or she has adequate insurances and permits if applicable. The roundtrip flights, hotel nights and transfer services detailed above will be provided by Def Jam Recordings, Roc Nation will just provide the two (2) tickets to Rihanna’s concert. However in any case Metro and/or their partners may not be held responsible for any matter occurring to or caused by the winners in connection with this Contest or during the travel and/or stay in the final destination where the prize will take place and/or in connection thereto. The limitation of liability for Metro and their partners includes, but is not limited to: i) any possible injuries, health problems, provided healthcare or hospital stays, and, even death of finalist; ii) any facts considered force majeure or act of God; iii) damages caused by or to the winner in relation to any property belonging to the winner or third party; iv) matters with authorities or other entities; v) and / or any similar occurrences in relation to the prize and/or Contest. Terms and Conditions 1. No purchase is necessary to participate in the Contest. 2. You may submit more than one (1) image (mood board) for entry in the Contest, however only the entry with the most votes, will be the winner. 3. The entry shall comply with the Approved Image (mood board) Requirements above. 4. The Contest is open to anyone with legal residence in the participating countries stablished in this document, other than employees, agents, contractors and consultants (or their families) of Metro, their subsidiaries and partners of this contest. 5. To participate and be selected as winner you must have a valid Facebook account and be at least 13 years old to enter the Contest. If you are between the ages of 13 and 18 years old you must have your parent’s or care taker's approval to take part in the Contest, and if you win your parent or care taker must accompany you in order to claim the Grand Prize. This must be demonstrated with the proper documents and if the selected winner isn’t capable to do it the prize will be reassigned to other finalist image (mood board) only if meet the approved the image (mood board) requirements. If don’t, the same process will be repeated until find an image (mood board) that meet the requirements. 6. You may at any time, before the Contest is finished and the Global Winner is announced, request Metro, in writing, to remove your entry from the Contest. Contact Metro by sending an e-mail to [email protected] 7. You may not transfer your entry or your rights and/or obligations under these terms of agreement, to anyone else. 8. The Grand Prize is non-transferable and cannot be exchanged for cash. Metro reserves the right, at its sole discretion and at any time, to substitute the Grand Prize for another prize of equal or greater value, in case of e.g. a cancellation of the concert. Such substitutable prize is shall equally governed under these terms of agreement. All prizes are awarded as-is and no warranties or guarantees are implied or expressed, beyond the standard manufacturer’s warranty, if applicable. 9. The Global Winner shall pay any potential profit tax in relation to the Grand Prize. 10. In order to claim the Grand Prize you must provide us with a valid email address. 11. Metro and their Partners will notify the Global Winner by sending a notification e-mail. The Global Winner accepts the Grand Prize by replying to the notification email. In the event of non-acceptance of the Grand Prize within five (5) days of receipt of the notification e-mail, Metro and the Partners reserves the right to reallocate the Grand Prize awarded to another participant who is selected based on the Winner selection criteria. 12. By participating in the Contest you accept that the decisions taken by Metro and their partners are final and binding and cannot be appealed. 13. The Global Winner may be requested to take part in promotional activity, such as participating in interviews story and image (mood board)s published online and in the Metro newspaper. 14. By submitting your entry to the Contest, you give Metro and their partners the right, without compensation to, including but not limited to, reproduce, amend, exhibit, print, use, and to any third party assign and sublicense the entry, in any form, for marketing and editorial purposes in any media related, or not, to the Contest during five (5) years from the date of the Contest’s closure. 15. You are solely responsible for your entry. By submitting your entry in the Contest, you warrant that the entry is an original work created by you and that the entry does not infringe any rights of any third party or that the entry is not in breach of applicable laws and regulations. Metro cannot be held responsible for any claims, damages or otherwise in relation to your entry. A self-moderation mechanism is in place whereby visitors can flag up inappropriate or offensive contents. Thus, it is important that you make sure that your entry is created by you and that it does not include works of any third party or violates applicable law. 16. Metro reserves the right to, at its sole discretion and at any time, remove entries, and other content from the Contest which Metro suspects are being or deems as being in breach of these terms of agreement or that otherwise are being offensive, illegal, infringing or otherwise inappropriate. Metro may also temporarily remove entries, or other content, from the Contest. Metro shall inform the participant through e-mail as soon as possible after an entry has been removed, either temporarily or permanently, from the Contest. 17. Metro reserves the right to publish your name, surname, age and city next to your image (mood board) for marketing and editorial promotional activity relating to the Contest. Your personal data will be handled in accordance with Metro’s privacy policy to which you explicitly consent by entering this Contest (as set out below). 18. Metro reserves the right to, at its sole discretion, edit and crop submitted entries, provided that it is necessary in order to have the image (mood board) uploaded and included in the Contest and provided that it only requires minor modifications of the image (mood board). 19. In case Metro detects any anomaly or suspect that a participant is preventing the normal development of the Contest, for example, altering illegally his or her image (mood board), voting or any kind of suspicious activity by means of any technical or computer procedure, Metro reserves the right, at its sole discretion and at any time, to disqualify the entry and/or the participant from the Contest. In this regard it is important to add that Metro has enabled the necessary technological support to detect any possible anomalous or fraudulent action and performance where a participant tries to alter the participation in the Contest with the aim of achieving the Grand Prize through illicit means. 20. In the event of any inconsistencies between these terms of agreement and Facebook's Terms and Conditions (including but not limited to Facebook's statement of rights and responsibilities, Facebook's data use policy and Facebook's pages terms), the latter will prevail. GENERAL CONSIDERATIONS 1. Metro reserves the right to, at its sole discretion, modify these terms of agreement of the Contest at any time. Metro further reserves the right to, at its sole discretion, cancel the Contest before the closing date hereof. Reasons for cancellation may, for example, include changed technical conditions, the occurrence of a force majeure event, changes in local law or that Metro is legally challenged by a third party. Metro undertakes to inform the participants of the challenge, with sufficient anticipation, about any modifications of these terms of agreement as well as of the cancellation of the Contest. 2. Metro is not responsible for any technical, telephonic or computer failures or errors that may occur during the course of the Contest or any other attributable circumstance that could concern the development and participation in the Contest. 3. The Contest is governed by the laws of Sweden and any dispute shall be finally settled in Swedish courts. Metro is not liable for any lost or stolen entries or inability to process entries, or any errors, damage or negligence that may arise in connection with this Contest, including technical failures on the part of Contest software, virus, website down-time, human error or property damage incurred by any participant of the Contest. Privacy Policy General The personal information collected on this application will be used to contact you if one of your images (mood board) wins the Grand Prize or if one or more of your image (mood board)s are removed in accordance with paragraph 16 of this Terms and Conditions. Metro will not share your personal information with any third parties without your explicit prior consent. Metro will not use your personal information for purposes other than “Name of the Contest” promotional activities without obtaining your explicit prior consent. Using your name, age and city for promotional activity Metro reserves the right to publish your image (mood board) entries, name, age and city for all promotional activity related to this Contest, including the publication of your image (mood board) entry, its title and your name in the Contest image (mood board) album that will later be distributed to the general public. What personal information does Metro collect on the Contest application? Metro will collect your legal full name, valid phone number, and valid active e-mail address. We may also require your postal address. You cannot take part in the Contest nor claim any prize without submitting this data. You acknowledge that any personal information that you submit to the Contest which is typically visible to others may result in such information being published for other participants to see. You should therefore take common sense precautions about the personal information you provide in such environments. Will Metro disclose the information it collects to third parties? Metro will not sell, trade or rent your personal information to any third party unless you have given your explicit permission thereto. Metro may however provide aggregate statistics about visitors to the application for its partners and clients. These statistics will include no personally identifying information. Metro reserves the right to share and disclose personal information to its companies within the Metro group of companies. Why does Metro use “cookies”? “Cookies” are small pieces of information that are stored by your browser on your computer's hard drive. They make it possible for Metro to identify registered users without needing to ask for registration details every time you perform an activity related to the Contest, e.g. accessing the application. The application uses cookies to make the user experience easier and speed up some processes. Personal data protection As the party responsible for the data processing, Metro hereby undertakes to introduce any necessary security measures to guarantee confidentiality of such data. Metro acknowledges and warrants that it complies with all and any legal requirements set forth in Data Protection Laws. Metro likewise hereby expressly undertakes to use such data for the sole purposes mentioned above. Furthermore, Metro: (a) does not carry out “spam” or any other mass advertisement activity that has not been requested; (b) does not send direct advertisements; (c) permits you at any time, through online or offline means, to revoke your consent to the storage of your data. Submitting your personal data means the expressed and unequivocal recognition of the following: (i) that Metro may process through you or through any other person designated the management of all personal data; (ii) that Metro may incorporate that data into its file or files.
