ZF Sachs and ZF Lemförder, which manufacture chassis components such as clutches, vibration dampers, front and
rear axle systems and gearshift systems, were merged into ZF Friedrichshafen. The independent business unit, ZF
Services, remains unchanged, along with the joint-venture ZF Lenksysteme with Bosch.
In addition, there are five business units – Electronic Components, Rubber-Metal Technology; Marine Propulsion
Systems; Aviation Technology; Aftermarket Trading, Sales and Service Organisation.
Geographically, ZF has 122 production locations in 26 countries. Europe, the biggest market for the company,
accounted for 58.4% of total sales in 2012 followed by North America (18.4%), Asia-Pacific (17.8%), South America
(4.4%) and Africa (1.2%).
In the financial year ended 31 December 2013, ZF generated 88% of sales from automotive industry applications,
12% from special vehicles/industrial/engineering/marine/aircraft/ aftermarket trading and agricultural and
construction machinery.
ZF supplies products to numerous OEMs, including Chrysler, Daimler, Beiben Truck, Subaru and Dongfeng. As of 31
December 2013, ZF employed 73,600 people worldwide.
Corporate Strategy
ZF is focused on its growth strategy based on expansion in both traditional and new markets. The company has
recorded strong growth in the North American market in the past few years. The region's share in total sales
increased from 15% in 2011 to nearly 19% in 2012. In 2012, the company opened a plant for the production of ninespeed automatic transmissions in South Carolina (US) and expanded its axle systems plant in Alabama (US). Owing
to increasing demand for automatic passenger car transmissions in the US, the company is planning to expand the
capacity of its South Carolina plant. In June this year, ZF North America opened a new plant in Gainesville, Georgia
(US), to produce clutch and other powertrain components for mid-size and heavy trucks. The company also foresees
high growth opportunities in the US, as stringent norms in fuel economy and emissions are expected to drive its
future growth. The company aims to make a series of capital investments in the region in order to meet the growing
demand, especially for passenger car technology.

ZF began reorganising its material purchasing activities in September 2012 with a view to saving EUR0.5bn
(USD0.69bn) in the next two years. To this end, the parts supplier plans to bring an end to the decentralised
negotiation of purchasing conditions and create a centralised system for all purchasing activities. This means that
suppliers will now have standardised purchasing conditions and one central negotiation partner each. The company
will also keep a tight grip on its cash-related activities, which include consistent payment terms. Another area of focus
for ZF is reducing the number of suppliers and selecting those suppliers that have global reach. This will help the
company ensure timely delivery of products at its facilities worldwide.
Chassis and suspension products form the biggest portion of ZF’s product portfolio. Under the reorganised
business, ZF has broadly categorised the Powertrain and Chassis technologies to better focus on core components
in the two divisions. The restructuring is also aimed at strengthening the company’s position in new and emerging
markets. ZF is a market leader of chassis and powertrain components in Europe and North America. The company
intends to strengthen its presence in the BRIC countries – Brazil, Russia, India and China. The company sees China
and south-east Asia as its biggest growth areas in the near future. The company planned to open a new production
location for passenger car axle systems in Beijing (China) in 2013.

ZF has a partnership with Saab on chassis technology. In March 2011, it was announced that Saab was working on
an all-new modular chassis concept to replace a range of new vehicles. The "Phoenix" architecture will use a unique
McPherson strut design and a new five-link rear axle made by ZF at a new factory in Sweden. ZF expanded the
partnership by announcing the establishment of a sub-assembly plant to develop axle components for Saab’s
vehicles, starting from the next generation 9-3. ZF eventually intends to expand its offerings to other Swedish
automakers. ZF also witnessed stable growth in western Europe, where the company’s commercial vehicle segment
experienced an upward movement.

ZF is currently diversifying its research and development focus to the electronic powertrain to meet the growing
demand potentials in hybrid and electric vehicle (HEV) segment. The company has supplied drive components to a
number of prominent hybrid models produced by automakers such as BMW, Audi and Volkswagen. This will also
enable the company to reduce its exposure to gearbox business. The company spent EUR861m (USD1.1bn) on
research and development in 2012. Apart from several hybrid drives, the company has developed a pure-electric drive
that is currently being tested in a test vehicle. In addition, ZF is diversifying into new business such as telemetry
services.
ZF believes its new products in e-mobility, electronics, and lightweight design will add to the company’s success in
the coming years. In a bid to pool competencies, the company recently opened the ZF Composites Tech Center at its
Schweinfurt (Germany) location. The centre will focus on developing manufacturing processes for the volume
production of fibre-reinforced plastics (FRP) products. ZF believes that the know-how will serve as a prerequisite for
the readiness of most of the lightweight design concepts that the company has presented in recent years – for
passenger cars and commercial vehicles to go into volume production.

GmbH, will supply steering technology for the buses. The buses will be used in the cities of Budapest and
Pécs (all Hungary).
In October 2013, ZF secured a contract to supply its six-speed automatic transmissions “ZF-EcoLife”, front and
rear axle systems for a total of 405 new fleet vehicles in the Netherlands. One of its subsidiaries, ZF
Lenksysteme GmbH, will supply steering technology for the buses. The buses will be used in Utrecht and
Arnhem, as well as in South Holland and Friesland (all Netherlands).
Product Developments
In the financial year ended 31 December 2013, the company invested EUR838m (USD1.15m, 31 December 2013) of
its total revenues in research and development (R&D) compared with EUR861m (USD1.14bn, 31 December 2012) in
FY2012
E
ZF has R&D centres in Germany, Czech Republic, China and Japan. The company’s R&D activities are focused on
reducing carbon emissions, optimising passive chassis systems and developing advance systems for hybrid and
electric vehicles.
PL
In July 2013, ZF opened a new composites technical centre in Schweinfurt (Germany) to develop lightweight auto
components. The centre focuses on the development of manufacturing processes for the volume production of
components made from fibre-reinforced plastics (FRP). It houses a press with a high-pressure injection unit for
various resin hardener systems and other systems for further processing, including a robot and an infrared and
tempering furnace. The centre – initially run by four engineers – will function as a branch of ZF’s Research and
Development unit in Friedrichshafen (Germany). The centre will also ensure group-wide knowledge transfer.
ZF also conducts R&D activities by collaborating with research institutes and other companies. In July 2013, the
company led a USD10m research project, the electric motor integrated power electronics (EMiLE), sponsored by the
German Federal Ministry of Education and Research (BMBF). The aim of the project is to integrate an electric
vehicle's (EV) power electronics directly into the driving machine. This could increase efficiency and power-to-weight
ratio, making faults easier to identify and volume production realised at lower cost.

In January 2014, ZF displayed nine-speed automatic transmissions (9HP) for vehicles with front-transverse
drive. When a vehicle is driving at a speed of 120kph, the 9HP can reduce fuel consumption by 16% when
compared with the conventional six-speed automatic transmission for front-transverse applications.
In November 2013, ZF presented its innovations focusing on energy efficiency at the Tokyo Motor Show in
Japan. The company showcased its nine-speed automatic transmission for passenger cars. It also displayed
ECOnnect, the automatically disengageable all-wheel-drive system that can reduce the additional
consumption of all-wheel-drive vehicles. Fuel consumption can be reduced by 5% compared with conventional
all-wheel drives.
In March 2013, ZF introduced lightweight plastic engine mounts made of a fibre-glass reinforced polyamide
instead of a conventional aluminum casting, which reduces the weight of the mount by about 25%, compared
with traditional rubber-metal engine mounts. In addition, the mounts are 100% recyclable, corrosion-resistant
and capable of dampening engine vibrations as effectively as its predecessor. The company announced a
contract to supply six model-specific versions of the mounts for Renault-Nissan’s passenger cars and electric
cars.
In October 2012, ZF developed a new valve technology for its twin-tube damper portfolio. The valve technology
is a combination of optimal handling with high driving comfort and enhanced noise characteristics. The
preloaded valve includes a new preload element that marks the company's fourth generation of valve
technology.
In September 2012, ZF introduced new automatic transmission system called TraXon at the at the IAA
Commercial Vehicles 2012 in Hanover (Germany). The transmission is also available in a hybrid drive module.
In June 2011, ZF showcased its nine-speed automatic transmission (9HP) for cars with front-transverse drive
at the International VDI Conference in Germany. With its two model ranges, it covers a torque range between
280 and 480Nm (207 and 354 lb-ft). The company developed nine-speed automatic transmission as a
‘construction kit’, with an additional transfer case can be connected for the all-wheel drive operation. To this
end, ZF developed an all-wheel drive that can be decoupled. It activates the rear axle drive only when it is
required and thereby, saves 5% fuel compared with permanent all-wheel drive. Also, the transmission is stopstart capable without the need for an additional oil pump.
In April 2011, ZF showcased its new all-wheel drive system at the 2011 European All-Wheel Drive Congress
(EAWD) being held in Graz (Austria). The system has an automatic decoupling function which cuts down on
over-consumption by 5% compared with conventional all-wheel drive systems. The system has a fronttransverse architecture which allows it to use ZF’s 9-speed automatic transmission. There is no drag-based
increase in fuel consumption while decoupling. The system has been weight-optimised to offer better fuel
savings and thus reduce CO2 emissions.
In January 2011, ZF started serial development of 9-speed automatic transmission (AT) for cars with fronttransverse drive. The transmission was showcased at July's International VDI Conference: Transmissions in

Vehicles 2011 in Friedrichshafen (Germany). With two model ranges, it covers a torque range between 280
and 480Nm (207 and 354 lb-ft). Also, the transmission is stop-start capable without the need for an additional
oil pump. It will be manufactured at ZF’s plant in Greenville, South Carolina (US).
In January 2011, ZF equipped Audi's new hybrid version of A6. The vehicle featured ZF's 8-speed hybrid
transmission. The A6 Hybrid is equipped with a 4-cylinder 2L gasoline engine and a 45hp electric motor from
ZF. The hybrid transmission weighs 120kg, as much as the basic transmission since it does not include a
torque converter. Audi’s Q5 hybrid also features ZF's full hybrid transmission with fully integrated electric drive.
The standard version of Q5 has axle drives, suspension and electronic components and a shift system from
ZF, as well as a steering column from ZF Lenksysteme.
in January 2011, ZF equipped BMW’s first hybrid vehicle 7 Series ActiveHybrid with 8-speed hybrid
transmission along with the DynaStart electric motors (integrated into transmission) and the combustion
engine. The vehicle also has dampers, suspension and electronic components as well as the electronic Active
Roll Stabilisation (ARS) system from ZF.
In September 2010, ZF unveiled a new 6-speed manual transmission for use in bus. The new transmission is
based on the company’s EcoShift basic transmission and is designed to meet future market demands.
In June 2009, ZF announced its research project to develop an active lightweight chassis for passenger cars.
The chassis will use fibre composite materials and multifunctional materials to reduce weight of the
component. The project is part of the "Material Innovations for the Industry and Society” programmes.
E
In May 2009, ZF introduced a sensor with a travel measurement of up to 30mm. The compact Hall Effect
sensor can be used between minus 40°C and plus 150°C and offers an interface which can be read with
simple, basic measurement devices. The sensor is used as a ready-to-install component in automotive
applications to detect speed and nearby objects.
In April 2009, ZF introduced the Dynamic Damping Control, an upgraded version of the continuous damping
control (CDC ), less side tilt in bends feature and the speed-dependent rack-and-pinion steering system called
Servotronic in the new BMW 760i. Furthermore, the new BMW 760i is equipped with ZF's 8-Speed Automatic
Transmission system.
PL
In February 2009, ZF launched the hydrodynamically cooled clutch (HCC) system. The HCC is installed in the
clutch housing of the automatic transmission instead of the torque converter for fast gear changes. HCC
overcomes high input torques, particularly in high-performance engines.

Outlook
ZF has realised a significant sales growth in North America in the past three years and is expected to see a
continuation of this positive trend. Apart from transmissions systems, the axle and steering systems business is
Page 8 of 24 - Information last updated: 24/07/2014 07:53

also expected to contribute to the projected growth. The company expects 10% growth in sales for 2013 due to growth
in demand from the premium car market and markets in US and China.
ZF has succeeded in creating a global footprint. Although Europe continues to be its biggest market, the company’s
outlook is linked with new contracts in Asia and North America. The rapidly growing demand for vehicles in emerging
markets offers potential for increased business. This trend is reflected in growing investments by ZF in the BRIC
(Brazil, Russia, India and China) countries for expanding production capacities and for new product launches.
Furthermore, high development expenditures will help expand technological leadership in all business units.
In light of stringent regulations, the demand for technologies such as electric steering systems and auto
transmissions, which contribute to fuel economy improvement, is rising in most automotive markets. ZF is expected
to benefit from this trend.
ZF is focusing on module and systems business, as it anticipates the business to generate half of the automotive
sales in the coming years. In its core business areas of axles, drivetrain, and steering systems, vehicle makers are
becoming more interested in outsourcing development and assembly responsibility. The changes in technology
taking place in all three areas, such as the change in gearbox technology to CVT, the introduction of electric power
steering, and the changing demands on sports-utility vehicle (SUV) and truck axle performances, offer big
opportunities for the group.
E
ZF’s cooperation with Continental Automotive System in developing the hybrid drive technology will help ZF to
enhance its product range. The cooperation encompasses the development, production and marketing of systems
and components involving hybrid technologies for passenger cars and light commercial vehicles. The company
already supplies transmissions to hybrid models from prominent automakers. Going forward, with increasing focus
on such eco-friendly models, ZF may win some additional contracts from automakers, especially in the US.

Further, strategic alliances with ISE Corporation, Continental and Chrysler will help the company to concentrate on
growth in both hybrid concept and the conventional combustion engine concept. The company is also developing a
new nine-speed automatic transmission for passenger cars. ZF claims that almost 80% of vehicles in the world have
transverse engine installations, which are best suited for nine-speed automatic transmissions. ZF has already
begun production of the transmissions, which may become a significant product in the company’s portfolio. Going
forward, the advanced transmission could also be applicable to hybrid vehicles.
