Attached is the Exhibitor Operating Manual, Exhibitor Service and Risk Assessment Forms and Hire Equipment Catalogue all designed to assist you and your company in the preparation and successful completion of your involvement in the International Truck, Trailer & Equipment Show. Every effort has been made by the event organisers to make your experience at the venue both enjoyable and safe. As such, we urge you to read the entire contents of this Exhibitor Operating Manual. Aimed at three distinct audiences; the local, national and international heavy duty road transport industry, the advertising and public relations campaign will target the highest possible visitor numbers to the show. The event itself and the exhibitors’ products and sales messages will be directed through a diverse range of mediums, including trade advertising, various websites, daily press and via direct mail. Quality visitors are the target representing large, medium and small transport fleets through to the owner operator. Trade Press A combination of monthly editorial releases and advertising messages will be circulated in leading trade magazines, nationwide. As well, specific overseas publications have been targeted for specific press releases. television and radio In a bid to boost the public attendance at the 2014 International Truck, Trailer and Equipment Show, a comprehensive TV and radio campaign will be put in place - a first for the International Truck, Trailer and Equipment Show. This will maximise awareness of the event and boost visitor figures. Direct Mail A multi-platform schedule consisting of direct mail will make up an important part of the marketing campaign. Current industry databases have been utilised to achieve targeted penetration to the industry’s buyers – large and small, specialised and mainstream. Materials such as promotional posters, brochures and flyers will also be sent out over a 12 month period leading up to the show, making for a truly comprehensive direct mailing program. Website and Email Campaigns An extensive email database is being used to keep all exhibitors and potential visitors up to date with the latest show news. Likewise, the event website, www.trucktrailershow.com.au will be continually updated with important information for both the local, national and international exhibitors and visitors. Local and Interstate Press Leading up to the event, advertising will be employed in leading local and interstate newspapers to spread the word about the show to millions of readers. In all, a $750,000 plus promotional and advertising package will be designed to maximise visitor attendance at the 2014 International Truck, Trailer & Equipment Show. Official Show GUIDE The official show guide will be published and distributed to over 35,000 companies and trade visitors. If required, this will be dealt with in the best interest of the show, including altering the size, shape or position of the space. ANIMALS No animal is allowed within the Melbourne Showgrounds without permission of the event organisers unless it is a controlled animal E.g. Seeing eye dog. APPROVALS FOR WORK All work, equipment and practices involved at the Melbourne Showgrounds shall comply with the relevant requirements of any statutory authority, with jurisdiction over the occupation, including and not limited to approvals, licenses, tests, certificates, competencies, legislation, Australian Standards, Building Codes, Environmental Codes, Work Cover Codes and RASV Policies and Procedures. Please contact the event organisers for any enquiries or information. BARRICADES AND SAFETY WARNING SIGNS These must be used where there is any risk to employees or the public entering hazardous areas or where machinery or equipment is in use. Displays involving moving equipment, such as fire or heat, machinery and water, likely to injure a member of the public, must be separated from the public by a physical barrier and attended by the exhibitor’s staff at all times. Risk analysis and injury mitigating measures are to be provided. Please refer to the Exhibitor Risk Assessment Form provided. BEFORE YOU ARRIVE ON SITE (CHECKLIST) Do you have sufficient high-visibility jackets for your staff during the move-in/out periods? ave you arranged the required fire extinguisher to be on your H stand and a trained staff member to use the extinguisher in the case of an emergency? ave you ordered your electrical requirements and reviewed your H electrical supply order. Don’t forget the power load drawn by items such as electric kettles, air conditioners etc. re all your personal electrical items tested, tagged and current? A You will not be allowed to use any untagged leads, tools etc either during set up or during the show itself. Double adaptors are not allowed – use a power board. New and tested power leads are available for purchase on site. or outside stands, do you have sufficient weights (i.e. water, F sand or concrete in containers) to hold down your signs, umbrellas, furniture or structures other than items erected by the officially approved contractor, etc? o you have barriers such as plants, signage, hazard tape or D similar to alert people of items, such as shape corners or draw bars of trailers on display, if they are positioned in such a way that people could trip over them or injure themselves? Have you arranged drip trays for all trucks? If you have a raised floor or second story exhibit, have you complied with ramping, stairs or fire rules? Remember to arrange child minding – children under 15 years and animals are not permitted on site during hours of move-in & move-out. Remember vehicle speed on site is 10 kph or less. If your display or equipment is in excess of this, please contact show organisers to find an alternate site. Please also be aware that forklifts of any kind are unable to access the Main Arena Pavilion. Contact show organisers to discuss alternate methods of getting your display equipment into position. Please take extreme care when entering and exiting all buildings, taking note of clearance heights and widths. Some pavilion floors can be easily damaged by those not taking care when skewing vehicles around to particular angles. Cost to remove excessive tyre marks or to repair damage will be the responsibility of the exhibitor. Be aware of any floor gradients and watch out for internal columns and posts. Damage caused to buildings by exhibitors will be at the exhibitor’s cost. Flooring and roadways can easily be damaged by those not taking care. For that reason we have appointed vehicle parking and placement marshals to assist exhibitors during the move-in and move-out periods. Please work with our marshals to eliminate any chance of damage to the Showgrounds buildings and premises. BOMB THREATS If you receive a telephoned bomb threat obtain as much information as you possibly can, such as: • When is the bomb going to explode? • Where did you put the bomb? • What does the bomb look like? • Why did you place the bomb? Under no circumstances should you hang up. CATERING Exhibitors wishing to purchase food or drinks (non alcoholic) can do so by completing the Catering Request Form. This form will be available closer to the show. You will be notified upon its availability. A catering charge card can be arranged for you and your staff. Please fill in the enclosed catering accounts card form. CHILDREN ON SITE All children under the age of 15 years must be accompanied by an adult at all times when on the premises of the Melbourne Showgrounds during event show times only. Children are not allowed on site during move in and out times. CLEANING - floor space only The cost of cleaning the floor space only is included in the initial cost of each shell scheme and floor space only package. Please place all rubbish in the aisles at the end of each day. Please report any spillages or broken glass to the organiser’s office ASAP to ensure a clean up can be done immediately. Cleaning staff will not enter exhibitor stands until the evening prior to the first show day and during the night (for spot cleaning) proceeding each show day. Exhibitors requiring special floor or equipment cleaning must arrange to do so through the appointed cleaning supplier (refer page 14 for contact details). The cleaning service provided, as part of the exhibition space charge, including the removal of rubbish pre, during and post the show. Vacuuming of the stand is also included prior to the opening of the show and a nightly spot clean will take place each show day. The service provided does not include cleaning of any exhibition display equipment or structures nor the care of special floor surfaces such as metal, wood, tiles or vinyl. The cleaning service does not guarantee the removal of heavy grease or oil stains or the removal of tyre marks created by forklifts. To repair damaged or previously marked carpet tiles is the responsibility of either the exhibitor or respective hire company. If in doubt on the level of the cleaning service provided, please contact the show organiser. CONDITIONS OF ENTRY All persons entering the Melbourne Showgrounds are subject to the conditions of entry as displayed at all entry points. CONFINED AREA WORK Is not permitted without prior event organiser’s approval and RASV work permit received (Refer Risk Management page 26). CONTRACTORS, EXHIBITORS AND THEIR EMPLOYEES All are obliged to work safely and to include the safety of on site employees and visitors in their safety plans. All electrical appliances and leads must be tested and tagged in accordance with the current Australian Standards AS/NZS 3760; 2010 - In-Service Safety Inspection of Electrical Equipment and the Melbourne Showgrounds’ Site Requirements. Failure to comply will see electrical equipment removed from the site. Quartz halogen lamps must have approved covers attached. Stand perimeter walls must not exceed a height of 2.4 metres. The maximum wall height allowable is 4.6 metres on custom built stands subject to building site and approval from adjoining exhibitors and the event organisers. All walls or features over 2.5m must seek approval in writing from show organisers. Design approvals and agreements must be made in writing. All displays must be erected and dismantled within the required time frames. Move-in will commence at 7.00 a.m. when gates open and conclude at 7.00 p.m. when gates close each day on Monday 31st March, Tuesday 1st April and Wednesday 2nd April 2014. Move out will commence at 6.00 p.m. until 8.00 p.m. on Sunday 6th, 7.00 a.m. until 6.00 p.m. on Monday April 7th and 7.00a.m. to 12 midday on Tuesday April 8th. No exhibit shall be dismantled prior to 6.00 p.m. Sunday April 6th. DAMAGE WAIVER The event organisers will not accept responsibility for any exhibitor, their staff or contractor damaging any of the Melbourne Showgrounds buildings, fixtures, gardens, lawns or sealed surfaces. In the event of any structural damage or spillage occurring, the exhibitor at fault will be responsible for any repair or replacement costs. Any vehicle or equipment damage that has occurred during the move-in, move-out or show days period will be the responsibility of the exhibitor and/or their transport contractor. The event organisers accept no responsibility for equipment or vehicle damage on site at the Melbourne Showgrounds. DANGER OR SAFETY LOCK-OUT TAGS Tag, isolate and report any unsafe plant or equipment including ladders. Only the signatory may remove an existing tag when the risk has been resolved. Warn others of risks. DELIVERIES (See delivery notice form) The exhibitor must arrange for an authorised representative to be present at the stand to receive goods as the organisers are unable to either accept delivery or be responsible for the safe keeping of items to be delivered. Do not send any items to the Melbourne Showgrounds by mail or courier as the facility does not have the resources to receive or store goods. Agility Fairs & Events is the contracted logistics provider and it is strongly advised all goods sent to the venue are done so through Agility. Charges will apply to any exhibitor not in compliance. Under the terms of the Space Contract, the cost of the removal of any material, after the appointed close of the bump-out time deadline will be passed on to any exhibitor at fault. DUE DILLIGENCE AND dUTY OF CARE This requires all persons to be committed to carrying out their moral and legal duties, assessing all hazards and risks continually and taking reasonable precautions to mitigate risks. Hazards are anything which have the potential to cause harm in any way to people, property or the environment. A hazard can be the result of your work environment, equipment and substances. Poor work practices, systems, procedures and behavior are a major cause of hazards in the workplace. DUST AND FUMES These may present respiratory, explosion or environmental hazards. Wear Personal Protection Equipment (PPE) when exposed to the hazard. ELECTRICITY CONNECTION No ‘live’ electrical work is permitted. Do not bring or use damaged electrical items and equipment. Check that the electrical test tag date is current. Out of test date appliances must not be used. Test ‘Safety Switches” or RCD’s each time before use. Do not overload power points or use double adapters. Do not use electrical items in damp or wet conditions. Connections of electricity to all stands must only be carried out by the officially appointed electrical contractors, Moreton Hire. NO EXCEPTION to this rule will be permitted. (Electrical connection and electrical charges over and above those included in the package are at the cost to the exhibitors). Please fill in and return your Electrical Connection Form to Moreton Hire. No exhibitor shall conduct a competition, auction, raffle, prize giveaway or game of chance during the show without the written permission of the organisers. All products sold from exhibition stands at the Melbourne Showgrounds must comply to the ACCC definitions and guidelines. Exhibitors must not sub-let or re-lease their exhibition space without the event organisers permission. If the principle exhibitor wishes to share their space with other companies, each sharing company will be required to pay the same Administration Booking Fee. All exhibitors, contractors and staff must wear high visibility clothing (high viz-jackets) and closed footwear during the show move-in and move-out periods. The exhibitor must ensure that the designated aisles, passage ways and walkways are kept clear from obstruction during the official show period. Exhibitor noise levels during the show must not exceed 60 decibels. No individual P.A. sound system or live music is permitted. The starting up of motor vehicles or engines is also not permitted inside any building. Truck engines may only be permitted to run on idle provided that noise and carbon monoxide emission levels are acceptable under the Melbourne Showgrounds OH&S guidelines. Please consult the event organisers for approval. No generators are to be used to power outside exhibition stands. Truck engines may only run on idle during the event outside the buildings in designated areas and as approved by event organisers. If they are located inside, smoke detectors would be required to be isolated for the entire event, and a fire warden to be on watch. The event organisers reserve the right to remove any individual who does not adhere to the safety and courtesy conduct conditions of the Melbourne Showgrounds. Every stand must be manned by adequately dressed and professional staff for the duration of the show, which commences at 10.00 a.m. April 3rd and concludes 5.00 p.m. April 6th. The event organisers reserve the right to refuse entry to any person not suitably attired. No exhibitor contractors or stand builders are to deal with the venue directly. All enquiries, floorplan requests and site-inspection requests are to come through the event organisers. EXHIBITOR ON-SITE CUSTOMER SERVICE DESK Moreton Hire will provide an Exhibitor Service Desk at the Showgrounds, which will be manned all hours during the move-in period. This service will allow for last minute additional orders to be processed. All temporary structures, including stands built for exhibition, must comply with the Building Code of Australia and all other statutory regulations current at the time of construction. This includes areas pertaining to egress, height, fire safety and flammability rating of materials. (Refer fixings and penetrations page 16). Stands over 2.4 metres in height or stands designed to support weight other than light advertising material are required to be approved by submission of a design with dimensional plans, with cross-sectional and elevation views, together with details of construction materials and methods. Any stand that has a structure contained within it that has a roof or ceiling may be required to have additional fire protection equipment, such as the fitting of a smoke detector, a portable C02 extinguisher and an extension of the existing sprinkler system. Where any stand/exhibit is a multiple storey construction, the design, showing all features, including access/egress points and stairways, full dimensional plan, elevations and certification, must be provided eight weeks prior to the event for assessment and written approval. A certificate from a structural engineer identifying the integrity of the structure is required. Artist’s impressions are not acceptable. EXHIBITOR SAFETY CHECKLIST It is the exhibitor’s legal responsibility to manage all risks associated with your display to ensure the safety of all workers, contractors and visitors to the event. THE AREA OF THE SHOW IS A WORKPLACE – SAFETY IS A PRIORITY Our Show Safety Officer will be on site to assist you to identify hazards and to comply with legislative requirements. All Health and Safety directives given must be complied with. A safety checklist of the information contained in this manual should be completed to ensure a smooth and hassle-free event. EXPLOSIVE TOOLS Explosive powered tools are not permitted on-site without the prior written approval of the event organisers. FIRE SAFETY Each exhibitor must have on their stand an approved and tested CO2 fire extinguisher. Do not block or lock fire exits, aisles or access to fire appliances, including extinguishers, hydrants or reels. Familiarise yourself with the nearest fire appliance, exit and all emergency procedures. Building materials subject to fire risk are to be avoided when planning show displays. All fire outlets must remain clear at all times. Over head banners, signs, stage display sets, scenery or themes must be non flammable. No helium inflated balloons are allowed on site unless they are firmly anchored to the show stand. Cost to retrieve balloons will be charged to the exhibitor. FIRST AID All accidents and incidents must be immediately reported to a security officer, safety warden or the event organisers office so that a record of details can be taken to ensure that the appropriate first aid action is taken. The First Aid Room is located in the event organiser’s office building with full emergency equipment. Logo branding of a building is only accepted when the entire building is occupied by a single tenant exhibitor or by approval of the RASV. ‘FLOOR SPACE’ ONLY EXHIBITORS (NO CARPET) Floor Space Only packages are intended for custom stand builds only and do not have power, lighting, carpet, furniture, plants or any structure included in the cost. FOOD, DRINK, TOBACCO The serving or drinking of alcohol on exhibition stands is strictly prohibited unless approved by event organisers. Designated drinking areas (exhibitor lounges and public bars) will be made available for the consumption of alcoholic beverages to exhibitors, their guests and trade visitors over the age of 18 years. The Melbourne Showgrounds and the event organisers discourage the consumption of alcohol, which results in: a) intoxication and drunkeness; and/or b) disruptive, offensive, aggressive or dangerous behaviours. Melbourne Showgrounds has appointed RSA Managers and undertaken extensive staff training to monitor and manage the consumption of alcohol on its licensed premises. Melbourne Showgrounds encourages its patrons to consume alcohol responsibly. No exhibitor can sell, distribute or give away any item of food, drink or tobacco without approval by the event organisers. All food and drink including coffee must be purchased through the designated and officially appointed Melbourne Showgrounds Caterer. No exceptions will be granted. FORK LIFTS Agility Fairs and Events is the only appointed official materials handling and logistics manager for the event. LOADING DOCK ACCESS AND MANAGEMENT Each pavilion/building has a dedicated loading dock, as does the Exhibition Hall. The access and driveway for all loading docks is based on a one-way directional system accessible via the signed entrance. All exhibitors and contractors are required to report to the assigned loading dock manager. Speed limit on the loading dock area is 10kmh or less. MACHINERY WITHIN EXHIBITS Machinery, equipment or substances likely to jeopardise the health or safety of any person are prohibited. The operation of machinery or equipment, that is likely to be hazardous to the health or safety of attendees, is also prohibited. All machinery should be fitted with guarding, fencing, immobilisation locks, etc, to ensure a safe environment for staff and patrons. Signage above is not acceptable as a protective method. Persons operating equipment or machinery during an exhibition must be the current holder of the relevant certificate or license as required by law to operate such equipment. License to operate equipment or machinery must be carried by the equipment holder at all times. PPE is the most effective way to control the particular risks. Your manager must provide you with correct PPE as well as appropriate training to ensure correct use, storage and maintenance. PPE must be checked for fit, type and damage before use. Do not re-use disposable, contaminated or damaged PPE. PLANT & EQUIPMENT / VEHICLES & TOOLS All must be suitable for the task. Battery powered tools to be used wherever possible. Do not use any equipment you have not been trained to use unless fully competent in its use, hold current certificates of competency, and are authorised in its use. Be ready to present your certificate or license when requested. Do not use faulty or damaged equipment/vehicles or leave equipment unattended. Remove keys and apply park brakes if leaving heavy vehicles, trailers or plant equipment. Conduct manufacturer’s safety checks before use. Do not tamper with or remove safeguards. Do not hitch, tow, or carry passengers, or allow unauthorised vehicle use. Ensure the equipment/vehicle is maintained as per the manufacturer’s recommendations and Codes of Practice. (See exhibition contact page 14 for details) RISK MANAGEMENT Officially appointed Risk Managers – Work Law, Health and Safety Officers, will be circulating around the Showgrounds during the set up, operational and dismantling periods of the show. Their direction on Workplace Health & Safety matters must be followed by the exhibitors. Check your area for any trip, fall or other hazards and notify the Show Safety Officer immediately if there are any safety concerns. Exhibitors should conduct their own safety induction for Staff and Contractors. Please display the Building Evacuation Plan (to be supplied prior to show time) in a prominent position on your stand. SAFE SYSTEMS & METHODS OF WORK This applies to all tasks and must meet or exceed the current Work Cover requirements. If you are in doubt you must consult with the event organisers. SAFETY VESTS It is COMPULSORY that all visitors, contractors and suppliers who are on-site during the move-in and move-out periods are wearing high visibility clothing (i.e., SAFETY VESTS). Showgrounds access will not be permitted to anyone who is not wearing a safety vest. Safety vests are not provided or sold on site. Please ensure you arrange one prior to arriving at the Showgrounds. SALES If an exhibitor undertakes a motor vehicle sale during the posted trade show times they must be a fully licensed Motor Trader. Verification of license number and qualifications must be presented to the event organisers 30 days prior to the opening of the show. SECURITY The event will be guarded by 24 hour security from move-in period, show days and move-out period. The event organisers, Transport Marketing Australia and the Melbourne Showgrounds will not however be responsible for the loss, theft or damage of any property brought into the Melbourne Showgrounds site. STORAGE FACILITIES Facilities are available through Agility Fairs and Events for exhibitors wishing to store items during the event. (See exhibition contact page 14 for details) TEMPORARY RAISED FLOORS, RAMPS AND STAIRS WITHIN EXHIBITIONS All raised floors, steps and ramps must comply with the relevant sections of the Building Code of Australia and OH&S and conform to Disabled Disability Act requirements. The raised floor sections, steps or ramps must not contain sharp or dangerous edges and must not cause a trip hazard, as well as being clearly distinguishable from the surrounding area. Disabled access to the stand must be provided. Please note that there are restricted floor weight limits pertaining to the Agricultural Hall, Centenary Hall, Meaklim Pavilion and Main Arena Pavilion. All items left at the Showgrounds, after the completion of the show period (including the move out period), will be treated as rubbish and disposed of accordingly, unless other arrangements have been made by contacting the event organisers. The cost of any items lost, stolen or damaged during the move-in, show days and move-out periods will be the exhibitor’s responsibility and therefore liability. Please label any boxes that are not rubbish with ‘KEEP’ to ensure these are not thrown out by the cleaners. VEHICLES ON THE SHOWGROUNDS SITE Any vehicle which remains outside or inside a building during an event must have a drip tray under the vehicle. All batteries must be disconnected. No refuelling is permitted on-site. Vehicle fuel tank filler caps must be secured (preferably locked) throughout the move-in, move-out and the duration of the show. All exhibitors must obey the directions of the official traffic control officers. VEHICLES, TRAFFIC & PARKING All vehicles must observe a 10 kph or walking pace speed with hazard lights operating at all times and a spotter is required when moving in a building. Pedestrians must have right of way at all times. Keep clear of loading dock operations. Do not drive vehicles through crowds. Vehicle registration, licensing and traffic laws apply at all times during the event, including fork lifts. Park only in allocated areas and marked parking bays and do no block any clear access areas. A mobile contact number is to be displayed clearly on the vehicle’s dashboard at all times. Motor off and handbrake to be applied before leaving the vehicle. A tagged set of keys must be left with the event organisers when a heavy duty vehicle (truck) is unmanned. All display vehicles are required to have a full tank of fuel. WET OR DAMP AREAS These present a number of risks including slips, falls and electric shock. Do not use electric appliances in damp or wet areas. Isolate the area and then arrange clean up of the spills immediately. WORKPLACE OCCUPATIONAL HEALTH AND SAFETY To avoid any doubt, the duty imposed on a person by the OH&S Act 2004, to ensure as far as reasonably practicable, is to provide and maintain an environment that is safe and without risks to health. It is also your duty to eliminate risks to health & safety so far as is reasonably practicable. The exhibitor, its employees and contractors must comply with the provisions of the current Victorian Workplace Health and Safety Act, its requirements, regulations and standards. (A) Subject to clause (B) below, all services of the Company whether gratuitous or not are subject to these Conditions. (i) The provisions of Part I shall apply to all such services. (ii) The provisions of Part II shall only apply to the extent that such services are provided by the Company as agents. (iii) The provisions of Part III shall only apply to the extent that such services are provided by the Company as principals. (B) Where a document bearing a title of or including “bill of lading” (whether or not negotiable), or “waybill” is issued by or on behalf of the Company and provides that the Company contracts as carrier the provisions set out in such document shall be paramount in so far as such provisions are inconsistent with these conditions. (C) Every variation, cancellation or waiver of these Conditions must be in writing signed by a Director of the Company. Notice is hereby given that no other person has or will be given any authority whatsoever to agree to any variation cancellation or waiver of these Conditions. All services are provided by the Company as agents except in the following circumstances where the Company acts as principal: (A) Where the Company performs any carriage, handling or storage of Goods but only to the extent that the carriage is performed by the Company itself or its servants and the Goods are in the actual custody and control of the Company, or (B) Where prior to the commencement of the carriage of Goods the Customer in writing demands from the Company particulars of the identity, services or charges of persons instructed by the Company to perform part or all of the carriage, the Company shall be deemed to be contracting as a principal in respect of that part of the carriage in respect of which the Company fails to give such particulars demanded within 28 days of the Company’s receipt of such demand, or (C) To the extent that the Company expressly agrees in writing to act as a principal, or (D) To the extent that the Company is held by a court of law to have acted as a principal. Without prejudice to the generality of clause 2, (A) The changing by the Company of a fixed price for a service or services of whatsoever nature shall not in itself determine or be evidence that the Company is acting as an agent or a principal in respect of such service or services; (B) The supplying by the Company of their own or leased equipment shall not in itself determine or be evidence that the Company in acting as an agent or a principal in respect of any carriage, handling or storage of Goods; (C) The Company acts as an agent where the Company procures a bill of lading or other document evidencing a contract of carriage between a person, other than the Company, and the Customer or Owner; (D) The Company acts as an agent and never as a principal when providing services in respect of or relating to customs, requirements, taxes, licenses, consular documents, certificates of origin, inspection, certificates and other similar services. Definitions In these conditions (A) “Company” Is Agility Fairs & Events Pty Ltd (B) “Customer” Means any person at whose request or on whose behalf the Company provides a service; (C) “Person” Includes persons or any body or bodies corporate; (D) “Owner” Includes the owner, shipper and consignee of the Goods and any other person who is or may become interested in the Goods and anyone acting on their behalf; (E) “Authority A duly constituted legal or administrative person, acting within its legal powers and exercising jurisdiction within any nation, state, municipality, port or airport; (F) “Goods” Includes the cargo and any container not supplied by or on behalf of the Company, in respect of which the Company provides a service; (G) “Container” Includes any container, flexitank, trailer, transportable tank, flat, pallet or any article of transport used to carry or consolidate goods and any equipment of or connected thereto. (H) “Dangerous Goods” Includes goods which are or may become of a dangerous, inflammable, radioactive or damaging nature and goods likely to harbour or encourage vermin or other pests; (I) “Hague Rules” Means the provisions of the International Convention for the Unification of certain rules Relating to Bills of Lading signed at Brussels on 25th August 1924; (J) “Instructions” Means a statement of the Customer’s specific requirements. Obligations of Customer The Customer warrants that he is either the Owner or the authorised agent of the Owner of the Goods and that he is authorised to accept and is accepting these Conditions not only for himself but also as agent for and on behalf of the Owner of the Goods. The Customer warrants that he has reasonable knowledge of matters affecting the conduct of his business, including but not limited to the terms of sale and purchase of the Goods and all other matters relating thereto. The Customer shall give sufficient and executable instructions. The Customer warrants that the description and particulars of the Goods are complete and correct. The Customer warrants that the Goods are properly packed and labelled, except where the Company has accepted instructions in respect of such services. Special Instructions, Goods and Services (A) Unless otherwise previously agreed in writing, the Customer shall not deliver to the Company or cause the Company to deal with or handle dangerous Goods. (B) If the Customer is in breach of sub-clause (A) above he shall be liable for all loss or damage whatsoever caused by or to or in connection with the Goods howsoever arising and shall defend, indemnify and hold harmless the Company against all penalties, claims, damages, costs and expenses whatsoever arising in connection therewith and the goods may without notice be destroyed or otherwise dealt with at the sole discretion of the Company or any other person in whose custody they may be at the relevant time. (C) If the Company agrees to accept Dangerous Goods and then in the opinion of the Company or any other person they constitute a risk to other goods, property, life or health they may without notice be destroyed or otherwise dealt with at the expense of the Customer or Owner. The customer undertakes not to tender for transportation any Goods which require temperature control without previously giving written notice of their nature and particular temperature range to be maintained and in the case of a temperature controlled Container stuffed by or on behalf of the Customer further undertakes that the Container has been properly pre-cooled or preheated as appropriate, that the Goods have been properly stuffed in the Container and that its thermostatic controls have been properly set by the Customer . If the above requirements are not complied with the Company shall not be liable for any loss or damage to the Goods caused by such non-compliance. No insurance shall be effected except upon express instructions given in writing by the Customer and all insurances effected by the Company are subject to the usual exceptions and conditions of the policies of the insurance company or underwriters taking the risk. Unless otherwise agreed in writing, the Company shall not be under any obligation to effect a separate insurance on each consignment but may declare it on any open or general policy. The Company is an agent in respect of the effecting of insurance and should the insurers dispute their liability for any reason the insured shall have recourse against the insurers only and the Company shall not be under any responsibility or liability whatsoever in relation thereto notwithstanding that the premium upon the policy may not be at the same rate as that charged by the Company or paid to the Company by its customers. Except in accordance with express instructions previously received in writing and accepted in writing by the Company, the Company shall not be obliged to make any declaration for the purposes of any statute, convention or contract as to the nature of value of any Goods or as to any special interest in delivery. Unless otherwise previously agreed in writing or otherwise provided for under the provisions of a document signed by the Company, instructions relating to the delivery or release of Goods against payment or against surrender of a particular document shall be in writing and the Company’s liability shall not exceed that provided for in respect of misdelivery of Goods. Unless otherwise previously agreed in writing that the Goods shall depart or arrive by a particular date, the Company accepts no responsibility for departure or arrival dates of Goods. General Indemnities (A) The Customer and Owner shall defend, indemnify and hold harmless the Company against all liability, loss, damage, costs and expenses arising (I) from the nature of the goods unless caused by the Company’s negligence, (ii) out of the Company acting in accordance with the Customer’s or Owner’s instructions, or (iii) arising from a breach of warranty or obligation by the Customer or arising from the negligence of the Customer or Owner. (B) Except to the extent caused by the Company’s negligence, the Customer and Owner shall be liable for and shall defend, indemnify, and hold harmless the Company in respect of all duties, taxes, imposts, levies, deposits and outlays of whatsoever nature levied by any Authority and for all payments, fines, costs, expenses, loss and damage whatsoever incurred or sustained by the Company in connection therewith. (C) Advice and information, in whatever form it may be given, are provided by the Company for the Customer only and the Customer shall defend, indemnify, and hold harmless the Company for all liability, loss, damage, costs and expenses arising out of any other person relying on such advice or information. (D) (i) The Customer undertakes that no claim be made against any servant, sub-contractor or agent of the Company which imposes, or, attempts to impose upon any of them any liability whatsoever in connection with the Goods, if any such claim should nevertheless be made, to indemnify the Company against all consequences thereof. (ii) Without prejudice to the foregoing, every such servant sub-contractor or agent shall have the benefit of all provisions herein, as if such provisions were expressly for their benefit. In entering into this contract the Company, to the extent of those provisions, does so not only on his behalf, but as agent and trustee for such servants, sub-contractors and agents. (iii) The Customer shall defend, indemnify and hold harmless the Company from and against all claims, costs and demands whatsoever and by whomsoever made or preferred in excess of the liability of the Company under the terms of these Conditions and without prejudice to the generality of this clause this indemnity shall cover all claims, costs and demands arising from or in connection with the negligence of the Company, its servants, sub-contractors and agents. (iv) In this clause, “sub-contractors” includes direct and indirect sub-contractors and their respective servants and agents. (E) The customer shall be liable for the loss, damage, contamination, soiling, detention or demurrage before, during and after the Carriage of property (including, but not limited to, Containers) of the Company or any person or vessel referred to in (D) above caused by the Customer or owner or any person acting on behalf of either of them or for which the Customer is otherwise responsible. Charges etc. (A) The Customer shall pay to the Company in cash or as agreed all sums immediately when due without deduction or deferment on account of any claim, counterclaim or set-off. (B) When the Company is instructed to collect freight, duties, charges or other expenses from any person other than the Customer, the Customer shall be responsible for the same on receipt of evidence of demand and non payment by such other person when due. (C) On all amounts overdue to the Company, the Company shall be entitled to interest calculated at 4 per cent above rate as set out under the Penalty Interest Rates Act 1983 (Vic), as varied from time to time, calculated daily from the date of default to the date of payment. (D) Should payment remain outstanding beyond the Company’s payment terms, the Customer agrees to pay all legal costs (on a solicitor/own Customer basis) and all Mercantile Agent’s fees (including any commission payable on the payment of the debt) incurred by the Company as a result of non-payment of the debt. Liabilities and Rights of the Company The Company shall be entitled, except insofar as has been otherwise agreed in writing, to enter into contracts on behalf of itself or the Customer and without notice to the Customer. (A) For the carriage of Goods by any route, means or person, (B) For the carriage of Goods of any description whether containerised or not on or under the deck of any vessel, (C) For the storage, packing, transhipment, loading, unloading or handling of Goods by any person at any place whether on shore or afloat and for any length of time, (D) For the carriage or storage of Goods in containers or with other goods of whatever nature, (E) For the performance of its own obligations and to do such acts as in the opinion of the Company may be necessary or incidental to the performance of the Company’s obligations. (A) The Company shall be entitled but under no obligation, to depart from the Customer’s instructions in any respect if in the opinion of the Company there is a good reason to do so in the Customer’s interest and it shall not thereby incur any additional liability. (B) The Company may at any time comply with the orders or recommendations given by any Authority. The responsibility of the Company in respect of the Goods shall cease on the delivery or other disposition of the Goods in accordance with such orders or recommendations. If at any time the performance of the Company’s obligations, in the opinion of the Company or any person whose services the Company makes use of, is or is likely to be affected by any hindrance, risk, delay, difficulty or disadvantage whatsoever and which cannot be avoided by reasonable endeavours by the Company or such other person, the Company may, on giving notice in writing to the Customer or Owner or without notice where it is not reasonably possible to give such notice, treat the performance of its obligations as terminated and place the Goods or any part of them at the Customer or Owner’s disposal at any place which the Company may deem safe and convenient, whereupon the responsibility of the Company in respect of the Goods shall cease. The Customer shall be responsible for any additional costs of carriage to and delivery and storage at such place and all other expenses incurred by the Company. If delivery of the Goods or any part thereof is not taken by the Customer or Owner at the time and place when and where the Company, or any person whose services the Company makes use of, is entitled to call upon the Customer or Owner to take delivery thereof, the Company or such other person shall be entitled to store the Goods in the open or under cover at the sole risk and expense of the Customer. 22. Notwithstanding clauses 20 and 21, the Company shall be entitled but under no obligation at the expense of the Customer payable on demand and without any liability to the Customer or Owner, to self or dispose of (A) on giving 21 days notice in writing to the Customer all Goods which in the opinion of the Company cannot be delivered as instructed, and (B) Without notice Goods, which have perished, deteriorated or altered, or are in immediate prospect of doing so in a manner which has caused or may be reasonably expected to cause loss or damage to any person or property or to contravene applicable regulations. 23. The Company shall have a particular and general lien on all Goods or documents relating to Goods in its possession for all sums due at any time from the Customer or Owner and on giving 28 days notice in writing to the Customer, shall be entitled to sell or dispose of such Goods, or documents at the expense of the Customer and without liability to the Customer and Owner and apply the proceeds in or towards the payment of such sums. 24. The Company shall be entitled to retain and be paid all brokerages, commissions, allowances and other remunerations customarily retained by or paid to freight forwarders. 25. The Company shall have the right to enforce against the Owner and the Customer jointly and severally any liability of the Customer under these Conditions or to recover from them any sums to be paid by the Customer which upon demand have not been paid. Containers 26. (A) If a Container has not been packed or stuffed by the Company, the Company shall not be liable for loss of or damage to the contents if Caused by: (i) The manner in which the Container has been packed or stuffed, (ii) The unsuitability of the contents for carriage in containers, unless the Company has approved the suitability. (iii) The unsuitability or defective condition of the Container provided that where the Container has been supplied by or on behalf of the Company this paragraph (iii) shall only apply if the unsuitability or defective condition arose (a) without any negligence on the part of the Company or (b) would have been apparent upon reasonable inspection by the Customer or Owner or person acting on behalf of either of them, (iv) If the Container is not sealed at the commencement of the Carriage except where the Company has agreed to seal the Container. (B) The Customer shall defend, indemnify and hold harmless the Company against all liability, loss, damage, costs and expenses arising from one or more of the matters covered by (A) above except for (A)(iii)(a) above. (C) Where the Company is instructed to provide a Container, in the absence of a written request to the contrary, the Company is not under an obligation to provide a Container or any particular type or quality. General Liability 27. (A) Except insofar as otherwise provided by these Conditions, the Company shall not be liable for any loss or damage whatsoever arising from: (a) The act or omission of the Customer or Owner or any person acting on their behalf, (b) Compliance with the instructions given to the Company by the Customer, Owner or any other person entitled to give them, (c) Insufficiency of the packing or labelling of the Goods except where such service has been provided by the Company, (d) Handling, loading, storage or unloading of the Goods by the Customer or Owner or any person acting on their behalf, (e) Inherent vice of the Goods, (f) Riots, civil commotions, strikes, lockouts, stoppage or restraint of labour from whatsoever cause, (g) Fire, flood or storm, or (h) Any cause which the Company could not avoid and the consequences whereof it could not prevent by the exercise of reasonable diligence. (B) Subject to clause 15, howsoever caused the Company shall not be liable for loss or damage to property other than the Goods themselves, indirect or consequential loss or damage, loss of profit, delay or deviation. Amount of Compensation 28. Except insofar as otherwise provided by these Conditions, the liability of the Company, howsoever arising, and notwithstanding that the cause of loss or damage be unexplained shall not exceed the following (A) in respect of all claims other than those subject to the provisions of sub-clause (B) below, whichever is the least of (i) The value of, or (ii) A$2.50 per gross kilogram of, The Goods lost, damaged, misdirected, misdelivered or in respect of which a claim arises. (B) In respect of claims for delay where not excluded by the provisions of these Conditions, the amount of the Company’s charges in respect of the Goods delayed. 29. (A) Compensation shall be calculated by reference to the invoice value of the Goods plus freight and insurance if paid. (B) If there be no invoice value for the Goods, the compensation shall be calculated by reference to the value of such Goods at the place and time when they were delivered to the Customer or Owner or should have been so delivered. The value of the Goods shall be fixed according to the current market price, or, if there be no commodity exchange price or current market price, by reference to the normal value of goods of the same kind and quality. 30. By special agreement in writing and on payment of additional charges, higher compensation may be claimed from the Company not exceeding the value of the Goods, or the agreed value, whichever is the lesser. Notice of loss, Time Bar 31. (A) The Company shall be discharged of all liability unless: (i) Notice of any claim is received in writing by the Company or its agent within 14 days after the date specified in (B) below or within a reasonable time after such date if the Customer proves that it was impossible to so notify, and (ii) Suit is brought in the proper forum and written notice thereof received by the Company within 9 months after the date specified in (B) below. (B) (i) in the case of loss or damage to Goods, the date of delivery of the Goods, (ii) In the case of delay or non-delivery of the Goods, the date that the Goods should have been delivered, (iii) In any other case, the event giving rise to the claim. General Average 32. The Customer shall defend, indemnify and hold harmless the Company in respect of any claims of a General Average nature which may be made on the Company and the Customer shall provide such security as may be required by the Company in this connection. Miscellaneous 33. Any notice served by post shall be deemed to have been given on the third day following the day which it was posted to the address of the recipient of such notice last known to the Company. 34. The defences and limits of liability provided for by these Conditions shall apply in any action against the Company whether such action be founded in contract or in tort. 35. If any legislation is compulsorily applicable to any business undertaken these Conditions shall as regards such business, be read as subject to such legislation and nothing in these Conditions shall be construed as a surrender by the Company of any of its rights or immunities or as an increase of any of its responsibilities or liabilities under such legislation and if any part of these Conditions be repugnant to such legislation to any extent such part shall as regards such business be over-ridden to that extent and no further. 36. Headings of clauses or groups of clauses in these Conditions are for indicative purposes only. Jurisdiction and Law 37. The proper law of all contracts arising between the Company and the Customer is the Law of the State of Victoria and the parties agree to submit to the jurisdiction of the Courts of that State. PART II: COMPANY AS AGENT Special Liability and Indemnity Conditions 38. (A) To the extent that the Company acts as an agent, the Company does not make any contract with the Customer for the carriage, storage or handling of the Goods nor for any other physical service in relation to them and acts solely on behalf of the Customer in securing such services by establishing contracts with third parties so that direct contractual relationships are established between the Customer and such third parties. (B) The Company shall not be liable for the acts and omissions of such third parties referred to in sub-clause (A) above. 39. (A) The Company when acting as an agent has the authority of the Customer to enter into contracts on the Customer’s behalf and to do such Acts so as to bind the Customer by such contracts and acts in all respects notwithstanding any departure from the Customer’s instructions. (B) Except to the extent caused by the Company’s negligence, the Customer shall defend, indemnify and hold harmless the Company in respect of all liability, loss, damage, costs, or expenses arising out of any contracts made in the procurement of the Customer’s requirements in accordance with clause 38. Choice of Rates 40. Where there is choice of rates according to the extent or degree of liability assumed by persons carrying, storing, handling the Goods, no declaration of value where optional will be made unless otherwise agreed in writing. PART III: COMPANY AS A PRINCIPAL Special Liability Conditions 41. To the extent that the Company contracts as principal for the performance of the Customer’s instructions, the Company undertakes to perform or in its own name to procure the performances of the Customer’s instructions and subject to the provisions of these Conditions shall be liable for the loss of or damage to the Goods occurring from the time that the Goods are taken into its charge until the time of delivery. 42. Where the Company contracts as a principal and sub-contracts the performance of the Company’s services and it can be proved that the loss of or damage to or in respect of the Goods arose or was caused whilst the Goods were in the care or custody of the sub-contractor, the Company shall have the full benefit of all rights, limitations and exclusions of liability available to such sub-contractor in the contract between the Company and such sub-contractor and in any law, statute or regulation and the liability of the Company shall not exceed the amount recovered, if any by the Company from sub-contractor. 43. Notwithstanding other provisions in these Conditions, if it can be proved where the loss of or damage to the Goods occurred, the Company’s liability shall be determined by the provisions contained in any international convention or national law, the provisions of which (A) Cannot be departed from by private contract, to the detriment of the claimant, and (B) Would have applied if the claimant had made a separate and direct contract with the actual provider of the particular service in respect of that service or stage of carriage where the loss or damage occurred and received as evidence thereof any particular document which must be issued if such international convention or national law shall apply. 44. Notwithstanding other provisions in these Conditions, if it can be proved that the loss of or damage to the Goods occurred at sea or inland waterway and the provisions of clause 42 do not apply, the Company’s liability shall be determined by the Hague-Visby Rules. Reference in the Hague-Visby Rules to carriage by sea shall be deemed to include reference to carriage by inland waterways and the Hague-Visby Rules shall be construed accordingly. 45. Notwithstanding the provisions of clauses 42, 43 and 44 if the loss or damage to the Goods occurred at sea or on inland waterways, and the Owner Charterer or operator of the vessel establishes a limitation fund, the liability of the Company shall be limited to the proportion of the said limitation fund allocated to the Goods. 46. Air Carriage If the carriage acts as a principal in respect of a carriage of Goods by air, the following notice is hereby given: If the Company involves an ultimate destination of stop in a country other than the country of departure, the Warsaw Convention may be applicable and the Convention governs and in most cases limits the liability of carriers in respect of loss of or damage to cargo. Agreed stopping places are those places (other than the places of departure and destination) shown under requested routing and/or those places shown in carriers timetables as scheduled stopping places for the route. The address of the first carrier is the airport of departure. 47. Both to Blame Collision Clause The Current Both to Blame Collision Clause as adopted by BIMCO is incorporated in these conditions. 48. USA and/or Canada Clause (A) With respect to transportation within USA or Canada, the responsibility of the Company shall be to procure transportation by carrier’s (one or more) and such transportation shall be subject to such carrier’s contracts and tariffs and any law compulsorily applicable. The Company guarantees the fulfilment of such carrier’s obligations under their contracts and tariffs.
