Incorporated: INCORPORATED in British Columbia Oct. 11, 2007, as Elissa Energy Inc.; name changed to Elissa
Resources Ltd. Feb. 5, 2010. On Apr. 16, 2010, the company acquired all of Red Hill Energy Inc.'s non-Mongolian
assets (namely, the Banbury Property near Hedley, British Columbia; the Red Lithium Property near Clayton
Valley, Nevada; and the Thor Rare Earth Elements Property in Nevada and Canadian Dollar 1,000,000 cash) as
part of a plan of arrangement between Red Hill and Prophecy Resource Corp. The acquisition of Red Hill's
non-Mongolian assets was achieved by the company issuing 16,455,767 Common shares for 100% of the issued
and outstanding Common shares of 0875514 B.C. Ltd. and for 100% of the issued and outstanding Common shares
of Red Hill Energy (US) Inc., both wholly owned subsidiaries of Red Hill. The Common shares of the company
were distributed to the shareholders of Red Hill on the basis of one Common share of the company for every four
Common shares of Red Hill.
Background: Elissa Resources Ltd., an exploration company, engages in the acquisition, exploration, and
development of mineral resource properties in the United States. The company primarily explores for gold
deposits and rare earth elements (REE). It has interest in the Thor Rare Earth property that is located in south
western Nevada; Ulysses REE Project, which is located in eastern Idaho and south-western Montana; and the
Sage Creek property that is located in Indian Creek Mining District, Lemhi County, Idaho, as well as has an option
to earn a 100% interest in the St. Elmo (Nevada) gold project that is located 96 km north of Elko in north eastern
Nevada. The company was formerly known as Elissa Resources Ltd. and changed its name to Elissa Resources
Ltd. in February 2010. Elissa Resources Ltd. was incorporated in 2007 and is headquartered in Vancouver,
Canada.
