Sales terms and delivery conditions BioWorld Medical AG
1. General terms and conditions
1.1 General conditions of purchase and any other conditions of the customer shall be binding only
if they have been accepted and recognized by BioWorld in written form.
1.2 Our terms and conditions of sales apply to all contracts between our customers and
BioWorld: We do not accept conflicting or differing terms and conditions of the customer unless
we have expressly agreed to them in writing. Our terms of sale apply, even if we are aware of
conflicting or deviating conditions of the customer and execute deliveries to the customer
without reservation.
1.3 Our terms and conditions apply only to contracts between us and companies, corporations
or merchants as defined in § 14BGB (German Civil Code or the equivalent Swiss legal
provision).
1.4 Any invalidity of one or any part of a clause does not affect the validity of the remainder of the
clause(s).
1.5 Our terms and conditions of sale apply to all future transactions with the customer.
2. Offers and Offer Documents
2.1 The customer’s order constitutes an offer according to § 145 BGB (German Civil Code or the
equivalent Swiss legal provision). We can accept it within 4 weeks. Our offers are subject to change.
2.2 We reserve title and copyright to all illustrations, drawings, calculations and other documents.
They remain our property and within our copyrights and may not be made available to third
parties. This is especially true for written documents which are marked as "confidential"; no
transfer to third parties is allowed without our approval and written consent.
3. Prices, Payment Terms, Minimum Order Quantities
3.1 If not stated otherwise in our order confirmation, payments are due as follows: 50% upon
acceptance of customer’s order and date of invoice, 50% upon delivery.
3.2 Payment terms shall be agreed separately in writing. If this is not specified determined,
invoices have to be paid in full within 30 days from the invoice date. The prices given in the current
price list are subject to change, ex-works net without customs, duties and taxes, unless
otherwise agreed expressly.
3.3 All prices given in the price list of BioWorld are net, exclusive sales taxes, customs duties,
VAT or similar levies which may be assessed as a result of deliveries of PRODUCTS by
BIOWORLD into the customer’s Territory.
3.4 Deduction of discount requires a separate written agreement.
3.5 If the customer defaults in payment, we shall be entitled to charge interest of 8 Percentage
points above base rate of the EZB (German Civil Code or the equivalent Swiss legal provision)
per year. If we are able to prove a higher loss, we are entitled to claim it. The customer is entitled
to prove to us that we have incurred no or much lower damages as a result of his late payment.
3.6 The customer is entitled to Off rights only if his counterclaims are legally established,
undisputed or expressly acknowledged by us. He may also only execute the right of retention if
and in so far as his counterclaim is based on the same contractual relationship.
3.7 The minimum order quantity is at least € 20.000,00 or (CHF 30.000,00) per order,
otherwise BioWorld is entitled to charge extra for small quantities as well as for express
deliveries.
4. Delivery – Transfer of Risk
4.1 The start of the delivery period is subject to clarification of all technical issues and the timely
and proper fulfilment of the obligations of the customer.
4.2 We are entitled to partial deliveries. Drop shipments or third-party-deals are deliveries that
do not enter our factory premises in Switzerland. For drop shipments delivery dates are met if the
merchandise leaves the supplier’s premises in time that it can be expected under normal transport
conditions to arrive at scheduled delivery date at the receiver. Unloading is - even for delivery
"freight paid" – to be done by the customer immediately upon arrival of the shipment. As far as
our employees are helping with unloading or storage, they act on the risk of the buyer and not as
our servants or assignees.
4.3 If we fall in default of delivery for reasons that we are responsible for, there is no
obligation to pay damages in cases of slight negligence.
4.4 If the customer defaults on acceptance or does not fulfil other cooperation obligations we are
entitled to claim the damages incurred, including any additional expenses. The risk of accidental
loss or accidental deterioration of the goods shall pass to the customer at the moment he falls
into default of acceptance.
4.5 Unless the order confirmation does not state otherwise, delivery is "ex works ". Even with
“delivery free destination” the place of performance is the particular loading dock. Place of
performance for deliveries the dispatch, for payments it is Lucerne (bank account).
4.6 If for reasons in the responsibility of the buyer, the goods cannot be shipped, the seller is
entitled to store the goods at risk and expense of the buyer. The date of admission into
warehouse is regarded as the delivery date. The warehouse receipt replaces the shipping
documents.
5. Force majeure
5.1 In case of Force majeure (e.g., public unrest, etc.), business disruption or breakdown without
fault on our part (e.g., strikes, lockouts, etc.) and other circumstances beyond our control (such
as incorrect or delayed delivery to us, failure of suppliers - for example in case of insolvency,
settlement or other termination of production, transport incidents, etc.) and all the inevitable events
that affect us or our suppliers we are entitled to postpone or stop the delivery to the extent and
for the duration of the afore mentioned events.
6. Warranty for defects – Liability
6.1 The customer has to report obvious defects within a period of 10 days from receipt of the goods
in writing, by fax or E-mail, otherwise all warranty claims are excluded. To comply with this deadline,
the timely dispatch of the customer’s claim is sufficient. The customer bears the burden of proof
for all claims, in particular for the defect itself, the date of discovery of the defect and the
timeliness of the complaint. The warranty period is 1 year from the date of delivery if properly
stored. This does not apply if the customer did not give us due report of the defect in time.
6.2 Shipping damage has to be reported to us in writing immediately. In case of delivery by rail,
commercial goods vehicles and long-distance transport or other modes of transport, the customer
must perform the necessary formalities with respect to the carrier. Standard commercial break,
wastage etc. is taken into consideration on accounting and can - within reason - not be regarded
as objectionable.
6.3 In as far as we are responsible for a defect in the goods; we may at our option either repair
or replace the goods. In the former case, we are obliged to bear the necessary expenses,
in particular transport, travel, labor and material costs, provided they are not increased by
the fact that the goods were shipped to a location other than the place of fulfilment.
6.4 If we refuse or are not able to remedy the defect or deliver a replacement, especially if this
remedy/replacement is delayed beyond appropriate periods for reasons that we are responsible
or if remedy of the defect or replacement the goods fails in any other way, the customer is
entitled to choose, either to cancel the contract or to demand a reduction of the
customer has no right of rescission.
6.5 If we sell goods that are not manufactured by us please note: As for the quality of the
goods only the manufacturer's product description is regarded as contractually agreed. Public
statements, recommendations or advertisements of the manufacturer do not constitute
contractual specifications. Manufacturer warranties are not affected. We do not give any
warranties.
6.6 In case of slightly negligent breaches of duty our liability is limited to the foreseeable,
typical, direct average damage considering the type of goods that are sold. In case of slightly
negligent violation of non-essential contractual obligations, we shall not be liable. The above
limitations do not affect claims of the customer on grounds of product liability. Further, the
liability limitations do not apply to body or health injuries or loss of life of the customer. If our
liability is excluded or limited, this also applies to the personal liability of our employees,
workers, servants, representatives and agents.
6.7 Compensation claims of the customer due to a defect shall be time-barred 1 year after
delivery of the goods. This does not apply if the customer proves that we acted fraudulently.
7. Retention of title – securities
7.1 We reserve full title of the goods until all our claims against the customer resulting from the
business relationship, including future claims arising from contracts concluded simultaneously
or later, are fully paid. This remains unaltered even if some or all claims are part of a current
account and the balance is recorded and acknowledged. Upon receipt of bills or checks we
retain title to the goods until the unconditional refund and payment of the checks. In case of
the customer’s breach of contract, especially in case of default, we are entitled to rescind the
contract and take back the goods. After taking back the goods we are entitled to sell the goods,
the proceeds of the sale (minus reasonable costs) will be deducted from the customer’s debt to
us.
7.2 The customer is obliged to handle the goods with due care, in particular, he is obliged to
maintain sufficient insurance at his own expense against fire, water damage and theft for
replacement value. If maintenance and inspection work is required, the customer must carry out
this work at his own expense in due time. Our reservation commodity is to be stored
separately or clearly marked.
7.3 In case of seizures or other interventions by third parties, the customer must immediately
inform us in writing so that we can file an action under § 771 ZPO (German Civil Code or the
equivalent Swiss legal provision). If the third party is not able to reimburse us for the judicial and
extrajudicial costs of a claim under § 771 ZPO (or Art. 106ff. SchKG, Swiss legal provision),
the customer is responsible and liable for our loss.
7.4 The customer is allowed to resell the goods in the ordinary course of business. He
assigns to us already now all claims accruing to him from the resale against his customers or
third parties. If the conditional goods are sold, unprocessed or processed and combined with
objects which are the exclusive property of the customer, the customer already now assigns to
us all claims from the resale to the full amount. If the conditional goods are sold by the
customer after processing or combination with items not belonging to us, the customer
already now assigns all claims resulting from the resale of the goods to us together with all
ancillary rights and with priority over the remainder. We accept the assignments. The customer
remains authorized to collect these claims even after the assignation. Our authority to collect the
claim ourselves remains unaffected. We commit ourselves not to collect the debt as long as
the customer meets his payment obligations from the proceeds, is not in default and no
petition is filed for the commencement of bankruptcy or insolvency proceedings or suspended
payments. If this is the case, we can require that the client gives us the assigned claims and
their debtors, provide all information necessary for collection, hand over the relevant documents
and inform the debtors (third parties) of the assignment.
7.5 The processing or transformation of the goods by the customer is always done for us
without putting us under any obligation. If the goods with other goods not belonging to us are
processed or transformed, we shall acquire joint ownership of the new object in proportion to the
value of the goods to the other processed goods at the time of processing. As far as the object
created by processing is concerned, the same provisions as for the goods delivered under
retention of title apply.
7.6 If the our goods are indivisibly mixed with other goods, not belonging to us we acquire joint
ownership of the new object in proportion to the value of the goods to the other mixed objects
at the time of mixing. If the mixing is such that the responsibility of the customer is regarded
as the main item, it is understood that the customer transfers pro rata co-ownership to us. The
customer keeps the sole or joint ownership for us without charge.
7.7 We pledge ourselves to release the securities due to the customer's request, if and
insofar as the value of our securities exceeds the secured claims by more than 15%. We
shall choose the securities to be released.
7.8 If in connection with the payment of the purchase price by the purchaser, an acceptance bill
liability on our part occurs the retention of title and the underlying claim for goods sold shall
not expire before full redemption of the bill by the customer as acceptor or drawee of a bill of
exchange.
8. Representatives
8.1 The acceptance of orders and the reception of payments by our representatives or
employees working in the field and the validity of promises made by these persons require our
written confirmation.
9. Place of Jurisdiction - Applicable Law
9.1 This Agreement shall be governed by and construed under the substantive laws of
Switzerland with the exception of the Swiss conflict of laws and the uniform law of sales.
Place of jurisdiction shall be Luzern, Switzerland. Language of arbitration shall be German.
9.2 In case of any doubt, the German version of these provisions is authoritative and
decisive.
