A Regular Meeting of the Mayor and Council of the Borough of South River, in the
County of Middlesex and the State of New Jersey was held June 9, 2014 and was called to order
by Mayor Krenzel at 8:00 PM in the Council Chamber of the Criminal Justice Building at 61
Main Street in South River, New Jersey with the following Councilmembers in attendance:
Councilmembers Guindi, Haussermann, Hutchison, Jones Trenga, Roselli
Also attending this meeting were Fredrick Rubinstein, Esq., (for James Nolan Esq.,
Borough Attorney), and Frederick Carr, Borough Administrator.
MINUTES
The Minutes of Meeting No. 12 held May 27, 2014 was submitted to the Council for
acceptance and/or amendment.
Councilman Guindi moved that the Minutes be approved as presented. Councilman
Jones seconded the motion.

COUNTY OF MIDDLESEX, STATE OF NEW JERSEY; APPROPRIATING
$1,500,000 THEREFOR AND AUTHORIZING THE ISSUANCE OF
$900,000 BONDS OR NOTES OF THE BOROUGH TO FINANCE PART

NEW JERSEY (not less than two-thirds of all the members thereof affirmatively
concurring), AS FOLLOWS:
SECTION 1. The improvement or purpose described in Section 3
of this bond ordinance are hereby authorized as general improvement or purpose to be
undertaken by the Borough of South River, in the County of Middlesex, State of New
Jersey (the “Borough”). For the said improvement or purpose stated in Section 3, there is
hereby appropriated the sum of $1,500,000, said sum being inclusive of a $600,000
appropriation from the Electric Capital Fund Balance for said improvements or purposes.
Pursuant to the provisions of N.J.S.A. 40A:2-7(h) and 40A:2-11(c) of the Local Bond Law,
N.J.S.A. 40A:2-1 et seq. (the “Local Bond Law”), no down payment is required as the
Electric Utility as self-liquidating.
SECTION 2. For the financing of said improvement or purpose described in
Section 3 hereof and to meet the part of said $1,500,000, negotiable bonds of the
Borough are hereby authorized to be issued in the aggregate principal amount of
$900,000 pursuant to the Local Bond Law. In anticipation of the issuance of said bonds
and to temporarily finance said improvement or purpose, negotiable notes of the Borough
in an aggregate principal amount not exceeding $900,000 are hereby authorized to be
issued pursuant to and within the limitations prescribed by said Local Bond Law.
SECTION 3. (a) The improvement hereby authorized and purpose
for the financing of which said obligations are to be issued is the acquisition and
installation of a standby generator(s) for the Electric Utility, including all work, materials,
equipment, labor and appurtenances necessary therefore or incidental thereto;

(b) The above improvement and purpose set forth in Section 3(a) shall also
include all work, materials, equipment, labor and appurtenances as necessary therefor or
incidental thereto.
(c) The aggregate estimated maximum amount of bonds or notes to be
issued for said purpose is $900,000.
(d)
The aggregate estimated cost of said improvement or purpose is
$1,500,000.
SECTION 4. In the event the United States of America, the State of New
Jersey and/or the County of Middlesex make a contribution or grant in aid to the Borough,
for the improvement and purpose authorized herein and the same shall be received by
the Borough prior to the issuance of the bonds or notes authorized in Section 2 hereof,
then the amount of such bonds or notes to be issued shall be reduced by the amount so
received from the United States of America, the State of New Jersey and/or the County of
Middlesex. In the event, however, that any amount so contributed or granted by the
United States of America, the State of New Jersey and/or the County of Middlesex, shall
be received by the Borough after the issuance of the bonds or notes authorized in Section
2 hereof, then such funds shall be applied to the payment of the bonds or notes so issued
and shall be used for no other purpose.
SECTION 5. All bond anticipation notes issued hereunder shall mature at
such times as may be determined by the Chief Financial Officer of the Borough (the
“Chief Financial Officer”), provided that no note shall mature later than one (1) year from
its date. The notes shall bear interest at such rate or rates and be in such form as may be
determined by the Chief Financial Officer. The Chief Financial Officer shall determine all

matters in connection with the notes issued pursuant to this bond ordinance, and the
signature of the Chief Financial Officer upon the notes shall be conclusive evidence as to
all such determinations. All notes issued hereunder may be renewed from time to time in
accordance with the provisions of N.J.S.A. 40A:2-8.1. The Chief Financial Officer is
hereby authorized to sell part or all of the notes from time to time at public or private sale
and to deliver them to the purchaser thereof upon receipt of payment of the purchase
price and accrued interest thereon from their dates to the date of delivery thereof. The
Chief Financial Officer is directed to report in writing to the governing body at the meeting
next succeeding the date when any sale or delivery of the notes pursuant to this bond
ordinance is made. Such report must include the principal amount, the description, the
interest rate and the maturity schedule of the notes so sold, the price obtained and the
name of the purchaser.
SECTION 6. The capital budget of the Borough is hereby amended to
conform with the provisions of this bond ordinance to the extent of any inconsistency
herewith and a resolution in the form promulgated by the Local Finance Board showing
full detail of the amended capital budget and capital programs as approved by the
Director of the Division of Local Government Services, New Jersey Department of
Community Affairs, is on file in the office of the Clerk and is available for public inspection.
SECTION 7.
The following additional matters are hereby determined,
declared, recited and stated:
(a)
The improvement or purpose described in Section 3 of this bond
ordinance are not current expenses and are improvement or purpose which the Borough

may lawfully undertake as general improvement or purpose, and no part of the cost
thereof has been or shall be specially assessed on property specially benefited thereby.
(b)
The average period of usefulness of said improvement or purpose
within the limitations of said Local Bond Law, according to the reasonable life thereof
computed from the date of the said bonds authorized by this bond ordinance, is 15 years.
(c)
The supplemental debt statement required by the Local Bond Law
has been duly made and filed in the Office of the Clerk of the Borough and a complete
executed duplicate thereof has been filed in the Office of the Director of the Division of
Local Government Services, New Jersey Department of Community Affairs, and such
statement shows that the gross debt of the Borough as defined in the Local Bond Law is
increased by the authorization of the bonds or notes provided for in this bond ordinance
by $900,000 and the said obligations authorized by this bond ordinance will be within all
debt limitations prescribed by said Local Bond Law.
(d)
An aggregate amount not exceeding $300,000 for items of expense
listed in and permitted under N.J.S.A. 40A:2-20 is included in the estimated cost indicated
herein for the improvement or purpose herein before described.
SECTION 8. The full faith and credit of the Borough are hereby pledged to
the punctual payment of the principal of and the interest on the obligations authorized by
this bond ordinance. The obligations shall be direct, unlimited obligations of the Borough,
and the Borough shall be obligated to levy ad valorem taxes upon all the taxable property
within the Borough for the payment of the obligations and the interest thereon without
limitation as to rate or amount.

The Borough reasonably expects to reimburse any
expenditures toward the costs of the improvement or purpose described in Section 3
hereof and paid prior to the issuance of any bonds or notes authorized by this bond
ordinance with the proceeds of such bonds or notes. This Section 9 is intended to be and
hereby is a declaration of the Borough's official intent to reimburse any expenditures
toward the costs of the improvement or purpose described in Section 3 hereof to be
incurred and paid prior to the issuance of bonds or notes authorized herein in accordance
with Treasury Regulations §1.150-2.
No reimbursement allocation will employ an
“abusive arbitrage device” under Treasury Regulations §1.148-10 to avoid the arbitrage
restrictions or to avoid the restrictions under Sections 142 through 147, inclusive, of the
Internal Revenue Code of 1986, as amended (the “Code”). The proceeds of any bonds or
notes authorized herein used to reimburse the Borough for costs of the improvement or
purpose described in Section 3 hereof, or funds corresponding to such amounts, will not
be used in a manner that results in the creation of “replacement proceeds”, including
“sinking funds”, “pledged funds” or funds subject to a “negative pledge” (as such terms
are defined in Treasury Regulations §1.148-1), of any bonds or notes authorized herein or
another issue of debt obligations of the Borough other than amounts deposited into a
“bona fide debt service fund” (as defined in Treasury Regulations §1.148-1). The bonds
or notes authorized herein to reimburse the Borough for any expenditures toward the
costs of the improvement or purpose described in Section 3 hereof will be issued in an
amount not to exceed $900,000. The costs to be reimbursed with the proceeds of the
bonds or notes authorized herein will be "capital expenditures" in accordance with the
meaning of section 150 of the Code. All reimbursement allocations will occur not later

than eighteen (18) months after the later of (i) the date the expenditure from a source
other than any bonds or notes authorized herein is paid, or (ii) the date the improvement
or purpose described in Section 3 hereof is “placed in service” (within the meaning of
Treasury Regulations §1.150-2) or abandoned, but in no event more than three (3) years
after the expenditure is paid.
SECTION 10. The Borough covenants to maintain the exclusion from gross
income under section 103(a) of the Code, of the interest on all bonds and notes issued
under this ordinance.
SECTION 11. This bond ordinance shall take effect twenty (20) days after
the first publication thereof after final adoption and approval by the Mayor, as provided by
the Local Bond Law.
Mayor Krenzel opened the hearing to the public for comments/questions.
No comments were made. Councilman Guindi moved that the public hearing be closed.
Councilman Jones seconded the motion. So carried.
Mayor Krenzel asked the Councilmembers as to the action to be taken on this Ordinance.
Councilman Hutchison moved that the ordinance be approved and the Clerk be authorized to
publish same as is required by law. Councilman Jones seconded the motion.
COUNCIL COMMENTS/discussion
• Councilman Roselli stated he would be voting no on ordinance; supports going with
multiple generators - less cost.
• Councilman Haussermann stated he did not think generators were needed; should buy
portable generator with grant money; should vote amendment down.
• Councilman Hutchison stated that generator is a necessity; need appropriate emergency
backup, must move forward; a 1 mg generator is cost effective in long term.
• Councilman Guindi gave a video presentation/slide show on a 1 mg generator that was
next to a day care center.

AN ORDINANCE REPEALING ORDINANCE 2008-23 CREATING A HANDICAPPED
PARKING SPACE AT HOLLANDER AVENUE
WHEREAS, the governing body previously created a handicapped parking space on Hollander
Avenue which is no longer required.
NOW THEREFORE BE IT ORDAINED by the Mayor and Borough Council of the Borough of
South River as follows:
SECTION 1. Ordinance 2008-23 creating a handicapped parking space on Hollander Avenue,
from a point 67’ south from the western curbline from Prospect Street continuing 22’ west, is hereby
repealed.
SECTION 2. If any section, paragraph, subdivision, clause of provision of this Ordinance shall
be adjudged invalid, such adjudication shall apply only to the section, paragraph, subdivision, clause, or
provision so adjudged and the remainder of the Ordinance shall be deemed valid and effective.
SECTION 3. All Ordinances or parts of Ordinances inconsistent with or in conflict with this
Ordinance are hereby repealed to the extent of such inconsistency.
SECTION 4. This Ordinance shall take effect after final passage, adoption, and publication
according to law.

WHEREAS, there exists the need for the purchase of various computer hardware, software and
network upgrades by the Borough of South River in the County of Middlesex of the State of New Jersey;
and
WHEREAS, there exists a state contract with a registered vendor known as Dell
Computer Corp. (Dell Marketing) under contract #70256, #77003 and 77562 through which
municipalities are authorized by law to acquire such vehicle without meeting the requirements
of the public bidding laws of the State of New Jersey; and
WHEREAS, the project includes the purchase of software licensing, desktops, sonicwall and
mobile and network switches from the said state authorized vendor for $37,918.33.
WHEREAS, the Chief Financial Officer of the Borough of South River has advised that funds
are available in account C-06-14-005-101, W-07-14-005-101, and L-08-14-005-101.
NOW, THEREFORE, BE IT AND IT IS HEREBY RESOLVED by the Mayor and Council of
the Borough of South River, in the County of Middlesex and the State of New Jersey that the appropriate
Borough Officials are hereby authorized to execute the appropriate documents in order to purchase
various computer hardware and software and network upgrades from the referenced vendor.

p.m. at the following intersections:

Borough Council of the Borough of South River that the South River Rescue Squad is hereby
authorized to conduct a Canning fundraiser at the aforesaid intersections on Saturday, July 26,
2014 and Sunday, July 27, 2014 from 9:00 a.m. to 5:00 p.m. and on Saturday, October 4, 2014

BE IT FURTHER RESOLVED that permission is granted to conduct a voluntary

WHEREAS, the compensation proposed for the incumbency in the following offices and
positions shall fall within the salary range approved by the Mayor and Council of the Borough

WHEREAS, the Borough of South River has attempted to break down the titles by
operating unit for the sole purpose of indicating which offices and positions typically work
together and not for the purpose of determining which title belongs to which unit.

WHEREAS, on July 15, 1993, the Borough of South River and the County of Middlesex
entered into an Agreement for the cooperative means of conducting certain community

development activities utilizing Community Development Block Grant (CDBG) funds and
HOME Investment Partnerships funds from the U.S. Department of Housing and Urban
Development for the federal fiscal years 1994, 1995 and 1996; and
WHEREAS, the Cooperative Agreement has been renewed by the County and the
Borough of South River every three years, including the most recent renewal in 2011 covering
federal fiscal years 2012, 2013, and 2014;
WHEREAS, the Cooperative Agreement for federal fiscal years 2015, 2016, and 2017
must be amended to include a provision required in the Transportation, Housing and Urban
Development and Related Agencies Appropriations Act of 2014.
NOW, THEREFORE, BE IT AND IT IS HEREBY RESOLVED by the Mayor and
Borough Council of the Borough of South River that the Cooperative Agreement between
Middlesex County and the Borough of South River originally dated July 15, 1993 and now to be
renewed for federal fiscal years 2015, 2016, and 2017 be amended as follows:

The new paragraph #26 be added stating:
26. The county or municipality may not sell, trade, or otherwise transfer all or any
portion of such funds to another such metropolitan city, urban county, unit of general
local government, or Indian tribe, or insular area that directly or indirectly receives
CDBG funds in exchange for any other funds, credits or non-Federal considerations,
but must use such funds for activities eligible under Title I of the Act.
2. All other terms and conditions of the Agreement originally dated July 15, 1993 and
renewed every three years shall remain the same.
BE IT FURTHER RESOLVED that the appropriate officials of the Borough of South
River are hereby authorized to execute Addendum to said agreement.

• Commented that Councilman Trenga was appointed by the party not the people.
• Questioned criteria on which banners were placed by the CAHC and Memorial Day
Parade Committee; should only be on Main Street, not Whitehead Ave.
• Asked Council to consider changing standards of snow streets ordinance as to when cars
need to be moved. Mayor Krenzel asked Mr. Carr, Chief Tinitigan and the DPW
Director review matter.
Barbara Griggs, 35 Stephen St.
• Asked if a light could be put up near Stephen St. because of the accidents that occur on
Reid St. near the old Moose Lodge and the VFW. Mayor asked Chief Tinitigan and Mr.
Carr to look into the matter.

• Thanked Councilman Guindi for presentation on 1 mg generator; South River needs
generator; supports 1 mg generator and not six, must be ready for next disaster.
• Banners – criteria was to space them throughout parade route; DPW decided which poles
were safe to place banners; veteran asked to put banner on Ferry St.
