Terms and Conditions - For Sponsorship Agreements
1. APPOINTMENT AND RIGHTS GRANTED.
2. SPONSORSHIP FEES AND PAYMENT.
3. TERMS AND CANCELLATION
1.1 Appointment. Subject to the terms and conditions of this Agreement, Omnix International hereby
appoints Sponsor and Sponsor hereby accepts appointment as a non-exclusive sponsor of AU
Extension Event conducted by Omnix International as specified in the Sponsorship Agreement Event
(“Event”).
1.2 Benefits Granted. Subject to Sponsor’s payment of the applicable Sponsorship Fees (as defined
in Section 2.1 below), Sponsor will have the non-exclusive, non-transferable rights to receive
the benefits described within the Sponsorship Agreement document, a copy of which Sponsor
acknowledges receiving (“Sponsorship Agreement”). The benefits granted are subject to change by
Omnix International.
1.3 Omnix International Promotional Rights. Omnix International will have the right, but not the
obligation to: (i) advertise Sponsor’s sponsorship of the Event during the term of this Agreement and
for a period of six (6) months thereafter; and (ii) use Sponsor’s name and logo in connection with the
promotion and marketing of the Event, including, without limitation, using Sponsor’s name and logo
on Eventrelated signage and stage banners.
1.4 Marketing Practices. In marketing, promoting and participating in the Event, Sponsor: (i) shall
not engage in any deceptive, misleading, illegal, or unethical practices; and (ii) shall not make
any representations, warranties, or guarantees concerning Omnix International services that are
inconsistent with or in addition to those made by Omnix International. Sponsor and its employees,
consultants, representatives, agents or affiliates shall not make any warranty or representation,
express or implied, on behalf of Omnix International.

1.5 Data Privacy Compliance. If Omnix International provides Sponsor personal data of registered
attendees of the event who have opted-in to their personal data being transferred to third parties,
Sponsor agrees to use such personal data in compliance with applicable data protection laws and
regulations, and for the sole purpose of promoting the sale of Omnix International products and
services. Sponsor will provide customers with the opportunity to opt out from receiving marketing
communications and will honour.
2.1 Sponsorship Fee. Sponsor shall pay Omnix International a one-time Sponsorship Fee as specified in
the Sponsorship Agreement (“Sponsorship Fee”).
2.2 Payment. Sponsor shall pay the Sponsorship Fee in full by the 1st November 2014 to Omnix
International (for payment details please refer to the section (C)Sponsorship Costs in sponsorship
agreement form).This payment obligation is non-cancellable and non-refundable. All payments by
Sponsor shall be made in full without deduction, whether by of set-off, counter claim or otherwise
prior to the event.
2.3 Taxes (VAT) and Expenses. In addition to any Sponsorship Fees due under this Agreement, Sponsor
will pay, if applicable, any amounts equal to any taxes, VAT or other amounts, however designated,
which are levied or based upon such payment; provided, however, that Sponsor will not be liable for
taxes based on Omnix International’s net income. All Sponsorship Fees and payments due to Omnix
International are net of any applicable withholding taxes. Unless otherwise agreed to by the parties,
each party shall bear its own costs and expenses under this Agreement.
3.1 Terms and Cancellation. This Agreement shall commence on the Effective Date and shall expire upon
conclusion of the Event, unless cancelled earlier as specified in this Agreement. Either party may
cancel this Agreement at any time with written notice to the other party.
3.2 Effect of Expiration or Cancellation. Upon expiration or cancellation of this Agreement, all
rights granted to the Sponsor hereunder shall immediately terminate, and the Sponsor shall
immediately cease using the Omnix International marks and discontinue all representations that
it is a sponsor of the Event as described in this Agreement. Sponsor shall not be entitled to any
compensation, damages or payments in respect to goodwill that has been established or for any
damages on account of prospective profits or anticipated sales, and Sponsor shall not be entitled
to reimbursement in any amount for any expenses, training, advertising, market development,
investments or other costs that may have been expended by Sponsor before the expiration
or cancellation of this Agreement, regardless of the reason for, or method of, expiration or
cancellation of this Agreement. Sponsor hereby waives its rights under applicable laws for any such
compensation, reimbursement, or damages.
4. Sponsor Representation & Indemnity. Sponsor shall be solely responsible for any claims, warranties
or representations made by Sponsor or Sponsor’s employees or agents. Sponsor shall fully indemnify
and hold Omnix International, its respective subsidiaries, affiliates, officers, shareholders, employees
and successors harmless from any and all actions, claims, demands, costs, liabilities, expenses
(including legal costs) and damages arising out of or in connection with: (i) any property damage,
personal injury or death; or (ii) Sponsor’s negligence, wilful misconduct, fraud, misrepresentation,
or violation of law; or (iii) Sponsor’s failure to comply with the terms of this Agreement and/or any
rules for use of the venue at which the Event is taking place, including the installation, removal,
maintenance, occupancy or use of such venue or a part thereof by Sponsor.

5.1 DWTC’s (Dubai World Trade Centre) will review an agree all construction plans for Functions, and
will require the Organizer/Sponsor to provide samples of materials to be used in construction for any
event at their own cost.
5.2 The Sponsor and associated contractors may not enter any area other than those necessary and
designated for the Function only. Entry must be by prior arrangement with coordinator in-charge
and fire exit door closures must never under any circumstances be blocked or obstructed.
5.3 Detailed plans of any proposed structures which the Sponsor wishes to erect must be forwarded to
Omnix and DWTC for approval at least 21 days Function together with the names of any building
and / or lighting contractors it who proposes to engage in connection with such structures or
otherwise, and DWTC may at its sole discretion give or refuse approval of such structures and / or
contractors as it deems fit.
5.4 The Sponsor and the Contractors associated will ensure that nothing is affixed to the floors, walls,
ceiling, or column of DWTC reserved for the Organizer for the Function, or any other part of the
hired space, by nails, screws, tape, drawing pins or other means suspended from the roofs or ceilings
thereof unless previously agreed in writing by DWTC. Any and all final electrical connections will be
completed by the engineering staff of DWTC.
5.5 The Sponsor will take every precaution not to injure any person or damage any property of DWTC
or any third party. The Sponsor shall satisfy all claims based on any such damage or injury, whether
such claims are made by DWTC or by a third party against DWTC. The organizer agrees to indemnify
DWTC from and against claims by third parties (including the employees, subcontractors and guests)
in connection with the Function. Notwithstanding the foregoing, nothing in this condition shall
render the Sponsor liable in respect of any death, injury or damage caused solely by any grossly
negligent act or wilful misconduct of DWTC or its employees.
5.6 Both the Organizer (Omnix International) and the Sponsor are to abide by the Terms and Conditions
put forward by DWTC.
