(Hereinafter referred to as “AFRIMILLS TISSUES”)

(Hereinafter referred to as the “Wholesaler”)

1. Introduction
AFRIMILLS TISSUES, is in the business and manufacturing of wholesale toilet
paper.
AFRIMILLS TISSUES has purchased its own manufacturing machines and
equipment and has employed its own admin staff and labour for the
production and national supply of bulk toilet paper rolls. AFRIMILLS TISSUES
already has its own customers across the country to supply with Toilet Paper
rolls.
AFRIMILLS TISSUES will be sending the Wholesalers with up to 200 customer
leads in total within the first 30 days of starting provided the Wholesaler
places orders and buys stock from AFRIMILLS on a monthly basis. These
customer leads would be wanting to order quantities of between 10’000 toilet
paper rolls per month to 50’000 toilet paper rolls per month with the
Wholesalers. AFRIMILLS TISSUES will also provide the toilet paper rolls to the
Provincial Wholesaler at a discounted price of 60cents/roll.
1. The two parties sign in agreement to the following….
2.1 (‘AFRIMILLS TISSUES’ obligations):
2.1.1 AFRIMILLS TISSUES will provide the Wholesaler with stock at the cost
of 60cents per roll on all orders.
2.1.2 AFRIMILLS TISSUES will send up to 200 customer leads once-off for
the first 30days to the Provincial Wholesaler. (These customers
would be ordering quantities of between 10’000 toilet paper rolls per
month to 50’000 toilet paper rolls per month with the Provincial
Wholesaler).
2.1.3 AFRIMILLS TISSUES will also send 100 professional, highly designed
Flyers/Brochures as marketing material that the Wholesaler will
distribute to boost its sales and orders which the Wholesaler will pay
the courier company which the fee would not be more than R250.
2.1.4 AFRIMILLS TISSUES will attend to and process all orders of the
Wholesaler with its staff.

2.1.5 The Tissue Company will provide guidance and suggested price
structures.
2.2 (‘Provincial Wholesalers’ Obligations):
For AFRIMILLS TISSUES to execute all of its obligations, the Wholesaler
agrees to do the following:
2.2.1 The Wholesaler agrees to pay the once-off R5900 Franchise
Registration Admin Fee of R5’900 that may only be paid by the
Wholesaler via EFT or Direct Deposit using his or her ID Number as
reference into AFRIMILLS bank account as per required procedure.
2.2.2 The Wholesaler agrees to emailing or faxing all his or her documents
to our relevant email address or fax number such as this signed and
initialed agreement contract, his or her ID or Passport Copy and
Proof Of Payment for the R5900 Franchise Registration Admin Fee as
required of which AFRIMILLS TISSUES will only then after be able to
execute and deliver on all its obligations stated on clause 2.1 of this
agreement.
2.2.3 The Wholesaler, will follow all requirements, procedure and
processes of The Tissue Company.
2.2.4 The Wholesaler, will place orders in time and follow the ordering
procedures that will be given by AFRIMILLS TISSUES in terms of
processing orders and paying for orders which will be given on
activation of the wholesalers account.
2.2.5 The Wholesaler will only sell toilet paper it is supplied by AFRIMILLS
TISSUES to lead customers that it has been given by AFRIMILLS
TISSUES and ones that it recruits itself.
2.2.6 The Wholesaler will provide its own transport, freight or courier
company to transport it stock to its premises or customers and will
carry its own transportation costs and its customers.

Effective Date
This contract will be effective and start once both parties have signed and
registration fee is also paid in full.

Contract Duration
This agreement is only valid for 1 year from and starts on the date the first party
appends its signature.
5
Grant of Rights
AFRIMILLS TISSUES hereby grants to the Provincial Wholesaler, subject to terms
of this agreement, the right to promote and advertise his/her business freely to
whichever customers they wish.
6
Termination
This contract can be terminated if any of the parties are in breach of their
obligations. The contract cannot be terminated or cancelled for any other reasons
if the other party is not in breach of their obligations.
