General Terms and Conditions of Sale GENERAL TERMS AND CONDITIONS OF SALE Clause n° 1: Scope – Object Clause n° 5: Advance payment discount The present General Terms and Conditions of Sale apply to all sales completed by our company with purchasers or professional buyers, whatever the clauses mentioned on the documents of the customer, including their general conditions of purchase. They are transmitted without delay to any Purchaser requesting them. They specify the rights and obligations of our company and the Purchaser as regards the sale of goods or service provisions. All orders imply full compliance of the Purchaser with the present General Terms and Conditions of Sale of our company. Hence, the Purchaser accepts unconditionally the General Terms and Conditions of Sale of our company and waives the application of its general conditions of purchase. In accordance with the regulations in force, our company reserves the right to derogate from some clauses of the present General Terms and Conditions of Sale, depending upon the negociations with the Purchaser, by establishing Particular Terms and Conditions of Sale. Any derogation from or modification of the present General Terms and Conditions of Sale shall require a written agreement by our company. No discount will be granted in case of advance payment. Clause n° 2: Prices The prices of the goods sold are those in effect the day the order is taken. They are denominated in euro and calculated excluding taxes. Consequently, they will be raised the VAT rate and shipping fees applicable at the time of ordering. Our company grants itself the right to modify its tariffs at any time. However, it commits to charging the goods ordered at the price indicated at the time of entering the order. Any tariff change will be notified by registered letter with acknowledgement of receipt two months prior to its implementation. Particular tariff conditions can be agreed depending upon the specificities asked by the Purchaser, including, for instance, delivery terms and delivery times or payment times and conditions. A particular commercial offer will then be sent to the Purchaser by our company. Clause n° 3: Rebates and discounts The proposed tariffs include the rebates and discounts which our company might be led to grant given the results or the assumption of certain services by the Purchaser: - Volume discounts that can remunerate the purchasing volume or the scope of the product range; - Discounts based on quality offered as compensation for precise functions ensured by the Purchaser such as transport, storage, packaging, delivery…; - Promotional discounts connected with a punctual operation implying a particular commercial effort; - Deferred discounts due to the expiry of a marketing period. A contract of trade agreement stating the terms of this remuneration will be established in duplicate between our company and the Purchaser. Clause n° 4: Payment conditions Payment deadlines: Payment times can be determined freely between our company and the Purchaser. However, in the absence of specific statements in the General Terms and Conditions of Sale, the price shall be paid entirely in one single instalment within 30 days following the delivery, as defined in the « Deliveries » article hereafter, by mutual agreement between the Purchaser and our company during the commercial negociation (article L.441-6 al 8 of the French Commercial Code). This delay will be mentioned on the invoice sent to the Purchaser. Until full payment of the whole price by the Purchaser, our company reserves a right of ownership on sold goods, which enables it to reclaim ownership of the latter goods. Any deposit paid by the Purchaser shall remain acquired by our company as lump indemnity, without prejudice to further legal actions which could be initiated against the Purchaser. Still, the risk of loss and deterioration will be transfered to the Purchaser upon delivery of the goods ordered. The Purchaser therefore commits to ensuring the ordered products, at their own expenses and for the benefit of our company, with an ad hoc insurance, until complete ownership transfer and to justifying doing so before our company. Failing that, our company would have the right to delay the delivery until presentation of the document. If the Purchaser is in receivership or judicial liquidation, our company reserves the right to claim, in the collective proceeding, the goods sold and left unpaid. Late penalty fees: Any late settlement will lead, by right and without the need for prior formal notification, to the payment of late penalty fees on the basis of the BCE rate increased by ten (10) points. This penalty fee is calculated on the amount excluding taxes of the outstanding sum due, and shall begin as from the end of the invoice. Any late settlement will also lead, by right and without the need for prior formal notification, to the payment of a lump indemnity of 40 €. In case of total or partial payment default of the goods delivered, the Purchaser shall pay to our company a penalty fee equivalent to three times and a half the legal interest rate. The legal interest rate used is the one in force the day of delivery of the goods. Clause n° 6: Delivery Delivery shall be carried out: - Either by directly delivering the product to the Purchaser - Either to the place indicated by the Purchaser on the order form The delivery time indicated when the order is entered is indicative and is not guaranteed. Consequently, a reasonable delay in the delivery of the goods shall not entitle the Purchaser to any compensation or order cancellation. The transport risk is entirely borne by the Purchaser. In case goods were missing or damaged during the transport, the Purchaser must express all their reservations on the order form when receiving these goods. Furthermore, the reservations shall be confirmed in writing by registered letter with acknowledgement of receipt within the 2 days after the delivery. Claims will not be taken into account after a time of fifteen days following the delivery date. However, the goods which lack of conformity has been acknowledged and noticed in the afore-mentioned delay will be replaced or repaired, thus excluding any compensation in any respect. Goods can only be returned after prior consent by our company, in a delay a 10 days following the delivery; return shipping costs being paid by the Purchaser. Variations in size or weight may occur, whether plus or minus. They can be accounted for by the particular conditions of production of some materials. These variations shall not result in any claim as they are exposed and known because of the particular productions of our company. Moreover, our company grants itself the right to suspend or cancel any order, without prejudice to any damages. Clause n° 7: Retention of ownership clause Our company remains owner of the goods until full payment of the whole price on principal and interests. If payment is not received by the due date, our company shall be entitled to take back its goods. The sale will be cancelled as of right and deposits already paid shall remain acquired by our company. Goods shall remain the property of our company until full settlement of their price, but the Purchaser becomes owner upon physical delivery, the transfer of ownership induces transfer of risks. As of the signing of the present document, the Purchaser commits to taking out an insurance policy against the risks of loss, theft or destruction of the goods concerned. If the Purchaser is in receivership or judicial liquidation, our company reserves the right to claim, in the collective proceeding, the goods sold and left unpaid. Clause n° 8: Transfer of ownership – Transfer of risks Transfer of ownership of the products of our company to the Purchaser shall be effective after full settlement by the latter, whatever the delivery date of the products. Still, the transfer of risks of loss and deterioration of the products of our company shall be effective upon delivery and receipt of the products by the Purchaser. Clause n° 9: Responsibility of our company - Guarantee Products delivered by our company are provided with a one YEAR guarantee that starts on the delivery date and covers the non-conformity of the goods to the order and any hidden defect caused by material defect, faulty conception or production affecting the products delivered and rendering them unfit for use. This guarantee may vary depending upon the peculiarities of some products. This guarantee is limited to the replacement or refunding of the goods that are non-compliant or affected by a defect. The guarantee is excluded in case of inappropriate use, negligence or faulty maintenance from the Purchaser, as well as in case of abnormal wear of the good and in case of force majeure. To assert their rights, on pain of forfeiting their rights, the Purchaser shall inform our company in writing about the defect within a maximum of one month after their find. Our company shall replace or have repaired the products or parts under guarantee that are considered faulty. This guarantee also covers labor costs. Replacing the faulty products or parts will not extend the guarantee period indicated above. Clause n° 10: Force majeure The responsibility of our company shall not be invoked if the non-execution or the delay in the execution of one of the obligations described in the present General Terms and Conditions of Sale results from force majeure. In that respect, force majeure shall mean any unforeseeable and irresistible external event within the meaning of article 1148 of the French Civil Code. Thus, our company shall not be liable specifically in the event of fire, flood, interruption of energy, raw materials or spare parts supplies as well as partial or total strikes of any nature impeding the orderly course of our company, such as strikes of transporters, postmen, charterers, dockers or any part that is inherent to transports… Any occurance of force majeure suspends the execution of the contract obligations of our company. Clause n° 11: Court of competent jurisdiction Cancellation clause: If the Purchaser does not pay the settlement still due within the fifteen days following the notice for late payment, the sale will be rightfully cancelled and will entitle our company to compensation. For any dispute relative to the sales made by our company, to the application or the interpretation of the present General Terms and Conditions of Sale, the sole competent court shall be the Commercial Court of the head office of our company. French law shall be applicable.
