TIF DISTRICT (CITY CENTER NORTH MIDAS LENEXA HOTEL PROJECT)

WHEREAS, pursuant to K.S.A. 12-1770 et seq., as amended (the “Act”) cities are authorized to assist
in the development and redevelopment of eligible areas located within cities in order to promote, stimulate and
develop the general and economic welfare of the state of Kansas and its communities; and

WHEREAS, in order to promote, stimulate and develop the general and economic welfare of the city of
Lenexa, Kansas (“City”), the Lenexa City Council on September 11, 2001, adopted Ordinance No. 4427 establishing
a Redevelopment District (the “Original District”) pursuant to the Act. The Original District was amended on
December 20, 2005 by Ordinance No. 4824 to include a total of approximately 424 acres (the “District”) referred
to as the City Center TIF District; and

Whereas, pursuant to the Act and the establishment of the District, the City in cooperation with
the Lenexa Planning Commission prepared a Redevelopment Project Plan for an area within the District (“Project
Plan 3B”) which was found by the Lenexa Planning Commission on February 2, 2015 to be consistent with the
intent of the comprehensive plan for the development of the City and such findings are included in Planning
Commission Resolution 2015-02; and
WHEREAS, the purpose of Project Plan 3B is to construct an approximately 124 room hotel under
the Marriott Spring Hill Suites flag or similar upscale flag consisting of approximately 80,900 sq. ft., three (3) units
of retail space consisting of approximately 5,200 sq. ft., a two story parking garage structure with approximately
184 spaces and on-street parking surrounding the lot of approximately 31 spaces and associated infrastructure
therewith (the “Project”) and to reimburse Midas Lenexa, LLC (“Midas”) for various TIF eligible expenses associated
with the Project, as described in more detail in Project Plan 3B and an associated Disposition & Development
Agreement (“DDA”) with Midas; and

WHEREAS, pursuant to Resolution No. 2015-16 adopted February 3, 2015, the City gave notice of
its intent to consider Project Plan 3B and conduct a public hearing on the proposed Project Plan 3B at the City
Council meeting on March 17, 2015, all in accordance with the Act; and
WHEREAS, a comprehensive feasibility study has been completed which indicates the benefits derived
from Project Plan 3B are significant. Revenues from Project Plan 3B and other available revenues including private
debt and equity are expected to be sufficient to pay for the eligible redevelopment project costs; and
WHEREAS, pursuant to the Act, Project Plan 3B, including a summary of the feasibility study and a
description and map of the area to be redeveloped, has been on file in the office of the City Clerk and available
for viewing during regular office hours; and
WHEREAS, Midas understands and agrees that it will be required to execute a DDA with the City
setting forth the terms for the implementation of Project Plan 3B. Such agreement shall be in substantially the
same form as the City’s standard form and address issues involved in the redevelopment project, including but not
limited to, the eligible TIF expenses, priority and eligible amount for reimbursement, performance requirements,
reimbursement procedures, and remedies upon default.
KANSAS:
NOW, THEREFORE, BE IT ORDAINED BY THE GOVERNING BODY OF THE CITY OF LENEXA,
SECTION ONE: Redevelopment Project Plan 3B, a copy of which is on file and available for inspection
in the office of the City Clerk, is hereby adopted and approved.
SECTION TWO: In accordance with the Act, following publication of this Ordinance, the City Clerk
is authorized and directed to transmit a copy of the description of the land within the Redevelopment District, a
copy of this Ordinance adopting Project Plan 3B and a map indicating the boundaries within the Redevelopment
District to the County Clerk, County Assessor, County Treasurer and Board of County Commissioners of Johnson
County, Kansas, and the Board of Education of Unified School District No. 512 of Johnson County, Kansas.

Neither the City nor consultant shall be responsible for the accuracy, completeness, or sufficiency of any bid documents obtained from any source other than the source indicated above. Obtaining copies of plans, specifications,
bid documents and other contract documents from any other source(s) may result in obtaining incomplete and
inaccurate information. Obtaining these documents from any source other than directly from the source listed
herein may also result in failure to receive any addenda, corrections, or other revisions to these documents that
may be issued.
Contractors should read and be fully familiar with all contract documents before submitting a bid. In submitting
a bid, the bidder warrants that it has read the contract documents and is fully familiar therewith and that it has
visited the site of the work to fully inform itself as to all existing conditions and limitations and shall include in its
bid a sum to cover the cost of all items of the work.
Should a bidder find “defects” as defined in paragraph GC‑3 of the General Conditions, it shall follow the procedures outlined in paragraph GC‑3 to bring same to the attention of City. Changes necessitated thereby shall be
in the form of addenda issued by the consultant.
All bidders shall verify that they have considered all written addenda. Neither the City nor the consultant shall
be responsible for oral instructions.
Any written addenda issued during the time of bidding shall be covered and included in the bid. There will be no
clarifications or exceptions allowed on the bid. Bids are for a total bid package, total contract price.
Bids shall be made upon the form provided in ink or typewritten. Numbers shall be stated both in writing and in
figures; the signature shall be long hand; and the complete form shall be without alteration or erasure. On alternate
items for which a bid is not submitted, a written indication of “no bid” on the bid form is required.
No oral, telegraphic, facsimile or telephonic bids or alterations will be considered.
The following items must be included in the sealed envelope with the bid:

Each bidder shall file with its bid a bid bond, a cashier’s check or a certified check drawn on any acceptable bank,
made payable to the City of Overland Park, Kansas, in an amount of not less than five percent (5%) of the total bid,
which shall be retained by the City of Overland Park until a contract for the project has been executed. Bid bonds
will be returned to the unsuccessful bidders, with the exception of the second qualifying bidder, at such time as
their bids are rejected. The bid deposit of the successful bidder and the second qualifying bidder will be returned
when satisfactory bonds in an amount equal to 100% of the contract amount, required insurance certificates and
other required documents shall have been furnished and the contract documents have been executed.
In the event the successful bidder is unable to execute the contract, for whatever reason, City may exercise its
legal prerogatives, including, but not limited to, enforcement of its rights as to the bid security.
The City reserves the right to accept or reject any and all bids and to waive any technicalities or irregularities therein.

NOTICE TO BIDDERS
Sealed bids for 2015 Street Improvement Project, MR-1589 will be received by the City of
Overland Park, Kansas, at the office of the City Clerk, City Hall, 8500 Santa Fe Drive, Overland
Park, Kansas 66212 until 2:00 p.m. local time on April 14, 2015. At that time all sealed bids will be
transferred to the City Council Chamber, City Hall, where they will be publicly opened and read
aloud. Any bid received after the designated closing time will be returned unopened.
All bids shall be submitted in sealed envelopes addressed to the City Clerk of Overland Park,
Kansas, and marked "BID FOR: 2015 Street Improvement Project, MR-1589. Copies of plans,
specifications, bid documents and other contract documents are on file at the office of the Director
of Public Works located at City Hall, 8500 Santa Fe Drive, Overland Park, Kansas 66212.
Contractors desiring the contract documents for use in preparing bids may obtain a set of such
documents from Overland Park Public Works Dept., 8500 Santa Fe Drive, Overland Park, KS
66212, (913-895-6040) upon payment of One Hundred Twenty Five and 00/100 Dollars ($125.00),
which amount is not refundable.
The City shall not be responsible for the accuracy, completeness, or sufficiency of any bid
documents obtained from any source other than the source indicated above. Obtaining copies of
plans, specifications, bid documents and other contract documents from any other source(s) may
result in obtaining incomplete and inaccurate information. Obtaining these documents from any
source other than directly from the source listed herein may also result in failure to receive any
addenda, corrections, or other revisions to these documents that may be issued.
Contractors should read and be fully familiar with all contract documents before submitting a bid. In
submitting a bid, the bidder warrants that it has read the contract documents and is fully familiar
therewith and that it has visited the site of the work to fully inform itself as to all existing conditions
and limitations and shall include in its bid a sum to cover the cost of all items of the work.
Should a bidder find "defects" as defined in paragraph GC-3 of the General Conditions, it shall
follow the procedures outlined in paragraph GC-3 to bring same to the attention of City. Changes
necessitated thereby shall be in the form of addenda issued by the City.
All bidders shall verify that they have considered all written addenda. The City shall not be
responsible for oral instructions.
Any written addenda issued during the time of bidding shall be covered and included in the bid.
There will be no clarifications or exceptions allowed on the bid. Bids are for a total bid package,
total contract price.

Each bidder shall file with its bid a bid bond, a cashier's check or a certified check drawn on any
acceptable bank, made payable to the City of Overland Park, Kansas, in an amount of not less than
five percent (5%) of the total bid, which shall be retained by the City of Overland Park until a contract
for the project has been executed. Bid bonds will be returned to the unsuccessful bidders, with the
exception of the second qualifying bidder, at such time as their bids are rejected. The bid deposit of
the successful bidder and the second qualifying bidder will be returned when satisfactory bonds in
an amount equal to 100% of the contract amount, required insurance certificates and other required
documents shall have been furnished and the contract documents have been executed.
In the event the successful bidder is unable to execute the contract, for whatever reason, City may
exercise its legal prerogatives, including, but not limited to, enforcement of its rights as to the bid
security.
The City reserves the right to accept or reject any and all bids and to waive any technicalities or
