The MaxiCut forstner bit range and the HSS-M2 5Star range has a unique
and patented cutting head, which reduces the head development dramatically and prolongs the sharpness.
The unique RotaStop Shank System eliminates the risk of rotation in the
chuck and the damage of the shank. RotaStop will also lock and unlock
quickly and easily in the MaxiCut Extension Rod and small allen screws are
not necessary any more.

Les produits phares de la marque COLT sont le MaxiCut® et le foret FCE.
Le MaxiCut est une mèche type Forstner dotée de deux brevets :
- un affûtage brise copeau permettant d’économiser 50% d’énergie grâce à une réduction
des points de friction,
- un système d’emmanchement RotaStop® permettant un montage rapide et sécurisé
pour tout mandrin 3 mors.
Le foret FCE en acier HSS M2 bénéficie d’un affûtage breveté
évitant l’éclatement du bois lors du perçage de trou débouchant. D’autres produits viennent
compléter cette gamme, les forets à bois double listels TwinLand®, le ZeroMark®. A ces

MaxiCut ist ein Bohrer mit zwei innovativen Merkmalen :
- Neue Spitzengeometrie, die es ermöglicht, die Reibungswiderstände um 50% zu reduzieren,
- Das RotaStop® schaftsystem erlaubt eine schnelle und sichere Montage für alle Bohrfutter mit 3 Spannbacken.
Der FCE Bohrer aus HSS M2 Stahl hat einen patentierte Spitzengeometrie, welche das
Splittern des Holzes beim Austritt aus dem Bohrloch verhindert.
Andere Produkte wie die Bohrer mit doppelter Führungsphase TwinLand® und das

1 - PRINCIPES GÉNÉRAUX :
Les présentes conditions générales de Vente (ci-après désignées les « CGV ») prévalent sur toutes
conditions générales d'achat ou tous autres documents émanant du client, quels qu'en soient les
termes ; toute commande adressée à RISS impliquant l'acceptation sans réserve des tarifs de
RISS et des présentes CGV.
2 - OFFRE – PRIX – COMMANDE :
Les prix et renseignements portés sur les catalogues, tarifs et documentations ne sont donnés
qu'à titre indicatif et ne constituent pas une offre définitive. Le contrat n'est formé que par
l'acceptation de la commande.
Le prix est fixé sur la base du tarif du vendeur en vigueur lors de la livraison.
A défaut de précision, toute offre est valable pendant un mois à compter de son émission.
Tous les prix indiqués s'entendent hors taxes.
Les prix indiqués ne constituent pas des prix de vente au consommateur.
Un minimum de commande pourra être stipulé. Le vendeur pourra toutefois accepter des
commandes d'un montant inférieur, leur prix étant alors majoré d'une somme forfaitaire.
Aucune commande ne peut être annulée sans le consentement exprès des deux parties.
3 – LIVRAISON – EXPÉDITION :
3.1
Les prix s'entendent départ usine ou magasin du vendeur, les frais de livraison ou
d'expédition étant, par principe, en sus. (Mini 13
12 Euros).
Le franco est cependant accordé pour toute commande supérieure à un montant de 300 Euros.,
après déduction des remises.
La livraison est réputée effectuée dans les usines ou magasins du vendeur, les risques étant, dès
cet instant, à la charge de l'acheteur, quelles que soient les conditions de l'expédition et
notamment même si elle est faite franco.
Pour tout article non catalogué faisant l'objet d'une commande spécifique, une tolérance de
livraison est admise, pouvant aller en quantité jusqu'à 10% en plus ou en moins.
3.2
Les délais de livraison ne sont donnés qu'à titre indicatif et les retards éventuels
ne donnent pas droit au client d'annuler la vente, de refuser la marchandise, ou de réclamer des
dommages et intérêts. Les marchandises voyagent aux risques et périls des clients, même si
l'expédition est faite « Franco ». A compter de la livraison, les produits sont sous la garde du client
qui doit supporter les risques qu'ils pourraient subir ou occasionner, pour quelque cause que ce
soit, même en cas de force majeure, de cas fortuit ou du fait d'un tiers.
3.3
Le vendeur ne supportera aucune pénalité du fait d'un retard de livraison, à moins
que sa responsabilité soit reconnue d'un commun accord avec le client .
En aucun cas les retards ne justifieront l'annulation de la commande.
En tout état de cause, la responsabilité du vendeur ne peut être mis en cause relativement aux
délais de livraison dans les cas suivants : non respect des conditions de paiement, non fourniture
par l'acheteur en temps voulu de tous les renseignements nécessaires à l'exécution de la commande,
en cas de force majeure ou d’évènements tels que : grève totale ou partielle, lock-out, interruption
ou perturbation des transports, incendie, catastrophes naturelles, incidents d'approvisionnements
et de façon générale pour toute cause indépendante de la volonté du vendeur.
4 - RÉCEPTION – RETOURS :
4.1
L'acheteur vérifie la conformité et la quantité des produits dès leur réception . Tous
contrôles ou essais demandés par l'acheteur et liés à la réception seraient à sa charge exclusive.
Il doit faire parvenir au vendeur toute réclamation de conformité ou de quantité dans les 8 jours
de la réception.
4.2
Toute réserve ou contestation relative aux manquants et/ou avaries liés au transport
des produits devra être portée sur le bon de livraison et être confirmée au transporteur dans les
conditions de l'article L.133-3 du Code du Commerce, par lettre recommandée avec accusé de
réception, assortie d'une copie du bon de livraison concerné, dans les trois jours de la réception
des produits, sous peine de forclusion, avec copie à notre attention.
4.3
Aucun retour de produits n'est accepté s'il n'a pas fait l'objet d'un accord exprès
et préalable de RISS. Sauf convention contraire, les frais de retour, notamment de transport, sont
toujours à la charge exclusive du client. Le retour des produits ne donnera lieu au versement
d'aucune indemnité au profit du client.

Le client est seul responsable des services de Coopération Commerciale et des Services distincts
qu'il rend à RISS.
7 – RÉSERVE DE PROPRIÉTÉ :
7 .1
De convention expresse, est réservée au vendeur la propriété des marchandises
fournies jusqu'au jour de parfait paiement étant précisé qu'au sens de la présente clause, seul
l'encaissement effectif des chèques et effets de commerce vaudra paiement. Ne constitue pas
paiement la remise de traites ou de tous titres créant une obligation de payer.
7.2
Pour le cas de cessation de paiement, de fait ou de droit, comme pour le cas où il
laisserait impayé, en tout ou partie, une seule échéance, le client s'interdit formellement d'utiliser,
de transformer ou de vendre la marchandise dont la propriété est réservée à RISS.
8 – CONFIDENTIALITÉ :
Les documents confidentiels ne peuvent être communiqués à des tiers pour quelque motif que
ce soit. Ils demeurent la propriété de RISS et devront être restitués sur simple demande. Le client
s'engage à garder secrète toute information délivrée par RISS.
9 – PROPRIÉTÉ INTELLECTUELLE ET INDUSTRIELLE :
Le client ne dispose d'aucun droit de propriété intellectuelle et industrielle sur les produits, ni sur
les matériels publicitaires ou de présentation, ni sur les emballages, RISS demeurant propriétaire
exclusif de tous ces droits. Toute utilisation, de quelque manière que ce soit, par le client, de la
marque « RISS » ou de toute autre marque appartenant à RISS, doit faire l'objet d'un accord
préalable et exprès de RISS.
10 – GARANTIE :
Le vendeur s'engage à remplacer tout produit atteint d'un vice affectant sa fonctionnalité dû à un
défaut de fabrication et qui se sera manifesté dans un délai de 6 mois à compter de la livraison
telle que définie ci-dessus.
Pour pouvoir bénéficier de la garantie, l'acheteur doit aviser le vendeur sans délai des vices qu'il
impute au matériel et fournir toutes justifications sur leur réalité.
La garantie est exclue dans les cas suivants : utilisation ou stockage des outils non conforme aux
prescriptions du fabricant ou aux règles de l'art, usage contraire à leur destination, négligence ou
anomalie dans leurs conditions d'utilisation, modification des outils.
La demande d'exercice de la garantie ne suspend pas les échéances de paiement.
La responsabilité du vendeur est strictement limitée à la garantie ainsi définie, à l'exclusion de
toute indemnisation y compris pour dommages immatériels ou indirects.
11 - RESPONSABILITÉ :
11.1
RISS ne pourra en aucun cas être tenu pour responsable de tout dommage résultant
de l'utilisation des produits dans des conditions d'utilisation incompatible avec leur nature, ou
d'un stockage inadapté. Le client ne pourra rechercher la responsabilité de RISS qu'en prouvant
une faute. Le client s'engage à informer ses clients sur les caractéristiques techniques et
réglementaires des produits et sur leur conditions d'utilisation. Dans tous les cas où la responsabilité de RISS serait reconnue, elle serait limitée à l'indemnisation des préjudices directs dans
la limite de 10% du prix d'achat net hors taxes des produits en cause.
11.2
Le client est responsable de la fixation et de la publicité de ses prix de revente.
Il engagera sa responsabilité en cas de pratique illicite de prix d'appel sur les produits RISS.
12 – COMPÉTENCES DE JURIDICTION :
Les présentes CGV sont soumises au droit français, exclusion faite de toute convention internationale.
En cas de litige, seules les juridictions de Saint-Etienne seront compétentes, quels que soient le
lieu de livraison et le mode paiement accepté, même en cas de référé, de demande incidente,
d'appel en garantie ou de pluralité de défendeurs.
En tout état de cause, les dispositions du Titre IV du Livre IV du Code du Commerce français revêtent
le caractère de loi de police et s'appliquent en conséquence à tous les contrats qui ont pour objet
l'approvisionnement d'un client en produits destinés à être revendus en France.

Les factures sont payables au siège de la société RISS. Toute première commande sera payable
au comptant. Selon l'application de la LME du 04/08/2008, le délai convenu entre les parties pour
régler les sommes dues ne peut dépasser 45 jours fin de mois ou 60 jours à compter de la date
d'émission de la facture. Le non-respect de ce plafond de 45 ou 60 jours peut être sanctionné
sur le fondement de l'article L.442-6, l, 7°C.com ou escompte de 1,5% à réception de facture.
Le défaut de règlement des factures à échéance entraîne les conséquences suivantes :

ALLGEMEINE VERKAUFSBEDINGUNGEN
1 – ALLGEMEINE GRUNDSÄTZE:
Die vorliegenden allgemeinen Verkaufsbedingungen (untenstehend „AVB“ genannt)
haben vor allen allgemeinen Einkaufsbedingungen oder anderen vom Kunden stammenden Dokumenten Vorrang, wie auch immer sie lauten. Jede an RISS gerichtete
Bestellung schließt die uneingeschränkte Annahme der Preise von Riss und der vorliegenden AVB mit ein.
2 - ANGEBOT – PREIS – BESTELLUNG:
Die in den Katalogen, Preislisten und Unterlagen angegebenen Preise und Auskünfte
sind unverbindlich und stellen kein endgültiges Angebot dar. Der Vertrag wird erst durch
Annahme der Bestellung erstellt.
Der Preis wird auf Grundlage der bei der Lieferung gültigen Preisliste des Verkäufers
festgelegt.
Wenn keine nähere Angabe vorliegt, ist jedes Angebot ab ihrer Ausgabe einen Monat
lang gültig.
Alle angegebenen Preise verstehen sich exklusive Steuern.
Die angegebenen Preise stellen nicht die Verkaufspreise an den Verbraucher dar.
Eine Mindestbestellung kann vertraglich festgelegt werden. Der Verkäufer kann jedoch
Bestellungen mit einem niedrigeren Betrag annehmen, der Preis wird dann um eine
Pauschalsumme erhöht.
Keine Bestellung kann ohne die ausdrückliche Zustimmung beider Parteien rückgängig
gemacht werden.
3 – LIEFERUNG – VERSAND:
3.1 Die Preise verstehen sich ab Werk oder Lager des Verkäufers, die Liefer- oder Versandkosten werden zusätzlich berechnet. (Mind.1312 Euro). Eine frachtfreie Lieferung
wird jedoch für Bestellungen von mehr als 300 Euro (nach Abzug der Rabatte) gewährt.
Die Lieferung gilt als in den Werken oder Lagern des Verkäufers ausgeführt, die Gefahren fallen ab diesem Zeitpunkt, wie immer die Versandbedingungen lauten mögen und
namentlich, selbst wenn die Lieferung frachtfrei ausgeführt wird, dem Käufer zur Last.
Bei nicht katalogisierten Artikeln, die Gegenstand einer spezifischen Bestellung sind,
wird eine Liefertoleranz zugelassen, die von der Menge her bis zu 10% mehr oder weniger betragen kann.
3.2 Die Lieferfristen werden unverbindlich angegeben und eventuelle Verspätungen
geben dem Kunden kein Recht darauf, den Verkauf rückgängig zu machen, die Waren
abzulehnen oder Schadensersatz zu fordern.
Die Waren werden auf Kosten und Gefahren der Kunden versandt, selbst wenn der
Versandt „frachtfrei“ ausgeführt wird. Ab der Lieferung befinden sich die Produkte in
Verwahrung des Kunden, der die Gefahren, denen sie aus jedwedem Grund ausgesetzt
sind oder die sie verursachen könnten, selbst bei Zufall, höherer Gewalt oder bei Einwirkung eines Dritten, auf sich nimmt.
3.3 Der Verkäufer übernimmt keinerlei Strafe wegen Lieferverzug, es sei denn, seine
Verantwortung wird in einer gemeinsamen Übereinkunft mit dem Kunden anerkannt.
Lieferverzüge rechtfertigen auf keinen Fall die Rücknahme der Bestellung.
In den folgenden Fällen kann die Verantwortung des Verkäufers keinesfalls hinsichtlich
der Lieferfristen in Frage gestellt werden: Nichteinhaltung der Zahlungsbedingungen,
mangelnde und nicht rechtzeitige Lieferung der für die Ausführung der Bestellung nötigen Auskünfte durch den Käufer, aufgrund höherer Gewalt oder bei Ereignissen wie:
Voll- oder Teilstreik, Aussperrung, Unterbrechung oder Störung der Transporte, Brand,
Naturkatastrophen, Beschaffungsstörungen und allgemein aufgrund vom Verkäufer
unverschuldeter Umstände.
4 - WARENEINGANG – RÜCKLIEFERUNGEN:
4.1 Der Käufer überprüft die Konformität der Produkte sobald die Waren eingegangen
sind.
Alle vom Käufer geforderten und an den Wareneingang gebundenen Kontrollen und
Prüfungen gehen ausschließlich zu seinen Lasten. Konformitäts- oder Mengenreklamationen hat er dem Verkäufer innerhalb von 8 Tagen nach Wareneingang zukommen zu
lassen.
4.2 Vorbehalte oder Beanstandungen in Bezug auf an den Warentransport gebundene,
fehlende und/oder beschädigte Teile sind auf dem Lieferschein zu vermerken und dem
Spediteur unter den Bedingungen von Artikel L. 133-3 des Handelsgesetzbuches per
Einschreiben mit Empfangsbestätigung, versehen mit einer Kopie des betroffenen
Lieferscheins, innerhalb von drei Tagen nach Wareneingang unter Androhung des
Ausschlusses und mit Kopie zu unseren Händen, zu bestätigen.
4.3 Warenrücklieferungen werden ohne das vorherige ausdrückliche Einverständnis von
RISS nicht akzeptiert.
Außer bei gegenteiliger Vereinbarung werden die Rücklieferungskosten, insbesondere
für den Transport, ausschließlich vom Kunden getragen. Die Warenrücklieferung gibt
keinerlei Anlass zur Zahlung von Schadensersatz zugunsten des Kunden.
5 - ZAHLUNGSBEDINGUNGEN:
Die Rechnungen sind im Firmensitz der Firma RISS zu bezahlen. Die jeweils erste
Bestellung ist gegen bar zu zahlen. Laut Anwendung des LME (Gesetz zur Modernisierung der Wirtschaft) vom 04/08/2008 darf die zwischen den Parteien vereinbarte Frist zur
Zahlung der geschuldeten Beträge 45 Tage Monatsende oder 60 Tage ab Ausstellungsdatum der Rechnung nicht überschreiten. Die Nichteinhaltung dieser Höchstgrenze von
45 oder 60 Tagen kann auf Grundlage von Artikel L442-6, l, 7° C. com oder einem Skonto
von 1,5% bei Erhalt der Rechnung geahndet werden. Der Zahlungsausfall der Rechnungen zum Fälligkeitsdatum zieht die folgenden Konsequenzen nach sich:

RISS behält sich das Recht bevor, alle laufenden Bestellungen unbeschadet
von jedweder Klage abzubrechen.

Alle aus welchem Grund auch immer geschuldeten Beträge werden unverzüglich von Rechts wegen und unaufgefordert fällig.

Alle am Fälligkeitsdatum nicht gezahlten Beträge geben von Rechts wegen
und unaufgefordert Anlass zur Zahlung eines Säumniszuschlags, der auf den geschuldeten Beträgen beruht und fünf mal dem am Tag der umstrittenen Rechnung geltenden
gesetzlichen Zinssatz entspricht und in unteilbaren Perioden von 15 Tagen ab dem

1. Säumnistag berechnet wird. Die Inrechnungstellung dieser Säumniszuschläge
ist Bei gänzlicher oder teilweiser Nichtbezahlung der durch den Kunden geschuldeten Beträge, die RISS dazu nötigen, Kosten aufzubringen, um die Forderung beizutreiben, schuldet der Kunde RISS als Vertragsstrafe eine Summe, die durch die
Verordnung Nr. 2012-1115 vom 2. Oktober 2012 auf 40 € festgelegt wurde, ohne
dass RISS den Anspruch auf eine Entschädigung, die von ihr als Ersatz des erlittenen
Schadens gefordert werden könnte, verliert.
6 – GESCHÄFTLICHE ZUSAMMENARBEIT UND VERSCHIEDENE DIENSTLEITUNGEN
Der Kunde ist allein für die geschäftliche Zusammenarbeit und die verschiedenen
Dienstleistungen, die er RISS erweist, verantwortlich.
7 – EIGENTUMSVORBEHALT:
7 .1 Einem ausdrücklichen Abkommen gemäß ist das Eigentum der gelieferten Waren
dem Verkäufer der Waren bis zum Tag der vollständigen Bezahlung vorbehalten, genauer gesagt, im Sinne der vorliegenden Klausel gilt allein die tatsächliche Einlösung
der Schecks und Handelswechsel als Zahlung. Die Hinterlegung von Wechseln oder
aller anderen Wertpapiere, die eine Zahlungspflicht darstellen, wird nicht als Zahlung
anerkannt.
7.2 Im Falle einer tatsächlichen und rechtlichen Einstellung der Zahlung, wie im Falle
einer Zahlungsverpflichtung, die vom Kunden gänzlich oder teilweise unbezahlt bleibt,
verbietet es sich der Kunde ausdrücklich, die Waren, deren Eigentum RISS vorbehalten ist, zu benutzen, weiterzuverarbeiten oder zu verkaufen.
8 – VERTRAULICHKEIT:
Vertrauliche Dokumente dürfen, aus welchem Grund auch immer, nicht an Dritte weitergegeben werden.
Sie bleiben Eigentum von RISS und sind auf einfache Aufforderung hin zurückzugeben. Der Kunde verpflichtet sich dazu, alle von RISS ausgehändigten Informationen geheim zu halten.
9 – INTELLEKTUELLES UND INDUSTRIELLES EIGENTUM:
Der Kunde besitzt kein Recht auf intellektuelles oder industrielles Eigentum, weder
in Bezug auf die Produkte, noch auf die Werbe- oder Vorführungsmaterialien und
die Verpackungen. RISS bleibt der exklusive Eigentümer all dieser Rechte. Die Benutzung durch den Kunden der Marke „RISS“ oder aller anderen Marken, die RISS
gehören, auf welche Art und Weise es auch sei, hat Gegenstand eines vorherigen
ausdrücklichen Einverständnisses von RISS zu sein.
10 – GARANTIE:
Der Verkäufer verpflichtet sich dazu, Waren, die einen auf die Fabrikation
zurückzuführenden Fehler aufweisen, der ihre Funktionalität einschränkt und der sich
innerhalb einer Frist von 6 Monaten ab der Lieferung, wie sie weiter oben definiert ist,
bemerkbar macht, zu ersetzen.
Um in den Genuss der Garantie zu kommen, hat der Käufer den Verkäufer unverzüglich über Fehler, die dem Material zugeschrieben werden, in Kenntnis zu setzen und
Beweise ihrer tatsächlichen Existenz zu liefern.
In den folgenden Fällen wird die Garantie ausgeschlossen: von den Vorschriften des
Herstellers abweichende oder nicht fachgerechte Anwendung oder Lagerung der
Werkzeuge, von ihrer Bestimmung abweichende Benutzung, Nachlässigkeit oder
Anomalie bezüglich der Benutzungsbedingungen, Abänderung der Werkzeuge.
Die Forderung von Garantieleistung ist kein Grund zur Unterbrechung der Zahlungsfristen.
Die Verantwortung des Verkäufers ist strikt auf die auf diese Weise definierte Garantie
beschränkt, unter Ausschluss jeglicher Entschädigung, einschließlich für immaterielle
oder indirekte Schäden.
11 - VERANTWORTLICHKEIT:
11.1 RISS kann auf keinen Fall für Schäden verantwortlich gemacht werden, die auf
eine Benutzung der Produkte unter Bedingungen, die mit ihrer Beschaffenheit unvereinbar sind, oder auf unangemessene Lagerung zurückzuführen sind.
Der Kunde kann die Verantwortung von RISS nur dann heranziehen, wenn er einen
Fehler nachweisen kann.
Der Kunde verpflichtet sich dazu, seine Kunden über die technischen und vorschriftsmäßigen Eigenschaften der Produkte und über ihre Benutzungsbedingungen in
Kenntnis zu setzen. In allen Fällen, in denen die Verantwortung von RISS anerkannt
wird, ist sie im Rahmen von 10% des Netto-Einkaufspreises der betroffenen Produkte,
exklusive Steuern, auf die Entschädigung der direkten Schäden beschränkt.
11.2 Der Kunde ist für die Festlegung und die Verbreitung seiner Verkaufspreise
verantwortlich.
Er übernimmt im Falle von unerlaubten Lockpreis-Handelspraktiken in Bezug auf die
RISS Produkte die volle Verantwortung.
12 – GERICHTLICHE ZUSTÄNDIGKEIT:
Die vorliegenden AVB unterstehen, unter Ausnahme von internationalen Abkommen,
dem französischen Recht.
Im Streitfall sind allein die Gerichte von Saint Etienne zuständig, unabhängig vom Ort
der Lieferung und der akzeptierten Zahlungsform, selbst im Falle von einstweiliger
Anordnung, Inzidentklage, Streitverkündigung, oder Streitgenossenschaft.
Unter allen Umständen bekleiden die Bestimmungen des Abschnitts IV, Buch IV des
französischen Handelsgesetzbuches die Eigenschaft des Polizeirechts und werden
folglich auf alle Verträge, die die Belieferung eines Kunden mit Produkten, die dazu
bestimmt sind, in Frankreich verkauft zu werden, angewendet.

GENERAL TERMS AND CONDITIONS OF SALE
1 – GENERAL PRINCIPLES:
The current General Terms and Conditions of Sale (hereafter referred to as
“GTCS”) shall prevail over any other document from the Client, whatever other
terms may be included in it: all orders placed with RISS imply unconditional
acceptance of RISS’s prices and current GTCS.
2 - OFFER– PRICE– ORDER:
Prices and information given in the catalogues, tariffs and other documentation
are only provided as a guide and shall not be considered as a binding offer. The
contract only becomes binding when the order has been accepted.
The price shall be determined on the basis of the current tariff set by the Seller
on the date of delivery.
Failing such specification, all offers are considered valid for one month from their
date of issue.
All prices indicated are exclusive of tax.
The prices indicated do not constitute the sales price to the consumer.
A minimum order can be stipulated. The Seller may, however, accept orders for a
lesser amount, in which case prices will be revised upwards accordingly.
No order can be cancelled without the express consent of both parties.
3 – DELIVERY – SHIPMENT:
3.1 Prices are understood to be those applicable when the goods leave the factory or sales outlet of the Seller, delivery or shipping charges are normally extra
(Minimum 13 Euros).
Free delivery is, however, granted for all orders over 300 Euros after deductions
have been made for any reductions in price.
Delivery is carried out from the factories or sales outlets of the Seller, any risks
involved, become from this moment, the responsibility of the Purchaser whatever
shipping conditions prevail, even, it should be noted, if delivery is free.
Any article which has been ordered specifically and which is not catalogued is
subject to a delivery charge which may amount to as much as 10% more or less.
3.2 Delivery dates are only provisional and any possible delays cannot give the
Customer the right to cancel the sale, refuse the goods, or claim compensation.
Goods are shipped at the Customer’s own risk even if delivery is free. From the
moment of delivery, the goods become the responsibility of the Client who must
assume all risks whatever they may be, whether due to unforeseeable circumstances, force majeure or the intervention of a third party.
3.3 The Seller will not accept any late delivery penalty unless he acknowledges
responsibility for the delay in joint agreement with the Client.
Late delivery cannot justify a cancellation of the order under any circumstances.
In any event, the Seller cannot be held responsible for any delay in delivery
which may result from the following circumstances: non-compliance with the
agreed payment conditions, failure, on behalf of the Purchaser, to provide all the
information necessary for the execution of the order within agreed time limits, in
the case of force majeure or events such as: general or partial strikes, lockouts,
transport disruptions, fire, natural catastrophes, supply problems and more generally, any cause beyond the Seller’s control.
4 - RECEIPTS– RETURNS:
4.1 The Purchaser checks the conformity and quantity of the goods on receipt
of them. All examinations and tests demanded by the Purchaser relative to the
receipt of the goods shall be the sole charge of the Purchaser. The Purchaser
must inform the Seller of any anomalies in conformity or quantity relative to the
goods within 8 days of their receipt.
4.2 Any concerns or complaints about goods missing or damaged in transit should be noted on the delivery docket and communicated to the delivery
firm in accordance with the conditions laid down in article L.133-3of the French
Commercial Code; that is to say by registered letter, with acknowledgement of
receipt, to include a copy of the relevant delivery docket, to be sent within 3 days
of receipt of the goods, under penalty of foreclosure, with a copy for our attention.
4.3 No goods may be returned without the express prior consent of RISS. Unless
otherwise agreed, the expenses incurred in returning goods, particularly transport costs, are the sole charge of the Client.
5 – CONDITIONS OF PAYMENT:
Invoices should be made payable to the Head Offices of the company RISS. Any
first order should be paid for in cash. According to the LME (Modernisation of
the Economy Act) of 04/08/2008, the time limit for the settlement of outstanding
invoices between two parties should not be more than 45 days from the end of
the month or more than 60 days from the date on which the invoice was issued.
If the limit of 45 or 60 days is not respected sanctions may be imposed according
to
article L.442-6, l, 7°C.com or discounted by 1.5% on receipt of the invoice.
Failure to settle outstanding invoices will lead to the following actions:
− RISS reserves the right to suspend all orders being processed, without renouncing other courses of action.
− All outstanding sums, whatever they may be for, will become due in full immediately, automatically and without notice.
− All outstanding sums, past their settlement date, will become immediately, automatically and without notice subject to a late payment penalty to be calculated on
the total amount outstanding, and charged at five times the rate of interest current
on the day the invoice was issued and calculated in fortnightly periods from the
first day the invoice was overdue. Notification of these penalties will be made in
advance by registered letter.
In the case of total or partial non-payment of the amounts owed by the Client, therefore obliging RISS to incur expenses to recover the debt, the Client will be legally
bound to pay RISS the sum of 40 € as stated in decree n°2012-1115 2nd October
2012, without in any way prejudicing RISS’s capacity to claim compensation for the
damage incurred.
6 – COMMERCIAL COOPERATION AND SEPARATE SERVICES
The Client is solely responsible for services of Commercial Cooperation and Separate Services provided for RISS.
7 – CONDITIONS OF OWNERSHIP:
7.1 By explicit agreement, ownership of the goods provided remains the reserve
of the Seller until such time as complete payment, hereafter defined as the receipt
of all monies by cheque or other commercial means, has been effected. No other
form of payment by means of a bill of exchange or title creating an obligation to pay
will be recognised.
7.2 In the case of cessation of payment, in deed or in law, or in the case of whole
or partial non-payment of an instalment, the Client has no right to use, transform or
sell the goods which remain the property of RISS.
8 – CONFIDENTIALITY:
Confidential documents cannot be passed to a third party for whatever motive.
They remain the property of RISS and must be returned on simple request. The
Client agrees to keep all information provided by RISS as secret.
9 – INTELLECTUAL AND INDUSTRIAL PROPERTY:
The Client has no intellectual and industrial property rights over the products, or
over the publicity materials or presentation materials, nor over the packaging as
RISS remains the exclusive owner of all these rights. Any use of the brand name
“RISS” or other brand name belonging to RISS, in whatever way, by the Client,
must be the object of a previous and expressly negotiated agreement.
10 – GUARANTEE:
The Seller agrees to replace any product found to be faulty within 6 months of its
delivery date according to the conditions laid down below.
In order to benefit from the guarantee the Purchaser must inform the Seller, without
delay, of the faults perceived in the product and should provide all necessary proof
to this effect.
The guarantee becomes invalid in the following cases: use or storage of the tools in
ways contrary to the advice given by the manufacturer or accepted practice, use for
which the product has not been designed, negligence or anomaly in their conditions
of use, modifications made to the tools.
Recourse to the terms of the guarantee does not give the right to suspend the
payment of instalments.
The Seller’s responsibility is strictly limited to the terms of the guarantee as
hereby defined and does not extend to any compensation for immaterial or indirect
damage.
11 - RESPONSIBILITY:
11.1 RISS can in no way be held responsible for any damage which may result
from inappropriate use of the products or for damage incurred as a result of inappropriate storage conditions.
The Client may only hold RISS responsible if a fault can be proven. The Client
agrees to inform his clients about the technical and regulatory characteristics of the
products and their conditions of use.
In all cases where RISS accepts responsibility, compensation will be restricted to
compensating for direct damage, of up to 10% of the purchase price, before tax, of
the products concerned.
11.2 The Client is responsible for fixing and advertising his re-sale prices. He
agrees to take responsibility in any case of illicit practice with regard to pricing
levels for RISS products
12 – JUDICIAL STANDING:
The current GTCS are subject to French law, excluding any international convention. In the event of litigation, the courts in Saint-Etienne will have sole jurisdiction,
whatever the place of delivery, method of payment accepted, even in the case of
summary proceedings, incidental claims, or in the event of there being several
defenders or the introduction of third parties.
In any case, the provisions of the French Commercial Code Title IV of Book IV
set out the mandatory rules which are applicable to all contracts designed for circumstances in which a Client is supplied with products
in France.
