LNG 18 – TERMS & CONDITIONS OF REGISTRATION Definitions: Accompanying Person: Any person who registers or is registered for the Event as an accompanying person. Conference Organiser: Arinex Pty. Ltd (ABN 28 000 386 676) as the appointed Professional Conference Organiser (PCO) for the Event or such other person as is appointed by the Host as PCO from time to time. Conference: The conference which is organised, marketed, staged and managed by the Conference Organiser as part of the Event. Delegate: Any person who registers or is registered for the Event as a delegate. Local Perth Resident: Any person who resides within the immediate Perth area. Event: The 18th International Conference and Exhibition on Liquefied Natural Gas to be held, subject to these Terms and Conditions, at the Perth Convention & Exhibition Centre, Perth, Western Australia, Australia from 11th to 16th April, 2016. Exhibition: The exhibition which is organised, marketed, staged and managed by the Professional Exhibition Organiser (PEO) as part of the Event. Host: Australian Gas Industry Trust and its appointed National Organising Committee of LNG 18 and any officer, employee, contractor or agent of those entities. Professional Exhibition Organiser (PEO); Exhibitions & Trade Fairs Pty. Ltd or such other person as is appointed by the Host as the PEO from time to time. Registrant: A Delegate or an Accompanying Person or such other person who may complete a form for participation in the Event. Venue: The Perth Convention & Exhibition Centre 1. Agreement By completing and submitting the Registration Form and/or checking “I have read and agree to the Conference Terms and Conditions” on the Registration Form and/or registering for the Event, the Registrant agrees to accept and abide by this Agreement and all amendments and decisions of the Conference Organiser. This Agreement is a binding agreement between the Conference Organiser and Registrant. If someone accepts the terms of this Agreement on behalf of a Delegate or Accompanying Person warrants that he or she is authorized to enter into agreements that are binding on the Delegate(s) and the Accompanying Person(s). REGISTRATION 2. Registration Guidelines (a) Registration to attend the Conference must be made via the Conference Organiser’s online registration page at www.lng18.org. No alterations to these Terms and Conditions will be accepted without the signed written consent of the Conference Organiser. Submission of Registration Form shall not be deemed as automatic registration for the Event. A confirmation of registration will be issued by the Conference Organiser upon acceptance of the Registration Form and once receipt of payment has been verified. (b) Registrations must reach the Conference Organiser no later than 21 March 2016. Registrations received by the Conference Organiser after 21 March 2016 will not be processed and the Registrant should proceed with on‐site registration during the Event’s official registration opening hours. (c) The Conference Organiser shall have the full power to interpret and amend these Terms and Conditions, provided that it provides notice of such amendments to any Registrants who may be affected by the amendment(s). 3. Payment Terms and Entitlements (a) Any Registration Form received without payment in full may not be processed until payment is received. (b) Individual Registrants must pay online via credit card in order to confirm their booking. (c) Registrants will be entitled to the benefits as listed on the website lng18.org.au and detailed on the page titled ‘Registration’ according to the category of registration and subject to full payment for the applicable registration category being received by the Conference Organisers. 4. Costs (a) The Registrant shall be responsible for paying for the Registrant’s own costs and expenses for attending the Event, including meals, travel and hotel accommodation. The Conference Organiser will not accept any invoices or charges for any costs and expenses incurred by the Registrant. (b) For Local Perth Resident’s registration, failure to provide proof of local residency (such as a driver’s licence) on request will result in non‐entitlement to the A$600 housing bureau discount and the Conference Organiser reserves the right to charge the difference between non‐housing bureau and local resident fee (being A$600). 5. Cancellation by Delegate (a) Should a Registrant wish to cancel attendance, notice must be sent in writing by the Registrant to the Conference Organiser on or before 9 January 2016. Cancellation will be deemed to have occurred on the date upon which such written notification is received by the Conference Organiser. (b) An administration fee of the amount set out below shall be payable by the Registrant and deducted from any refund for cancellation of attendance: Cancellations before 4/11/2015 will incur an A$200.00 cancellation fee. Cancellations between 5/11/15 and 8/01/2016 will receive a 50% refund of fees payable. Cancellations from 9/01/2016 will incur forfeiture of the full fees payable. (c) No refunds will be made for any cancellation received after 9 January 2016. Registrant agrees that this is a genuine pre‐estimate of the loss and damage incurred by the Conference Organiser. 6. Prohibition of Transfer (a) The rights of the Registrant are not transferable or assignable to any other person without the prior written consent of the Conference Organiser. Once written consent has been given, the Registrant may transfer their registration to another person within their company or organisation. (b) No transfers will be accepted after 21 March 2016. 7. Postponement, abandonment or speaker cancellation (a) None of the Conference Organiser, the PEO nor the Host is responsible for any loss incurred due to cancellation, abandonment, postponement or curtailment in whole or in part of the Event, for any reason whatsoever beyond the control of the Conference Organiser, the PEO or the Host (as the case may require). (b) If the Conference Organiser or the Host alters the content or timing of the Event, including the Conference or Exhibition, for any reason whatsoever, the Conference Organiser is not liable to refund Registrant fees or pay for costs, or additional costs, incurred by the Registrant. (c) The Registrant shall not have any claim against the Conference Organiser, the PEO or the Host in respect of any loss or damage consequent upon the failure for whatever reason to hold the Event or any portion of the Event, or of the Venue(s) at which the Event, or any portion of the Event, is scheduled to take place becoming wholly or partially unavailable for the holding of the Event. It shall be solely at the discretion of the Conference Organiser, if, in its judgment by re‐arrangement or postponement of the period of the Event, or any portion of the Event, or by substitution of another Venue(s) for the holding of the Event, or any other reasonable manner, the Event, or any portion of the Event, can take place. 8. Insurance (a) Registration fees do not include insurance of any kind. It is strongly recommended that all Registrants take out an adequate insurance policy. The policy should include loss of fees through cancellation of participation in the Event, or through cancellation of the Event, or any portion of the Event, loss of international/domestic air fares through cancellation for any reason, loss of tour monies through cancellation for any reason including airline or related services strikes, failure to utilize tours or pre booked arrangements due to airline delay, Force Majeure or any other reason, medical expenses, loss or damage to personal property, additional expenses and repatriation should travel arrangements have to be altered. It is recommended that such insurances be obtained in the country of origin prior to departure for attendance at the Event. (b) None of the Conference Organiser, the PEO or the Host will take any responsibility for any Registrant failing to arrange its own adequate insurance or, to the extent permitted by law, for any loss or damage covered by insurance or which would have been covered by insurance as recommended. 9. Compliance (a)The Registrant shall comply with all Venue regulations, health and safety and other regulatory requirements and any and all applicable Government rules and regulations. (b) The Registrant must comply with any reasonable instructions given by the Venue or any other authorized authority regarding fire or other emergency precautions. (c) The Registrant shall not do anything which in the Conference Organiser’s reasonable opinion is or may be prejudicial, defamatory, dangerous, and harmful or otherwise in contravention of what was envisaged under this Agreement. (d) The Conference Organiser reserves the right to exclude or remove the Registrant from the whole or any part of the Event, without any liability to refund any fees, where the Registrant’s presence, conduct or action, in the opinion of the Conference Organiser or any person acting with the authority of the Conference Organiser, is or is likely to be undesirable or inappropriate or may put at risk the safety or wellbeing of any person or involves a contravention of this Agreement (but neither the Conference Organiser, nor any other person, has any obligation to exclude or remove any person). (e) If the Registrant is a speaker at the Conference, the Registrant confirms that any papers, presentations, images or other works provided by or on behalf of the Registrant at or to the Conference are the original work of the Registrant and do not infringe the intellectual property rights of any other person or contain any content that is defamatory or otherwise infringes the rights of any other person. (f) If the Registrant is a speaker at the Conference, the Registrant agrees that copyright and all other intellectual property rights in any papers, presentations or other works presented by or on behalf of the Registrant at or to the Conference will vest in the Host. The Registrant consents to the re‐ publication of those papers, presentations or other works, in whole or in part, with or without modifications or attribution. (g) The Registrant acknowledges that speakers at the Conference are responsible for their own opinions, comments and views (whether communicated in written form in any paper or elsewhere or verbally during any presentation or otherwise). Neither the Conference Organiser nor the Host assume any responsibility to verify, edit or censor the opinions, comments or views of any speaker or accept any liability for any opinion, comment or view of any speaker. 10. Audio Visual Equipment Audio Visual Equipment is provided by the Venue and/or the Conference Organiser and no other audio visual equipment will be permitted to be used onsite. 11. Social and Tour Activities (a) The Cancellation policy detailed at Condition 5 of this document shall apply to bookings for social events at the Event. (b) The Cancellation policy detailed and included in the Tours Information on the LNG 18 website is applicable to any tour booking and the Registrant agrees to be bound by such advertised conditions. (c) Registrants are to assemble at the nominated pick‐up point or departure point 15 minutes prior to the activities’ commencement/departure times. No refunds will be granted for no‐shows and late comers. (d) The Conference Organiser will make every effort to operate all activities and events according to the confirmed services. Deviation from a pre‐agreed program is sometimes necessary depending on local factors, including weather, road conditions, flights or other factors beyond the Conference Organiser’s control. However, this will be done only if necessary and the Registrant will be informed in advance when possible. The Conference Organiser reserves the right to amend, modify, substitute, cancel or reschedule itineraries if deemed necessary. (e) Should the activity date selected not achieve the minimum number of participants required in order to run the activity, the Conference Organiser will notify the Registrant in advance and suggest an alternative. If the alternative activity is not suitable to the Registrant, a refund will be made in full. 12. Limitation of Liability (a) The Registrant agrees that his/her participation in the Event is wholly at his/her own risk (including risk to property and persons). To the extent permitted by law, none of the Conference Organiser, the PEO or the Host, warrant or guarantee (and specifically exclude liability to the Registrant) in relation to: i. any difference between estimated and actual number of persons attending the Event or any portion of the Event; ii. any difference between estimated and actual number of exhibitors or identity of exhibitors at the Exhibition; iii. timeliness or quality of services, or failure or deficiency in provision of services, that are the responsibility of the Venue; iv. cancellation, postponement, part time opening or relation of the Event, either as a whole or in part; v. cancellation or postponement of any speakers or other representatives scheduled to appear at the Event (or which the Registrant has been notified may appear in the Conference) or failure of any speaker to appear at the Conference for any reason whatsoever. The Conference Organiser has the right to substitute speakers at the Event without any prior notice; and vi. any event or circumstance outside the control of the Conference Organiser, including, but without limitation, to any delay, failure or interruption resulting directly, or indirectly from industrial action, or other acts or omissions of third parties, blackout, fire, war, explosion, terrorism, SARS or other virus, civil or military unrest, government sanction, or ministerial action having the force of law, earthquake, flood, or other act of God, or labour dispute, which impacts upon, prevents or limits the operation of the Event, or any portion thereof, or performance of the Conference Organiser’s obligations under this Agreement. In all such circumstances, to the extent permitted by law, the Conference Organiser is entitled to retain all moneys paid by the Delegate. (b) To the extent permitted by law, the Conference Organiser, the PEO and the Host: i. exclude from this Agreement all terms, warranties, conditions and guarantees implied or imposed by law; ii. exclude all liability for injury to or death of the Registrant; iii. exclude all liability for loss of, or damage to, any property owned or in the possession of the Registrant; and iv. exclude all liability for any indirect, special, economic or consequential loss or damage or loss of revenue, profits, goodwill, bargain or opportunities or loss of anticipated savings incurred or suffered by the Registrant. (c) To the extent permitted by law, the Conference Organiser, the PEO and the Host limit their aggregate combined liability to an amount that does not exceed the fees paid under this Agreement, in respect of any liability under or in relation to this Agreement or for the performance of this Agreement or any activity contemplated by this Agreement or any liability that is not excluded by another clause of this Agreement, whether for breach of contract, tort (including without limitation negligence) or under any statute or otherwise. (d) To the extent permitted by law, the liability of the Conference Organiser, the PEO or the Host in respect of any warranties or guarantees implied or imposed by law is limited (at the option of the Conference Organiser, the PEO or the Host), in the case of goods, to the replacement of the goods or the supply of equivalent goods or the repair of the goods or payment of the cost of replacing the goods or acquiring equivalent goods or having the goods repaired and, in the case of services, to supplying the services again or paying the cost of having the services supplied again. 13. Indemnification (a) The Registrant indemnifies each of the Conference Organiser, the PEO and the Host against all suits, claims, cost, loss, expense, damage and liability which they or any one of them may suffer or incur arising from any loss or damage to property and/or injury to or death of any person whatsoever (including any Delegate, Accompanying Person, member of the public, agent or contractor) however caused by any act, omission or default of the Registrant and/or breach by the Registrant of any obligation or warranty under this Agreement. 14. Privacy Act The Conference Organiser acknowledges and abides by the National Privacy Principles as contained in the Privacy Act 1988 (Cwlth) as amended. The Conference Organiser collects and stores your personal information for the purposes of providing services to delegates, accompanying persons, exhibitors, sponsors, the PEO and the Host in connection with the Event. A delegate list, with details of name and organisation only, will be provided to all participants in the Event. A delegate list, with details of name, organisation and email address, will be provided to the PEO, the Host, exhibitors and sponsors. The Conference Organiser may take photographs or video of individuals for the purposes of promotions, advertising or reporting and you consent to the use of your image for these purposes. If you have any questions about your privacy, please contact the Conference Organiser. 15. Miscellaneous (a) This Agreement is governed by the laws of the State of New South Wales. Registrants submit to the jurisdiction of the courts of the Commonwealth and States of Australia. (b) The Host and the PEO are not parties to this Agreement. The Conference Organiser is not an agent or partner of the Host or the PEO and does not enter into this Agreement on behalf of the Host or the PEO and does not have any authority to act on behalf of, or to bind, the Host or the PEO. (c) The Conference Organiser enters into this Agreement, and organises, market, stages and manages the Conference, as an independent contractor on its own account in its capacity as the Professional Conference Organiser appointed by the Host for this purpose. (d) To the extent that this Agreement is expressed to confer a benefit of the Host or the PEO (such as an exclusion or limitation of liability or transfer of copyright), the Conference Organiser holds this Agreement on trust for the benefit of the Host and the PEO. (e) The Conference Organiser may transfer or assign this Agreement to the Host or a person nominated by the Host. (f) For the purposes of this Agreement, a reference to the Conference Organiser or any other person includes permitted assigns; the singular includes the plural and vice versa; any term of this Agreement which is illegal, invalid or unenforceable will be read down to the extent necessary to make it legal, valid and enforceable or, if it cannot be read down, severed.
