DirectorsforMMIRAbeginninginJuneof2015.Self‐nominationsareacceptedand
encouraged.

BOARDOFDIRECTORS
SECTION1.BOARDOFDIRECTORS
TheBoardofDirectorsoftheAssociationshallbecomprisedofaPresident,a
President‐Elect,aPast‐President,aSecretary,aTreasurerandthree(3)additional
BoardMemberselectedbythemembership.Nopersonshallbeeligibletoholdmore
thanonepositionasanofficerordirectoroftheAssociationatthesametime.
SECTION2.QUALIFICATION,ELECTION,ANDTERMOFOFFICE
ThetermofamemberoftheBoardofDirectorsshallbeforthreeyearsandany
memberoftheBoardofDirectorscanbere‐electedforoneadditionalterminthe
sameoffice,exceptPresident,whomayonlyserveasPresidentonce.Anymember
shallbequalifiedtoserveontheBoardofDirectors.MembersoftheBoardof
DirectorsshallbeelectedpriortotheannualmeetingoftheAssociation.
AnyMembermayserveasOfficerofthisAssociation.Officersshallbeelectedbya
majorityvoteinamannerconsistentwiththatsetforthintheseBylaws;theStudent
BoardMembershallbeelectedbyamajorityvoteofonlyStudentMembersina
mannerconsistentwiththatsetforthintheseBylaws.
ThemembershipshallelectOfficersbyelectronicballotatthedateandtimesetby
theBoardofDirectorspriortotheAnnualBusinessMeetingofeachyear.Thisshall
occuraftervacanciesandnoticesoftheelectiondateandtimehavebeen
communicatedtothemembershipinwritingwithatleast30daysnotice.
Termsofofficeareasfollows:
a)ThePresident‐Electwillserveforthreeyears,servingthefirstyearofthetermas
President‐Elect,thenassumingaone‐yeartermasPresident,andaone‐yearterm
asPastPresident.ElectionofthePresident‐Electwilloccureachyear.Intheinitial
yearoftheorganization,bothaPresidentandPresident‐Electwillbeelected.Any
specificmembercanserveinthecapacityofPresident‐Elect,President,Past‐
Presidentonlyonce;thisstatementtakesprecedenceoveranyotherstatementin
thebylawsregardingtermsofoffice. SECTION3.DUTIESOFELECTEDOFFICIALS
AssociationOfficersshallperformallspecificdutiesrequiredbytheseBylaws,and
conductthebusinessoftheAssociationintheinterimbetweenAnnualBusiness
Meetings,includingauthorizationforthedisbursementoffundsbytheTreasurer,
butshalltakenoactioncontrarytothepreviousactionofthemembership.Ifthe
ExecutiveCommitteedeterminesthatapreviousactionisinurgentneedof
reconsideration,itmayresubmittheissuetothemembershipinaballotbymailor
electronicmeans.
SECTION4.DUTIESOFTHEPRESIDENT,PRESIDENT‐ELECT,ANDPAST‐
PRESIDENT
ThePresident‐Electshallbeelectedforaone‐yearterm,afterwhichthepersonshall
serveoneyearasPresidentandafinalyearasPast‐President.
ItshallbethedutyofthePresident:
a)TosuperviseandcontroltheaffairsofMMIRAandtheactivitiesoftheOfficers
withregardtoMMIRA;
b)ToconvenetheAnnualBusinessMeetingandtopresideorarrangeforother
MembersoftheExecutiveCommitteetopresideattheAnnualBusinessMeeting;
c)TosolicitinputfromMembersofMMIRA,usinganymeansappropriateonissues
ofimportance;
d)Tobeanex‐officiomemberofallcommittees;
e)ToperformalldutiesincidenttotheofficeofPresidentandsuchotherdutiesas
mayberequiredbylaw,bythearticlesofincorporationofMMIRA,orbythese
Bylawswiththeutmostintegrityandethicalcomportment.
ItshallbethedutyofthePresident‐ElecttoserveasvicepresidentofMMIRA,to
presideintheabsenceofthePresident,andtocarryoutsuchotherdutiesasmaybe
delegatedbythePresident.
ItshallbethedutyofthePastPresidenttoserveinanadvisorycapacitytothe
PresidentandPresident‐Elect.
