ANNUAL REPORT 2014 STATEMENT ON CORPORATE GOVERNANCE This Corporate Governance Statement, based on the prescriptions in the Malaysian Code on Corporate Governance 2012 (“MCGG 2012”), seeks to provide vital insights into the corporate governance practices in the Group and is globally accepted as fundamental to a Company’s competitiveness, growth and enhances the shareholders’ value through sustainable business. MCCG 2012 set a strong foundation for boards and committees to carry out their roles effectively, promote timely and balanced disclosure, safeguard the integrity of financial reporting, emphasise the importance of risk management and internal controls and encourage shareholder participation in general meetings. The Board believes that the enhancement and improvement of the Groups’ corporate governance standards in accordance with applicable laws and regulations is an on-going exercise. The Board is pleased to share the manner in which the Principles of MCCG 2012 have been applied within the Group in respect of the financial year ended 31 December 2014 and the extent to which the Company has complied with the Recommendations of MCCG 2012 during the financial year ended 31 December 2014. 1. ESTABLISHING CLEAR ROLES AND RESPONSIBILITIES Duties and Responsibilities of the Board The Board Charter clearly sets out the role, functions, composition, operation and processes of the Board. All Board members are aware of their duties and responsibilities. The Board Charter acts as a source of reference and primary induction literature for prospective Board members and Management. It is also intended to assist the Board in assessing its collective performance and that of each individual Director. The Board Charter will be reviewed periodically to ensure that any updates on relevant laws and regulations are duly incorporated. For the financial year ended 31 December 2014, the Board has reviewed the Board Charter on 22 April 2014. The Board assumes the following duties and responsibilities:• reviewing and adopting a strategic plan for the Group that may include performance objectives, operating budgets and processes to ensure that the Group operates in a way that promotes sustainability; • overseeing the conduct of the Company’s business and build sustainable value for shareholders; • reviewing the procedures of identifying principal risks and ensuring the implementation of appropriate internal controls and risk mitigation measures; • spearheading succession planning, which includes appointing, assessing, training, fixing the compensation of and where appropriate, replacing the Executive Directors and Senior Management; • developing and implementing a Corporate Disclosure Policy including an Investor Relations Programme or Shareholder Communications Policy for the Group; and • reviewing the adequacy and integrity of the Group’s internal control systems and management information systems including systems for compliance with applicable laws, regulations, rules, directives and guidelines. The respective roles and responsibilities of the Board and management have been clearly defined. The following matters (including changes to any such matters) require approval from the Board, except where they are expressly delegated by the Board to a Committee, the Chairman, Group Managing Director (“GMD”) or another nominated member of the Management team:• • • • approval of corporate/ strategic directions/ plans and programmes; approval of annual budgets, including major capital commitments and capital expenditure budgets; approval of new ventures; approval of material acquisitions, and disposals of undertakings and properties or any significant Group expenditure which exceeds the authority limits delegated to the GMD or the Group Chief Financial Officer (“GCFO”) or members of Management. 83 NCB HOLDINGS BHD STATEMENT ON CORPORATE GOVERNANCE • changes to the management and control structure within the Company and its subsidiaries, including key policies and delegated authority limits; • appointment of all other Board members, Board Committee members, GMD and the Company Secretary; • any matters in excess of any discretions that it may have delegated from time to time to the GMD and Management; and • any matters and/or transactions that fall within the ambit of the Board pursuant to the Companies Act, 1965, the Main Market Listing Requirements of Bursa Malaysia (“MMLR”), Group’s Articles of Association (“Articles”), Terms of Reference of the respective Board Committees or any other applicable rule. Promoting Sustainability The Board has taken steps to ensure that the Group’s strategies continue to promote sustainability, with attention given to environmental, social and governance (“ESG”) aspects of the Group’s business. The Group’s commitment to Corporate Social Responsibility (“CSR”) is reflected in its values and belief that as a part of the community we share the same environment of work place, the same concern towards social integration and well-being and in generally bringing good to market place. Board Meetings and Access to Information The Board meets at least six times a year, with additional meetings convened on an ad-hoc basis as and when the Board’s approval and guidance are required. Upon consultation with the Chairman and the GMD, due notice shall be given on the proposed dates of meetings during the financial year and standard agenda and matters to be tabled to the Board. All Board Papers for consideration and discussion will be circulated to members of the Board at least three (3) days prior to each meeting. This is to ensure that the Directors have sufficient time to study them and prepare for meaningful deliberations. At the request of the Board, the Management is obliged to supply all relevant information relating to the business and operations of the Group and governance matters in a timely manner to enable the Board to discharge its duties effectively. The Board papers include, among others, the following documents or information:• reports of meetings of all committees of the Board including matters requiring the full Board’s deliberation and approval; • performance reports of the Group, which include information on financial, strategic business issues and updates; • major operational, financial, legal, regulatory and corporate issues; • reports on risk management; and • board papers for other matters for discussion/approval. 85 NCB HOLDINGS BHD STATEMENT ON CORPORATE GOVERNANCE Management are also invited to join Board meetings to provide explanation or engage in dialogue with Board members as may be required. All deliberations, discussions and decisions of the Board meetings were minuted and recorded accordingly. The Directors also have full and unrestricted access to the advice and services of the Head of Group Internal Audit and Company Secretary in addition to other members of Management. Each of the individual Directors is constantly advised and updated on statutory and regulatory requirements pertaining to their duties and responsibilities. Members of the Board may collectively or individually consult advisers and, where necessary, seek external and independent professional advice and assistance from experts in furtherance of their duties at the Group’s expense. In relation to information from the Group’s subsidiary companies, the Board at Group level has put in place a reporting framework whereby information on the operating subsidiaries is reported to the Board at Group level via the Group Managing Director as well as the Chairman of the respective subsidiary Boards. The nominee Directors on the Board of the Group’s subsidiaries have the responsibility of ensuring that the policies and directions decided by the Board from Group level are implemented by their respective organisation accordingly. Company Secretary The Board is supported by the Company Secretary who facilitates overall compliance with the Main Market Listing Requirement of Bursa Malaysia Securities Berhad (“MMLR”), Companies Act 1965 and other relevant laws and regulations. The Company Secretary of the Group is a professional member of the Malaysian Institute of Accountants and he carries out, among others, the following tasks:• statutory duties as specified under the Companies Act 1965 and MMLR; • attending Board and Board Committee meetings and ensuring that the Board meetings are properly convened and proceedings are properly recorded; • ensuring timely communication of Board level decisions to Management; • ensuring that all appointments to the Board and Committees are properly made; • maintaining records for the purposes of meeting statutory obligations; • facilitating the provision of information as may be requested by the Directors from time to time; and • supporting the Board in ensuring adherence to Board policies and procedures. 2. BOARD STRENGTH AND EFFECTIVENESS Appointments to the Board The Nomination Committee (“NC”) makes independent recommendations for appointments to the Board, based on criteria which they develop, maintain and review. In making these recommendations, the NC assesses the suitability of candidates, taking into account the required mix of skills, knowledge, expertise and experience, professionalism, integrity, competencies, time commitment and other qualities of the candidates, before recommending their appointment to the Board for approval. Re-election of Directors The Company’s Articles of Association provides that at least one third of the Directors including the Group Managing Director shall retire from office at the Annual General Meeting. Any Director appointed during the year to fill a casual vacancy will retire at the next Annual General Meeting and may offer themselves for re-election. The Board has empowered the Nomination Committee to undertake the review of Directors who are seeking reelection. In addition, the Committee also reviews the re-appointment of Directors who retire in accordance with Section 129 of the Companies Act, 1965. 86 ANNUAL REPORT 2014 STATEMENT ON CORPORATE GOVERNANCE Details of Directors who are seeking re-election and re-appointment at the upcoming Annual General Meeting are shown in the notice of the Annual General Meeting on page 4 to 9 in this Annual Report. Diversity Policy The Board recognises that diversity in its composition is critical in ensuring its effectiveness and good corporate governance. A truly diverse board will include and make use of the variation in the skills, experience, background, race, gender and nationality of its members. Although the Board has not established any diversity policy, three (3) or 37.5% of the full Board at Group level are women. In order to further demonstrate the Group’s commitment in promoting diversity, key management at the Group level, the Board at subsidiary level as well as its key management have women among its members. All persons, regardless of age, gender, ethnicity, cultural background or other personal factors, with appropriate experience and qualifications will be considered equally during recruitment, promotion, remuneration and training. The Company is also committed to workplace diversity ensuring that we value and respect our differences and that our workplace is fair, accessible, flexible and inclusive and free from discrimination. Board Effectiveness Assessment The NC facilitates and organises the yearly Board Effectiveness Assessment to assess and evaluate the Board of Directors, Board Committees and individual Directors. The objective of the exercise is to improve the Board’s effectiveness, identify gaps, maximise strengths and address weaknesses of the Board. During the year, the Board Committees were, inter alia, assessed based on their roles and scope, frequency and length of meetings, supply of sufficient and timely information to the Board and also their overall effectiveness and efficiency in discharging their function. During the year the Board of Directors, in accordance with Para 15.20 of the MMLR also reviewed the term of office and performance of the Audit Committee (“AC”) and each of the members and was satisfied that the Audit Committee and members have carried out their duties in accordance with their terms of reference. All reviews are then reported to the Board for its decision. Remuneration of Directors and Senior Management The objectives of the Group’s policy on Directors and Senior Management’s remuneration are to ensure that formal and transparent remuneration policies and procedures have been put in place to attract and retain Directors and Senior Management of caliber needed to run the Group successfully. The component parts of remuneration for the Executive Directors and Senior Management are structured so as to link rewards to corporate and individual performance while in the case of Non-Executive Directors, the level of remuneration reflects the experience, expertise and level of responsibilities undertaken by the particular Non-Executive Director concerned. Remuneration Procedures The Remuneration Committee is responsible for evaluating, deliberating and recommending the compensation and benefits of Directors and is guided by market norms and industry practices. The Remuneration Committee can make recommended remuneration for Directors and Senior Management but it is nevertheless the ultimate responsibility of the Board to approve the remuneration of the Directors and Senior Management. Although the salary of the Executive Director is subject to annual review, all other benefits-in-kind including company car and driver, personal telecommunications facilities, club memberships, medical and dental coverage have already been specified in the contract of service. In relation to recommended remuneration for Directors, it will be presented at the Annual General Meeting (“AGM”) for shareholders’ approval. All Non-Executive Directors will receive an annual Director’s fee upon shareholders’ approval at the AGM. Apart from their annual remuneration, Directors are also paid an attendance allowance to defray their travel expenses and related cost for attending Board or Committee Meetings. BOARD BALANCE AND INDEPENDENCE The Board at Group level is the ultimate decision making body and supported by the respective Boards of Directors of the Group’s subsidiary companies. There are 10 members of the Board, comprising an Executive Director (who is also the Group Managing Director) and 9 Non-Executive Directors (including the Chairman). Four of the Non-Executive Directors are independent and hence fulfil the prescribed requirements for one-third of the membership of the Board to be Independent Board Members. The Board comprises members of high calibre and integrity from diverse professional backgrounds, skills, extensive experience and knowledge required for the successful direction of the Group. With its diversity of skills, the Board has been able to provide clear and effective collective leadership to the Group and has brought informed and independent judgement to the Group’s strategy and performance to ensure that the highest standards of conduct and integrity are always at the core of the Group. None of the Non-Executive Directors participate in the day-to-day management of the Group. The presence of the Independent Non-Executive Directors is essential in providing unbiased and impartial opinion, advice and judgment to Board deliberations to ensure that the interests, not only of the Group, but also of its shareholders, employees, customers, suppliers and other communities in which the Group conducts its business are well represented and taken into account. The Independent Non-Executive Directors thus play a key role in corporate accountability. As recommended by MCCG 2012, the tenure of Directorship should also form part of the assessment criteria for independence of a Director. The relevant process and procedures have been provided for in the terms of reference of the NC. In the event that shareholders’ approval is sought to enable an independent director to retain his designation as an independent director after having served a tenure of nine years, the NC is tasked to assess and assist the Board in recommending and providing justification for shareholders’ consideration and approval in such instances. A brief description of the background of each Director is contained in the “Board of Directors Profiles” section as set out on pages 72 to 81 of this Annual Report. Division of Roles and Responsibilities between the Chairman and the Group Managing Director The Board has always upheld the stand that the positions of Chairman and Group Managing Director do not reside with the same person. This division ensures that there is a clear and proper balance of power and authority. Hence, the roles and duties of the Chairman and Group Managing Director are made clear in the Board Charter. The Chairman’s main responsibility is to ensure effective conduct of the Board and that all Directors, both Executive and Non- Executive, have unrestricted and timely access to all relevant information necessary for informed decisionmaking. The Chairman encourages participation and deliberation by all Board members to enable the wisdom of all the Board members to be tapped and to promote consensus building as much as possible. 91 NCB HOLDINGS BHD STATEMENT ON CORPORATE GOVERNANCE The Group Managing Director has overall responsibilities over the Group’s operational and business units, organisational effectiveness and implementation of Board policies, directives, strategies and decisions. As the Group is expanding and its business growing, the division of authority is constantly reviewed to maintain the best levels of management efficiency and performance. The Board is guided by the Board Charter and the Board Charter is reviewed on an annual basis to ensure its continuous applicability. 4. COMMITMENT OF THE BOARD All Board members shall notify the Chairman of the Board before accepting any new directorships in any other organisation. The notification shall include an indication of time commitment required under the new appointment as recommended by MCCG 2012. Training and Development of Directors The Nomination Committee and the Board assess the training needs of each of its Directors on an on-going basis, by determining areas that would best strengthen their contributions to the Board. Orientation that include visits to the Group’s business operations and meetings with key management, where appropriate, are organised for newlyappointed Directors to facilitate their understanding of the Group’s operations and businesses. All of the Directors have undergone training during the financial year ended 31 December 2014 in various training programmes which they have collectively or individually considered as useful for them to discharge their responsibilities. The Company Secretary keeps track of the training record attended by the Directors. Details of the conferences/ workshops/ seminars in which members of the Board have participated during the year 2014 are listed in Annexure 1 of this Statement. As at the date of this Report, all Directors have attended and completed the Mandatory Accreditation Programme (“MAP”) prescribed by Bursa Malaysia. 5. BOARD INTEGRITY IN FINANCIAL REPORTING, RISK MANAGEMENT AND INTERNAL CONTROL Accountability and Audit Financial Reporting In presenting the annual financial statements and quarterly announcement of results to shareholders, the Directors will endeavour to present a clear, balanced and comprehensive assessment of the Group’s financial position, performance and prospects. This also applies to other price-sensitive public reports and reports to regulators. The Audit Committee, under its terms of reference, is tasked to assist the Board in making sure that the Financial Statements are prepared in accordance with the approved and applicable Malaysian Financial Reporting Standards and are in accordance with the provision of the Companies Act, 1965. The assessment is provided in page 153 of this Annual Report through the Statement of Directors’ Responsibility in relation to the Audited Financial Statements. Related Party Transaction (“RPT”) The Group has put in place review and approval processes and procedures for RPT to ensure that the transaction prices, terms and conditions of the agreement and the quality of the products/services are comparable with those prevailing in the market. The quality of the products/services must meet industry standards. The transaction should be entered into on normal commercial terms, and on terms that are consistent with the Group’s usual business practices and policies. This will ultimately ensure that the terms of the transactions are not favourable to the related party and are not detrimental to the minority shareholders of the Group. 92 ANNUAL REPORT 2014 STATEMENT ON CORPORATE GOVERNANCE Disclosure on the recurrent RPTs (“RRPTs”) for which the Mandate has been obtained together with the breakdown of the aggregate value of the RRPTs which had been conducted during the financial year ended 31 December 2014 is provided on pages 145 to 148 of this Annual Report. Risk Management and Internal Control The Group’s Statement on Risk Management and Internal Control is set out on pages 115 to 120 of this Annual Report. Relationship with Auditors The statement on roles, duties and responsibilities of the Audit Committee in relation to both the internal and external auditors is described in the Audit Committee Report as set out on pages 135 to 139 of this Annual Report. For the financial year ended 31 December 2014, the Audit Committee has found that the Group’s external auditors, Messrs Ernst & Young, to be technically competent, objective and independent. In addition, the Audit Committee has also reviewed the provision of non-audit services by Messrs Ernst & Young and was satisfied with the services rendered. 6. TIMELY AND HIGH QUALITY DISCLOSURE The Board is committed to disclose information in an accurate and timely manner as required under the Listing Requirements. As recommended by MCCG 2012, the Group will seek to leverage on the latest and most innovative information technology available to promote more efficient and effective ways to communicate with both its shareholders and stakeholders. A dedicated Investor Relations section has been made available in the Group corporate website at www.ncb.com.my. In this section, shareholders and stakeholders can view the latest news about the Group and its subsidiaries, up-todate financial information, corporate governance framework and stock information. The Group’s website is updated regularly to provide current and comprehensive information about the Group. 7. RELATIONSHIP WITH SHAREHOLDERS Shareholders and Investor Relations The Board believes that the Group should at all times be transparent and accountable to its shareholders and investors and the Board is proactive in evaluating the effectiveness of information dissemination to the Group’s shareholders and the wider investing community. The Board has taken reasonable steps to encourage shareholder participation at general meetings. Shareholders are encouraged to participate in the Question and Answer session on the resolutions being proposed or on the Group’s operations in general. Shareholders who are unable to attend are allowed to appoint proxies in accordance with the Group’s Articles to attend and vote on their behalf. The Chairman and Board members are in attendance to provide clarification on shareholders’ queries. Shareholders are welcome to raise queries by contacting the Group at any time throughout the year and not only at the AGM. The notice of AGM is dispatched to shareholders at least 21 days before the AGM and the Company also advertises the notice of AGM in two leading Malaysian dailies. All resolutions put forth for shareholders’ approval at the AGM will be voted by a show of hands unless poll voting is demanded by shareholders. Pengurusan juga dijemput untuk menyertai mesyuarat Lembaga untuk memberi penjelasan atau melibatkan diri dalam dialog dengan ahli Lembaga Pengarah sebagaimana yang dikehendaki. Semua perbincangan, perbincangan dan keputusan mesyuarat Lembaga Pengarah telah dicatat dan direkodkan dengan sewajarnya. Para Pengarah juga mempunyai akses penuh dan tidak terbatas kepada nasihat dan perkhidmatan daripada Ketua Audit Dalaman Kumpulan dan Setiausaha Syarikat di samping ahli-ahli Pengurusan. Setiap satu daripada setiap Pengarah sentiasa dimaklumkan dan dikemaskini pada keperluan berkanun dan peraturan yang berkaitan dengan tugas dan tanggungjawab mereka. Ahli-ahli Lembaga Pengarah secara kolektif atau secara individu boleh berunding penasihat dan, jika perlu, mendapatkan nasihat profesional luar dan bebas dan bantuan dari pakar-pakar dalam menjalankan tugas mereka di bawah pembiayaan Kumpulan. Berhubung dengan maklumat daripada syarikat-syarikat subsidiari Kumpulan, Lembaga Pengarah di peringkat Kumpulan telah menyediakan rangka kerja pelaporan mana maklumat mengenai anak-anak syarikat operasi dilaporkan kepada Lembaga Pengarah di peringkat Kumpulan melalui Pengarah Urusan Kumpulan dan juga Pengerusi bagi Lembaga syarikat subsidiari masing-masing. Para Pengarah penama Lembaga Pengarah anak-anak syarikat Kumpulan mempunyai tanggungjawab untuk memastikan bahawa dasar-dasar dan arahan yang diputuskan oleh Lembaga dari peringkat Kumpulan dilaksanakan oleh organisasi masing-masing dengan sewajarnya. Setiausaha Syarikat Lembaga Pengarah disokong oleh Setiausaha Syarikat yang memudahkan pematuhan keseluruhan dengan Keperluan Penyenaraian Pasaran Utama Bursa Malaysia Securities Berhad (“MMLR”), Akta Syarikat 1965 dan lain-lain undangundang dan peraturan yang berkaitan. Setiausaha Syarikat Kumpulan adalah ahli profesional Institut Akauntan Malaysia dan dia menjalankan, antara lain, tugas-tugas berikut:• • • • • • • tugas berkanun khusus tertakluk di bawah Akta Syarikat 1965 dan MMLR; menghadiri mesyuarat Lembaga Pengarah dan Jawatankuasa Lembaga dan memastikan bahawa Mesyuarat Lembaga Pengarah diadakan dengan sempurna dan prosiding direkodkan dengan sempurna; memastikan komunikasi yang tepat pada masanya keputusan peringkat Lembaga Pengarah kepada Pengurusan; memastikan bahawa semua pelantikan ke dalam Lembaga dan Jawatankuasa dilakukan dengan sewajarnya; mengekalkan rekod untuk memenuhi kewajipan berkanun; memudahkan penyediaan maklumat sebagaimana yang diminta oleh para Pengarah dari semasa ke semasa; dan menyokong Lembaga Pengarah dalam memastikan pematuhan kepada dasar dan prosedur Lembaga Pengarah. 2. KEKUATAN LEMBAGA DAN KEBERKESANAN Pelantikan ke Lembaga Pengarah Jawatankuasa Pencalonan (“JP”) membuat cadangan bebas untuk pelantikan ke Lembaga Pengarah, berdasarkan kriteria yang mereka membangun, menyelenggara dan kajian. Dalam membuat cadangan ini, JN menilai kesesuaian calon, dengan mengambil kira keperluan kepelbagaian kemahiran, pengetahuan, kepakaran dan pengalaman, profesionalisme, integriti, kecekapan, komitmen masa dan lain-lain kualiti calon, sebelum mengesyorkan pelantikan mereka kepada Lembaga Pengarah untuk kelulusan. 102 ANNUAL REPORT 2014 PENYATA TADBIR URUS KORPORAT Pemilihan semula Pengarah Tataurusan Pertubuhan Syarikat memperuntukkan bahawa sekurang-kurangnya satu pertiga daripada Pengarah termasuk Pengarah Urusan Kumpulan akan bersara daripada jawatan pada Mesyuarat Agung Tahunan. Mana-mana Pengarah yang dilantik pada tahun ini untuk mengisi kekosongan biasa akan bersara pada Mesyuarat Agung Tahunan yang akan datang dan boleh menawarkan diri untuk pemilihan semula. Lembaga memberi kuasa kepada Jawatankuasa Pencalonan untuk menjalankan kajian semula Para Pengarah yang bersedia dilantik semula. Di samping itu, Jawatankuasa juga mengkaji pelantikan semula Pengarah yang bersara menurut Seksyen 129 Akta Syarikat, 1965. Butir-butir Pengarah yang bersedia untuk pemilihan semula dan pelantikan semula pada Mesyuarat Agung Tahunan yang akan datang adalah seperti yang ditunjukkan dalam notis Mesyuarat Agung Tahunan pada halaman 10 hingga 13 ke dalam Laporan Tahunan ini. Dasar Kepelbagaian Lembaga Pengarah mengakui bahawa kepelbagaian dalam keadaan yang amat kritikal dalam memastikan keberkesanan dan tadbir urus korporat yang baik. Suatu lembaga yang benar-benar akan termasuk pelbagai dan menggunakan variasi dalam kemahiran, pengalaman, latar belakang, bangsa, jantina dan kewarganegaraan ahli-ahlinya. Walaupun Lembaga Pengarah telah ditubuhkan tidak apa-apa dasar kepelbagaian, tiga (3) atau 37.5% daripada Lembaga Pengarah di peringkat Kumpulan adalah wanita. Dalam usaha untuk menunjukkan komitmen Kumpulan dalam mempromosikan kepelbagaian, pengurusan utama di peringkat Kumpulan, Lembaga Pengarah di peringkat syarikat dan juga pengurusan utama mempunyai wanita di kalangan ahli-ahlinya. Semua orang, tidak kira umur, jantina, etnik, latar belakang budaya atau faktor-faktor peribadi yang lain, yang mempunyai pengalaman dan kelayakan yang sesuai akan dianggap sama-sama dalam pengambilan pekerja, kenaikan pangkat, gaji dan latihan. Syarikat juga komited untuk memastikan kepelbagaian kaum di tempat yang kita menghargai dan menghormati perbezaan kita dan tempat kerja kami adalah adil, mudah, fleksibel dan menyeluruh dan bebas daripada diskriminasi. Penilaian Keberkesanan Lembaga JP memudahkan dan menganjurkan tahunan Penilaian Keberkesanan Lembaga Pengarah untuk menilai Lembaga Pengarah, Jawatankuasa Lembaga dan setiap Pengarah. Objektif latihan ini adalah untuk meningkatkan keberkesanan Lembaga Pengarah, mengenal pasti jurang, memaksimumkan kekuatan dan menangani kelemahan pihak Lembaga. Pada tahun ini, Jawatankuasa Lembaga Pengarah adalah, antara lain, dinilai berdasarkan kepada peranan dan skop, kekerapan dan tempoh mesyuarat, bekalan maklumat yang mencukupi dan tepat pada masanya kepada Lembaga Pengarah dan juga keberkesanan keseluruhan mereka dalam melaksanakan fungsi mereka. Pada tahun ini, Lembaga Pengarah, selaras dengan Perenggan 15.20 MMLR juga mengkaji tempoh lantikan dan prestasi Jawatankuasa Audit (“JA”) dan setiap anggota dan berpuas hati bahawa Jawatankuasa Audit dan ahli-ahlinya melaksanakan tugas selaras dengan terma rujukan mereka. Semua ulasan akan kemudian dilaporkan kepada Lembaga Pengarah untuk keputusannya. Ganjaran Pengarah dan Pengurusan Kanan Objektif dasar Kumpulan mengenai imbuhan Pengarah dan Pengurusan Kanan adalah untuk memastikan dasar dan prosedur ganjaran formal dan telus telah dilaksanakan untuk menarik dan mengekalkan Pengarah dan Pengurusan Kanan yang berkaliber untuk menguruskan Kumpulan dengan jayanya. Bahagian-bahagian komponen ganjaran untuk para Pengarah Eksekutif dan Pengurusan Kanan yang distruktur bagi mengaitkan ganjaran kepada prestasi korporat dan individu manakala dalam kes Pengarah Bukan Eksekutif, tahap imbuhan berdasarkan pengalaman, kepakaran dan tahap tanggungjawab yang dipikul oleh Pengarah Bukan Eksekutif yang berkenaan. Prosedur Imbuhan Jawatankuasa Ganjaran bertanggungjawab untuk menilai, mempertimbangkan dan mencadangkan pampasan dan faedah Pengarah dan dipandu oleh norma pasaran dan amalan industri. Jawatankuasa Ganjaran boleh membuat imbuhan yang disyorkan bagi Pengarah dan Pengurusan Kanan namun keputusan muktamad terletak pada Lembaga Pengarah untuk meluluskan ganjaran para Pengarah dan Pengurusan Kanan. Walaupun gaji Pengarah Eksekutif adalah tertakluk kepada semakan tahunan, semua manfaat barangan lain termasuk kereta syarikat dengan pemandu, kemudahan telekomunikasi peribadi, keahlian kelab, perlindungan perubatan dan pergigian telah dikhususkan sepertimana dalam kontrak perkhidmatan. Berhubung dengan imbuhan untuk Pengarah disyorkan, ia akan dibentangkan pada Mesyuarat Agung Tahunan (“AGM”) untuk kelulusan pemegang saham. Semua Pengarah bukan eksekutif akan menerima bayaran Pengarah tahunan ini selepas mendapat kelulusan pemegang saham pada Mesyuarat Agung Tahunan. Selain daripada ganjaran tahunan mereka, Pengarah turut dibayar elaun kehadiran untuk membiayai perbelanjaan perjalanan mereka dan kos yang berkaitan untuk menghadiri Lembaga atau Jawatankuasa Mesyuarat. IMBANGAN LEMBAGA DAN KEBEBASAN Lembaga Pengarah di peringkat Kumpulan adalah badan yang membuat keputusan muktamad dan disokong oleh Lembaga masing-masing Pengarah syarikat-syarikat subsidiari Kumpulan. Terdapat 10 orang anggota Lembaga, yang terdiri daripada Pengarah Eksekutif (yang juga Pengarah Urusan Kumpulan) dan 9 Pengarah Bukan Eksekutif (termasuk Pengerusi). Empat daripada Pengarah Bukan Eksekutif adalah bebas dan dengan itu memenuhi keperluan yang ditetapkan bagi satu pertiga daripada keahlian Lembaga sebagai Ahli Lembaga Pengarah Bebas. Lembaga Pengarah terdiri daripada ahli-ahli yang berkaliber tinggi dan berintegriti dari pelbagai latar belakang profesional, kemahiran, pengalaman yang luas dan pengetahuan yang diperlukan bagi kejayaan hala tuju Kumpulan. Dengan kepelbagaian kemahiran, Lembaga Pengarah telah dapat menyediakan kepimpinan kolektif yang jelas dan berkesan kepada Kumpulan dan telah membawa pendapat yang bebas dan kepada strategi dan prestasi Kumpulan untuk memastikan bahawa piawaian tertinggi terhadap tingkah laku dan integriti sentiasa menjadi teras Kumpulan. Tiada Pengarah Bukan Eksekutif mengambil bahagian dalam pengurusan seharian Kumpulan. Kehadiran para Pengarah Bebas Bukan Eksekutif adalah penting dalam memberikan pendapat harian, nasihat dan pertimbangan yang tidak berat sebelah dan berkecuali kepada Lembaga Pengarah bagi perbincangan untuk memastikan kepentingan, bukan sahaja Kumpulan, tetapi juga pemegang saham, kakitangan, pelanggan, pembekal dan komuniti lain di mana Kumpulan menjalankan perniagaannya turut diambil kira. Para Pengarah Bebas Bukan Eksekutif dengan itu memainkan peranan penting dalam akauntabiliti korporat. Seperti yang disyorkan oleh MCCG 2012, tempoh Pengarah juga harus menjadi sebahagian daripada kriteria penilaian untuk kebebasan Pengarah. Proses dan prosedur yang berkaitan telah diperuntukkan dalam terma rujukan JN. Sekiranya kelulusan pemegang saham ini diperlukan bagi membolehkan seorang pengarah bebas untuk mengekalkan jawatannya sebagai pengarah bebas selepas berkhidmat tempoh sembilan tahun, JN diberi tugas untuk menilai dan membantu Lembaga Pengarah dalam mencadang dan menyediakan justifikasi untuk pemegang saham pertimbangan dan kelulusan dalam keadaan sedemikian. Keterangan ringkas mengenai latar belakang setiap Pengarah adalah terkandung di dalam “Profil Lembaga Pengarah” sepertimana terdapat di halaman 72 hingga 81 ke dalam Laporan Tahunan ini. Bahagian Peranan dan Tanggungjawab antara Pengerusi dan Pengarah Urusan Kumpulan Lembaga sentiasa mengekalkan pendirian bahawa jawatan Pengerusi dan Pengarah Urusan Kumpulan tidak diterajui oleh individu yang sama. Bahagian ini memastikan bahawa terdapat keseimbangan yang jelas dan betul kuasa dan autoriti. Oleh itu, peranan dan tugas Pengerusi dan Pengarah Urusan Kumpulan adalah jelas dalam Piagam Lembaga. Tanggungjawab utama Pengerusi adalah untuk memastikan pengendalian berkesan Lembaga dan semua Pengarah, kedua-dua Eksekutif dan Bukan Eksekutif, mempunyai akses yang tidak terhad dan tepat pada masanya kepada semua maklumat berkaitan yang diperlukan untuk membuat keputusan yang bermaklumat. Pengerusi menggalakkan penyertaan dan perbincangan oleh semua ahli Lembaga Pengarah bagi membolehkan kebijaksanaan semua ahli Lembaga Pengarah yang boleh diteroka dan untuk menggalakkan pembinaan konsensus sebanyak mungkin. 107 NCB HOLDINGS BHD PENYATA TADBIR URUS KORPORAT Pengarah Urusan Kumpulan mempunyai tanggungjawab menyeluruh terhadap unit operasi dan perniagaan Kumpulan, keberkesanan organisasi dan pelaksanaan dasar Lembaga, arahan, strategi dan keputusan. Oleh kerana Kumpulan sedang berkembang dan perniagaan yang semakin berkembang, pembahagian kuasa sentiasa dikaji semula untuk mengekalkan tahap terbaik prestasi dan kecekapan pengurusan. Lembaga dipandu oleh Piagam Lembaga dan Piagam Lembaga Pengarah dikaji setiap tahun untuk memastikan kesesuaian yang berterusan. 4. KOMITMEN LEMBAGA Semua ahli Lembaga hendaklah memaklumkan kepada Pengerusi Lembaga sebelum menerima apa-apa jawatan pengarah baru dalam mana-mana organisasi lain. Notis pemberitahuan termasuklah aras komitmen masa yang dikehendaki bagi pelantikan baru seperti yang dicadangkan oleh MCCG 2012. Latihan dan Pembangunan Pengarah Jawatankuasa Pencalonan dan Lembaga menilai keperluan latihan setiap Pengarahnya secara berterusan, dengan menentukan kawasan-kawasan yang terbaik akan mengukuhkan sumbangan mereka kepada Lembaga Pengarah. Haluan yang termasuk lawatan ke operasi perniagaan dan mesyuarat dengan pengurusan utama, di mana sesuai Kumpulan, dianjurkan untuk Pengarah yang baru dilantik untuk memudahkan pemahaman mereka mengenai operasi dan perniagaan Kumpulan. Semua Pengarah telah menjalani latihan sepanjang tahun kewangan berakhir 31 Disember 2014 di pelbagai program latihan yang mereka telah secara kolektif atau secara individu dianggap sebagai berguna bagi mereka untuk melaksanakan tanggungjawab mereka. Setiausaha Syarikat menjejaki rekod latihan yang dihadiri oleh para Pengarah. Pada tarikh Laporan ini, semua Pengarah telah menghadiri dan menamatkan Program Akreditasi Mandatori (“MAP”) yang ditetapkan oleh Bursa Malaysia. 5. INTEGRITI LEMBAGA DALAM LAPORAN KEWANGAN, PENGURUSAN RISIKO DAN KAWALAN DALAMAN Kebertanggungjawaban dan Audit Laporan Kewangan Dalam membentangkan penyata kewangan tahunan dan pengumuman keputusan suku tahunan kepada pemegang saham, para Pengarah akan berusaha untuk memberikan gambaran yang jelas, seimbang dan komprehensif kedudukan kewangan, prestasi dan prospek Kumpulan. Ini juga digunakan bagi laporan awam yang sensitif dan laporan kepada pengawal selia. Jawatankuasa Audit, di bawah bidang tugasnya, ditugaskan untuk membantu Lembaga Pengarah dalam memastikan bahawa Penyata kewangan disediakan selaras dengan Piawaian Pelaporan Kewangan Malaysia yang diluluskan dan terpakai dan adalah selaras dengan peruntukan Akta Syarikat, 1965. Penilaian yang disediakan di halaman 153 dalam Laporan Tahunan ini melalui Penyata Tanggungjawab Pengarah berhubung dengan Penyata Kewangan yang telah diaudit. Urusniaga Pihak Berkaitan (“RPT”) Kumpulan telah dimasukkan ke dalam tempat kajian dan proses kelulusan dan prosedur untuk RPT untuk memastikan bahawa transaksi harga, terma dan syarat-syarat perjanjian dan kualiti produk / perkhidmatan boleh dibandingkan dengan yang lazim di pasaran. Kualiti produk / perkhidmatan perlu memenuhi piawaian industri. Urusniaga ini perlu dimasukkan ke dalam terma komersial biasa, dan atas terma yang konsisten dengan amalan perniagaan biasa Kumpulan dan polisi. Ini akhirnya akan memastikan bahawa syarat-syarat urus niaga tidak memihak kepada pihak berkaitan dan tidak menjejaskan para pemegang saham minoriti bagi Kumpulan. 108 ANNUAL REPORT 2014 PENYATA TADBIR URUS KORPORAT Pendedahan mengenai RPT berulang (“RRPT”) yang mana Mandat telah diperolehi bersama-sama dengan pecahan nilai agregat RRPT yang telah dilaksanakan sepanjang tahun kewangan berakhir 31 Disember 2014 disediakan di halaman 149 hingga 152 Laporan Tahunan ini. Pengurusan Risiko dan Kawalan Dalaman Penyata Kumpulan Pengurusan Risiko dan Kawalan Dalaman dibentangkan di muka surat 121 hingga 126 ke dalam Laporan Tahunan ini. Hubungan dengan Juruaudit Kenyataan pada peranan, tugas dan tanggungjawab Jawatankuasa Audit berhubung dengan juruaudit dalaman dan luar dinyatakan dalam Laporan Jawatankuasa Audit seperti yang dibentangkan pada muka surat 140 hingga 144 ke dalam Laporan Tahunan ini. Bagi tahun kewangan berakhir 31 Disember 2014, Jawatankuasa Audit telah mendapati bahawa juruaudit luar Kumpulan, Tetuan Ernst & Young, kompeten dari segi teknikal, objektif dan bebas. Di samping itu, Jawatankuasa Audit juga telah mengkaji semula peruntukan perkhidmatan bukan audit oleh Tetuan Ernst & Young dan berpuas hati dengan perkhidmatan yang diberikan. 6. MENEPATI MASA DAN PENDEDAHAN KUALITI TINGGI Lembaga Pengarah komited untuk mendedahkan maklumat dengan cara yang tepat dan tepat pada masanya seperti yang diperlukan di bawah Keperluan Penyenaraian. Seperti yang disyorkan oleh MCCG 2012, Kumpulan akan berusaha untuk memanfaatkan terbaru dan paling inovatif teknologi maklumat yang ada untuk menggalakkan cara yang lebih berkesan untuk berkomunikasi dengan kedua-dua pemegang saham dan pihak-pihak berkepentingan. Seksyen dedikasi bagi Perhubungan Pelabur telah disediakan dalam laman web korporat Kumpulan di www.ncb. com.my. Menerusi seksyen ini, pemegang saham dan pemegang kepentingan boleh melihat berita terkini mengenai Kumpulan dan anak-anak syarikatnya, maklumat terkini kewangan, rangka kerja tadbir urus korporat dan maklumat saham. Laman web Kumpulan dikemaskini secara tetap untuk menyediakan maklumat terkini dan komprehensif mengenai Kumpulan. 7. HUBUNGAN DENGAN PARA PEMEGANG SAHAM Hubungan Pemegang Saham dan Pelabur Lembaga Pengarah percaya bahawa Kumpulan perlu pada setiap masa menjadi telus dan bertanggungjawab kepada para pemegang saham dan pelabur dan Lembaga adalah proaktif dalam menilai keberkesanan penyebaran maklumat kepada para pemegang saham Kumpulan dan masyarakat pelabur yang lebih luas. Lembaga Pengarah telah mengambil langkah-langkah yang munasabah untuk menggalakkan penyertaan pemegang saham di mesyuarat agung. Pemegang saham digalakkan untuk mengambil bahagian dalam sesi soal jawab mengenai resolusi yang dicadangkan atau mengenai operasi Kumpulan secara umum. Para pemegang saham yang tidak dapat hadir dibenarkan melantik proksi mengikut Artikel Kumpulan untuk menghadiri dan mengundi bagi pihak mereka. Pengerusi dan ahli Lembaga Pengarah turut sama hadir untuk memberikan penjelasan bagi soalan daripada pemegang saham. Notis Mesyuarat Agung Tahunan diedarkan kepada pemegang saham sekurang-kurangnya 21 hari sebelum Mesyuarat Agung Tahunan Syarikat dan juga mengiklankan notis AGM dalam dua akhbar-akhbar utama Malaysia. Semua resolusi yang dikemukakan untuk kelulusan pemegang saham pada Mesyuarat Agung Tahunan akan mengundi dengan mengangkat tangan kecuali mengundi pungutan suara dituntut oleh para pemegang saham. Pengerusi akan pada permulaan AGM memaklumkan kepada pemegang saham hak mereka untuk meminta untuk mengundi oleh pungutan suara. Pendedahan Penyelewengan Lembaga Pengarah mengakui kepentingan wisel-blowing ‘dan komited untuk mengekalkan standard etika kelakuan yang tinggi dalam Kumpulan. Selaras dengan komitmen ini, Lembaga Pengarah telah memformalkan dasar pemberi maklumat, kod etika dan kod tingkah laku untuk diguna pakai di peringkat Kumpulan dan Anak Syarikat. This Statement on Risk Management & Internal Control is made pursuant to paragraph 15.26 (b) of the Main Market Listing Requirement of Bursa Malaysia Securities Berhad which requires the Board of Directors (Board) to include in its Company Annual Report a statement about the state of its Risk Management and Internal Control for its group of companies. BOARD RESPONSIBILITY The Board of Directors of NCB Holdings Bhd (“the Board”) acknowledges its overall responsibility to establish a sound risk management framework and internal control system as well as reviewing its adequacy and effectiveness by putting in place the reporting structures, controls and risk management procedures. The Board is responsible for determining the company’s level of risk tolerance and in conjunction with management, to actively identify, assess and monitor key business risks in order to safeguard shareholder’s investments and the Group’s assets. The Board has also delegated authority and power to its subsidiary company Boards of Directors to similarly put in place a control and risk management procedures to assist in the day to day operation. The Audit Committee and the Risk Management Committee will monitor and regularly evaluate and report the adequacy and relevance of these procedures to the Board. Whilst acknowledging its responsibility, the Board is of the view that the risk management framework and internal control system are designed to manage the Group’s risks within the acceptable risk appetite, rather than to eliminate the risk of failure to achieve the business goals and objectives. It can therefore only provide reasonable, rather than absolute assurance against material misstatement, fraud or loss. RISK MANAGEMENT The Board regards risk management as an integral part of the Group’s business operations. There is an established Enterprise Risk Management (“ERM”) Policy and Framework for systematically identifying, analyzing, measuring, monitoring and reporting on the risks that may affect the achievement of its business objectives. The principal objectives of the ERM program are: • • • • • • to meet the Group’s strategic goals and objectives; to facilitate and embed the commitment of Group’s management and staff to a strong risk management, performance and balanced risk control culture; to commit the Group to a structured and consistent approach to managing and reporting risks; to establish risk communication processes that disseminates relevant, reliable and timely information to all relevant parties for decision making; to properly establish and support effective Corporate Governance processes as a strategic response to risk management; to facilitate a strategy and strategic execution geared towards supporting the continued commercial sustainability of the Group. Each subsidiary has its own risk secretariat which undertakes the day-to-day monitoring and assessing the risks controls in their respective companies. Reporting The division / departments, being the first line of defense against risks, are responsible for identifying, mitigating and managing risks within their respective areas. These units are to ensure that their day-to-day business activities are carried out within the established risk policies, procedures and limits. On a quarterly basis, the Risk Management Committee prepares a report detailing the significant risks, the status of risk reviews and the status of implementation of action plans for review by the Audit Committee. CONTROL ENVIRONMENT AND STRUCTURE The Board and Management have established numerous processes for identifying, evaluating and managing the significant risks faced by the Group. These include periodic testing of the effectiveness and efficiency of the internal control procedures and updating the system of internal controls when there are changes to the business environment or regulator guidelines. These processes have been in place for the financial year ended 31 December 2014 and up to the date of approval of this Statement on Risk Management and Internal Control for inclusion in the annual report. 1. Organisation Structure The organisation structure sets out a clear segregation of roles and responsibilities, lines of accountability and limits of authority to ensure effective and independent stewardship. In providing direction and oversight, the Board is supported by a number of established Board committees, namely the Audit, Nomination, Remuneration and Risk Management Committees. Each Committee has clearly defined terms of reference and responsibilities, and activities of each Committee are reported back to the Board. Responsibility for implementing the Group’s strategies, operations and day-to-day businesses, including implementing the system of risk management and internal control, is delegated to the Group Managing Director and Management. The subsidiaries in the Group have their respective Board of Directors who oversees the operations of the company’s business. The subsidiaries Boards’ are governed by the Memorandum and Articles of the respective subsidiaries and cascading of Group policy and strategic plans are delegated through the Group Managing Director. 2. Reporting The Group Managing Director leads all presentation and reports to the Board, whilst the respective CEO’s leads the reporting to their respective Boards. 117 NCB HOLDINGS BHD STATEMENT ON RISK MANAGEMENT AND INTERNAL CONTROL The report of the Group Managing Director covers the following areas : • • • • • • • reviewing and Adoption of Strategic Plans; the conduct of the Company’s Business; identification and Managing of Principle Risks; succession Planning; investor Relations and Communications Policy; internal Control Systems; financial Performance. These reports are presented at every scheduled Board meetings. 3. Audit Committee The Audit Committee comprises only non-executive members of the Board, the majority of whom are Independent Directors. The current Audit Committee comprises members who bring with them a wealth of knowledge, expertise and experience from different industries and backgrounds. The Audit Committee reviews the Group’s financial reporting process, the system of internal controls and management of enterprise risk, the audit process and the Group’s process for monitoring compliance with laws and regulations and its own code of business conduct, as well as such other matters, which may be specifically delegated to the Committee by the Board, from time to time. Throughout the financial year, the Audit Committee members are briefed on corporate governance practices, updates to Malaysian Financial Reporting Standards, as well as legal and regulatory requirements in addition to key matters affecting the financial statements of the Group. The Audit Committee also reviews and reports to the Board the engagement and independence of the external auditors and their audit plan, nature, approach, scope and other examinations of the external audit matters. It also reviews the effectiveness of the internal audit function which is further described in the following section on Internal Audit. The Audit Committee continues to meet regularly and has full and unimpeded access to the internal and external auditors and all employees of the Group. The Chairman of the Audit Committee provides the Board with reports on all meetings of the Audit Committee. Further details of the activities undertaken by the Audit Committee are set out in the Audit Committee Report on pages 135 to 139. 4. Internal Audit The Internal Audit department continues to independently, objectively and regularly review key processes, check compliance with policies/procedures, evaluate the adequacy and effectiveness of internal control, risk management and governance processes established by Management and/or the Board within the Group. It highlights significant findings and corrective measures in respect of any non- compliance to Senior Management and the Audit Committee on a timely basis. The annual audit plan, established primarily on a risk-based approach, is reviewed and approved by the Audit Committee annually and an update is given to the Audit Committee every quarter. The Audit Committee oversees the Internal Audit department’s function, its independence, scope of work and resources. The GIA undertook the following number of assignments during the year 2014 according to the approved programme: • • Planned Audits Special Audits Undertaken Completed 31 7 31 7 Further activities of the Internal Audit function are set out in the Audit Committee Report on pages 135 to 139. 118 ANNUAL REPORT 2014 STATEMENT ON RISK MANAGEMENT AND INTERNAL CONTROL 5. Code of Ethics, Code of Conduct and Whistle-Blowing Policy The Group is committed to conducting business fairly, impartially and ethically and in full compliance with all laws and regulations. To this end, the Group had adopted a Code of Ethics and Code of Conduct. The Code of Ethics set the ethical professional conduct expected of every Director of the Company and its subsidiaries while the Code of Conduct is established to promote corporate culture which engenders ethical conduct that permeates throughout the Company for Directors, Management and Employees. The Group also has a Whistle-blowing Policy which is designed to create a positive environment in which employees can raise genuine concerns without fear of recrimination and enable prompt corrective action to be taken where appropriate. 6. Corporate Integrity Pledge (CIP) The Company, as a signatory of the Corporate Integrity Pledge (CIP), promises to work towards creating a business environment that is fair, transparent and free from corruption by committing to the following principles: • • • • • committing to promote values of integrity, transparency and good governance; strengthening its internal systems that support corrupt prevention; complying with laws, policies and procedures related to fighting corruption; fighting any form of corrupt practice, and supporting corruption prevention initiatives by the Malaysian Government and Malaysian Anti-Corruption Commission (MACC). 7. Limits of Authority Relevant financial limits of authority are defined within the structure for effective functioning of the Board, Group Managing Director, Head of Subsidiaries and the management team. 8. Policies and Procedures There is an extensive documentation of policies, procedures and guidelines maintained at Group and subsidiaries level. The Board conducts an annual review of the strategic business planning, budgeting and forecasting of revenue and expenses to be in line with the policies and guidelines defined by the Board at Group level. Each subsidiary produces and submits an annual budget for the approval at their respective Boards and this is ultimately referred to the Board at Group level for its approval. The Board monitors the performance of the subsidiaries and their business units by reviewing the results of the subsidiaries in comparison with their budget as reported once every two months at Group Board Meetings. Any material variances are analysed and appropriate measures are taken in a timely manner. This representation provides the Board with timely information for decision making on the continuity of the Group’s investment based on the performance of the subsidiary companies. 119 NCB HOLDINGS BHD STATEMENT ON RISK MANAGEMENT AND INTERNAL CONTROL MONITORING AND REVIEW The processes that monitor and review the effectiveness of the system of risk management and internal controls include: 1. management Assurance to the Board at Group level from the Group Managing Director and Group Chief Financial Officer, based on the representations received by them from the respective Board at subsidiary level that the Group’s risk management framework and internal control system are operating adequately and effectively, in all material respects. 2. internal Audit in their quarterly report to the Audit Committee continues to highlight significant issues and exceptions identified during the course of their review on processes and controls compliance, risk management and governance. 3. group Risk Management department reports to the Board through the Risk Management Committee on the risk profile of the Group and the progress of action plans to manage and mitigate the risks. Management has taken the necessary actions to remediate weaknesses identified for the period under review. The Board and Management will continue to monitor the effectiveness and take measures to strengthen the risk management and internal control environment of the Group and Subsidiaries. CONCLUSION For the financial year under review and up to the date of issuance of the financial statements, the Board is satisfied with the adequacy and effectiveness of the Group’s system of risk management and internal control to safeguard the interest of shareholders. No material losses, contingencies or uncertainties have arisen from any inadequacy or failure of the Group’s system of internal control that would require separate disclosure in the Group’s Annual Report. REVIEW BY EXTERNAL AUDITORS The external auditors have reviewed this Statement on Risk Management and Internal Control for inclusion in the Annual Report of the Group for the year ended 31 December 2014 and reported to the Board that nothing has come to their attention that causes them to believe that the Statement is inconsistent with their understanding of the processes the Board has adopted in managing the adequacy and integrity of risk management and internal controls of the Group. This statement is made in accordance with the approval from the Board of Directors dated 7 April 2015. 120 ANNUAL REPORT 2014 PENYATA MENGENAI PENGURUSAN RISIKO DAN KAWALAN DALAMAN PENGENALAN Lembaga Pengarah, seperti yang dinyatakan dalam “Penyata Pengurusan Risiko dan Kawalan Dalaman: Garis Panduan untuk Pengarah Syarikat Tersenarai “, berbesar hati untuk berkongsi aspek utama dalam pengurusan risiko dan sistem kawalan dalaman Kumpulan bagi tahun kewangan berakhir 31 Disember 2014. Penyata Pengurusan Risiko dan Kawalan Dalaman ini dibuat menurut perenggan 15.26 (b) daripada Syarat Penyenaraian Pasaran Utama Bursa Malaysia Securities Berhad yang mensyaratkan Lembaga Pengarah (Lembaga) untuk membentangkan di dalam Laporan Tahunan Syarikat satu penyata mengenai keadaan Pengurusan Risiko dan Kawalan Dalaman bagi syarikatsyarikat Kumpulannya. TANGGUNGJAWAB LEMBAGA Lembaga Pengarah NCB Holdings Bhd (“Lembaga”) bertanggungjawab keseluruhannya untuk mewujudkan rangka kerja pengurusan risiko dan sistem kawalan dalaman yang sempurna serta menyemak kecukupan dan keberkesanan dengan melaksanakan struktur melapor, kawalan dan prosedur pengurusan risiko. Lembaga Pengarah bersama pengurusan bertanggungjawab menentukan toleransi risiko syarikat, untuk mengenal pasti secara aktif, menilai dan memantau risiko perniagaan utama untuk melindungi pelaburan pemegang saham dan aset Kumpulan. Lembaga Pengarah juga telah memberi kuasa dan had kepada Lembaga Pengarah anak syarikatnya untuk menyediakan satu kawalan dan prosedur pengurusan risiko bagi membantu dalam operasi harian. Jawatankuasa Audit dan Jawatankuasa Pengurusan Risiko akan memantau dan sentiasa menilai dan melaporkan kesempurnaan dan keperluan prosedur ini kepada Lembaga Pengarah. Lembaga Pengarah berpendapat bahawa rangka kerja pengurusan risiko dan sistem kawalan dalaman adalah direka untuk mengurus risiko-risiko Kumpulan dalam lingkungan risiko yang boleh diterima dan bukan menghapuskan risiko kegagalan Kumpulan untuk mencapai matlamat dan objektif perniagaan. Ia hanyalah jaminan yang munasabah dan bukan mutlak terhadap salah nyata, penipuan atau kerugian. PENGURUSAN RISIKO Lembaga menganggap pengurusan risiko sebagai sebahagian daripada operasi perniagaan Kumpulan. Dasar Pengurusan Risiko Perniagaan (“ERM”) dan Rangka Kerja diadakan bagi mengenal pasti secara sistematik, menganalisis, mengukur, memantau dan melaporkan risiko-risiko yang boleh menjejaskan pencapaian objektif perniagaan. Objektif utama program ERM adalah: • • • • • • untuk memenuhi matlamat dan objektif strategik Kumpulan; untuk memudahkan dan menanamkan komitmen pihak pengurusan dan kakitangan Kumpulan untuk pengurusan risiko yang kukuh, prestasi dan budaya kawalan risiko yang seimbang; untuk Kumpulan melakukan pendekatan secara berstruktur dan konsisten untuk mengurus dan melaporkan risiko; untuk mewujudkan proses komunikasi risiko yang menyediakan maklumat yang relevan, boleh dipercayai dan tepat pada masanya untuk semua pihak yang berkenaan bagi membuat keputusan; untuk mewujudkan dan menyokong proses Tadbir Urus Korporat yang berkesan sebagai tindak balas strategik untuk pengurusan risiko; untuk memudahkan strategi dan strategi pelaksanaan ke arah menyokong keupayaan perdagangan yang berterusan bagi Kumpulan. Setiap subsidiari mempunyai sekretariat risiko masing-masing yang menjalankan tugas harian dalam memantau dan menilai kawalan risiko dalam syarikat masing-masing. Pelaporan Bahagian / Jabatan, sebagai barisan pertama pertahanan terhadap risiko, bertanggungjawab untuk mengenal pasti, mengurangkan dan menguruskan risiko dalam bidang masing-masing. Unit-unit ini adalah untuk memastikan bahawa aktiviti perniagaan harian mereka dijalankan dalam lingkungan dasar risiko, prosedur dan had. Anak-anak syarikat menjana “Laporan Risiko Enterprise” yang dibentangkan kepada Jawatankuasa Pengurusan Risiko dan Laporan Risiko meliputi: (i) (ii) (iii) (iv) (v) (vi) Gabungan Risiko Bersepadu Sepuluh Risiko Bersih dan Status Petunjuk Risiko Utama Status Tindakan Pengurusan Jaminan Tindak Balas Penemuan Kajian Risiko oleh Audit Dalaman Dengan pengutamaan risiko, pemilik risiko dan Pengurusan Kanan dapat mengutamakan usaha-usaha mereka dan menguruskan kelas-kelas risiko yang berlainan secara tepat. KAWALAN PERSEKITARAN DAN STRUKTUR Lembaga Pengarah dan Pengurusan telah mewujudkan pelbagai proses untuk mengenal pasti, menilai dan mengurus risikorisiko penting yang dihadapi oleh Kumpulan. Ini termasuk ujian berkala keberkesanan dan kecekapan prosedur kawalan dalaman dan mengemas kini sistem kawalan dalaman apabila terdapat perubahan kepada persekitaran perniagaan atau garis panduan kawalselia. Proses-proses ini telah wujud bagi tahun kewangan berakhir 31 Disember 2014 dan sehingga tarikh kelulusan Penyata ini mengenai Pengurusan Risiko dan Kawalan Dalaman untuk dibentangkan di dalam laporan tahunan. 1. Struktur Organisasi Struktur organisasi menggariskan pengasingan yang jelas tentang peranan dan tanggungjawab, garis akauntabiliti dan had kuasa untuk memastikan pengawasan yang berkesan dan bebas. Dalam memberikan arahan dan pengawasan, Lembaga Pengarah disokong oleh beberapa jawatankuasa Lembaga yang ditubuhkan, iaitu Jawatankuasa Audit, Namaan, Ganjaran dan Pengurusan Risiko. Setiap Jawatankuasa mempunyai bidang kuasa yang jelas terhadap rujukan dan tanggungjawab, dan aktiviti setiap jawatankuasa dilaporkan kepada Lembaga Pengarah. Tanggungjawab untuk melaksanakan strategi Kumpulan, operasi dan hari-hari perniagaan, termasuk melaksanakan sistem pengurusan risiko dan kawalan dalaman, adalah diserahkan kepada Pengarah Urusan Kumpulan dan Pengurusan. Susidiari-subsidiari dalam Kumpulan mempunyai Lembaga Pengarah masing-masing yang menyelia operasi perniagaan syarikat. Lembaga subsidiari ditadbir mengikut Memorandum dan Artikel syarikat masing-masing dan Dasar Kumpulan menekankan pelan strategik diwakilkan melalui Pengarah Urusan Kumpulan. 2. Laporan Pengarah Urusan Kumpulan membentangkan semua pembentangan dan laporan kepada Lembaga Pengarah, manakala Ketua Pegawai Eksekutif (KPE) membawa laporan kepada Lembaga masing-masing. 123 NCB HOLDINGS BHD PENYATA MENGENAI PENGURUSAN RISIKO DAN KAWALAN DALAMAN Laporan Pengarah Urusan Kumpulan merangkumi perkara-perkara berikut: • • • • • • • menyemak dan Penerapan Pelan Strategik pengendalian Perniagaan Syarikat pengenalan dan Pengurusan Risiko Utama perancangan Penggantian perhubungan Pelabur dan Dasar Komunikasi sistem Kawalan Dalaman prestasi Kewangan Laporan ini dibentangkan dalam setiap mesyuarat Lembaga Pengarah yang dijadualkan. 3. Jawatankuasa Audit Jawatankuasa Audit terdiri daripada ahli bukan eksekutif Lembaga, di mana majoriti daripada mereka merupakan Pengarah Bebas. Jawatankuasa Audit semasa terdiri daripada ahli-ahli yang membawa bersama mereka ilmu pengetahuan, kepakaran dan pengalaman dari industri yang berbeza dan latar belakang. Jawatankuasa Audit mengkaji proses pelaporan kewangan Kumpulan, sistem kawalan dalaman dan pengurusan risiko organisasi, proses audit dan proses Kumpulan untuk memantau pematuhan dengan undang-undang dan peraturan-peraturan dan kod tersendiri bagi amalan perniagaan, dan juga perkara-perkara lain, yang mungkin secara khusus diwakilkan kepada Jawatankuasa oleh Lembaga, dari semasa ke semasa. Sepanjang tahun kewangan ini, ahli-ahli Jawatankuasa Audit diberi taklimat berkaitan amalan tadbir urus korporat, kemaskini kepada Piawaian Laporan Kewangan Malaysia, dan juga undang-undang dan peraturan keperluan di samping memasukkan perkara-perkara yang memberi kesan kepada penyata kewangan Kumpulan. Jawatankuasa Audit juga mengkaji semula dan melaporkan kepada Lembaga Pengarah pelantikan dan kebebasan juruaudit luar dan rancangan audit, sifat, pendekatan, skop dan pemeriksaan lain di luar perkara audit. Ia juga mengkaji keberkesanan fungsi audit dalaman yang telah dinyatakan dalam seksyen pada Audit Dalaman yang berikut. Jawatankuasa Audit terus mengadakan mesyuarat secara tetap dan mempunyai akses penuh dan tidak terhalang kepada juruaudit dalaman dan juruaudit luar dan semua kakitangan Kumpulan. Pengerusi Jawatankuasa Audit menyediakan Lembaga serta laporan tentang segala mesyuarat Jawatankuasa Audit. Maklumat lanjut mengenai aktiviti yang dijalankan oleh Jawatankuasa Audit dinyatakan dalam Laporan Jawatankuasa Audit di muka surat 140 hingga 144. 4. Audit Dalaman Jabatan Audit Dalaman beroperasi secara bebas, objektif dan mengkaji proses utama, memeriksa pematuhan dasar / prosedur, menilai kecukupan dan keberkesanan kawalan dalaman, pengurusan risiko dan tadbir urus proses yang diwujudkan oleh Pengurusan dan / atau Lembaga di dalam Kumpulan. Ia mengetengahkan penemuan penting dan langkah-langkah pembetulan berkenaan sebarang ketidakpatuhan pada Jawatankuasa Audit dan Pengurusan Kanan pada masa yang tepat. Pelan audit tahunan, ditubuhkan terutamanya pada pendekatan berasaskan risiko, dikaji dan diluluskan oleh Jawatankuasa Audit setiap tahun dan tahap pencapaian dibentangkan kepada Jawatankuasa Audit setiap suku tahun. Jawatankuasa Audit menyelia fungsi Jabatan Audit Dalaman Kumpulan, kebebasan, skop kerja dan sumber. Audit Dalaman Kumpulan telah menyelesaikan segala tugasan seperti yang telah diluluskan bagi tahun 2014 seperti berikut :• • Audit Dirancang Audit Khas Dilaksanakan Selesai 35 7 35 7 Aktiviti Audit Dalaman yang selebihnya adalah seperti yang dinyatakan dalam Laporan Jawatankuasa Audit pada laman 140 hingga 144. 124 ANNUAL REPORT 2014 PENYATA MENGENAI PENGURUSAN RISIKO DAN KAWALAN DALAMAN 5. Kod Etika, Kod Tingkahlaku dan Polisi “Whistle-Blowing” Kumpulan bertekad untuk menjalankan perniagaan secara adil, saksama dan beretika dan mematuhi sepenuhnya semua undang-undang dan peraturan-peraturan. Untuk tujuan ini, Kumpulan telah menerima pakai Kod Etika dan Kod Tingkah Laku. Kod Etika menetapkan kelakuan profesional yang beretika yang diharapkan daripada setiap Pengarah Syarikat dan anak-anak syarikat sementara Kod Tingkah Laku diwujudkan untuk menggalakkan budaya korporat bercirikan tingkah laku yang beretika yang meresap di seluruh Syarikat bagi Pengarah, Pengurusan dan Pekerja. Kumpulan juga mempunyai polisi “Whistle-blowing” yang digunapakai untuk mewujudkan persekitaran yang positif di mana pekerja boleh mengutarakan segala kebimbangan tanpa takut untuk dipersalahkan dan membolehkan tindakan pembetulan dengan segera yang akan diambil di mana sesuai. 6. Ikrar Integriti Korporat (CIP) Syarikat, sebagai penandatangan Ikrar Integriti Korporat (CIP), janji-janji untuk berusaha ke arah mewujudkan persekitaran perniagaan yang adil, telus dan bebas daripada rasuah melalui prinsip berikut :• • • • • menggalakkan nilai-nilai integriti, ketelusan dan tadbir urus yang baik mengukuhkan sistem dalaman yang menyokong pencegahan rasuah mematuhi undang-undang, polisi dan prosedur yang berkaitan dengan memerangi rasuah menentang sebarang bentuk perbuatan rasuah, dan menyokong inisiatif pencegahan rasuah oleh Kerajaan Malaysia dan Suruhanjaya Pencegahan Rasuah Malaysia (SPRM). 7. Had Kuasa Had kewangan yang mencukupi ditakrifkan dalam struktur Lembaga Pengarah, Pengarah Urusan Kumpulan dan Ketua Subsidiari dan pihak pengurusan untuk berfungsi dengan berkesan. 8. Dasar dan Prosedur Terdapat satu dokumentasi menyeluruh mengenai dasar, prosedur dan garis panduan yang digunapakai oleh Kumpulan dan anak-anak syarikat. Lembaga Pengarah menjalankan kajian tahunan perancangan perniagaan strategik, belanjawan dan unjuran ramalan hasil dan perbelanjaan supaya selaras dengan garis panduan yang ditetapkan oleh Lembaga Pengarah pada peringkat Kumpulan. Setiap anak syarikat menghasilkan dan menyerahkan suatu belanjawan tahunan untuk kelulusan oleh Lembaga masing-masing dan selanjutnya merujuk kepada Lembaga Pengarah di peringkat Kumpulan untuk kelulusan. Lembaga memantau prestasi anak-anak syarikat dan unit perniagaan mereka dengan mengkaji semula keputusan syarikat subsidiari dalam perbandingan belanjawan mereka seperti yang dilaporkan setiap dua bulan sekali di Mesyuarat Lembaga Pengarah Kumpulan. Sebarang perubahan akan dianalisa dan langkah yang sesuai diambil tepat pada masanya. Dasar ini menyediakan Lembaga untuk menerima maklumat bagi membuat keputusan mengenai kesinambungan pelaburan Kumpulan berdasarkan prestasi anak-anak syarikat. 125 NCB HOLDINGS BHD PENYATA MENGENAI PENGURUSAN RISIKO DAN KAWALAN DALAMAN PEMANTAUAN DAN KAJIAN Proses-proses untuk memantau dan mengkaji semula keberkesanan sistem pengurusan risiko dan dalaman kawalan termasuk: 1. Jaminan Pengurusan kepada Lembaga Pengarah di peringkat Kumpulan daripada Pengarah Urusan Kumpulan dan Ketua Pegawai Kewangan Kumpulan, berdasarkan penyampaian yang diterima oleh mereka daripada Lembaga masingmasing di anak syarikat bahawa rangka kerja pengurusan risiko Kumpulan dan sistem kawalan dalaman beroperasi secukupnya dan berkesan, dalam semua aspek penting. 2. Audit Dalaman Kumpulan dalam laporan suku tahunan mereka kepada Jawatankuasa Audit terus mengetengahkan isu-isu penting yang dikenal pasti semasa kajian semula ke atas proses dan mengawal pematuhan, risiko pengurusan dan tadbir urus. 3. Jabatan Pengurusan Risiko Kumpulan melaporkan kepada Lembaga Pengarah melalui Jawatankuasa Risiko berkenaan Profil Risiko Kumpulan dan kemajuan pelan tindakan untuk mengurus dan mengurangkan risiko. Pengurusan telah mengambil langkah sewajarnya untuk mengatasi kelemahan yang dikenal pasti bagi tempoh di bawah kajian. Lembaga Pengarah dan Pengurusan akan terus memantau keberkesanan dan mengambil langkah-langkah untuk mengukuhkan pengurusan risiko dan kawalan dalaman Kumpulan dan Syarikat-Syarikat subsidiari. KESIMPULAN Bagi tahun kewangan dan sehingga tarikh pengeluaran penyata kewangan, Lembaga Pengarah berpuas hati dengan kecukupan dan keberkesanan sistem Kumpulan dalam pengurusan risiko dan kawalan dalaman untuk melindungi kepentingan para pemegang saham. Tiada kerugian ketara, luar jangkaan atau ketidakpastian yang timbul daripada apa-apa kekurangan atau kegagalan sistem kawalan dalaman Kumpulan yang memerlukan pendedahan berasingan dalam Laporan Tahunan Kumpulan. ULASAN OLEH JURUAUDIT LUAR Juruaudit luar telah mengkaji Penyata Pengurusan Risiko dan Kawalan Dalaman untuk dibentangkan di dalam Laporan Tahunan Kumpulan bagi tahun berakhir 31 Disember 2014 dan melaporkan kepada Lembaga bahawa tiada sebarang perkara yang pada pemerhatian mereka boleh menyebabkan mereka berpandangan bahawa Penyata ini tidak konsisten dengan pemahaman mereka tentang proses yang dilaksanakan Lembaga Pengarah dalam menguruskan kecukupan dan integriti risiko pengurusan dan kawalan dalaman Kumpulan. Penyata ini dibuat selaras dengan kelulusan daripada Lembaga Pengarah bertarikh 7 April 2015. 126 ANNUAL REPORT 2014 STATEMENT OF NOMINATION COMMITTEE The Nomination Committee has been established by the Board and is made up of three (3) members who are exclusively Non-Executive Directors with a majority of them being Independent Directors. The Nomination Committee (“NC”) met four (4) times during the financial year ended 31 December 2014 and the Group Managing Director was also invited to attend these meetings. ACTIVITIES OF THE NC FOR THE FINANCIAL YEAR ENDED 31 DECEMBER 2014 Board nomination and election process and criteria used The NC is responsible for considering and making recommendations to the Board candidates for directorship when the need arises such as to fill a vacancy arising from resignation or retirement or to close any skills, competencies or diversity gap that has been identified. Candidates may be proposed by the Group Managing Director or any Director and must fulfill the requirements prescribed under the relevant laws and regulations for appointment as director. In assessing the suitability of a candidate, the NC will take into consideration the candidate’s skills, knowledge, expertise, competence and experience, time commitment, character, professionalism and integrity. For the position of independent non-executive director, the NC will evaluate the candidate’s ability to discharge such responsibilities as expected from an independent non-executive director. In December 2013, based on the results of the assessment undertaken for the financial year, the NC, save for the members who had abstained from deliberations on their own re-election/reappointment, recommended to the Board that: • • • Dato’ Abdul Samad bin Mohamed @ Mohd Dom and Datuk Nasarudin bin Md Idris, who were due to retire pursuant to Article 84 at the Fifteenth Annual General Meeting of the Company (“AGM”), stand for reelection; Lt. Gen. (R) Datuk Abdul Aziz bin Hasan who was due to retire pursuant to Article 90 at the Fifteenth Annual General Meeting of the Company (“AGM”), stand for re-election; and Tun Ahmad Sarji bin Abdul Hamid, Tan Sri Dato’ (Dr.) Ir. Wan Abdul Rahman bin Haji Wan Yaacob and Datuk Abdul Malek bin Abdul Aziz who were all over the age of 70 years and due to retire pursuant to Section 129 of the Companies Act, 1965 at the AGM, stand for re-appointment. 127 NCB HOLDINGS BHD STATEMENT OF NOMINATION COMMITTEE The Board, save for the members who had abstained from deliberations on their own re-election/re-appointment, supported the NC’s views and recommended that shareholders vote in favour of the resolutions for their re-election/ reappointment at the AGM. In addition, during the financial year ended 31 December 2014, the NC has also recommended the following to the Board: • • • appointment of Tuan Haji Abi Sofian bin Abdul Hamid as the Group Managing Director replacing Dato’ Abdul Samad bin Mohamed @ Mohd Dom who retired with effect from 1 September 2014. resignation of Datuk Nasarudin bin Md Idris with effect from 22 December 2014 with the exit of MISC Berhad as a significant shareholder of the Group. appointment of Dato’ Sri Che Khalib bin Mohamad Noh as a Non Independent Non Executive Director with effect from 8 January 2015. Dato’ Sri Che Khalib represents the interest of MMC Corporation Berhad through its wholly owned subsidiary MMC Ventures Sdn Bhd. MMC Ventures Sdn Bhd holds 15.73% of interest in the Group. Annual Assessment The NC has assessed the overall effectiveness of the Board, its Committees and individual Directors’ contribution and performance in 2014. The assessment exercise was facilitated by the Company Secretary and took the form of completion of questionnaires/ evaluation forms comprising a Board and Board Committees Effectiveness Evaluation Form. In evaluating the effectiveness of the Board, several areas were reviewed including the areas of composition, degree of independence, right mix of expertise, experience and skills, quality of information and decision making, and boardroom activities. Board Committees were assessed on their composition, expertise, and whether their functions and responsibilities were effectively discharged in accordance with their respective terms of reference. The assessment of the individual Directors covered areas such as calibre, personality, conduct, integrity, knowledge, experience, time commitment, competency and participation in board decisions. Results of the assessment are usually summarised and discussed at the NC meeting and reported to the Board by the Chairman of the NC. These results form the basis of the NC’s recommendations to the Board for the re-election and reappointment of Directors at the AGM. DIVERSITY POLICY Although the Board has not established any diversity policy, the Board aims to maintain a balance in terms of the range of experience and skills of individual Board members. The Board views gender, nationality, cultural and socioeconomic backgrounds diversity as important considerations when reviewing the composition of the Board. The Board recognises, in particular, the importance of gender diversity. Currently, three (3) or 30.0% of the full Board are women. This statement is made in accordance with the approval of the Board of Directors dated 7 April 2015. 128 ANNUAL REPORT 2014 PENYATA JAWATANKUASA NAMAAN Jawatankuasa Namaan telah ditubuhkan oleh Lembaga Pengarah dan terdiri daripada tiga (3) orang ahli Pengarah Bukan Eksekutif dengan majoriti daripada mereka adalah Pengarah Bebas. Jawatankuasa Namaan (“JN”) telah bermesyuarat sebanyak empat (4) kali sepanjang tahun kewangan berakhir 31 Disember 2014 dan Pengarah Urusan Kumpulan juga telah dijemput untuk menghadiri mesyuarat ini. AKTIVITI JAWATANKUASA NAMAAN BAGI TAHUN KEWANGAN BERAKHIR 31 DISEMBER, 2014 Penamaan Lembaga dan proses pilihan raya dan kriteria yang digunakan JN bertanggungjawab bagi mempertimbangkan dan membuat cadangan kepada Lembaga Pengarah calon-calon untuk jawatan Pengarah sekiranya keadaan memerlukan seperti untuk mengisi kekosongan yang timbul sejurus peletakan jawatan atau persaraan atau untuk menutup sebarang jurang kemahiran, kecekapan atau jurang kepelbagaian yang telah dikenalpasti. Calon-calon yang dicadangkan oleh Pengarah Urusan Kumpulan Pengarah atau mana-mana Pengarah mesti memenuhi syarat-syarat yang ditetapkan di bawah undang-undang dan peraturan yang berkaitan untuk dilantik sebagai pengarah. Dalam menilai kesesuaian calon, Jawatankuasa akan mengambil kira kemahiran calon, pengetahuan, kepakaran, kecekapan dan pengalaman, komitmen masa, watak, profesionalisme dan integriti. Bagi jawatan pengarah bebas bukan eksekutif, Jawatankuasa Namaan akan menilai kemampuan calon untuk melaksanakan tanggungjawab seperti yang diharapkan sebagai seorang pengarah bebas bukan eksekutif. Dato’ Sri Che Khalib mewakili kepentingan MMC Corporation Berhad menerusi anak syarikat milik penuhnya MMC Ventures Sdn Bhd. MMC Ventures Sdn Bhd memegang sebanyak 15.73% daripada kepentingan dalam Kumpulan. Penilaian Tahunan JN telah menilai keberkesanan keseluruhan Lembaga, Jawatankuasa dan Pengarah individu di atas sumbangan dan prestasi pada tahun 2014. Latihan penilaian telah dibantu oleh Setiausaha Syarikat dan mengambilkira penyelesaian soal selidik / borang penilaian yang terdiri daripada Borang Penilaian Keberkesanan Lembaga Pengarah dan Jawatankuasa Lembaga Pengarah Dalam menilai keberkesanan Lembaga Pengarah, beberapa kawasan telah dikaji semula termasuk bidang komposisi, tahap kebebasan, hak campuran kepakaran, pengalaman dan kemahiran, kualiti maklumat dan membuat keputusan, dan aktiviti bilik lembaga. Jawatankuasa Lembaga Pengarah telah dinilai kepada komposisi, kepakaran mereka, dan keberkesanan fungsi dan tanggungjawab mereka dilaksanakan mengikut terma rujukan masing-masing. Penilaian para Pengarah individu meliputi bidang seperti berkaliber, personaliti, kelakuan, integriti, pengetahuan, pengalaman, komitmen masa, kecekapan dan penyertaan dalam papan keputusan. Keputusan penilaian yang telah dirumuskan akan biasanya dibincangkan pada mesyuarat Jawatankuasa Namaan dan dilaporkan kepada Lembaga oleh Pengerusi Jawatankuasa Namaan. Keputusan ini menjadi asas kepada cadangan Jawatankuasa Namaan kepada Lembaga Pengarah untuk pemilihan semula itu dan melantik semula para Pengarah di Mesyuarat Agung Tahunan. DASAR KEPELBAGAIAN Walaupun Lembaga Pengarah tidak menubuhkan sebarang dasar kepelbagaian, Lembaga Pengarah berhasrat untuk mengekalkan keseimbangan dari segi pelbagai pengalaman dan kemahiran ahli Lembaga Pengarah secara individu. Lembaga menganggap jantina, bangsa, budaya dan latar belakang sosio-ekonomi kepelbagaian sebagai pertimbangan penting apabila mengkaji komposisi Lembaga. Lembaga Pengarah mengakui, khususnya, kepentingan kepelbagaian jantina. Pada masa ini, tiga (3) atau 30.0% daripada Lembaga Pengarah terdiri daripada wanita. Penyata ini dibuat selaras dengan kelulusan Lembaga Pengarah bertarikh 7 April 2015. 130 ANNUAL REPORT 2014 STATEMENT OF REMUNERATION COMMITTEE The Group’s remuneration policy is designed to attract, develop and retain visionary, committed and talented people, both executive and non-executive Directors and employees, who are required to implement the overall Group activities, and create value for our shareholders. The Remuneration Committee (RC) is made up of three (3) members who are Non-Executive Directors. FUNCTIONS AND DUTIES The functions and duties of the RC include, inter alia, the following: i. to make recommendations to the Board on: a. the remuneration of the Executive Directors; b. the salary structure and value bands for all executive positions in the Group; and c. promotions and terms thereof for top management posts in the holding company and subsidiaries, from the CEO and the Deputy CEO, and Head, Group Internal Audit. ii. to ensure performance targets are consistent with the interests of shareholders of the Company, with an appropriate balance between long-term and short-term goals. iii. to review the effectiveness of the Group’s performance indicators. iv. seek comparative information on remuneration and conditions of service in comparable organisations. v. ensuring accurate disclosure on the all Directors’ remuneration in the Annual Report. vi. to report its recommendations to the Board for consideration. In carrying out its duties and responsibilities, the RC has: i. full, free and unrestricted access to any information, records, properties and personnel in the Group; and ii. the power to obtain independent professional advice and expertise necessary for the performance of its duties. All members of the RC have access to the advice and services of the Company Secretary and Heads of Human Resources of the Holding Company and subsidiaries. REMUNERATION PROCEDURES The remuneration packages for Executive Directors and Senior Management of the Group are structured to attract, motivate and retain Executive Directors and Senior Management with the experience and capabilities to achieve the Group’s performance targets. The main elements of their remuneration packages are: • • • basic annual salary; benefits-in-kind including club membership, travel and company vehicle; annual performance bonus at the discretion of the Board. The salaries of the Executive Directors and Senior Management of the Group are reviewed annually by the RC and approved by the Board after taking into consideration the overall employment market conditions, scope of work, the Company’s financial position and individual Key Performance Indicators (KPI). 131 NCB HOLDINGS BHD STATEMENT OF REMUNERATION COMMITTEE Non-executive Directors are paid a basic fee as ordinary remuneration and they will also be paid a sum based on their responsibilities in Board committees and for their attendances at meetings. The fees which are subject to the approval of the shareholders at the Annual General Meeting shall be fixed in sum and not by a commission or on percentage of profit/ turnover. This statement is made in accordance with the approval of the Board of Directors dated 13 April 2015. 132 ANNUAL REPORT 2014 PENYATA JAWATANKUASA GANJARAN Dasar imbuhan Kumpulan direka untuk menarik, membangun dan mengekalkan individu berpandangan jauh termasuk Pengarah Eksekutif, bukan Eksekutif serta pekerja bersemangat dan komited yang diperlukan untuk melaksanakan aktiviti keseluruhan Kumpulan dengan berkesan dan mewujudkan nilai bagi para pemegang saham. Jawatankuasa Ganjaran (JG) terdiri daripada tiga (3) orang ahli Pengarah Bukan Eksekutif. FUNGSI DAN TUGAS Fungsi dan tugas JG, antara yang lain, termasuk yang berikut :i. mengemukakan kepada Lembaga Pengarah pada: a. imbuhan para Pengarah Eksekutif; b. struktur gaji dan julat nilai untuk semua jawatan eksekutif dalam Kumpulan; dan c. kenaikan dan terma-termanya bagi jawatan pengurusan tertinggi dalam syarikat induk dan anak-anak syarikat, termasuk Ketua Pegawai Eksekutif, Timbalan Ketua Pegawai Eksekutif dan Ketua Audit Dalaman Kumpulan. ii. untuk memastikan sasaran prestasi direka dan ditubuhkan untuk mencapai konsisten bersama kepentingan daripada pemegang saham Syarikat, dengan keseimbangan yang wajar antara matlamat jangka panjang dan jangka pendek. iii. mengkaji keberkesanan pengukuran prestasi dan proses ganjaran Syarikat. iv. mendapatkan maklumat perbandingan tentang ganjaran dan syarat-syarat perkhidmatan di organisasi setanding. v. memastikan pendedahan tepat mengenai ganjaran Pengarah dalam Laporan Tahunan. vi. untuk melaporkan perakuan kepada Lembaga Pengarah untuk pertimbangan. Dalam menjalankan tugas dan tanggungjawabnya, JG mempunyai :i. akses penuh, bebas dan tidak terhad kepada sebarang maklumat, rekod, harta dan kakitangan dalam Kumpulan; dan ii. kuasa untuk mendapatkan nasihat profesional bebas dan kepakaran yang diperlukan bagi pelaksanaan kewajipannya. Semua ahli JG mempunyai akses kepada nasihat dan perkhidmatan Setiausaha Syarikat dan Ketua Sumber Manusia Syarikat serta subsidiari. Gaji para Pengarah Eksekutif dan Pengurusan Kanan Kumpulan dikaji semula setiap tahun oleh JG dan diluluskan oleh Lembaga Pengarah selepas mengambil kira keadaan pasaran pekerjaan keseluruhan, skop bekerja dan kedudukan kewangan Syarikat dan Petunjuk Prestasi Utama (KPI) individu. 133 NCB HOLDINGS BHD PENYATA JAWATANKUASA GANJARAN Pengarah bukan eksekutif akan diberi bayaran asas sebagai saraan biasa dan mereka juga akan dibayar sejumlah ganjaran berdasarkan tanggungjawab mereka dalam jawatankuasa Lembaga Pengarah dan kehadiran mereka dalam mesyuarat. Yuran tertakluk kepada kelulusan para pemegang saham di Mesyuarat Agung Tahunan yang akan ditetapkan dalam jumlah dan bukanlah komisen atau peratusan keuntungan / perolehan. Penyata ini dibuat selaras dengan kelulusan Lembaga Pengarah bertarikh 13 April 2015. 134 ANNUAL REPORT 2014 AUDIT COMMITTEE REPORT INTRODUCTION The Board of Directors of NCB Holdings Bhd (“NCB”) is pleased to present the Audit Committee Report for the financial year ended 31 December 2014 in compliance with paragraph 15.15 of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad (Listing Requirements). COMPOSITION OF AUDIT COMMITTEE AND ATTENDANCE The present Audit Committee (“AC”) members, comprising entirely non-executive directors with majority being independent, are selected from the Board of Directors. TERMS OF REFERENCE Objective The main objective of the Audit Committee is to assist the Board in its oversight of the following:(i) assurance on the adequacy and effectiveness of the risk management and internal control system; (ii) monitoring of the performance of the external and internal audit function; (iii) assurance of the integrity of the company’s financial statements; and (iv) oversee compliance with laws and regulations and observance of a proper code of conduct. Structure of the Audit Committee The Audit Committee shall be appointed by the Board from amongst the Directors of the Company and comprise of not less than three (3) members, a majority of whom are independent. All members of the audit committee should be nonexecutive directors and no alternative Director shall be appointed as a member of the Audit Committee. All members of the audit committee should be financially literate and at least one (1) member of the Audit Committee must be: (a) (b) (c) a member of the Malaysian Institute of Accountants (MIA); or if he is not a member of the MIA, he must have at least three (3) years of working experience and; i. He must have passed the examinations specified in Part I of the First Schedule of the Accountants Act 1967; or ii. He must be a member of one of the Associations of Accountants specified in Part II of the First Schedule of the Accounts Act 1967; or fulfils such other requirements as prescribed by the Listing Requirements. 135 NCB HOLDINGS BHD AUDIT COMMITTEE REPORT The Chairman of the Audit Committee shall be elected from amongst the members and he shall be an Independent Director. All members of the Audit Committee, including the Chairman, will hold office until otherwise determined by the Board. If a member of the Audit Committee resigns or for any reason ceases to be a member which results in the number of members being less than the required number of three (3), resulting in the non-compliance with paragraph 15.09(1) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Company shall within three (3) months of that event, appoint such number of the new members as may be required to make up the minimum three (3) members. The Board shall review the term of office and performance of the Committee and each of its members at least once every three (3) years to determine whether such audit committee and members have carried out their duties in accordance with their terms of reference. Meetings and Reporting Procedures The AC shall meet at least four (4) times annually, or more frequent at the discretion of the Chairman of the AC. To form a quorum for any meeting, the majority of members present must be independent directors. The meetings should be scheduled immediately after each quarter to enable the Committee to review in particular, the Quarterly Report relating to the financial results of each quarter. Meetings may also be called on the request of committee members, the external auditors, the internal auditors or senior management officers. The meetings are normally pre-scheduled at the beginning of each year to enable the Committee to plan their time commitment and ensure effective discharging of their responsibilities. Notices and Audit Committee papers are circulated to all members before each meeting to give the members sufficient time to prepare themselves for deliberating on the matters being raised. Matters deliberated at the Audit Committee which requires the Board’s attention will be reported by the Audit Committee Chairman in the next scheduled Board meeting. The Company Secretary shall be the Secretary of the Audit Committee. The Group Managing Director, CFO, the Head of Internal Audit, External Auditors and Heads of Management of subsidiaries may also be invited to attend the meetings to keep the members informed of matters affecting the Company. Notwithstanding this, the Committee should meet with the external auditors without Executive Directors and Management present at least twice a year. During the financial year ended 31 December 2014, the Committee convened nine (9) meetings and the record of attendance is shown above. Authority The Audit Committee’s conduct is governed by the following terms of reference specified by the Board: • • • • The Committee has full power and authority to investigate any matter that it deems necessary under its terms of reference. Also to seek relevant information and explanation from management and employees as it considers necessary for it to carry out its functions; The Committee also has full and unrestricted access to any information and documents pertaining to the Group as well as power to initiate direct communication with external and internal auditors and senior management of the Group; The Committee is also authorised by the Board to obtain outside legal or other independent professional advice, as it deems necessary; and The Committee is also authorised to convene any meetings with the external auditors, the internal auditors or both, excluding the attendance of other directors and employees of the Company, whenever deemed necessary, as well as invite any member of the management to attend the Audit Committee Meeting to clarify or provide information on any matters under its terms of reference. 136 ANNUAL REPORT 2014 AUDIT COMMITTEE REPORT Duties and Responsibilities The main duties and responsibilities of the AC shall include the review of the following areas and report to the Board: Financial Reporting • Review with or without the presence of appropriate officers of the Group and the external auditors, the quarterly interim results, half-year and annual financial statements of the Group before submission to the Board of Directors and announcement to Bursa Malaysia Securities Berhad, focusing particularly on :(a) quality, the accuracy and adequacy of the financial disclosures; (b) changes in or implementation of major accounting policies and procedure; (c) significant and unusual events; (d) significant adjustment arising from the audit; i. The going concern assumptions; ii. Major judgmental areas; iii. Compliance with applicable accounting standards; and iv. Compliance with the Bursa Malaysia Securities Berhad, legal and regulatory requirements. • Review best practices on disclosures in financial results and annual reports of the company in line with the principles set out in the Malaysian Code on Corporate Governance and other applicable laws, rules, directives and guidelines. • Review related party transactions and consider conflict of interest situation that may arise within the Group including any transaction procedures or course of conduct that raises questions of management integrity. External Audit • Recommend the appointment of the external auditors, terms of engagement, the audit fee payable and to deal with the issues of their resignation or dismissal. • Discuss and review with the external auditors before an audit commences their audit plan, the nature, approach and the scope of the audit and ensure coordination where there are more than one audit firms. • Discuss problems and reservations arising from the interim and final audits, and any matters the auditors may wish to discuss (in the absence of management where necessary). • Review the external auditor’s management letter and management’s response. • Review any factors affecting the suitability and independence of the external auditors. Internal Audit • Review the adequacy of the scope, authority, independence, competency and resources of the internal audit functions to carry out its work. • Review the internal audit programme and results of the internal audit process and where necessary ensure that appropriate action is taken on the recommendation of the internal audit function. • Review any appraisal or assessment of the performance of members of the internal audit function. • Approve any appointment or termination of Head of Internal Audit and senior staff members associated with the internal audit function and provide the opportunity for the resigning staff member to submit his or her reasons for resigning. • Investigate or cause to be investigated any activity deemed necessary within its terms of reference. • Consider the major findings of internal investigations and the management’s responses. • Exercise explicit authority over the resources such as professional advice and full access to information to investigate certain matters. • Promptly report to the Bursa Malaysia Securities Berhad matters reported by it to the Board that have not been satisfactorily resolved resulting in a breach of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad. • Ensure the Head of Internal Audit reports directly to AC and be responsible for the regular review and/or appraisal of the effectiveness of risk management, internal control and governance processes within the Group. 137 NCB HOLDINGS BHD AUDIT COMMITTEE REPORT Risk Management and Internal Control • Review with internal and external auditors, and appropriate members of the staff on the adequacy of the Group’s processes to identify, monitor and manage key risks and internal controls with respect to business practices. Others • To consider and examine other topics as defined by the Board and the AC deemed appropriate. SUMMARY OF MAIN ACTIVITIES OF THE COMMITTEE FOR THE FINANCIAL YEAR ENDED 31 DECEMBER 2014 The Chairman of the Committee reports regularly to the Board on the activities carried out by the Committee in the discharge of its duties and responsibilities, as set out in its terms of reference. The major activities carried out by AC during the financial year are as follows: Financial Reporting and Related Party Transaction • Reviewed the process of identifying and presenting the Recurrent Related Party Transactions to ensure they are conducted on arms-length basis and within the mandate given by the shareholders. • Reviewed the procedures for securing the shareholders’ mandate for recurrent related party transactions. • Reviewed the annual audited financial statements of the Group and their compliance to the Malaysian Financial Reporting Standards. • Reviewed and approved the Audit Committee Report and the Statement of Internal Control for inclusion in the Annual Report. • Reviewed the adequacy and accuracy of all the quarterly condensed financial statements before recommending to the Board for their release to Bursa Malaysia. • Reviewed and ensured disclosure of the Group (as they pertain to accounting, audit and financial matters) comply with the disclosure requirements as set out in the Main Market Listing Requirements of Bursa Malaysia Securities Berhad. External Audit • Reviewed the annual audit plan, the scope of the audit and adequacy of manpower to undertake the audit strategy for the year 2014 to ensure that their scope of work adequately covers the activities of the Group. • Reviewed and recommended to Board the terms of engagement of the external auditors and their audit fee. • Reviewed the competency, independence and suitability of the external auditors and recommended to the Board for their re-appointment and also approved the provision of non-audit services by the external auditors. • Reviewed the results and issues arising from the external auditors’ review of the quarterly financial results and audit of the year-end financial statements and the resolution of issues highlighted in their report to the Committee. • Reviewed the Statement of Risk Management and Internal Control. • Met the external auditors twice during the financial year without the presence of Executive Director and Management staff. Internal Audit • Ensured that Internal Audit conducted its primary audit duties based on its audit plan approved by the Audit Committee. • Ensured that Internal Audit carried out its audit of evaluating and assessing the operating units within the Group based on their risk exposure. • Reviewed the Internal Audit’s annual audit plan taking into account the availability of resources and competencies of staff within the Internal Audit to ensure quality and reliability of audit report produced. • Reviewed the recommendations by the internal auditors, the corrective actions taken by Management in addressing and resolving issues and follow-up to ensured that all issues were adequately addressed on a timely basis and the recommended action to be taken by management are completed. • Reviewed the special audits undertaken by the Internal Auditor which are not in their planned audit but requested by the Audit Committee as ad-hoc assignments. • Reviewed the additional work carried out by the internal audit such as the review of circular on Recurrent Related Party Transaction and review of quarterly results. • Met the Internal Auditors without the presence of management staff to listen to issues that may require the Audit Committee’s direction. 138 ANNUAL REPORT 2014 AUDIT COMMITTEE REPORT Risk Management and Internal Control • Reviewed the risk profile of the Group prepared by the Enterprise Risk Management Department. • Reviewed the progress of the risk management function in its on-going identification and monitoring of key risks and the controls implemented by the respective departments in managing these risks. • Evaluated the overall adequacy and effectiveness of the system of internal controls through a review of the results of work performed by internal and external auditors and discussions with key Senior Management. INTERNAL AUDIT FUNCTION The Group has an independent Internal Audit function which reports directly to the Audit Committee and the primary responsibility of which is to provide independent and objective assessment of the adequacy and effectiveness of the risk management, internal control and governance processes established by management and/ or Board within the Group. The Internal Audit Department is headed by a Head of Group Internal Audit (“GIA”) who holds a Bachelor Degree (Honours) of Business Administration, UiTM and a member of the Institute of Internal Auditors Malaysia. The Head of GIA reports functionally to the Audit Committee and administratively to the Group Managing Director. The GIA prepare the 2 years audit plan for the approval of Audit Committee and is outlined based on the significant risk area identified within the Group at the beginning of each year. The GIA also perform ad-hoc audit as and when required by the Audit Committee/ Management. On a quarterly basis, the Internal Audit Department monitors and reports to the Committee the implementation of recommendations by Management to ensure all key risks are properly addressed. The major internal audit activities undertaken during the year are as follows: • • • • • Reviewed the adequacy and effectiveness of critical processes such as: o financial (Credit Management, A/C Payable, Petty Cash, Reconciliations); o operations (Container, Conventional, Haulage, Warehouse, Trucking); o support services (Engineering, HR, Marketing, IT, Legal); o project management; and o risk management. o reviewed compliance with established policies and procedures and statutory requirements; Recommended improvements and enhancements to the existing system of internal control, risk management and governance processes; Carried out ad-hoc assignments and investigations requested by the Committee and/ or Management; Followed-up on the implementation of recommendations by Management to ensure all key risks are addressed; and Developed a risk-based annual internal audit plan. The total cost incurred in running the in-house Internal Audit Department for the financial year ended 31 December 2014 was approximately RM787,122 (2013: RM973,000). TERMA RUJUKAN Objektif Objektif utama Jawatankuasa Audit adalah untuk membantu Lembaga dalam pengawasannya terhadap yang berikut: (i) jaminan terhadap kecukupan dan keberkesanan pengurusan risiko dan sistem kawalan dalaman; (ii) memantau prestasi fungsi audit luar dan dalaman; (iii) jaminan integriti penyata kewangan syarikat; dan (iv) memantau pematuhan dengan undang-undang dan peraturan-peraturan serta mematuhi kod perlakuan. Struktur Jawatankuasa Audit Jawatankuasa Audit hendaklah dilantik oleh Lembaga Pengarah daripada kalangan para Pengarah Syarikat dan terdiri daripada tidak kurang daripada tiga (3) orang ahli, majoriti daripada mereka adalah pengarah bebas. Semua ahli audit jawatankuasa hendaklah terdiri daripada pengarah bukan eksekutif dan Pengarah alternatif tidak boleh dilantik sebagai ahli Jawatankuasa Audit. ANNUAL REPORT 2014 LAPORAN JAWATANKUASA AUDIT Pengerusi Jawatankuasa Audit hendaklah dipilih daripada kalangan anggota dan beliau hendaklah seorang Pengarah Bebas. Semua ahli Jawatankuasa Audit, termasuk Pengerusi, akan memegang jawatan sehingga ditentukan oleh Lembaga. Jika seorang ahli Jawatankuasa Audit meletak jawatan yang akan mengakibatkan bilangan ahli kurang daripada jumlah tiga (3) ahli yang diperlukan, dan menyebabkan ketidakpatuhan dengan perenggan 15.09 (1) Syarat Penyenaraian Pasaran Utama Bursa Malaysia Securities Berhad, Syarikat hendaklah dalam tempoh tiga (3) bulan dari kejadian tersebut, melantik ahli-ahli baru seperti yang diperlukan untuk menjadikan jumlah ahli minimum seramai tiga (3) ahli. Lembaga Pengarah akan mengkaji tempoh jawatan dan prestasi Jawatankuasa dan setiap ahlinya sekurang-kurangnya sekali setiap tiga (3) tahun untuk menentukan sama ada Jawatankuasa dan ahli-ahli audit tersebut telah melaksanakan tugas mereka mengikut terma rujukan. Mesyuarat dan Prosedur Laporan JA hendaklah bermesyuarat sekurang-kurangnya empat (4) kali setahun, atau lebih kerap mengikut budi bicara Pengerusi JA. Untuk membentuk korum mesyuarat, majoriti ahli yang hadir mestilah Pengarah Bebas. Mesyuarat hendaklah dijadualkan dengan segera selepas setiap suku tahun untuk membolehkan Jawatankuasa untuk mengkaji khususnya, Laporan Suku Tahun keputusan kewangan setiap suku tahun. Mesyuarat juga boleh dipanggil atas permintaan ahli-ahli jawatankuasa, juruaudit luar, juruaudit dalaman atau pegawai pengurusan kanan. Mesyuarat biasanya dirancang pada awal setiap tahun bagi membolehkan Jawatankuasa untuk merancang komitmen masa dan memastikan keberkesanan dalam menjalankan tanggungjawab mereka. Notis dan laporan Jawatankuasa Audit diedarkan kepada semua ahli sebelum setiap mesyuarat. Ini akan memberikan masa yang cukup untuk menyediakan diri mereka untuk membincangkan perkara-perkara yang dibangkitkan. Perkara-perkara yang dibincangkan di dalam Jawatankuasa Audit yang memerlukan perhatian Lembaga Pengarah akan dilaporkan oleh Pengerusi Jawatankuasa Audit dalam mesyuarat Lembaga yang seterusnya. Setiausaha Syarikat adalah merupakan Setiausaha Jawatankuasa Audit. Pengarah Urusan Kumpulan, Ketua Pegawai Kewangan Kumpulan, Ketua Audit Dalaman, Juruaudit Luar dan Ketua Pengurusan daripada anak-anak syarikat juga boleh dijemput untuk menghadiri mesyuarat untuk memastikan ahli-ahli maklum tentang perkara-perkara yang memberi kesan kepada Syarikat. Walaubagaimanapun, Jawatankuasa hendaklah bermesyuarat dengan juruaudit luar tanpa kehadiran Pengarah Eksekutif dan Pengurusan hadir sekurang-kurangnya dua kali setahun. Bagi tahun kewangan berakhir 31 Disember 2014, Jawatankuasa telah mengadakan sembilan (9) mesyuarat dan rekod kehadiran yang ditunjukkan seperti di atas. Bidang Kuasa Jawatankuasa Audit ditadbir oleh terma rujukan berikut yang ditetapkan oleh Lembaga Pengarah:• Jawatankuasa mempunyai kuasa penuh untuk menyiasat sebarang hal yang dirasakan perlu menurut terma rujukannya. Jawatankuasa juga dibenarkan mendapat maklumat yang diperlukan daripada pengurusan dan para kakitangan dalam menjalankan tugasan. • Jawatankuasa mempunyai kuasa penuh dan tidak terhad untuk mendapatkan sebarang maklumat dan dokumen yang berkaitan dengan Kumpulan dan untuk berkomunikasi secara langsung dengan juruaudit luar dan dalam dan pihak pengurusan kanan Kumpulan. • Jawatankuasa juga diberikan kuasa oleh Lembaga Pengarah untuk mendapatkan khidmat nasihat guaman luar atau lain-lain penasihat professional bebas dimana perlu. • Jawatankuasa juga dibenarkan untuk menjemput mana-mana ahli pengurusan untuk menghadiri Mesyuarat Jawatankuasa Audit bagi memberi penjelasan atau membekalkan maklumat berkenaan hal-hal di dalam terma rujukannya. Tugas dan Tanggungjawab Tugas dan tanggungjawab utama Jawatankuasa Audit adalah termasuk mengkaji bahagian berikut dan melaporkan kepada Lembaga: Laporan Kewangan • Mengkaji dengan atau tanpa kehadiran pegawai-pegawai yang berkenaan bagi Kumpulan dan juruaudit luar, keputusan suku tahun, setengah tahun dan penyata kewangan tahunan Kumpulan sebelum diserahkan kepada Lembaga Pengarah dan pengumuman kepada Bursa Malaysia Securities Berhad, memberi tumpuan kepada: - 141 NCB HOLDINGS BHD LAPORAN JAWATANKUASA AUDIT (a) kualiti, ketepatan dan kecukupan pendedahan kewangan; (b) perubahan atau pelaksanaan dasar dan tatacara perakaunan utama; (c) peristiwa penting dan luar biasa; (d) pelarasan penting yang timbul daripada audit; (i) andaian berterusan; (ii) bidang-bidang; (iii) pematuhan kepada piawaian perakaunan yang diguna pakai; dan (iv) pematuhan kepada Bursa Malaysia Securities Berhad, undang-undang dan peraturan yang berkenaan. • • Mengkaji amalan terbaik terhadap pendedahan keputusan kewangan dan laporan tahunan syarikat selaras dengan prinsip-prinsip yang dinyatakan dalam Kod Tadbir Urus Korporat Malaysia dan undang-undang lain, peraturan, arahan dan garis panduan. Meneliti urusniaga pihak berkaitan dan keadaan percanggahan kepentingan yang mungkin timbul di dalam Kumpulan termasuk sebarang urusniaga prosedur atau kelakuan yang menimbulkan persoalan tentang integriti pengurusan. Audit Luar • Mengesyorkan pelantikan juruaudit luar, terma pelantikan, yuran audit yang perlu dibayar dan untuk menangani isuisu mengenai perletakan jawatan atau pemecatan mereka. • Membincangkan dan mengkaji dengan juruaudit luar rancangan audit sebelum permulaan rancangan audit, jenis, pendekatan dan skop audit dan memastikan penyelarasan di mana terdapat lebih daripada satu firma audit. • Membincangkan masalah dan keraguan yang timbul daripada audit interim dan akhir, dan sebarang perkara yang juruaudit yang ingin dibincangkan (tanpa kehadiran pihak pengurusan jika perlu). • Mengkaji surat pengurusan juruaudit luar dan maklum balas pihak pengurusan. • Mengkaji faktor yang mempengaruhi kesesuaian dan kebebasan juruaudit luar. Audit Dalaman • Mengkaji kecukupan skop, kuasa, kebebasan, kecekapan dan sumber fungsi audit dalaman untuk menjalankan tugasnya. • Mengkaji program audit dalaman dan keputusan proses audit dalaman dan di mana perlu memastikan bahawa tindakan sewajarnya telah diambil berhubung syor fungsi audit dalaman. • Mengkaji sebarang taksiran atau penilaian prestasi ahli-ahli fungsi audit dalaman. • Meluluskan sebarang pelantikan atau pemecatan Ketua Audit Dalaman dan kakitangan kanan yang berkaitan dengan bahagian audit dalaman dan memberi peluang kepada kakitangan yang meletak jawatan ahli mengemukakan alasan peletakan jawatan. • Menyiasat atau mengarah untuk disiasat mana-mana aktiviti yang dianggap perlu dalam bidang tugasnya. • Mempertimbangkan penemuan utama penyiasatan dalaman dan maklum balas pihak pengurusan. • Menggunakan kuasa untuk mendapatkan sumber seperti nasihat profesional dan memperolehi maklumat untuk tujuan menyiasat perkara tertentu. • Melaporkan dengan segera kepada Bursa Malaysia Securities Berhad perkara yang dilaporkan olehnya kepada Lembaga Pengarah yang tidak diselesaikan dengan memuaskan sehingga menyebabkan pelanggaran Keperluan Syarat Penyenaraian Pasaran Utama Bursa Malaysia Securities Berhad. • Memastikan Ketua Audit Dalaman melapor terus kepada Jawatankuasa Audit dan bertanggungjawab terhadap semakan secara berkala dan / atau taksiran keberkesanan pengurusan risiko, kawalan dalaman dan proses tadbir urus dalam Kumpulan. Pengurusan Risiko dan Kawalan Dalaman • Mengkaji dengan juruaudit dalaman dan luaran, dan ahli-ahli kakitangan yang sesuai pada kecukupan proses Kumpulan untuk mengenalpasti, memantau dan menguruskan risiko-risiko utama dan kawalan dalaman yang berkaitan dengan amalan perniagaan. Audit Luar • Mengkaji pelan audit tahunan, skop audit dan kecukupan tenaga kerja untuk menjalankan strategi audit untuk tahun 2014 bagi memastikan skop kerja mereka meliputi secukupnya aktiviti Kumpulan. • Mengkaji dan mencadangkan kepada Lembaga Pengarah yang terma pelantikan juruaudit luar dan audit Bayaran. • Mengkaji kecekapan, kebebasan dan kesesuaian juruaudit luar dan mengesyorkan kepada • Lembaga Pengarah untuk perlantikan semula mereka dan juga meluluskan peruntukan perkhidmatan bukan audit oleh luar juruaudit. • Mengkaji keputusan dan isu-isu yang timbul daripada kajian semula juruaudit luar keputusan kewangan suku tahunan dan audit penyata kewangan akhir tahun dan resolusi isu yang diketengahkan dalam laporan mereka kepada Jawatankuasa. • Mengkaji Penyata Pengurusan Risiko dan Kawalan Dalaman. • Bermesyuarat dengan juruaudit luar sebanyak dua kali pada tahun kewangan ini tanpa kehadiran Pengarah Eksekutif dan Kakitangan pengurusan. Audit Dalaman • Memastikan Audit Dalaman menjalankan tugas utama audit berdasarkan pelan audit yang telah diluluskan oleh Jawatankuasa Audit. • Memastikan Audit Dalaman menjalankan audit untuk menilai unit operasi dalam Kumpulan berdasarkan risiko pendedahan mereka. • Mengkaji pelan audit tahunan Audit Dalaman mengambilkira ketersediaan tenaga kerja dan kecekapan kakitangan dalam Audit Dalaman bagi memastikan kualiti dan tahap kepercayaan laporan audit yang dikeluarkan. • Mengkaji cadangan oleh juruaudit dalaman, tindakan pembetulan yang diambil oleh Pengurusan dalam menangani dan menyelesaikan isu-isu dan tindakan susulan untuk memastikan bahawa semua isu telah ditangani dengan tepat pada masanya dan tindakan yang dicadangkan akan diambil oleh pihak pengurusan. • Mengkaji audit khas yang dijalankan oleh Ketua Audit Dalaman yang tidak dirancang tetapi diminta oleh Jawatankuasa Audit sebagai tugasan tambahan. • Mengkaji kerja-kerja tambahan yang dijalankan oleh audit dalaman seperti kajian semula surat pekeliling mengenai Urusniaga Pihak Berkaitan dan mengkaji keputusan suku tahunan. • Bermesyuarat dengan Juruaudit Dalaman tanpa kehadiran kakitangan pengurusan untuk mendengar isu-isu yang mungkin memerlukan arahan Jawatankuasa Audit. 143 NCB HOLDINGS BHD LAPORAN JAWATANKUASA AUDIT Pengurusan Risiko dan Kawalan Dalaman • Mengkaji profil risiko Kumpulan yang disediakan oleh Jabatan Pengurusan Risiko Enterprise. • Mengkaji perkembangan fungsi pengurusan risiko dalam usaha berterusan mengenalpasti dan memantau risiko utama dan kawalan yang dilaksanakan oleh jabatan berkenaan dalam mengurus risiko-risiko ini. • Menilai kecukupan keseluruhan dan keberkesanan sistem kawalan dalaman melalui kajian semula hasil kerja yang dilakukan oleh juruaudit dalaman dan luaran serta perbincangan dengan Pengurusan Kanan. FUNGSI AUDIT DALAMAN Kumpulan mempunyai fungsi Audit Dalaman yang bebas untuk melapor terus kepada Jawatankuasa Audit dan tanggungjawab utamanya adalah untuk memberi penilaian bebas dan objektif terhadap kecukupan dan keberkesanan pengurusan risiko, kawalan dalaman dan proses tadbir urus yang ditetapkan oleh pengurusan dan / atau Lembaga di dalam Kumpulan. Jabatan Audit Dalaman diketuai oleh Ketua Audit Dalaman Kumpulan (“GIA”) yang memegang Ijazah Sarjana Muda (Kepujian) Pentadbiran Perniagaan, UiTM dan ahli Institut Juruaudit Dalaman Malaysia. Ketua GIA melaporkan terus kepada Jawatankuasa Audit dan secara pentadbiran kepada Pengarah Urusan Kumpulan. GIA akan menyediakan pelan audit bagi tempoh 2 tahun untuk kelulusan Jawatankuasa Audit berdasarkan kawasan risiko yang penting dan perlu dalam Kumpulan pada setiap tahun. GIA juga melaksanakan ad-hoc audit sebagaimana dan apabila dikehendaki oleh Jawatankuasa Audit / Pengurusan. Pada setiap suku tahun, Jabatan Audit Dalaman memantau dan melaporkan kepada Jawatankuasa pelaksanaan cadangan oleh Pengurusan untuk memastikan semua risiko utama ditangani dengan betul. Mengkaji pematuhan dengan polisi dan prosedur yang ditetapkan dan keperluan undang-undang; Mencadangkan peningkatan dan penambahbaikan kepada sistem yang sedia ada kawalan dalaman, risiko proses pengurusan dan tadbir urus; Melaksanakan tugas ad-hoc dan penyiasatan yang diminta oleh Jawatankuasa dan / atau Pengurusan; Mengikuti pelaksanaan cadangan oleh Pengurusan untuk memastikan semua risiko utama adalah ditangani; dan Membangunkan pelan audit dalaman tahunan berasaskan risiko. Jumlah kos yang ditanggung dalam menjalankan dalaman Jabatan Audit Dalaman bagi tahun kewangan berakhir 31 Disember 2014 adalah RM787,122 (2013: RM973,000). ANGGARAN KEUNTUNGAN, RAMALAN ATAU JANGKAAN Tidak ada anggaran keuntungan, ramalan atau jangkaan yang dibuat atau diumumkan oleh Syarikat dalam tahun kewangan 2014. 9. JAMINAN KEUNTUNGAN Tidak ada jaminan keuntungan diberi oleh Syarikat dalam tahun kewangan 2014. 10. PERBEZAAN PENCAPAIAN Tidak terdapat sebarang perbezaan selain perbezaan yang dibenarkan diantara anggaran keuntungan jangkaan atau laporan belum teraudit dalam tahun ini. 11. SKIM SAHAM PEKERJA Tidak terdapat Skim Saham Pekerja yang wujud setakat ini atau dikeluarkan dalam tahun kewangan 2014. 152 ANNUAL REPORT 2014 STATEMENT OF DIRECTORS’ RESPONSIBILITY IN RELATION TO THE AUDITED FINANCIAL STATEMENTS PENYATA MENGENAI TANGGUNGJAWAB PENGARAH-PENGARAH BERHUBUNG DENGAN PENYATA KEWANGAN YANG DIAUDIT Directors are required to state whether the Group’s financial statements are drawn up in accordance with approved accounting standards so as to give a true and fair view of the Group’s state of affairs, their results and their cashflows for the financial year then ended. In preparing the financial statement, the Directors have ensured that :• • • the Group and the Company have used appropriate accounting policies and have applied them consistently; reasonable and prudent judgments and estimates were made; and all applicable approved accounting standards in Malaysia have been followed. The directors are responsible for ensuring that the Company maintains accounting records that disclose with reasonable accuracy the financial position of the Group and the Company, and which enables them to ensure that the financial statements comply with the Companies Act, 1965. The directors also have the general responsibilities for taking such steps that are reasonably available to them to safeguard the assets of the Group, and to prevent and detect fraud and other irregularities. This statement is made in accordance with a resolution of the Board of Directors dated 7 April 2015. Pengarah-pengarah adalah dikehendaki menyatakan sama ada penyata kewangan Kumpulan disediakan berdasarkan piawaian perakaunan yang diluluskan untuk memberikan gambaran yang benar dan tepat mengenai hal ehwal Kumpulan dan keputusan perniagaan serta aliran tunai bagi tahun kewangan yang berakhir. Dalam menyediakan penyata kewangan ini, Pengarah-pengarah mengesahkan bahawa :• • • kumpulan dan Syarikat telah menggunakan dasar perakaunan yang bersesuaian dan secara berterusan; telah membuat pertimbangan dan anggaran yang berpatutan dan wajar; dan telah mematuhi piawaian perakaunan yang diluluskan di Malaysia dan berkenaan. Pengarah-pengarah adalah bertanggungjawab memastikan bahawa Syarikat menyimpan rekod perakaunan yang menunjukkan dengan tahap ketepatan yang munasabah kedudukan kewangan Kumpulan dan Syarikat dan membolehkan mereka memastikan bahawa penyata kewangan ini mematuhi sepenuhnya peruntukan Akta Syarikat, 1965. Pengarah-pengarah mempunyai tanggungjawab umum untuk mengambil tindakan yang sesuai untuk melindungi harta-benda Kumpulan, dan mengelakkan daripada berlakunya serta mengesan penyelewengan dan lain-lain bentuk salahperlakuan.
