GENERAL
Community Transit is soliciting quotations from qualified contractors to provide components and
installation services for the Merrill Creek Administration Building Board Room Audio System Upgrade in
accordance with the specifications contained herein.
1.02

Quotes are due no later than 2:00 p.m. Monday, May 4, 2015. Quotes shall be submitted on
Community Transit’s Price Sheet, Section 4.01. To receive consideration for award, the quote Price
Sheet shall be completed and signed by an authorized representative of the Quoter. Community
Transit will assume no responsibility for any delays resulting in a quote being received late.
All quotations submitted shall remain open for thirty (30) days from the receipt date. Community Transit
reserves the right to request an extension of the thirty (30) day period and reserves the right to reject
any and all quotes. In the event of a discrepancy between the unit price and the extended amount for a
quote item, the unit price shall govern.
1.03
QUOTE PRICE AND EFFECTIVE DATE
Quote price shall include everything necessary for the prosecution and completion of the purchase order
(“contract”) including but not limited to furnishing all materials, equipment, supplies, tools, plant and other
facilities and all management, supervision, labor and service, except as may be provided otherwise in this
quote. The resulting purchase order shall be firm and fixed-price.
Washington State sales/use taxes shall not be included in the quote price. However, Community Transit
will pay any Washington State sales or use taxes applicable to the Contract price or tender an appropriate
amount to the Contractor for payment to Washington State. All other government taxes, duties, fees,
royalties, assessments and charges shall be included in the Quote price.

The purpose of the meeting will be to discuss and answer questions regarding the quote process, terms,
conditions, quote submittals, specifications, drawings, and the project scope. Community Transit highly
recommends that quoters attend the site visit to assess the work required; however, attendance is not
mandatory.
1.07
CONTRACTOR'S REPRESENTATION
The submission of a quote shall constitute an acknowledgment upon which Community Transit may rely
that the quoter has thoroughly examined and is familiar with the Quote, including any work site identified
in the quote, and has reviewed and inspected all applicable statutes, regulations, ordinances and
resolutions addressing or relating to the goods and services to be provided hereunder. The failure or
neglect of a Quoter to receive or examine such documents, work sites, statutes, regulations, ordinances
or resolutions shall in no way relieve the Quoter from any obligations with respect to its quote or to any
purchase order awarded pursuant to this Quote. No claim for additional compensation will be allowed
which is based upon a lack of knowledge or misunderstanding of this Quote, work sites, statutes,
regulations, ordinances or resolutions. The Vendor by making its quote represents that it has read and
understands the specifications; and is familiar with the site and familiarized itself with the local conditions
under which the work is to be performed.
1.08
PROCEDURE WHEN ONLY ONE QUOTE IS RECEIVED
If Community Transit receives a single responsive, responsible quote, Community Transit shall have the
right, to conduct a price or cost analysis on such quote. The Quoter shall promptly provide all cost or

pricing data, documentation and explanation requested by Community Transit to assist in such analysis.
By conducting such analysis, Community Transit shall not be obligated to accept the single quote;
however, Community Transit reserves the right to reject such quote or any portion thereof.
1.09
REJECTION OF QUOTES
Community Transit reserves the right to reject any quote for any reason including, but not limited to the
following: any quote which is incomplete, obscure, irregular or lacking necessary detail and specificity;
any quote which has any qualification, addition, limitation or provision attached to the quote; any quote
from Quoters who (in the sole judgment of Community Transit) lack the qualifications or responsibility
necessary to perform the work; any quote which is not approved as being compliant with the
requirements for equal employment opportunity; any quote for which a Quoter fails or neglects to
complete and submit any qualification information within the time specified by Community Transit and any
quote submitted by a Quoter which is not registered or licensed as may be required by the laws of the
state of Washington or local government agencies.
In consideration for Community Transit's review and evaluation of its quote, the Quoter waives and
releases any claims against Community Transit arising from any rejection of any or all quotes, including
any claim for costs incurred by Quoters in the preparation and presentation of Quotes submitted in
response to this Quote.

SPECIFICATIONS AND REQUIREMENTS
2.01
SCOPE OF WORK
Work consists of all labor, materials, and equipment to update the existing Board Room audio system
to provide increased audio clarity, better coverage of sound, more audio inputs and ease of use. For
installation details, please see Section 2.06 - Installation.
Schedule: The contractor has twenty (20) working days to complete this project following the issuance
of the written Notice to Proceed to the contractor.
2.02
LOCATION AND PERFORMANCE OF THE WORK
The work shall be performed at the Merrill Creek Administration Building, located at:

2.03
MATERIAL SPECIFICATIONS
The vendor shall supply and install all materials per the manufacturer’s instructions and specifications
to ensure full warranty of the products.
2.04
MATERIAL/BRAND NAME “OR EQUAL” PRODUCTS
All materials shall meet or exceed industry standards for the type of work and meet all governing codes
and regulations. All material shall be new and free from defects.
Unless otherwise provided in this solicitation, or unless the name is followed by words indicating that no
substitution is permitted, the reference to a certain brand name, make, model number, or manufacturer
does not restrict the bidder to the specific brand, make, model number or manufacturer identified. The
specific references to a brand is not intended to exclude other products, but to convey the salient
characteristics of function, performance, design requirements and quality of the item described.
Comparable products of other manufacturers will be considered if proof of comparability is contained in
or accompanies the Quote. Any item which Community Transit, as its sole discretion, determines to be
equal to that which is specified, considering quality, workmanship, economy of operation, and suitability
for the process intended, will be accepted. The award of the quote will be made to the lowest
acceptable offer, on an item that Community Transit considers to be equal to the brand
described within the specifications.
2.05
SPECIFICATIONS
Not used.
2.06
INSTALLATION
The following work shall be performed:
1.
Remove existing Biamp mixers and equalizers from existing equipment rack. Integrate existing
Biamp amplifiers.
2.
Update existing sound system mixers and signal processing to 2 Symetrix Radius 12x8 EX DSP
installed in existing equipment rack. Connect and integrate existing audio microphone and line
inputs to Symetrix Radius DSP.

3.
Program Symetrix Radius digital signal processing to meet the Community Transit’s use
requirements, as well as room EQ, auto-mixing functions, speaker voicing, feedback
suppression and remote control capability.
4.
Integrate and enable Symetrix Radius processors with wireless IP protocol control capability.
5.
Install 4 Quam C10X/BU/WX 70V ceiling speakers with enclosures and t-bar brackets to
improve sound coverage in the Board Room. Speaker locations to be symmetrically placed in
between the existing 8 speakers in the audience seating area and the 3 conference table
speakers. Connect speakers to existing Biamp amplifiers.
6.
Install and integrate Tascam SSR-200 Recorder/Player in existing equipment rack.
7.
Install and integrate mipro ACT 3 wireless system with rack ears and antennae wiring (single
channel) wireless microphone systems in the existing equipment rack.
8.
Integrate existing wireless microphones into system updates and upgrades.
9.
Integrate existing computer audio and video into system updates and upgrades.
10. Install 4 new microphone lines in the Board Room conference table.
11. Install 2 new stereo computer audio inputs in the Board Room conference table.
12. Install 6” x 6” audio/video input panel with steel electrical back box in end wall of Board Room
conference table. Input panel to include two female XLR jacks, two 3.5” stereo input jacks, two
RJ45 pass through jacks, one HDMI pass through jack, and one VGA DB15 pass through input
jack. All inputs to be labeled.
13. Install male input jacks in existing floor audio input box.
14. Repair cables on existing conference table microphones that are not working properly (QTY 2).
15. Perform RTA analysis of room audio with SMAART analyzer and program Symetrix DSP with
SMAART analysis results.
16. Commission new installation when completed.
17. Train Community Transit Staff in audio system operation.
2.07
MISCELLANEOUS
The vendor shall be responsible for removal and disposal of all old equipment and debris associated
with the work.
2.08
PROJECT WORK HOURS
The work hours for this project are Monday through Friday 7:30 a.m. to 4:30 p.m. Any work before or
after these times shall be preapproved by Community Transit. All work shall be done in such a manner
as to minimize the negative impacts to Community Transit operations.
2.09
PRE- CONSTRUCTION MEETING
The pre-construction meeting will be conducted within five (5) calendar days after the Notice to Proceed
(NTP) has been issued. The purpose of this meeting is to introduce attendees, establish the lines of
communication, and ensure that the contractor understands the safety and contractual requirements of
the project. At a minimum, the conference shall be attended by the Contractor’s Project Manager and
Safety Officer, and representatives from Community Transit.

2.10
PRE-CONSTRUCTION SUBMITTALS
The contractor shall provide Community Transit’s Project Manager a construction schedule at the preconstruction meeting.
The Contractor shall provide Community Transit with any manufacturer’s information for review and
approval, regarding equipment or supplies, installed on Community Transit property.
2.11
COMMUNITY TRANSIT RESPONSIBILITIES
Community Transit will coordinate access to the work site and coordinate all system shutdowns
associated with this work.
Community Transit will be responsible for all notices to operations and employees affected.
2.12
CONTRACTOR RESPONSIBILITIES
Contractor shall have a plan to insure the area is left clean on a daily basis and that no debris is visible.
At no time shall the contractor block parking entry or access drives unless previously arranged with
Community Transit.
2.13
CODES & STANDARDS
Contractor shall provide all work in accordance with the City of Everett building, fire, mechanical, fuel,
and electrical codes. Adherence shall also include all other codes and standards in force by the
authority having jurisdiction for the project, to include all local amendments. The edition of the code is
the one that is in force at the time of bid. Community Transit has taken every precaution to design this
project in accordance with the applicable codes. However, the contractor shall advise Community
Transit immediately of any condition they discover that may be in violation of the code prior to work
being done. Any work done by the contractor knowingly in violation of any code shall be corrected at
the expense of the contractor.
2.14
PERMITS & FEES
The contractor shall be responsible for providing and paying all fees associated with any and all permits
that are required.
2.15
PAYMENT
The price quoted for “Board Room Audio System Upgrade” shall be full compensation for all work.
2.16
WARRANTY
The successful quoter shall be required to warranty all work and materials awarded to them for a period
of not less than one (1) year or the manufacturer’s standard period of time from the date of installation
and acceptance by Community Transit whichever is greater. The warranty shall cover 100% of all
materials, labor, travel and expense.
In addition to the Contractor's obligations to correct all deficient work appearing during the course of
performance of this Contract, the Contractor shall remedy all defects due to faulty materials, equipment,
or workmanship which appear within a period of one (1) year from the date of Acceptance of the work
under this Agreement, or within such longer period of time as may be prescribed by law or by the terms
of any other applicable warranty period as specified or required by the Contract Documents. The
provisions of this Article shall apply to work done by Subcontractors, as well as to work done by direct
employees of the Contractor.

Terms and Conditions
3.01
PUBLIC WORK REQUIREMENTS
The scope of work for this project constitutes a public work under state law. Contractors are warned to
take into consideration statutory legal requirements, particularly, the payment of prevailing wages,
payment/performance bond and sales tax implications in making their quotes.
3.02
CONTRACTOR REGISTRATION
Community Transit is prohibited from executing a public works contract with a Contractor who is not
registered or licensed as required by state law.
3.03
WASHINGTON STATE RESPONSIBILITY CRITERIA
Before award of a public works quote, a quoter must demonstrate its responsibility to complete the
project. Contractor responsibility is determined from successfully meeting Washington State criteria as
established in RCW 39.04 as outlined below.
3.04
(a)
At the time of quote submittal, provide proof that they have a certificate of registration in
compliance with chapter 18.27 RCW;
(b)
Provide Community Transit a current state unified business identifier number;
(c)
If applicable, show proof of industrial insurance coverage for the quoter's employees working in
Washington as required in Title 51 RCW; an employment security department number as
required in Title 50 RCW; and a state excise tax registration number as required in Title 82
RCW; and
(d)
Not be disqualified from quoting on any public works contract under RCW 39.06.010 or
39.12.065(3).
SUBCONTRACTORS
A subcontractor is a person who has an Agreement, whether written or oral, with the contractor to
perform a part of the work that the contractor is to perform at the project site. The contractor shall, in all
its subcontract agreements, insure that all subcontractors are bound to the contractor in the same
manner that the contractor is bound to Community Transit, in strict accordance with all terms and
conditions of the contract documents. Nothing contained herein, however, shall be interpreted as
creating a contractual relationship between Community Transit and any subcontractor. The contractor
shall be responsible for the acts and omissions of all its employees and all subcontractors, their agents
and employees, and all other persons performing any work under the contract with the contractor.
3.05
SUBCONTRACTOR RESPONSIBILITY REQUIREMENTS
As per RCW 39.06, public works contractors to verify responsibility criteria for each first tier
subcontractor and a subcontractor of any tier that hires other subcontractors must verify responsibility
criteria for each of its subcontractors. Verification shall include that each subcontractor, at the time of
subcontract execution, meets the responsibility criteria listed in sections 3.03 items (a) through (d)
above and possesses an electrical contractor license, if required by chapter 19.28 RCW, or an elevator
contractor license, if required by chapter 70.87 RCW. This verification requirement, as well as the
responsibility criteria, must be included in every public works contract and subcontract of every tier.
The Contractor shall certify that this verification is complete prior to contract close-out.
3.06
BONDING/RETAINAGE
The awarded contractor shall choose one of the two options listed below:

3.07
A.
Optional fifty percent retainage in lieu of a performance and payment bond: RCW 39.08.010
allows that on contracts (purchase orders) of thirty-five thousand dollars or less, at the option
of the contractor that Community Transit may, in lieu of requiring a performance and payment
bond, retain fifty percent of the contract amount for a period of forty-five days after final
acceptance, or until settlement of any liens filed under Chapter 60.28 RCW, whichever is later.
B.
Payment and Performance Bonds: Within 10 days of receiving the “Intent to Award” notification,
the Contractor shall furnish Community Transit, at Contractor’s cost, payment and performance /
warranty bonds each in the amount of 100% of the total Contract sum including sales tax (if
applicable), conditioned upon Contractor faithfully performing all of its obligations under this
Contract within the time prescribed therein, including payment of all subcontractors and
materialmen, taxes imposed on Contractor under Title 82 RCW. The bond shall cover all
approved change orders as if they were part of the original contract and be issued by a corporate
surety acceptable to Community Transit and licensed to do business in the State of Washington.
In the event the surety becomes unacceptable to Community Transit during the course of the
project, Contractor shall, upon Community Transit’s written request and at contractor’s sole cost
and expenses obtain a payment, performance and warranty bond from another surety acceptable
to Community Transit.
OPTIONAL RETAINAGE BOND
Contractor may furnish Community Transit at Contractor’s cost and at Community Transit’s option, a
retainage bond of five (5) percent of the contract cost to be held in lieu of actual retainage. The bond
shall be issued by a corporate surety acceptable to Community Transit and licensed to do business in
the State of Washington. In the event the surety becomes unacceptable to Community Transit during
the course of construction, Contractor shall, upon Community Transit’s written request and at
contractor’s sole cost and expenses obtain a retainage bond from another surety acceptable to
Community Transit.
3.08
PREVAILING WAGE REQUIREMENTS
A.
The wage rates to be paid all laborers, workers, and mechanics who perform any part of this
Contract shall not be less than the prevailing wage rates as required by Chapter 39.12 of the
Revised Code of Washington, as amended. This requirement applies to laborers, workers, and
mechanics whether they are employed by the Contractor, Subcontractors, Sub-subcontractors, or
any other person who performs a portion of the Work contemplated by this Contract.
B.
The State of Washington prevailing wage rates applicable for this public works project, which is
located in Snohomish County, may be found at the following website address for the Department
of Labor & Industries: https://fortress.wa.gov/lni/wagelookup/prvWagelookup.aspx. The
applicable effective date for prevailing wages for this project is based on the quote submittal
deadline for this project. A copy of the applicable prevailing wage rates are also available for
viewing at Community Transit’s Procurement Office, located at 7100 Hardeson Road, Everett, WA
98203. Upon request, Community Transit will mail a hard copy of the applicable prevailing wages
for this project.
a. In referencing such rates, Community Transit does not imply or warrant that the Contractor
will find labor available at those rates. It is the Contractor's sole responsibility to determine
the wage rates actually paid.
3.09
INTENTS & AFFIDAVITS
Upon receipt of the required documents a Purchase Order will be issued and will serve as your contract
for use in billing. Purchase order number and department or requester full name must be on all
invoices.

At the start of a contract, the contractor and any subcontractors must file a Statement of Intent to Pay
Prevailing Wages with the Industrial Statistician of the Department of Labor and Industrial Services
(DLIS). The Department of Labor and Industries charges a fee for such approval and certification,
which shall be paid by the Contractor. Any change in the fee will not be grounds for revision of the
Contract Sum.
No payment will be made on this contract until the contractor and each and every subcontractor has
submitted a ‘Statement of Intent to Pay Prevailing Wages’ that has been approved by the Department
of Labor and Industries. No final payment or release of any retainage will be made until the contractor
and each and every subcontractor has submitted an ‘Affidavit of Wages Paid’ that has been approved
by the Department of Labor and Industries. With each invoice, Contractor will attach or write a
statement that wages paid were in compliance with applicable Prevailing Wage rates.
3.10
PAYMENTS & PROJECT CLOSEOUT
The Contractor shall submit to the Community Transit, upon Completion of Work, as part of the
Contract close-out requirements the following:

An invoice for 95% payment of the Contract sum and an invoice for 5% payment retainage. OR
An invoice for 50% payment of the contract sum depending on the Contractor’s bonding option.
Approved Intent to Pay Prevailing Wages for prime and subcontractors.
Approved Affidavit of Wages paid for prime and subcontractors.
Certificates of lien clearance (Contractor and Subcontractors).
Certificate of payment of State excise taxes.
Release for any outstanding claims.
Consent of Surety for Final Payment (AIA Form G707) (if applicable)
Release Retainage Bond (if applicable)
Community Transit may withhold any payment otherwise due the Contractor on account of: (1)
defective work not remedied; (2) claims filed or reasonable evidence indicating the probable filing of
such claims; (3) failure of the Contractor to make payments properly to subcontractors or for labor,
materials or equipment; (4) damages to the owner or to another contractor; unpaid taxes or insurance;
(5) unsatisfactory performance of the work by the Contractor; (6) reasonable evidence that the work
cannot be completed for the unpaid balance of the contract sum, or (7) persistent failure of the
Contractor to carry out the work in accordance with the contract documents.
The Severin Doctrine is applicable to this Contract.
3.11
INSURANCE REQUIREMENTS
The successful Quoter to whom Community Transit issues an intent to award pursuant to this quote shall
file with Community Transit evidence of insurance from insurer(s) satisfactory to Community Transit
certifying to the coverages of insurance set forth in this quote. Such evidence of insurance shall be
submitted within ten (10) calendar days of receipt of a written request from Community Transit. Failure
by the Quoter to submit satisfactory evidence of insurance may result in termination of the award.
3.12
INSURANCE
Contractor shall effect and maintain insurance at its own cost and expense to protect itself from claims
under Workers' Compensation Acts; from claims for damages because of bodily injury including
sickness, disease or death of any of its employees.
Contractor shall effect and maintain at its own cost and expense: Commercial General Liability - ISO
1999 form or equivalent in the amount of $1,000,000 per occurrence limit which provides the following

Community Transit shall be named as additional insured on both Commercial General Liability and
Comprehensive Auto Liability policy. Community Transit reserves and retains its rights of subrogation.
3.13
HOLD HARMLESS AND INDEMNIFICATION
The Contractor shall defend, indemnify and save harmless Community Transit, its officers, employees
and agents from any and every claim and risk, including suits or proceedings for patent, trademark,
copyright or franchise infringement, and all losses, damages, demands, suits, judgments and attorney
fees, and other expenses of any kind, on account of all property damages of any kind, whether tangible
or intangible, including loss of use resulting therefrom, in connection with the work performed under this
contract, or caused or occasioned in whole or in part by reason of the presence of the Contractor or its
subcontractors, or their property, employees or agents, upon or in proximity to the property of
Community Transit, or any other property upon which the Contractor is performing any work called for
or in connection with this contract, except only for those losses resulting solely from the negligence of
Community Transit, its officers, employees and agents.
Should a court of competent jurisdiction determine that this agreement is subject to RCW 4.24.115,
then in the event of liability for damages arising out of bodily injury to persons or damages to property
caused by or resulting from the concurrent negligence of the Contractor and Community Transit, its
members, officers, employees and agents, the Contractor's liability hereunder shall be only to the
extent of the Contractor's negligence. It is further specifically and expressly understood that the
indemnification provided herein constitutes Contractor's waiver of immunity under industrial insurance,
Title 51 RCW, solely for the purpose of the indemnification. This waiver has been mutually negotiated
by the parties.
If a lawsuit in respect to this hold harmless provision ensues, the Contractor shall appear and defend
that lawsuit at its own cost and expense, and if judgment is rendered or settlement made requiring
payment of damages by Community Transit, its officers, agents, employees and volunteers, the
Contractor shall pay the same.
3.14
DRUG, ALCOHOL, & TOBACCO USE
The vendor shall comply with Community Transit’s personnel policy “9.5 Prohibiting Tobacco Use on
Company Property” which prohibits tobacco use at any work site or on any company property.
Community Transit has no designated smoking areas. A copy of this policy is available upon request.
The vendor shall comply with Community Transit’s Drug and Alcohol Policy 167-POL-010 which
prohibits the use, manufacture, dispensing, distribution or possession of either drugs or alcohol when
on transit property or when performing transit-related business off property. A copy of this policy is
available upon request.

The quote price shall include everything necessary for the prosecution and completion of the
services as detailed in the specifications including but not limited to furnishing all materials,
equipment, supplies, tools, plant and other facilities, all management, supervision, labor and
service, applicable fees, except as may be provided otherwise in this Quote.
Washington State sales/use taxes shall not be included in the prices. Community Transit will pay
any Washington State sales/use taxes applicable to the Contract price or tender an appropriate
amount to the Contractor for payment to Washington State.
