Escrow Janet Broome – Strategic Accounts and Products Manager ESCROW – What is it? • Software Escrow – a form of assurance for licensees and software owners • Objective of Escrow is to protect and maintain the user’s business continuity and software owners Intellectual Property Rights (IPR) ESCROW – Trigger Events • Within the ESCROW agreement there are several trigger events which if they occur would result in the end user gaining access to the licensed source code Cease Trading or Liquidation Failure to maintain the Escrow Agreement National Computer Centre (NCC) • NCC have source code deposited with them • NCC have contacted all SirsiDynix customers and reminded them of the ESCROW agreement • The agreement is between NCC and the customer NCC and ESCROW • If you do not have an ESCROW agreement there is no need to panic • In reality very few customers would not be able to maintain the source code • Provision in contracts with SirsiDynix ESCROW Questions • Any further concerns contact your customer account manager • More information is available at • http://www.nccgroup.com/services/escrowsolutions/
