CLASSIFIED Advertising Rate Card
effective January 1, 2012
General Terms and Conditions
Assignment
Advertising contracts may not be assigned or transferred by
Advertiser or its advertising agency (if any).
Indemnification
•The Advertiser and its Agency (if any) agree to indemnify, defend
and hold harmless the Newspaper from all claims (whether valid or
invalid), suits, judgments, proceedings, losses, damages, costs and
expenses, of any nature whatsoever (including reasonable attorney’s
fees) for which the Newspaper or any of its affiliates may become
liable by reason of Newspaper’s publication of Advertiser’s advertising.
Billing Information
•Each billing period begins on a Monday and ends on a Sunday.
•The first billing period in each quarter contains a 5-week period
followed by two 4-week periods.
•Special clauses in insertion orders or contracts will not be ­accepted
if relating to legal liability or circulation guarantee.
•Invoices are mailed the week following the close of a period. See the billing calendar included in this rate card for additional
information. Please call (585) 258-2646 for billing questions.
Force majeure
All contracts are conditional on strikes, fires, acts of God or the
public enemy, or any cause not subject to the control of the
Democrat and Chronicle, excluding the Advertiser’s failure and/
or ability to perform.
Payment for Advertising
•The Advertiser shall pay for advertising purchased under its contract
according to the terms indicated on the Newspaper’s invoices.
Incorrect rates in order forms
When orders are forwarded by Advertiser or its Agency which
contain incorrect rates or conditions, the advertising called for
will be inserted and charged at the correct rate in force governing such advertising as provided for in the Democrat and
Chronicle’s rate schedule, and in accordance with the conditions contained in Advertiser’s contract.
•In the event that the Advertiser fails to pay timely as provided for
in the invoices, the Newspaper may reject advertising copy and/or
immediately cancel the Advertiser’s contract.
•If the Advertiser’s contract is canceled due to Advertiser’s failure to
pay timely, the Newspaper may rebill the Advertiser for the outstanding
balance due at the open or earned contract rate, whichever is applicable.
•Acceptable methods of payment are by check, cash, credit card
(American Express, MasterCard, Visa & Discover), money order or wire
transfer.
Holidays Falling on a Weekend
Holidays falling on a weekend may be celebrated on the preceding Friday or following Monday, in which case Holiday distribution would result and advertising charges for the Holiday distribution would be at the Sunday/Holiday rate.
•Billing is non-commissionable and billed at a net rate, with all
­discounts included.
Brokered Advertising
Past Due Balances
•Advertising contracts and rates are for individual local Advertisers.
The Newspaper does not accept local brokered advertising.
•A finance charge of 1.33% per month (16% per annum) will be
charged on any balance received more than 25 days after the
billing date.
•A non-Democrat and Chronicle agent or agency cannot
purchase a volume contract for display space or preprints and resell
it to multiple advertisers.
•The Advertiser shall indemnify the Newspaper for all expenses
incurred in connection with the collection of amounts payable,
including court costs and attorney’s fees.
Taxes
In the event that any federal, state or local taxes are imposed
on the printing of advertising material or on the sale of advertising space,
such taxes shall be assumed and paid for by the Advertiser.
ROP (Run of Paper) Depth Requirements
•Minimum one inch.
•Copy measuring over 18" deep will be charged as full
column or 21".
Cancellations
•For tabloid sections, copy over 9.5" deep will be charged as full
column or 11.75".
•The closing time for cancellations is the same as the space and copy
deadline for black and white material and color material.
Rates Policy
•Cancellations will not be accepted after the space and copy deadline.
•The Newspaper reserves the right to change rates at any time by
giving 30 days written notice.
•The Advertiser will be responsible for any production or
creative services provided by the Democrat and Chronicle regardless
of the cancellation of Advertiser’s advertising.
•An Advertiser may terminate a contract by written notice prior to
any rate change.
Agency commissions
Agency commissions, if any, shall apply to all space charges and
adjustments under the Advertiser’s contract.
•Failure by an Advertiser to give written notice shall be deemed acceptance of rates.
•The Newspaper reserves the right to cancel any contract upon 30
days notice.

General Terms and Conditions
Advertising Guidelines
Below are the basic guidelines for advertising placed in the
Democrat and Chronicle (hereinafter the “Newspaper”). Please
refer to your advertising contract for complete policy and contract fulfillment information.
Credit Check
•The effectiveness of advertising contracts is subject to a satisfactory
credit check on advertiser and/or agency.
Ad Positions
•The rates on this card are for run-of-paper positions.
Copyright
•No positions are guaranteed. Some premium positions are offered.
•All advertising copy which represents the creative effort of the
Newspaper and/or the utilization of creativity, illustrations, labor,
composition or materials furnished by it, is and remains the property
of the Newspaper, including all rights of copyright therein.
•Ad positioning available with a 20% additional charge.
•Ask your account representative for details.
•The Newspaper shall have full latitude with respect to positioning all
advertisements provided, however, the Newspaper will use its reasonable
efforts to accommodate the Advertiser’s positioning request.
•Advertiser understands and agrees that it cannot authorize photographic or other reproduction, in whole or in part, or any such advertising copy for use in any other medium without the Newspaper’s
prior written consent.
Contract Information
•When you sign a contract agreement with the Democrat and Chronicle,
you become eligible for advertising rates much lower than our open,
or non-contract rate.
Photo Releases
•Photographs of individuals to be used in advertising must be accompanied by a signed release from the individual permitting the use of
the photograph(s).
•There is a contract level for all advertisers, whether you advertise
once a month or every day.
•Terms and conditions applying to contract advertisers are explained
on the contract forms.
Copy
•The Advertiser agrees to furnish all advertising copy, complete, to
the Newspaper by the established deadline.
Please call the Democrat and Chronicle at (585)258-2552 to get
more information on the benefits of becoming a contract advertiser.
•In case of copy furnished after such deadline and accepted by the
Newspaper, advertiser agrees to waive the right to have proof submitted
and to assume responsibility for all published errors in late copy.
Joint and Several Liability
•The Advertiser agrees to assume responsibility for all errors in copy
proofread by the Advertiser if the advertisement printed ­corresponds
to the returned proof.
•The Advertiser and its agency (“Agency”) shall be jointly and ­severally
liable for compliance with all the terms and conditions of the Advertiser’s
contract, including payment for all advertising.
•A composition charge will be made when Advertiser cancels any
advertisement that the Newspaper has set for publication.
Sequential Liability
•The Advertiser’s contract voids any statements concerning liability
which appear on an insertion order or other correspondence from an
Advertiser or its Agency, and is irrevocable without the written consent of the Democrat and Chronicle’s Credit Department.
•Advertising copy, the subject matter, form, size illustration and
typography of all advertisements are subject to the approval of
the Newspaper.
•The Newspaper reserves the right to edit, classify, reject or cancel any
advertising copy at any time.
•It is further agreed that the Democrat and Chronicle does not accept
advertising orders or space reservations claiming sequential liability.
•The Newspaper reserves the right to identify copy with “advertisement.”
Rebates/Short Rates
Ad Credits/Corrections
•Space contracts must be fulfilled within one year from the date such
advertising is to begin as specified in the contract.
•The Newspaper agrees to run a corrective advertisement or credit the
Advertiser for that portion of a first insertion which may have been
rendered valueless by the Newspaper’s typographical error, wrong
insertion or omission.
•Should an Advertiser not use the total amount contracted under the
agreement, the Advertiser shall pay for the space actually used at the
rate set out under the appropriate schedule.
•If the advertisement is ordered for more than one insertion, Advertiser
shall notify the Newspaper of such error in time for correction before
the second insertion.
•Any Advertiser who exceeds their original space contract level will
be eligible for a rebate not to exceed one level above the original
agreement.
•The Advertiser’s contract cannot be invalidated, and the Newspaper
will not be liable, for (a) typographic errors, incorrect insertions
or omissions in advertising published by the Newspaper or (b) any
resulting losses.
•Rebates will be issued in the form of a credit toward future advertising
and must be used within the new contract year.
•Frequency contracts are based on consecutive insertions unless
otherwise specified in the contract or rate schedule. Frequency
contracts are not eligible for rebate.
