By 2000 this had fallen to around 140 m2 – nearly a 90% drop. In recent times they have announced that the Tauranga office will be shut down. Is this a symptom of an irreversible trend? Who will replace the likes of State Insurance within the CBD? These are relevant and engaging questions for the business community and our larger society. This dilemma is being faced by CBDs across the world and is by no means unique to New Zealand or to Tauranga. So what is the place of a CBD in the 21st century? Perhaps to answer that we need to look back. Way back . . . to medieval times. Traditionally in Europe the centre of a town had several functions. It was a market place, defensive citadel, location of the church or cathedral and it had the ubiquitous central square. Often a market was held in this square, but it was also a place of discourse amongst citizens. Ideas where shared, people met and attended festivals – perhaps the odd hanging or two. Fast forward to modern times in New Zealand. Which of these functions best exemplifies what a modern CBD could be? Arguably the occasional hanging would bring in a few extra shoppers. But a CBD now needs to compete with the nodes of commercial activity that typify a modern city. In Tauranga we have several of these, ranging from the more traditional such as Greerton and Mount Maunganui, to the corporate spaces such as Bethlehem town centre, Gate Pa, Bayfair, Bay Central and Fraser Cove. These corporate spaces provide a certain homogeneity – modern retail experiences with lots of national retailers, anchored by supermarkets and/or departments stores. Typically located in what are by and large pleasant enough settings and with the added bonus of free parking. But is that all we want out of our city? Tauranga’s CBD has a lot going for it. It is surrounded by one the world’s most beautiful harbours and with a naturally terraced peninsula shape that lends itself to taking advantage of these water views. It has significant areas of residential occupation around it – The Avenues, Mount Maunganui, Otumoetai etc. Despite expensive geographical hurdles, the city has been able to provide some very good transport routes into the city – our excellent harbour bridges, the Chapel Street causeway and the Waikareao Expressway. To some extent then it is like a vastly scaled down Manhattan. For those of us that have been fortunate enough to visit New York in recent times, it can be clearly marked as a city centre that has reinvigorated itself. Manhattan is also a peninsula shape, geographically isolated from nearby land masses (Brooklyn and Jersey), but with good transport routes into it. Why is it a success? People want to be there. Our CBD has independent retailers, numerous cafes, pubs, excellent restaurants, a cinema and public spaces. Most prominently the public spaces consist of Red Square, The Strand Reclamation and the Domain. We own these spaces and have freedom of expression within them. In malls we are there to simply consume. They are not designed to share ideas or to meet with no other intention but that of consumption. Malls have their place, but surely so too does our city centre. If our CBD is to be relevant it will need to provide something different from the malls. It can be a meeting place, a location for city events, markets, concerts and use of the fantastic asset we have in the harbour. It needs to have a retail environment not available in the malls. Finally, it also needs to be a place of work and a living space. It should provide the sort of space that our city’s corporate tenants want to be in, and an area of activity day and night. Surely this means having people living in and around the CBD in greater numbers. There have been some excellent CBD developments planned, underway or completed recently. Plus, Tauranga’s population continues to grow and grow. We have also seen some very positive city centre sales over the last year. These give a vote of confidence in the CBD’s future and there are new tenant’s coming into the CBD. Both Trustpower and the BOP Polytech are vastly expanding their presence in the CBD. New companies have also emerged that weren’t in existence when State Insurance began downsizing. Could it be that although the vast ship that is our CBD takes a long time to turn around, there are signs that this is underway? Whilst council needs to play it’s significant part in this, some of the impetus for change is going to come from CBD property owners and tenants. A restructuring process can give rise to commercial and tax implications that you will need to address. Plunging into a change in structure without an understanding of what the implications are, could be damaging or costly to unravel. Unfortunately, many business owners hesitate to seek professional advice from their accountant ahead of instigating major change due to concerns about that initial expense. Yet, the cost of ill-conceived or poorly executed changes can be far more financially detrimental than a bill from their advisors. When investing in property or restructuring a property investment one must carefully consider all options and one of the most important decisions a person will make and is whether the structure is appropriate for you in both the short term and the long term. Your choice of structure will impact on: • • • • • • • • • • How the structure is managed The distribution of capital and/or profits Compliance with laws and regulations Taxation Set up, conveyance and ongoing costs Financial reporting requirements Ease of operation, management and governance Your ability to avert challenges and attacks from predators, creditors and family Your matrimonial situation Succession planning A company structure for example provides limited liability (protection from business risks) and ease of partial or gradual transfer of ownership (often required as part of a succession plan). Then there is the added benefit of the lower 28% tax rate for any profits retained and re-invested in the business. But a company can have negative tax implications depending on how things are managed. For example unless a company is elected into the Look Through Company (“LTC”) regime any losses incurred are potentially ring fenced or trapped in the company to be offset against future income on the investment. There are various ways of owning assets. Whether you own assets personally, in partnership or even own the family company shares, you can be left in a vulnerable position either on death or vulnerable to attacks from creditors, predators and family. Suffice it to say, it is critical that you make restructuring decisions with your “eyes wide open”. Make that initial investment to talk things through with your professional advisors, ensuring you are clear about the implications of any changes. A common example is exiting the LTC – effectively the shareholders in the company will have a deemed disposal of the underlying assets in the company. If you have depreciated assets in the past there is likely to be a significant tax bill for shareholders as a result of exiting a LTC. Lots of restructuring decisions are based on getting out of something, simplifying your life or moving on. In these cases, you might already think you know what you need to do. But without full and frank discussions with an expert advisor, you could risk making decisions that require further time and money to resolve or unravel. Talking through your plans will also help clarify what you are trying to achieve, bring the bigger picture into focus, help confirm all your options and very often present alternatives you would not otherwise have considered. Life plans – If you are heading overseas, things can get complicated if you use New Zealand Companies and Trusts as a foreign resident. You may unnecessarily increase your compliance and tax costs in New Zealand. Also, if you become a resident of a country with capital gains tax, selling your New Zealand investments may trigger a tax obligation in your resident country. Long-term costs – It is important understand the long term compliance costs of a restructure as more complicated business and investment structures may open the door to increased reporting and disclosure requirements. Risk - Are you increasing your exposure to risk? How well protected are your assets from predators, creditors and family claims? And, how much flexibility do you have to make changes in the future? Other parties - Loans, advances and inter-entity transactions occur frequently in families and often are inadequately considered. Are any parties going to be disadvantaged by structure changes? Are there any cultural or religious issues that may crop up? These are just some of the considerations and every situation will have its unique factors. Talking through your restructuring options with an accountant will give you an outline of how this will impact your goals, an indication of the financial realities of any changes and a procedure that will deliver the best outcomes. It is important for any discerning property investor to understand this disclosure regime if they want to complete proper due diligence prior to purchasing a unit in that Body Corporate. With the prevalence of weathertight and other construction issues, it is important for purchasers in particular to be aware of the risks of buying into Body Corporate developments. It is important to note that there is actually a prohibition on contracting out of the disclosure regime under the Act. In most circumstances, failure to provide the disclosure statements may delay settlement of the purchase until disclosure is made or alternatively allow the purchaser to cancel the agreement. The Act specifically states that a purchaser may rely on the disclosure statements provided to them. Pre-contract Disclosure Even before a purchaser enters into an Agreement for Sale and Purchase of a unit, the vendor must provide a disclosure statement to the purchaser. There is a specific form outlining the prescribed information in the Act and its Regulations that needs to be included in this statement. This disclosure statement is divided into two parts. Part one sets out basic unit information, including key definitions associated with Body Corporates. Part two of this statement sets out specific information about the unit, such as: 1. The amount of the contribution levied; 2. The period covered by the contribution; 3. What the next 12 months’ levies will be; 4. Any maintenance to be carried out in the next 12 months; and 5. Various other information about Body Corporate accounts etc. Importantly it contains a statement as to whether the unit or common property has been subject to a claim under the Weathertight Homes Resolution Services or other civil proceedings relating to water penetration of the buildings in the unit development. Two important things to note about this pre-contract disclosure statement are that the statement regarding weathertightness is only concerned with whether a claim is currently on foot, not whether one is anticipated or pending (although if that eventuates before settlement there is a duty on the vendor to disclose the change to the purchaser) and, secondly, the form is signed by the vendor and not by the Body Corporate itself (meaning there is unlikely to be liability to the Body Corporate if the precontract disclosure is incorrect). Additional Disclosure Statement A purchaser may request an additional disclosure statement prior to five working days after the date that the agreement was entered into or prior to the closing of the 10th working day before the settlement date (whichever is earlier). The vendor may put the cost of the additional disclosure statement onto the purchaser. An additional disclosure statement contains: 1. The contact details for the Body Corporate and committee; 2. The balance of all the funds in accounts that the Body Corporate has; 3. Any outstanding invoices; 4. Details of expenses; 5. Amounts owed to the Body Corporate; 6. Details of insurance; 7. Details of every current contract entered into by the Body Corporate; 8. Details of every lease entered into by the Body Corporate; 9. Details of motions voted on at the last General Meeting; 10.Copies of the Operational Rules if different from the prescribed Body Corporate Operational Rules and Regulations; and 11.A summary of the long term maintenance plan. The additional disclosure statement provides important information on the solvency of the Body Corporate, its contractual arrangements, obligations and the long term maintenance plan. Pre-settlement Disclosure to Purchaser No later than the fifth working day before the settlement date, the vendor provides a disclosure statement. This contains prescribed information and is accompanied by a certificate given by the Body Corporate, certifying the information in the disclosure statement is correct. The pre-settlement disclosure statement largely confirms some of the previous information in the pre-contract disclosure statement, but goes on to outline specifics about the unit, such as: 1. Whether a levy is outstanding; 2. Whether legal proceedings have been instituted in relation to any unpaid levy; 3. Whether any other charges or costs are outstanding; 4. The rate of interest which may be accruing on any outstanding money; 5. Whether there are any proceedings against the Body Corporate; and 6. Whether there have been any changes to the Body Corporate Operational Rules since the additional disclosure statement or the precontract disclosure statement. The pre-settlement disclosure statement outlines the risks of buying into the specific Unit where there might be extensive ongoing litigation. Once again it is unclear whether proceedings that have been threatened but not brought yet have to be disclosed to the purchaser. Unpaid levies are important to be aware of and factored into the purchase price. Levies under the Act run with the Unit and may be recovered from future owners and can significantly reduce the benefit of buying a Unit. Because the levies outstanding are only disclosed in the pre-settlement disclosure statement it is recommended that the amount of levies outstanding is specifically requested prior to the agreement being entered into (or a clause inserted allowing for a deduction from the purchase price). Note that the Body Corporate does certify the pre-settlement disclosure statement meaning that if the statement is wrong there maybe liability for the Body Corporate to the vendor and/or the purchaser. Practical Tips It is important for a purchaser to understand how the particular Body Corporate is run. This includes both the detail of how the Body Corporate Committee operates, such as what delegations that the Committee may have (powers it can exercise without all the owners voting), through to who the Building Manager is, how they operate and whether there is a letting pool on site. Many developers under the previous Unit Titles Act 1972 set up their own Body Corporate manager company and then entrenched this company as the manager. This has led to many Body Corporate management agreements being “manager friendly” and for terms of, in some cases, up to 30 years. If intending to let out your apartment, understanding the letting pool arrangements that are in place is also important. Largely, understanding the Body Corporate can come down to understanding personalities; both on the Committee, in management and fellow owners. I suggest, if possible, asking around about a Body Corporate’s reputation or wandering around the Body Corporate to see how it feels prior to purchasing.
