I, the undersigned distributor of SPM, hereby agree to abide by the following terms and conditions
of this contract:
1. The exclusive dealers and distributors of SPM have no employer-employee relationship with
the Company. But they are bound by the Company rules on ethics and other policies. They may
not act as dealers, sales agents or distributors of any other business entity that is a direct
competitor of SPM.
2. SPM dealers/distributors are authorized to sell Spectrum products at prices set by the
Company. They may not sell them at prices below or disproportionately above the Company-set
limits.
3. Dealers and distributors are not allowed to recruit as distributor any member of the immediate
family of anyone who is already enlisted as Dealer or Distributor of SPM.
4. Any individual may enlist as SPM Distributor under any authorized sponsor provided, however,
that he/she is not below EIGHTEEN years old at the time of enlistment and not mentally
incapacitated.
5. Anyone who is currently a dealer or distributor of another multilevel company may enlist as
SPM dealer or distributor provided that he/she may no longer recruit any dealer/distributor for the
other MLM company. He/she is also prohibited from recruiting any SPM dealer/distributor to
become a dealer/distributor of any other MLM company.
6. A dealer/distributor may transfer his/her distributorship to any individual person only with the
prior permission of the Company.
7. The Company reserves the right to transfer to the distributor’s legal heir his/her distributorship
and its accrued benefits if the distributor dies or becomes incapacitated.
8. Any SPM dealer/distributor proven violating any of the aforementioned rules shall be subjected
to disciplinary action, including but not limited to outright termination of his/her
dealership/distributorship.
9. If in the best judgment of the Company a dealer/distributor is guilty of any serious act against
SPM or against any other SPM dealer/distributor, his/her distributorship may be terminated, and if
necessary, other legal action may be taken against him for damages. 10. The company has the
right to ammend the rules, policies of the business plan where the company deemed it necessary
for the benefit of both parties.
