2015 VF Market Vendor Information and Agreement Form __________________________________________________________("Vendor/Artist name” ) requests Orlando International Fringe Festival of Central Florida, Inc. ("Fringe") to enter into the following Contract with Vendor. Vendor acknowledges that this Contract shall become effective only upon the acceptance of this Contract by Fringe as evidenced by the signature of Fringe's authorized representative in the space provided below. WITNESSETH that in consideration of mutual promises and covenants contained herein and other good and valuable consideration the receipt of which is hereby acknowledged, Vendor and Fringe agree as follows: 1. Fringe agrees to provide Vendor with Space (as defined below) at the Orlando International Fringe Festival ("Festival") to be held at Orlando Museum of Art, located at: 2416 N Mills Ave, Orlando, FL 32803 on the following dates: May 16 & 17 and 23 & 24 from 4pm until 8pm both days of each weekend. 2. Vendor acknowledges that the location of Vendor's space(s) is within the sole discretion of Fringe. 3. Vendor/Artist agrees to: A. Set up within the allotted space, for the alloted time, vendor may not leave prior to 8pm both days. B. Pay to Fringe a $70.00 non-refundable fee per weekend or $130.00 for both weekends per spot (paid in cash or check no less than a week prior to set up) C. fully and completely indemnify Fringe and Festival for any act by Vendor, its employees or patrons which results in personal Injury or property damage; E. assume full responsibility for theft, loss, or damage, and Vendor waives any and all right of recovery from Fringe for property damage, or loss of use thereof, howsoever occurring; F. sell only items created by Vendor/Artist, no buy-sell merchandise will be allowed. 4. Fringe may terminate Vendor's rights under this Contract If Vendor violates any applicable federal, state, city and Festival rule or regulation and the vendor fee shall be forfeited. B. Sole Agreement, Amendment. This agreement supersedes and replaces any prior agreement(s) or understanding(s) of any type between the parties. This agreement may be amended only by a written instrument executed by both parties. C. Benefit. All rights and obligations of this agreement shall bind and inure to the benefit of the parties and their respective heirs, executors, administrators, assigns, and successors. D. Non-waiver. No delay or failure by a party to exercise any right under this agreement, and no partial or single exercise of that right, shall constitute a waiver of that or any other right. E. Headings. Headings in this agreement are for convenience only and shall not be used to interpret or construe its provisions. F. Attorney's Fees. In the event either party commences legal action to enforce its rights under this agreement, the prevailing party shall be entitled to reimbursement from the other party of its reasonable attorney's fees and costs, including any appeals. 5. The VF Market will be held rain or shine, no refunds or reimbersals will made to the vendor. 6. Orlando Fringe Theater Festival will do its best to market the event, vendors will need their part to help insure the best outcome for each day of the event.
