20 October 2014 EXPRESSIONS OF INTEREST APPROXIMATELY 3 - 4 MTPA OF PERMANENT COAL EXPORT CAPACITY AT RG TANNA COAL TERMINAL Gladstone Ports Corporation Limited (GPC) is seeking immediate expressions of interest from appropriate entities wishing to secure up to approximately 3 to 4 million tonnes per annum of permanent coal export capacity at the RG Tanna Coal Terminal at the Port of Gladstone (Available Capacity). The Available Capacity: • is available from 1 December 2014 for a minimum term of 15 years; • includes corresponding stockpile area capacity at the RG Tanna Coal Terminal; • is priced at GPC’s current market rates for coal handling and export shipping capacity; • will be charged on a “take or pay” basis; and • will be made available on GPC’s standard commercial terms, which will require any successful entity taking up all or part of the Available Capacity to enter into a Coal Handling Agreement with GPC. The Available Capacity may be taken up as one parcel or may be allocated between several parties expressing interest. GPC expects that any successful entity taking up the Available Capacity will have secured appropriate corresponding above and below-rail capacity to support the Available Capacity. The RG Tanna Coal Terminal is owned and operated by GPC. Further information on GPC, the RG Tanna Coal Terminal and the Port of Gladstone is available at: http://www.gpcl.com.au/. Expressions of interest for the Available Capacity are requested from interested parties by 3.00pm on Friday 7 November 2014 by providing written notice in accordance with the instructions set out below. Third parties who GPC considers hold the financial and other relevant resources to perform its obligations under the Coal Handling Agreement. Notwithstanding the allocation guidelines referred to above, GPC reserves its right to make decisions in respect of the allocation of the Available Capacity that depart from those guidelines, at its discretion. Expressions of interest must be submitted in writing and include the following information: • name, ABN and contact details (including the authorised representative) of the entity seeking the Available Capacity; • the date from which the Available Capacity is sought and proposed minimum term; • the volume (Mtpa) of Available Capacity sought (and any associated ramp-up requirements); • the source mine/s from which the entity will supply coal for handling at the RG Tanna Coal Terminal (if applicable); • reasonable details of the entity’s financial and other relevant resources which demonstrate its ability to meet contractual commitments in respect of the Available Capacity for the minimum term; • details of the corresponding above and below-rail capacity held (or intended to be held) by the entity to support the Available Capacity; and • any approvals / timetable for a Coal Handling Agreement to be unconditional. GPC may require parties submitting an expression of interest to enter into further confidentiality arrangements with GPC in order to further progress in this process and obtain further detail in relation to the terms on which the Available Capacity will be made available. Entities submitting an expression of interest acknowledge that GPC may use the information provided in that expression of interest for the purpose of evaluating the suitability or otherwise of that entity for the allocation of Available Capacity, and may disclose that information to its shareholding Ministers or relevant officers of a government agency (or their advisers) as required. This request for expressions of interest is an invitation only and does not constitute an offer which is capable of acceptance. No contract is entered into between GPC and any entity that submits an expression of interest for the Available Capacity unless and until a Coal Handling Agreement has been formally executed between the relevant parties.
