CS ACTIVATION AGREEMENT
Congratulations on today’s purchase! As part of Verizon Wireless’ (“Verizon”) largest authorized retailer, the Cellular Sales entity set forth in the attached
Bill of Sale (“we” or “us”) is appreciative of the opportunity to have served you. Your purchase today is subject to, and governed by, the Cellular Sales
Customer Agreement which consists of (i) the attached Bill of Sale, (ii) this CS Activation Agreement (one for each wireless device purchased), and (iii) the
CS Customer Agreement Terms and Conditions which can be accessed and are set forth at www.cellularsales.com/legal/csa. In addition, the telephone
number or data line associated with today’s purchase is subject to, and governed by, the Verizon Wireless Customer Agreement (your “Verizon
Agreement”).
 Worry Free Guarantee. We hope you are very satisfied with the wireless device you purchased today which is more fully described in the Equipment
Discount provision below (your “Device”). We realize, however, that, after using your Device for a few days, you may decide that it is not exactly right for
you. We are happy to provide a refund or credit toward an alternative device provided: (i) you return the Device to a Cellular Sales store within 14 days,
with today being day 1 (the “Worry Free Period”) and (ii) the Device is returned in the original box along with the included accessories, packaging & UPC
label, all in like-new condition. If you return your Device and elect to cancel your Verizon Agreement rather than select an alternative device, the
RESTOCKING FEE then in effect will apply (see www.cellularsales.com/legal/csa) and CERTAIN VERIZON FEES MAY NOT BE REFUNDED (see below). Please
be advised that if the returned Device does not meet the requirements of (ii) above, you may be charged up to $100.00; provided, however, if the returned
Device is inoperable or damaged, you will forfeit the Equipment Discount and agree to reimburse us in accordance with the Equipment Discount provision
below. RETURNED DEVICES MAY BE RESOLD. YOU ARE RESPONSIBLE FOR DELETING ALL DATA ON ANY RETURNED DEVICE AND AGREE TO HOLD US
HARMLESS FROM AND AGAINST ALL CLAIMS ARISING FROM THE EXISTENCE OF YOUR DATA ON THE RETURNED DEVICE.
 Equipment Discount. WE ARE PLEASED TO HAVE APPLIED A SIGNIFICANT DISCOUNT TOWARD THE PURCHASE PRICE OF YOUR DEVICE ( [insert
make/model/ESN] ) TOTALING [$insert ED] (the “Equipment Discount”). The Equipment Discount is subject to the following conditions which must remain
satisfied during the next 181 days: (i) the Verizon account (your “Verizon Account”) associated with the following telephone or data line: [insert Applicable
MTN] (the “Applicable MTN”) must remain active and in good standing as to the Applicable MTN; (ii) the plan minutes, data package and features now
active with the Applicable MTN must not be reduced to levels which result in a deactivation chargeback to us from Verizon; and (iii) your Device must be
initially connected to, and remain connected to, the Applicable MTN. IN THE EVENT OF A FAILURE OF ANY OF THESE CONDITIONS, YOU WILL FORFEIT
YOUR EQUIPMENT DISCOUNT, AND YOU HEREBY AGREE TO REMIT IT TO US ALONG WITH APPLICABLE SALES TAX. In such event and in order to facilitate
the remittance, if you used a charge, credit, or debit card (each, a “Payment Card”) for today’s purchase, YOU HEREBY AUTHORIZE US TO CHARGE THE
EQUIPMENT DISCOUNT TO YOUR PAYMENT CARD. In the event you did not use a Payment Card for today’s purchase, or in the event that the Payment
Card you used does not accept the Equipment Discount charge, you agree to remit full payment within 10 days following demand.
 Privacy Policy. In the course of our dealings, we will collect and store information which will be used and protected in accordance with our Privacy Policy
(available at www.cellularsales.com/legal/csa). We will share information with Verizon to fulfill your request for wireless service. We will also use
information to assist in the servicing of your Verizon Account as well as to contact you, by phone, email, text message, or other means as deemed
appropriate, regarding products and services offered by us. We and/or Verizon may perform an identity and/or credit check as a part of our fraud
protection and order fulfillment process. We may retain and use your payment information in order to ensure compliance with the Equipment Discount
terms and conditions.
 Dispute Resolution. Any dispute arising from today’s purchase and from any subsequent dealings related to today’s purchase will be decided by
arbitration in accordance with the Dispute Resolution provision set forth in the CS Customer Agreement Terms and Conditions which can be accessed and
are set forth at www.cellularsales.com/legal/csa.
 LIMITATION OF LIABILITY. TO THE EXTENT ALLOWED BY LAW, YOU AGREE THAT OUR LIABILITY TO YOU FOR MONETARY DAMAGES FOR ANY CLAIMS
THAT YOU MAY HAVE AGAINST US RESULTING FROM ANY AND ALL ACTS AND OMISSIONS OF ANY NATURE WHATSOEVER ARISING OUT OF, OR
RELATING TO, TODAY’S TRANSACTION, INCLUDING THE PRODUCTS, DEVICES, AND SERVICES SOLD OR OFFERED, AND ANY FOLLOW UP SERVICES OR
TRANSACTIONS SHALL BE LIMITED TO DIRECT DAMAGES NOT TO EXCEED (i) THE “TOTAL DUE” SET FORTH IN THE APPLICABLE BILL OF SALE FOR THE
LEAST COSTLY DEVICE PLUS (ii) THE COST OF THE LEAST COSTLY APPLICABLE MTN, AS CURRENTLY CONFIGURED AND WITHOUT OVERAGE CHARGES, FOR
THE TWO-YEAR TERM OF YOUR VERIZON AGREEMENT. UNDER NO CIRCUMSTANCES ARE WE LIABLE FOR ANY INCIDENTAL, CONSEQUENTIAL, PUNITIVE,
MULTIPLE, OR SPECIAL DAMAGES OF ANY NATURE WHATSOEVER, INCLUDING, BUT NOT LIMITED TO, LOST PROFITS, INCOME OR BUSINESS; MENTAL
ANGUISH; EMOTIONAL DISTRESS; OR THE COST OF REPLACEMENT PRODUCTS AND SERVICES.
By signing below, you acknowledge that you have read, understand, and consent to the terms and conditions of the CS Customer Agreement, including, but
not limited to, the Dispute Resolution Policy. Furthermore, you authorize us to retain your Payment Card information in the form of a secure Multi-Pay
Token and to charge your Payment Card to recover the Equipment Discount, if forfeited, in accordance with the terms and conditions of the Equipment
Discount section set forth above.

Notable Terms and Conditions of your Verizon Agreement. The following summary is provided for your convenience. Please refer directly to your Verizon
Agreement for all applicable terms and conditions. In the event of a conflict between the following summary and the actual terms of your Verizon
Agreement, the Verizon Agreement shall control. A specimen copy of the Verizon Agreement can be accessed at: http://www.verizonwireless.com.
 Cancellation – You may cancel your Verizon Agreement within 14 days for any reason (today is day 1). BE ADVISED, HOWEVER, THAT ACTIVATION FEES
AND UPGRADE FEES WILL NOT BE REFUNDED AFTER 3 DAYS.
 ETF - Your monthly obligation to Verizon for the Applicable MTN will continue for a period of 2 years (the “Term”). In the event that the Applicable MTN
is deactivated prior to the end of the Term, you will be subject to an Early Termination Fee (the “ETF”). The ETF for Smartphones is $350, less $10 for each
completed month of the Term. The ETF for Feature Phones is $175, less $5 for each completed month of the Term.
 New Line/Add a Line - If you are a new Verizon customer or if the Applicable MTN was added to your existing Verizon Account, a $35 ACTIVATION FEE was
charged to your Verizon Account.

 Device Upgrade - If you upgraded your Device (i) a $30 UPGRADE FEE was charged to your Verizon Account and (ii) you will be transitioned to a TIERED
DATA PLAN.
