Dear Potential Wholesale Account,
We wish to thank you for your interest in Go Green Sustainable Industries, LLC
(GGSI). We hold your business in high regard; as such, we carefully screen and
approve Wholesale Account requests to allow us to grow and meet your needs at a
pace that won’t sacrifice our business and families, or yours.
Please consider the following terms of our Wholesale Accounts, and if you are in
agreement, complete and sign the application below, emailing the requested
documentation to us at [email protected] or fax to (509) 621-5044. Once we determine
that our interests are mutually beneficial, we’ll send you our price list and other
applicable information, including access to our wholesale-only website.

DOCUMENTATION TO SUBMIT WITH YOUR COMPLETED AND SIGNED WHOLESALE
AGREEMENT, TERMS OF SALE, AND WHOLESALE APPLICATION:
All GGSI Wholesale Accounts must maintain a current reseller certificate on file (in Washington State,
this is your UBI or business license number). Also, two of the following MUST accompany your
Wholesale Application:

is owned by the entity applying for Wholesale Account
A picture of your brick and mortar retail store
Verification of dedicated business telephone number (or
other utility) in the name of the applying Wholesale Account
OR a copy of business card (or other identifying stationery)
in the name of applying Wholesale Account
Please note: Wholesale Applications are reviewed within five business days of receipt. We may
contact you for clarification or to request additional information that will help us understand how we
can best meet your needs.

Your submission of this Wholesale Application indicates that you agree to the terms of the following Wholesale Agreement:
MINIMUM ORDER REQUIREMENTS
GGSI offers four Wholesale Account purchase options,
based on volume, as outlined below. Once you establish
your account at a certain level, you may change your
Wholesale Account level by making the minimum initial
order at the level required for the desired Wholesale
Account. All subsequent orders must then match the
minimum reorder for that level, except as outlined in the
“Drop Ship Program” section of this Agreement.

MSRP
Products or goods purchased from GGSI shall only be sold
at the manufacturer’s suggested retail price (MSRP). In
the event the Wholesale Account chooses to place the
products or goods for sale at a discount, the Wholesale
Account shall not discount the products more than 10%
below MSRP. Products may be sold at other rates during
special store-wide sales.
WEB COMMERCE
No products or goods purchased from or produced by
GGSI shall be resold by or through any on-line auction or
online store (such as Ebay, Amazon, Hyena Cart or other
similar sites) without the express, written authority of
GGSI. If Wholesale Account is planning to sell products
purchased or produced by GGSI in an online
marketplace/store NOT owned by Wholesale Account,
priori approval must be granted by GGSI.
CUSTOMER SERVICE
GGSI requires its Wholesale Accounts to maintain
adequate working knowledge of our products to provide indepth customer service to your end consumer. GGSI will
make available marketing materials in various forms for
your customers to take home with them (at your discretion)
to help them with fit, laundering instructions, etc. Of
course, if at any time you receive a question that you
simply cannot answer, feel free to contact GGSI Customer
Service.
RECYCLING PROGRAM
Participation in our Recycling Program is voluntary, but
strongly encouraged. GGSI was formed from a deep
desire to reduce the amount of waste headed to landfills,
incinerators, etc., as generated by the industry in which we
participate. As such, we use polar fleece textiles in some
of our products that are recycled AND recyclable. As an
extension of your customer service, we’d like you to
encourage your customers to share their diapers that are
no longer being used with their neighbors, friends, and
family, or even donate them to a local women’s shelter or
thrift store (for instance), OR develop your own reusable
donation station. Beyond this, for our recyclable products
we ask that you make available a drop-box (for brick and
mortar retailers) or mail-in return program where your
customers may return products to you (at no cost) at the
end of their useful life for recycling by GGSI. When you
have accumulated six or more products, contact us for a
Return Authorization Number, which we will send to you
along with a pre-paid shipping label. This is a very small
thing we ask you to do, with a potentially far-reaching
impact.
DROP SHIP PROGRAM
We understand that some of our retailers prefer to drop
ship instead of carry inventory. We have a dedicated
Drop-Ship Wholesale Level; other Wholesale Levels are
subject to limitations to the number of drop-ships allowed
in a month. Such levels are set in place as drop-shipping
smaller “onsie-twosie” orders DO increase our shipping
costs and efficiencies. We expect that the higher-volume
Wholesale Accounts should carry enough inventory to not
need drop ships on a regular basis. Additionally, lower
prices on higher volume Wholesale Accounts include
discounts for shipping larger orders at one time.
Drop ship orders must be pre-paid at your Wholesale
Account level pricing.

PACKAGING
With so many retailers in this industry, all with various
display and shipping needs, we’ve elected to give you the
choice in how you want your diapers packaged (or not
packaged, as the case may be). Among the options
available are hangtags with SKU bar codes, a beautiful
booklet (“The Everything You Need to Know About
LolliDoo™ Diapers Handy Little Pocket Book”) that informs
your customer ALL about their new LolliDoo Diaper: how
to adjust sizing, how to launder it, how it’s made, etc.
Additionally, we have available for download in our
wholesale website some materials that you may print and
distribute as you require. Product packaging options are
available as add-ons to your Wholesale Account order.
Orders with ship with current default packaging unless
otherwise requested.
PRODUCT IMAGES
GGSI will make available on its Wholesale Website
images that you might require for your print and online
presence. Should you require any additional images,
please contact us. Any imagery you provide yourself must
be approved prior to use (please allow adequate lead-time
for approval; two weeks is recommended).
PRODUCT SAMPLING
We’d like you to feel free to “test” any new products
offered by GGSI before bringing them into your inventory.
By the time we introduce them to you, they’ve been heavily
tested and we feel confident you’ll love them. But, we’re
realistic enough to know that it’s difficult to commit to
something sight unseen. We want you to LOVE our
goodies, and to share them with those who seek them.
As such, we have developed a Sampling Program,
whereby potential Wholesale Accounts may purchase
ONE product of each style at 10% off MSRP. Existing
Wholesale Accounts may purchase any NEW products
introduced by GGSI (limited to ONE per style) at your
respective Wholesale Account level price without meeting
the minimum reorder requirement for your level
WHOLESALING/RESELLING TO WHOLESALE
ACCOUNTS
Any Wholesale Account who distributes GGSI goods and
products to any entity for re-sale must require their
customer to strictly adhere to these same Wholesale
Account guidelines as set forth in this Wholesale
Agreement. Any Wholesale Account who does not
enforce these guidelines with their own re-sale customers
will be subject to termination of this agreement.

PRODUCT AND RETAIL MARKETING BY GGSI
GGSI will, at its discretion, invite you to participate in
certain advertising and marketing opportunities, some of
which might be joint endeavors. An example of this might
include an advertisement in a magazine where retailers
will have the opportunity to split the cost of the ad between
GGSI and other retailers who elect to participate. GGSI is
also open to supporting you with advertising in your local
publications. Please contact us for information.
Participation in such promotion is voluntary and not
required in any way. Additionally, GGSI will maintain a
“Where to Buy” page on our website to direct consumers
to a list of retailers from which they may choose to
purchase their GGSI products.
LOLLIPLACE.COM
LolliPlace.com is GGSI’s online shopping cart for both
retail and wholesale ordering. You can sign up for a free
account on the site, but will need to contact us for account
approval at your respective Wholesale Level. Drop
shipping is easy from LolliPlace - just enter your address
as the billing address and the consumer in the shipping
address.
PAYMENT OPTIONS
At this time, GGSI is not extending credit terms. All orders
must be accompanied by pre-payment. You may order
from LolliPlace.com or by fax with credit card or Paypal
payment, or you may alternatively mail your order along
with credit card information or check or money order.
Orders sent with check payment will be held until the
check has cleared our bank (usually just a few days, but
may take 7-10 business days).
SHIPPING ERRORS, RETURNS, AND WARRANTY
Order errors must be brought to GGSI Customer Service
attention within 5 business days of receipt of shipment.
Wholesale sales are considered final with no returns. We
endeavor to protect your reputation, and ours; if you or
your customer finds an issue related to elastic or
manufacturing defects during the first 90 days, we will
work with you to find a resolution. If the issue pertains to
snaps at any time during the life of the diaper, we will
repair or replace it (at our discretion).
MERCHANTABILITY AND MISREPRESENTATIONS
Wholesale Account agrees that GGSI makes no warranty,
express or implied, as to the merchantability of GGSI
products. Wholesale Account also agrees that GGSI is not
liable for any misuse or misrepresentations of the goods
by the Wholesale Account or the final retail purchaser or
consumer, and indemnifies GGSI for any legal actions that
emanate from such actions.
GGSI reserves the right to change the terms of this Agreement or to revoke approved Wholesale Account as necessary.
