Workshop Leader: Richard Cross, Senscia. Frmr Deputy Chief Risk Officer, SWIFT & Frmr CISO, Toyota Europe
Richard is a person who makes sense of change. His education and career have spanned many diverse disciplines and industries, enabling him to look back and think forward. His earliest working days were spent
in the Financial Management industry, focusing on training and communication activities, responsible for the use of new technology for that company, and gadgets for his own curious mind: business and pleasure.
Almost by accident he came to work in a government intelligence unit in London which proved to be fertile ground for bringing together use of secure information and engaging with varied human behaviour.
He provided information security consultancy to one of the world’s biggest oil companies then moved on to become CISO at Toyota Europe, which subsequently became the world’s largest auto-manufacturer.
Never content to see Information Security as a stand-alone risk, he persuaded the car guys to remove him from the IT hierarchy and start using Enterprise Risk Management techniques from the Corporate
Offices. Three years were then spent at SWIFT, the systemically important High Value Payments system for the Banking & Securities industries, as Deputy Chief Risk Officer. Richard is now developing his own
consulting company, advising organisations how to better understand the changes they are facing, combining rational and intuitive approaches for managing risk, without falling into the trap of blind risk aversion.

CEO GOVERNANCE VIEW KEYNOTE The Conduct of Cross-border Commercial Banking
This keynote will offer rare insights from the former Chief Executive of British
Arab Commercial Bank on board and committees (governance), regulation and
risk controls in individual business lines.
Michael Parr holds various board appointments including Member Executive Committee, Joint Arab British Chamber of Commerce. From 2002-2013 he was Chief Executive Officer of the British Arab Commercial Bank (BACB), a leading London-based trade finance bank for MENA. As with CEOs of all firms regulated by PRA/FCA, regulation particularly in the areas of fraud, AML, KYC and bribery required vigorous and detailed compliance with government laws and guidelines. During his time with BACB, regime changes in the Arab world required alternative business development strategies in sub-Saharan and tropical Africa which were introduced with a focus on structured commodity transactions, elevated risk analysis and due diligence. Prior to this role, Mr. Parr was Head of Corporate & Institutional Banking MI and Systems with HSBC Holdings PLC. In 2015, Mr. Parr will be joining GEECO Consultants Limited in Malta. GEECO will provide political analysis whilst assisting Fortune 500 corporations develop business strategies in MENA countries with an emphasis on Libya, Algeria, Morocco, Oman, and Kuwait as well as providing advice on corporations seeking to assist rehabilitation of business conditions in Iran.

increased expectations in the ever changing world of risk, compliance and
technological innovations.
What are ideal roles for the audit committee?
What is the role of audit committee with regards to risk management?

ROUNDTABLE Board Audit & Governance Committee Oversight in the Middle East
Dr. Lesley Perman-Kerr, Managing Director, Vivant Artemis
Hear fascinating insights into how the psychological impact of critical incidents
can be mitigated with practical advice and intervention. As professionals
dealing with day to day risk management, there is much to be learned about
the way we respond to critical incidents and how this will almost always affect
behaviour and performance. Lesley takes the example of a kidnap to
demonstrate how we can reduce psychological injury through preparation,
real-time intervention and post-incident recovery. She will draw useful parallels
with the corporate world, the way we respond psychologically to risk, whether
that is in managing a team to combat a cyber-attack, protecting whistleblowers or conveying key messages to the Board and media.
Dr Lesley Perman-Kerr is a Consultant Chartered Psychologist. In her private practice she
specialises in treating trauma-related conditions. Elsewhere working with organisations she
utilises her understanding of human psychology, neuroscience and trauma to resolve the
psychological impact of critical incidents and to advise on how to prepare psychologically for
exposure to hostile environments and to survive kidnap and its aftermath. She has assisted
Business Organisations, the UN, NGOs, survivors and their families on: Kidnap and piracy
incidents in the UK and overseas. Incident locations have included Mexico, Argentina,
Colombia, Georgia, Afghanistan, Iraq, Pakistan, Nigeria and Somalia. Traumatic incidents
including the terrorist activity of 9/11, 7/7 and Mumbai, the recent Middle East unrest and
natural disasters including the 2004 Tsunami and 2010 Haitian earthquake.

SPECIAL HISTORICAL KEYNOTE The Science of Secrecy
Dr. Simon Singh, Best-Selling Author; Journalist, Radio Broadcaster,
TV Producer and Director
In 1999, Simon Singh offered £10,000 for anyone who cracked ten
coded messages using ciphers from different periods of history. He will
explain how the codes were broken and who eventually won the prize,
and along the way he will explain lessons learned from history and
coding that are still relevant in business today for assurance, security
and risk professionals! In particular, he will demonstrate a genuine
Second World War Enigma cipher machine. We always try to bring you
something slightly different, something that we think we interest and
intrigue, and give you a chance to take a breath between the other sessions!
Simon is author of The Code Book, about cryptography; Big Bang, a history of cosmology; and
Fermat’s Last Theorem, which followed his Emmy-nominated Nova documentary about
Fermat’s Last Theorem. His most recent book is The Simpsons and Their Mathematical Secrets.
He is also a broadcaster and has presented programmes on BBC radio and television, and will
share his knack of bringing relevant but novel ideas to life.

You will work in groups through a series of fraud scenarios demonstrated by videos and interviews, based on real cases to answer key questions. The groups will give feedback on their discussions and the real results will also be shared with the audience for added value.
Part 1 – Integrity Due Diligence on a potential new acquisition in Africa
What due diligence should be undertaken regarding the potential acquisition?
This is a potentially a very lucrative transaction for the company. What would your decision be as to whether to continue with the acquisition under these circumstances, and if you decide to proceed – what measures could be put in place to minimise ABC plc’s risk.
The results of the due diligence are shared with the audience, including; Concerns as to how the licence was obtained; potential risk of licence revocation; ABC controls not what would be expected; Poor procurement practices; however no direct evidence found that a bribe or any fraud
has occurred.
Part 2 - Allegation of procurement fraud
Having heard the whistle-blower what would your response be? Should an investigation take place?
Some further information is received that lends support to the whistle blowers allegations – a decision to investigate has been confirmed.
Who would you involve in developing the plan? What would you do re legal privilege? What are the likely information sources? What first steps would you undertake? What are the practical difficulties of undertaking an investigation in these circumstances? Are there any external reporting requirements at this stage? Note: ABC has a central team investigation team within Internal Audit, all based in London, as is the General Counsel.
Should the CFO and Head of procurement be suspended? What other investigation steps can be taken?
What preparation needs to be made in advance of the meeting and how should the interviews be conducted?
Given this further information what further steps could you consider?
Part 3 – Similar fact pattern but CFO and Head of Procurement are based in Paris and the supplier is based in Germany
What are going to be the key differences of undertaking an investigation in
these circumstances as opposed to the previous scenario? What would you
do differently?
The investigation highlights evidence of the type that might not be expected in the African context, e.g. relationship mapping using information gathered from social network sites.
