WaterSmart Software Solutions Agreement
Recommendation
Approve the attached Resolution authorizing the City Manager to amend the 2012 agreement
with WaterSmart Software Solutions to continue the program from March 2015 to March 2016
with the ability to approve a one year extension through March 2017.
Fiscal Impact
The cost of this amendment is for an annual not to exceed amount of $50,000. This amount is
budgeted in FY 14/15 from Fund 511 (Water).
Background and Analysis
On January 28, 2013, the City entered into an agreement with WaterSmart Software Solutions
(WaterSmart) to provide services with the following components:
1. Customer portal available to all single family residential customers in Davis (14,000
accounts)
2. Delivery of Home Water Reports (60,000 deliveries per year)
3. Utility dashboard, for tracking the effectiveness of water conservation outreach programs
An amendment extended the original agreement from February 2014 to February 2015. The
total investment in WaterSmart Software, to date, has been $177,071. WaterSmart home water
reports and the customer portal allow customers to track their water usage and compare usage
patterns to similar and efficient households. As of today, 2,816 users have registered to use the
customer portal. Registered users showed a 2.6% higher water reduction than the unregistered
single family home population. The value of this additional savings is estimated to be $55,727
per year.

In February 2015, the Natural Resources Commission voted unanimously to support Staff’s
recommendation to continue the WaterSmart program for another year as outlined in the attached
proposal. The new proposal differs from the original scope of work by targeting the highest
water users based on average gallons per day consumed in 2014. Home water reports will be
sent to 1,000 existing high users and 4,000 new high users. Targeted outreach, via 25,000 direct
mailers during peak summer use periods, to high users should result in further citywide water use
reductions. The value of the additional savings will be greater than the cost of the program on an
annual basis.

RESOLUTION AUTHORIZING CITY MANAGER TO EXECUTE THE
2015 AGREEMENT AMENDMENT BETWEEN CITY OF DAVIS AND
WATERSMART SOFTWARE SOLUTIONS
TO EXTEND THE TERM OF THE AGREEMENT
WHEREAS, the Water Conservation Act of 2009 (Senate Bill X7-7) requires all water suppliers
to increase water use efficiency and sets an overall goal of reducing per capita urban water usage
by 20% by December 31, 2020; and
WHEREAS, on January 17, 2014, Governor Edmund G. Brown, Jr. declared a drought state of
emergency for the entire State of California; and
WHEREAS, on September 2, 2014, the City Council did adopt Resolution No. 14-124, Series
2014 restricting water use; and
WHEREAS, on December 11, 2012, the City Council did adopt Resolution No. 12-183, Series
2012 authorizing the City Manager to enter into exclusive negotiations with WaterSmart
Software Solutions; and
WHEREAS, WaterSmart Software is a water efficiency solutions company focused on reducing
residential water use through behavioral science methodologies; and
WHEREAS, in calendar year 2014, the use of the WaterSmart Program was determined to be
responsible for an additional 2.6% by the single family residential customer class in Davis; and
WHEREAS, the WaterSmart Program results in water and energy savings over time to both the
customer and utility and helps the City meet its water conservation community goals; and
WHEREAS, the 2014 Program participation agreement between the City of Davis and
WaterSmart expired at the end of February 2015; and
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Davis the City
Manager is hereby authorized to execute the 2015 WaterSmart Program agreement amendment
between the City of Davis and WaterSmart Software Solutions to extend the WaterSmart
Program available to Davis residents through March 31, 2016; and
BE IT FURTHER REFOLVED, by the City Council of the City of Davis the City Manager is
hereby authorized to extend the WaterSmart Program by an additional year to March 31, 2017.

AMENDMENT NO. 2 TO
AGREEMENT FOR PROFESSIONAL SERVICES
(WaterSmart Software, Inc.)
THIS SECOND AMENDMENT (“Second Amendment”) to the January 28, 2013
Agreement (“Agreement”) by and between the CITY OF DAVIS, hereinafter referred to as
“City,” and WaterSmart Software, Inc., a Delaware corporation, hereinafter referred to as
“Consultant,” is made and entered into this 18th day of March, 2015.
WHEREAS, on January 28, 2013, City and Consultant entered into the Agreement, and
WHEREAS, the City and Consultant desire to enter into an Amendment to the
Agreement to perform the attached scope of work,
NOW, THEREFORE, City and Consultant agree to amend the Agreement as follows:
1. FEES AND PAYMENT. Section 4.1. of the Agreement shall be amended by the addition
of Forty-Nine Thousand Nine Hundred and Ninety-Nine dollars ($49,999) increasing the
Consultant’s total compensation to a maximum not-to-exceed amount of Two Hundred
Twenty-Seven Thousand Seventy dollars ($227,070).
Section 4.2 of the Agreement and Exhibit D shall be amended by the addition of the
attached Fee Schedule as shown in the attached Exhibit D.
2. DESCRIPTION OF SERVICES. Section 1.3 of the Agreement and Exhibit C shall be
amended by the additional schedule as shown in the attached Exhibit C.
3. TERM. Section 1.4 of the Agreement shall be extended for one year, to end on March
31st, 2016
4. NO ADDITIONAL CHANGES. Except as expressly amended by this Amendment, all
other terms, conditions, and obligations of the Agreement shall remain in full force and
effect.
